Engineering Service Memorandum
An Engineering Service Memorandum (ESM) is meant to approve in-scope efforts required to identify, analyze, and/or correct minor issues impacting operations outside the control the contractor. In accordance with the KDAM ATARS Performance Work Statement (PWS) paragraph 11.1, Engineering Service Memorandums (ESM) and Contract Data Requirements List (CDRL) B002, all ESMs originate from the contractor in performance of their obligation under this contract. The contractor shall continually identify system improvements, process improvements and associated efforts for the efficiency and improvement of training, operations or operations support, material obsolescence and/or availability issues, and personnel or system safety issues. ESMs will also be used by the Government to approve tasking of the contractor to perform engineering analysis, correction of deficiencies, enhancements, and obsolescence modifications to KDAM ATARS training activities.
The Contracting Officer shall determine the proposed ESM is within the scope of the contract, and must be less than the Simplified Acquisition Threshold (SAT) listed in Federal Acquisition Regulation (FAR) 2.101). ESM approval resides solely with the Contracting Officer and will be issued by the Program Management Office (PMO) at Wright-Patterson Air Force Base (WPAFB). ESMs shall not be separated into multiple ESMs to stay below the SAT, an ESM shall be written for the totality of the requirement and if it exceeds the SAT, it shall not be approved.
The Contractor shall identify and provide the objective of the effort, estimate detailing proposed material cost and quantity, labor detailed by table rate category and proposed hours, proposed travel and timeframe for completion and the Contractor shall include with the submission of the ESM. Contractor shall provide, IAW FAR 15.4, cost and pricing information sufficient for the PCO to determine the cost reimbursement no fee proposal fair and reasonable. All ESMs shall be performed on a Cost Reimbursement No Fee basis.
All requirements of the contract apply to the execution of ESMs. The Contractor shall not exceed the approved value of the ESM without the expressed written approval of the Contracting Officer. Upon completion of the ESM, the Contractor shall submit an itemized final cost accounting to the KDAM ATARS lead PM. The Contractor shall submit a DD250 for all ESMs and shall transfer title of all material, hardware, software, etc. to the Government. All work performed via ESMs shall be conveyed with Unlimited Data Rights.
ESMs shall not be used to procure Non-Standard Aircraft (NSA) training or commercial aircraft training.
The attached form shall be utilized for execution of all Engineering Service Memorandums (ESM). The form may be modified from time to time if agreed to by all stakeholders. If the ESM form is modified it shall be updated and re-attached to the contract.
Each ESM shall be a separate stand-alone CLIN.
