SUPPLIES OR SERVICES AND PRICES/COSTS
Note 1: CONTRACT TYPE: This is a Indefinte Delievery Indefinite Quantity (IDIQ) type contract as contemplated at FAR 16.504 Indefinte Contracts and 16.505 Ordering. This contract is to support the Fixed Wing Section for Special Operations Forces/Personnel Recovery (SOF/PR) at Robins, AFB. The Performance Work Statement (PWS)(Attachment 1) captures the service requirements of this effort. All requirements will be acquired by the issuance of an order.
Note 2: MINIMUM/MAXIMUM VALUE: The Contractor shall furnish to the Government, when and if ordered, the services specified in this Schedule up to and including the "Maxmum" amount of $4,000,000.00 for all orders issued hereunder. The Government shall order at least the "Minimum" amount of $1,000.00 for costs incurred at the initial Kick-Off Meeting as detailed in PWS para. 4.5.2. This minimum awardable amount is captured under CLIN 0010. This CLIN will only appear under the Basic Option Year and will not be used in the evaluation of the Total Evaluated Price (TEP). The Government is not obligated to purchase from the awardee an amount of services in excess of the referenced minimum amount. Except as otherwise provided, if the Government's requirements do not result in orders as described in the schedule, that fact shall not constitute the basis for an equitable price adjustment.
Note 3: PERIOD OF PERFORMANCE: The basic period of performance of this contract will be from the effective date of award through three (3) years. There will be One (1) Basic Year with Two (2) Option Years. Options will be exercised IAW FAR 52.217-9 Option To Extend the Term of the Contract.

Note 4: ORDERING: In accordance with (IAW) FAR 16.505 Ordering, each order shall clearly describe all services to be performed or supplies to be delievered. Orders shall be within the scope, issued within the period of performance, and be within the maximum value of the contract.
Orders may be placed on the contract from the date of the exercised Option Year and Ordering Period until the contract expires on TBD.
A separate Period of Performance will be established on each individual order. Prior to executing each Task Order (TO) the Government will negotiate an acceptable time of delievery with the Contractor.
Work on each individual order shall not exceed eighteen (18) months.
Note 5: PROPOSING ON THIS IDIQ AWARD: See the Section L (Attachment 2 in Section J) and Section M (Attachment 3 in Section J) of this document for more information.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Definitions. As used in this clause—
(1) “Contract financing payment” and “invoice payment” have the meanings given in section 32.001 of the Federal Acquisition Regulation.
(2) “Electronic form” means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests.
