Section H - Special Contract Requirements
SPECIAL CONTRACT CLAUSES
H-1
INCORPORATION OF CONTRACTOR’S PROPOSAL
1. The Government reserves the right to incorporate into this contract, by reference or full text, portions of the successful Contractor’s proposal submitted in response to this solicitation as revised and supplemented through the date of award. The Performance Work Statement (PWS) and the terms and conditions of this contract take precedence over any ambiguity in the contractor’s proposal.
2. In those areas where the contractor’s proposal exceeds the stated PWS requirements, the contractor’s proposal is binding and prevails. The Contractor is expected and required to adhere to its proposal approach to meeting the contract requirements.
H-2 REQUIRED INSURANCE
IAW FAR 28.306(b): Reference FAR Clause 52.228-5 entitled “Insurance—Work on a Government Installation”, the Contractor shall, at its own expense, procure and thereafter maintain the following kinds of insurance with respect to performance under the contract:
a. Workmen’s Compensation and Employers Liability Insurance as required by law except that if this contract is to be performed in a State which does not require or permit private insurance, then compliance with the statutory or administrative requirements in any such State will be satisfactory. The required Workmen’s Compensation insurance shall extend to cover employer’s liability for accidental bodily injury or death and for occupational disease with a minimum liability limit of $100,000.
b. General Liability Insurance. Bodily injury liability insurance, in the minimum limits of $500,000 per occurrence shall be required on the comprehensive form of policy.
c. Automobile Liability Insurance. This insurance shall be required on the comprehensive form of policy and shall provide bodily injury liability and property damage liability covering the operation of all automobiles used in connection with the performance of the contract. At least the minimum limits of $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage shall be required.
H-3
DISPOSITION OF UNSUCCESSFUL PROPOSALS
In compliance with FAR Subpart 4.8, the Government will retain one hard copy of all unsuccessful proposals. The Government will destroy extra copies of such unsuccessful proposals.
H-4 CONTRACTING OFFICER’S AUTHORITY
CO responsibilities for this contract shall reside at HQ ACC AMIC/PKB, Langley AFB, VA. The CO is the only person authorized to approve changes in any of the requirements under this contract and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely with the CO.
H-5 DISSEMINATION OF INFORMATION
There shall be no dissemination or publication, except within and between the Contractor and any subcontractors, of information developed under this contract or contained in the reports to be furnished pursuant to this contract without prior written approval of the CO. No news release (including photographs and film, public announcements or denial or confirmation of same) on any part of the subject matter of this contract or any phase of any program hereunder, shall be made without written approval of the CO. The Contractor shall pay particular notice to any distribution markings included on Government correspondence and maintain control of information to prevent improper distribution.
H-6 CONTINUITY OF SERVICES
In the event the incumbent is not the successful contractor for the follow-on contract award, the incumbent contractor hereby agrees to cooperate with the successor and to allow its successor to conduct on-site interviews with its employees. If said employees are agreeable to the change and are accepted by the successor, then the incumbent contractor shall release them at a mutually acceptable date. Further, the contractor shall turn over to the successor contractor all administrative records and technical data acquired or formulated during the life of this contract.
a. The incumbent contractor’s own work shall carefully fit into the successor contractor’s phase-in schedule. The incumbent contractor shall not commit or permit any act which will interfere with the performance of work by the successor contractor or by the Government. The incumbent contractor shall take reasonable steps to aid in the transition of the successor’s work force into the environment, on a non-interference basis with the incumbent contractor’s responsibilities.
b. On a non-interference basis the successor shall be allowed to observe all activities which occur during the phase-in period. These activities shall include as a minimum over-the-shoulder observance of daily activities and other requests mutually agreed to by the involved parties.
H-7 IDENTIFICATION OF CONTRACTOR EMPLOYEES
Each contractor employee shall, while on duty, wear in plain view on the upper portion of his/her outer garment an identification badge to be furnished by the contractor, containing the company name, employee name, and the section where the employee works. In addition, all contractor employees shall clearly distinguish themselves as such in mail, e-mail, and verbal communication. Contractors with access to the base Local Area Network shall include their company name or the designation “Ktr” in their global address.
H-8 REIMBURSABLE TRAVEL EXPENSES
Reimbursable contractor travel will be required in performance of this contract. The contractor shall follow FAR 31.205-46 guidelines in incurring travel costs and seek the most favorable available commercial air rates. The contractor will be reimbursed for actual travel costs incurred. Invoices shall be submitted after travel is complete and shall include actual receipts for each cost to be reimbursed. The contractor shall notify the Government when 80% of the Not to Exceed (NTE) amount has been reached. No profit shall be paid in support of cost reimbursable CLINS, and G&A shall be negotiated IAW the contractor’s latest approved disclosure statement.
H-9 INVOICING INSTRUCTIONS
Services performed under this contract maybe invoiced on a monthly basis. Invoices shall be submitted electronically using Wide Area Work Flow (WAWF) 2-n-1 or combo invoicing procedures (determined by decentralized contracting office), in US dollars, to DFAS Limestone in accordance with DFARS 252.232-7003, Electronic Submission of Payment Requests. http://wawf.eb.mil/
H-10 DELIVERY OF SUPPLIES BEYOND CONTRACT PERIOD
In order to maintain a stock level of spare parts, units, components and expendable material sufficient to incur proper services for the equipment covered by this contract, it is recognized that the contractor must place orders for such parts and materials which may be delivered by the suppliers beyond the period of time covered by this contract. The Government will accept delivery and make payment for such supplies that: 1) the contractor shall have placed such orders prior to the date of expiration or termination of this contract; and 2) the delivery will occur within 60 days of expiration of the contract. The contractor shall establish agreements with all vendors (both suppliers and repair facilities) to ensure delivery within this extended time period.
H-11 IMPORTATION OF TAX‑EXEMPT MATERIAL OR SUPPLIES.
Official U.S. Government property shipped to Curacao by the prime Forward Operating Locations-Base Operating Support (FOL-BOS) contractor, or subsequent subcontractors, for the exclusive support of the United States Southern Command (USSOUTHCOM) aerial counter drug surveillance program in these countries will be marked at point of origin as follows:

H-12 RELATIONS WITH HOST COUNTRY
In the interest of assuring and maintaining the highest order of foreign and diplomatic relations in the host country, the Contractor is enjoined from having any direct or indirect negotiations, dealings, agreements, business or entreaties with officials of the host government, which would have a direct or indirect effect upon accomplishing or performing this contract, and which could be construed by the host government or host country citizens as having been officially or unofficially sanctioned, approved or constructively condoned by the U.S. Government. Contacts by the Contractor relating to the above shall be through appropriate U.S. Government channels as prescribed by the CO. Specifically excluded from the prohibition herein set forth are the incidental daily contacts of the Contractor or his employees, which they may reasonably be expected to have in the normal course of travel, daily work, labor disputes, customs clearances, and passport control.

CLAUSES INCORPORATED BY FULL TEXT
52.203-14 DISPLAY OF HOTLINE POSTER(S) (DEC 2007)
(a) Definition.
United States, as used in this clause, means the 50 States, the District of Columbia, and outlying areas.
(b) Display of fraud hotline poster(s). Except as provided in paragraph (c)--
(1) During contract performance in the United States, the Contractor shall prominently display in common work areas within business segments performing work under this contract and at contract work sites--
(i) Any agency fraud hotline poster or Department of Homeland Security (DHS) fraud hotline poster identified in paragraph (b)(3) of this clause; and
(ii) Any DHS fraud hotline poster subsequently identified by the Contracting Officer.
(2) Additionally, if the Contractor maintains a company website as a method of providing information to employees, the Contractor shall display an electronic version of the poster(s) at the website.
(3) Any required posters may be obtained as follows:

(c) If the Contractor has implemented a business ethics and conduct awareness program, including a reporting mechanism, such as a hotline poster, then the Contractor need not display any agency fraud hotline posters as required in paragraph (b) of this clause, other than any required DHS posters.
(d) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (d), in all subcontracts that exceed $5,000,000, except when the subcontract--
(1) Is for the acquisition of a commercial item; or
(2) Is performed entirely outside the United States.

52.204-8 ANNUAL REPRESENTATIONS AND CERTIFICATIONS (JUNE 2013)
(a)(1) The North American Industry Classification System (NAICS) code for this acquisition is 561210.
(2) The small business size standard is $35.5 million.
(3) The small business size standard for a concern which submits an offer in its own name, other than on a construction or service contract, but which proposes to furnish a product which it did not itself manufacture, is 500 employees.
(b)(1) If the provision at 52.204-7, Central Contractor Registration, is included in this solicitation, paragraph (d) of this provision applies.
(2) If the provision at 52.204-7 is not included in this solicitation, and the offeror is currently registered in CCR, and has completed the ORCA electronically, the offeror may choose to use paragraph (d) of this provision instead of completing the corresponding individual representations and certifications in the solicitation. The offeror shall indicate which option applies by checking one of the following boxes:
