Plan- The contractor will receive an Acceptable rating if the contractor clearly addresses all potential organizational conflict of interests and how they plan on avoiding them, also the plan must have evidence showing how personnel tasked against this effort will be required to be dedicated to perform work to it. If the Government determines the plan sufficiently describes that no potential conflicts of interest exist, the contractors plan will be further evaluated on how the contractor plans to have personnel solely dedicated to this requirement.”
2. Section L Instruction- DELETED part 1. (c) “Organizational Conflict of Interest (OCI) Plan: Provide a plan that addresses all potential organizational conflict of interests IAW SOW 7.6.”
3. Statement of Work- DELETED part 7.6 “Organizational Conflict of Interest Plan. The recommended course of action for avoiding, neutralizing, or mitigating the organizational conflict of interest, based on the general rules in FAR 9.505 is to require each interested vendor to submit an OCI Plan as part of their proposal. Even if an offeror doesn’t feel they have any OCIs, they must submit a plan on how they plan to avoid any OCIs if any do arise before or after award. The contractor must clearly address all potential organizational conflict of interests and how they plan on avoiding them, also the contractor must ensure personnel tasked against this effort are required to be dedicated to it. The government defines dedicated employees as those who will handle the physical conversion and are required to have a minimum of 3 years’ experience working on MQ-1 Predator and MQ-9 Reaper systems with relevant experience modifying ground systems to include modification and de-modification of system components to include platform IT configuration as outlined in Section 3.4. Dedicated employees will not include support personnel such as Logistician or Technical Writers who will act in a supportive nature to this requirement as outlined in section 3.4.” (7.7 As-built Diagrams and Technical Data. is now 7.6). Part 7.6 was also

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L INSTRUCTIONS
THIS SECTION IS FOR SOLICITATION PURPOSES ONLY. THIS SECTION WILL BE PHYSICALLY
REMOVED FROM ANY RESULTANT AWARD, BUT WILL BE DEEMED INCORPORATED BY
REFERENCE.
PROPOSAL PREPARATION INSTRUCTIONS
A. To ensure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation. The proposal shall consist of three (3) separate parts; Part I –Technical Capability, Part
II – Past Performance Information, Part III –Price Proposal.
B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional data will be requested. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit cost and pricing data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
C. Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:
1. Requirements of the solicitation CLIN 0001, CLIN 0002, and Statement of Work (SOW), and government standards and regulations pertaining to the SOW.
2. Instructions as stated in this provision addendum and the evaluation factors for award as stated in Section- M Evaluation factors for award.
D. Specific Instructions: Defense Department (DD) Form 254: The DD Form 254, Contract Security
Classification Specification, at RFP Attachment 7, will be applicable to any contract awarded as a result of this solicitation and will be completed at time of award.
1. PART I – TECHNICAL CAPABILITY – Limited to no more than 25 pages. Submit one (1) original plus one (1) redacted* copy in both printed and electronic format. The following Technical Capability factors will be evaluated:
*Note: Redacted copies shall be submitted in the same manner as original copies. Information to be redacted shall include all references to the offeror’s company, i.e. company names/key personnel names and company logo’s/symbols.
(a) Quality Control Plan: Reference SOW section 7.2. Provide a quality control plan that addresses the specific methodology for ensuring the requirements of the SOW are accomplished.
(b) Contract Schedule: Provide a Contract Schedule that addresses all requirements IAW SOW 7.4.
2. PART II – PAST PERFORMANCE INFORMATION- Submit one (1) original in both printed and electronic format.
(a) Quality and Satisfaction Rating for Contracts Completed in the Past Six Years: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed services for relevant past efforts/contracts (similar in scope and magnitude of effort and complexities this solicitation requires). In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.
(b) Performance Reference Forms: The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The government will use information submitted by the offeror and any other sources of information available to the Government to assess past performance. Provide no more than five (5) Performance Reference Forms, of the most relevant contracts performed for Federal agencies and other customers within the last six (6) years using
Attachment 5 Performance Reference Form.
(c) Past and Present Performance Questionnaires: Offeror’s shall send out Attachment 6 Past and
Present Performance Questionnaires to the references stated above for completion. The responsibility to send out the form rests solely with the offeror. The information contained therein shall be considered source selection sensitive and not releasable outside of the Government. Completed questionnaires shall be sent directly from the reference to this office via e-mail to MSgt Demetri
Harper demetri.harper@us.af.mil and MSgt Steve Noriega steve.noriega@us.af.mil or via fax to 575-
784-0151 to the attention of MSgt Demetri Harper and MSgt Steve Noriega. Please call 575-784-6073 or 575-784-6566 prior to faxing questionnaires. Offerors must ensure that completed questionnaires are submitted to this office no later than the proposal receipt date established in the solicitation.
(d) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.
3. PART III – PRICE PROPOSAL - Submit one (1) original in both printed and electronic format.
(a) Complete blocks 12, 13, 14, 15a, 15b, 16,17, and 18 of the SF33. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The
SOLICITATION constitutes the model contract.
(b) Insert proposed unit and extended prices in the SF33. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal(s) must be submitted for a base period. Provide a price for CLINs 0001 and 0002 for the base period of performance.
(c) Complete the necessary fill-ins and certifications in provisions incorporated into the solicitation by full text and return along with the proposal.
4. Format for proposal Parts I and II shall be as follows:
(a) The proposals will be 8 1/2” x 11” paper except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.
(b) A page is defined as one face of a sheet of paper containing information.
(c) Typing shall not be less than 12 pitch.
(d) Elaborate formats, bindings or color presentations are not desired or required.
(e) Microsoft Word or Adobe PDF format is acceptable
5. General Information
INFORMATION REGARDING SUBMISSION OF PROPOSAL: Whether submitted electronically, via mail, or hand delivered the proposal and SF 33 must be signed by an authorized company official and be received no later than 2:00PM MST (Mountain Standard Time) on 22 January 2015. Hand carried proposals must be delivered to the
27 SOCONS Command Section Front Office located at 27 Special Operations Contracting Squadron, 110 East
Alison Ave, Bldg. 600, Cannon AFB, NM 88103. Electronic submissions can be e-mailed to MSgt Demetri Harper at demetri.harper@us.af.mil and MSgt Steve Noriega at steve.noriega@us.af.mil. Offerors are cautioned that the size limit for electronic proposals is 10 MB. If the offeror chooses to submit electronically, the government will not be responsible for any non-receipt of the offer, or any failure of the offeror to verify receipt of the e-mailed offer.
Amendments, if issued, must be signed by an authorized company official and submitted. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the solicitation number, and the name and address of the offeror.
Offerors are cautioned that Cannon AFB, NM has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. SOME DELAY SHOULD BE ANTICIPATED WHEN
HANDCARRYING PROPOSALS. Offerors should allow sufficient time to obtain a visitor pass and arrive at the bid depository PRIOR to the time specified for receipt. Late proposal will not be accepted.

SECTION M - EVALUATION FACTORS FOR AWARD
The following have been modified:
SECTION M EVALUATION FACTORS
BASIS FOR CONTRACT AWARD: This is a Trade-off IAW FAR 15.101, DFARS 215 and DoD Source
Selection Procedures, in which competing offers’ technical capability and past performance information, when combined, are approximately equal to price. By submission of its offer in accordance with the instructions provided by Section-L Instructions, conditions, and notices to offerors or respondents, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices and performance records. The evaluation process shall proceed as follows:
A. Price Evaluation: Offers shall initially be ranked according to lowest total evaluated price. An offeror’s proposed prices will be determined by multiplying the quantities identified in the SF33 by the unit price for each item to confirm the extended amount for each CLIN.
B. Technical Evaluation: The Government’s technical evaluation team shall evaluate all offerors’ technical proposals (Part I – Technical Capability) on an acceptable or unacceptable basis, assigning one of the ratings described below for each factor. Any factor evaluated as “Unacceptable” will render the entire proposal unacceptable and, therefore, unawardable. Only those proposals determined to be technically acceptable, either initially or as a result of discussions, will be considered for award. However, the offeror is reminded that the
Government reserves the right to award this effort based on the initial proposal, as received, without discussion. The term “technical” as used herein, refers to non-price factors other than past performance. The purpose of the technical factor is to assess whether the offeror’s proposal will satisfy the government’s minimum requirements.
IAW DoD Source Selection Procedures Appendix A, paragraph A.2.1.1, Table 1, the Government will use the following table to assess the contractor’s technical acceptability:
The following Technical Capability factors will be evaluated:
(a) Quality Control Plan: The offeror will receive an acceptable rating for the factor if the written approach demonstrates a clear understanding of the SOW section 7.2 and adheres to the instructions provided in
Section-L Instructions, conditions, and notices to offerors or respondents. The approach shall not merely be an offer to perform the work in accordance with the SOW and, to the maximum extent practicable, shall outline and describe actual methods proposed to meet the requirements of the contract. The plan shall be a thoughtful presentation of the contractor’s quality control measures from project start to finish.
(b) Contract Schedule – The contractor will receive an acceptable rating if they can provide a schedule that meets the requirements of Section-L Instructions, conditions, and notices to offerors or respondents and; is realistic in terms of the milestones of each GCS conversions as detailed in the Gantt Schedule and; provides a rational approach associated with the conversions.
C. Past Performance Evaluation: After the Government has completed an initial price ranking as described in paragraph A, Price Evaluation, and evaluated all proposals for technical acceptability IAW paragraph B, Technical Evaluation, the Government will conduct past performance evaluations. The Government’s past performance evaluation team shall only evaluate the past performance on offerors who have received an overall rating of acceptable for the technical evaluation. The Government will conduct past performance evaluations in order of lowest total evaluated price. The past performance team shall seek recent and relevant performance information based on (1) the references provided by the offeror, (2) completed questionnaires submitted to this office, and (3) data independently obtained from other government sources.
(a) Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past six (6) years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.
(b) Relevancy Assessment. The Government will evaluate all recent performance information to determine how closely the services performed under those contracts relate to this requirement. For each recent reference and/or past performance questionnaire reviewed, the relevance of the work performed will be assessed using the following ratings:

(c) Performance Confidence Assessments. The assessment process will result in an overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined in DoD Source Selection Procedures, Table 5, Performance Confidence Assessments. Past performance regarding predecessor companies, key personnel who have relevant experience, or sub-contractors that will perform major or critical aspects of the requirement will be considered as highly as past performance information for the principal offeror. Offerors with no relevant past or present performance history or the offeror’s performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating “Unknown Confidence”, meaning the rating is treated neither favorably nor unfavorably.
D. The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror’s ability to supply services described in the solicitation that meet users’ needs, based on the offeror’s demonstrated recent and relevant record of performance. The past performance evaluation team will conduct recency and relevancy assessments as described when reviewing each offeror’s demonstrated record of performance.
In evaluating past performance, the government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation and to seek information on higher

E. If the lowest priced proposal was evaluated to be technically acceptable and the offeror is judged to have a
“Substantial Confidence”, that offeror represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.
F. If the lowest priced offeror is not judged to have a “Substantial Confidence” performance assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a “Substantial Confidence” performance assessment or until all offerors are evaluated. The Source Selection
Authority shall then make an integrated assessment best value award decision.
G. Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.
H. If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the Final Proposal Revision are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.
