About this file
This document is Exhibit D-2, a Bidder's Contract Issues List from the Washington State Lottery for a Print Services competitive solicitation. The Lottery is seeking to contract with up to 5 successful bidders for printing services, with the goal of achieving the best possible value based on sample job costs, quality of samples, references, and overall response quality. The document provides a structured template for bidders to formally document any issues, concerns, exceptions, or objections to contract terms, with specific instructions on how to present these issues.
The solicitation emphasizes that bidders must propose reasonable compromises when raising contract concerns and provide clear rationales for their proposed changes. The Lottery cautions against submitting redlined documents or standard contract templates, and warns that bids contingent on substantial changes to material terms may be deemed non-responsive. Bidders are expected to use the provided Contract Issues List to frame discussions, with the understanding that the number and nature of listed issues will be considered in determining the likelihood of successfully completing a contract. The document includes a table for bidders to specify contract sections, issues, and proposed solutions, to be returned to the Procurement Coordinator.

Instructions. Issues, concerns, exceptions, or objections to any of the terms or conditions contained in Exhibit D – Contract must be documented by bidders in the Contract Issues List provided below. The Contract Issues List frames discussions between Lottery and bidders regarding the terms and conditions contained in the Contract. In completing the Contract Issues List, bidders must describe, in business terms, a concern, exception, or objection and then propose a compromise that is reasonable in light of the commitment being sought by Lottery. The Contract Issues List must provide the reason or rationale supporting the issue.
· Redlined Documents Will Not Be Reviewed. Do not provide a redlined Contract, paragraph, or clauses. Redlined text may result in Lottery making potentially inaccurate assumptions about what bidders’ specific issues or concerns might be.
· Standard Bidder Contract Will Not Be Reviewed. Do not provide a copy of a bidder's or a third party’s standard contract or proposed language.
· No Substantial Changes. Bidders are cautioned that this is a competitive solicitation for a public contract and that Lottery cannot and will not accept a bid or enter into a Contract that substantially changes the material terms and conditions set forth in this Competitive Solicitation and Contract. Bids that are contingent upon Lottery making substantial changes to material terms and conditions set forth in the Competitive Solicitation or Contract may be determined to be non-responsive. Lottery will consider the number and nature of the items on the bidders’ Contract Issues List in determining the likelihood of completing a Contract with such bidder.
