GENERAL

The Vendor shall provide the work detailed in this Exhibit “A”, Scope of Services. The services shall include all work shown in the Contract Documents (plans, specifications, and permits), included as attachments to this Scope of Services. All work shall require coordination with the Department’s CFRC Operations and Maintenance (O&M) Contractor and the CFRC Signals Maintenance Contractor to perform the work, and include, but not be limited to available work curfews and Track Protection Services, if necessary, depending on the means and methods.

1. Vendor Coordination

i. Vendor acknowledges and agrees that the Department has a contract with another vendor to provide commodities and/or services in connection with the work being performed by the Vendor under this agreement which may be ongoing at some or all of the time that Vendor may desire or plan to perform work under this agreement. Vendor shall be responsible for assuring that the work under this agreement is coordinated with the work that other vendors are or will be performing so that no claim is made by the Vendor or any such other vendor. In the event of any potential, claimed, or actual conflict in timing, design, or any other matter, Vendor shall immediately, without the need for notice or demand from the Department, take any and all steps necessary to immediately eliminate the conflict.

Vendor shall be entitled to a time extension for its performance obligations under this agreement, if necessary, for the Vendor to comply with these obligations. Vendor shall be responsible for all costs and expenses associated with any such claims of other vendors. In the event of any violation of these conditions by the Vendor, Vendor will be deemed to have committed a material breach of this agreement. In addition, Vendor acknowledges and agrees that any such violation of these conditions constitutes an imminent and substantial threat to the public health, safety, or welfare, entitling the Department, in addition to any other remedies which may be legally available to the Department, to immediate temporary relief.

ii. No payment, compensation or adjustment of any kind (other than extensions of time for completion as may be otherwise granted pursuant to other provisions of the contract documents) shall be made to the Vendor for damages because of hinderances or delays arising out of or connected with the requirement set forth above to coordinate with other vendors performing work, regardless of the cause of such hinderance or delays and whether such hinderances or delays be avoidable or unavoidable, and the Vendor agrees that it will make no claim for compensation, damages or mitigation of liquidated damages for any such hinderances or delays and will accept any extension of time otherwise granted pursuant to other provisions of the contract documents as full satisfaction for such hinderances or delays;

provided that nothing herein shall obligate the Department to grant an extension of time not otherwise due and the failure of the Vendor to be granted an extension of time shall not create any entitlement to compensation, damages or mitigation of liquidated damages.

iii. Notwithstanding sections above, Vendor shall not be held liable for any additional costs or expenses arising out of or connected with the requirements for coordination resulting from circumstances out of the control of the Vendor or despite commercially reasonable efforts by the Vendor to resolve the situation.

Project 1 – CFRC CP 789 Universal Crossover – Special Track Installation

1.0 OBJECTIVE:

As part of the CFRC Capital Improvements Plan (CIP) for FY24, the Department has identified the need for installation of two No. 15 crossovers and rail to establish a universal crossover near LYNX SunRail Station for the new CFRC Interlocking CP 789 at MP 789.8. One crossover will be north of Concord Street and the other crossover will be south of Concord Street. The maximum authorized speed at this location is 25 mph for freight and 30 mph for passenger. Project 1 is the highest priority project of the four projects and shall be completed within 90 days of Notice to Proceed.

2.0 SERVICES TO BE REQUIRED

2.1 The special trackwork shall consist of installation of the two new No. 15 crossovers (provided by the Department), new special trackwork hardware, new rail, new ties, new ballast and sub-ballast, and new other track material (OTM), as well as performing lining and surfacing, track stabilization to be achieved using a slow order and tonnage, field welds, and all other tasks needed to complete the project.

2.2 The Vendor shall install insulated joints on both tracks on the mainline track 50’ north of the point of switch of the northern switch in the new crossover.

2.3 Because the maximum authorized speed at this location is 25 mph for freight and 30 mph for passengers, a dynamic track stabilizer to minimize slow orders is not required. Slow Orders shall comply with CFRC Maintenance of Way Instructions (MWI) 1109 – Temporary Speed Restrictions/CFRC Continuous Welded Rail (CWR) Plan.

2.4 The Vendor shall conduct an elevation survey before construction begins and provide it to the Department prior to initiating construction. All special trackwork shall be installed at the same elevation as was measured prior to construction.

2.6 The Vendor shall coordinate with the Department to ensure that the activities by others, i.e., the SubDiv file, has been updated and the Field Critical Features Validation (CFV) has been completed, prior to commencing this Scope of Services.

2.7 The Vendor shall coordinate turnout installation with the Department’s Signal Maintenance Contractor.

2.8 The Vendor shall coordinate Track Protection Services with the Department’s O&M Contractor under this agreement as part of the Lump Sum Price as a separate line item for these services.

2.9 The Vendor shall submit to the Department a Schedule of Values (SOV) for this

A-2
