About this file

This is Amendment No. 1 to Professional Services Agreement No. CN 221 between the Florida Department of Environmental Protection and Ebbstone, Inc., a consulting firm located at 3370 Capital Circle NE, Suite J, Tallahassee, Florida 32308. The amendment updates the original agreement that was effective April 30, 2015, and reflects a legal name change of the consultant from Registe, Sliger Engineering, Inc. to Ebbstone, Inc., which occurred in 2019. The amendment was signed on March 17, 2020, by Ebbstone, Inc., and on May 28, 2020, by the Florida Department of Environmental Protection.

The amendment renews the agreement for a five-year period beginning April 30, 2020, and ending April 29, 2025, with the consultant and department continuing to perform their respective duties under the same terms and conditions as the original agreement. The agreement is for Professional Architectural and Engineering services. The amendment incorporates updated public records requirements (Attachment J), adds a new section requiring cooperation with the Inspector General for audits and investigations, and replaces Section 20 with Scrutinized Companies provisions that require the consultant to certify it is not on specified boycott lists or engaged in prohibited business activities as defined in Florida Statutes Section 287.135. No specific pricing or dollar amounts are identified in this amendment document.

Rev. 01/09/2020

AMENDMENT NO. 1

TO AGREEMENT NO. CN 221

BETWEEN

FLORIDA DEPARTMENT OF ENVIRONMENTAL PROTECTION

AND

EBBSTONE, INC.

This Amendment to Professional Services Agreement No. CN 221 (Agreement) is made by and between the Department of Environmental Protection (Department), an agency of the State of Florida, and Ebbstone, Inc., 3370 Capital Circle NE, Suite J, Tallahassee, Florida 32308, (Consultant), on the date last signed below.

WHEREAS, the Department entered into the Agreement with the Consultant for Professional Architectural and Engineering services effective April 30, 2015; and

WHEREAS, the parties wish to amend the Agreement to renew the Agreement and make other changes as set forth herein.

NOW THEREFORE, the parties agree as follows:

1) The Agreement is renewed for a five-year period to begin April 30, 2020, and remain in effect until April 29, 2025.

The Department and the Consultant shall continue to perform their respective duties during this extension period pursuant to the same terms and conditions provided in the Agreement.

2) The name of the Consultant for this contract is hereby changed from Registe, Sliger Engineering, Inc. to Ebbstone, Inc. Ebbstone, Inc. shall have all the rights, duties, liabilities and responsibilities, past, present and future, of Registe, Sliger Engineering, Inc. under the Contract. Consultant’s name was legally changed in 2019 and Consultant has been operating under the new name since that time, however the contract was not previously amended to reflect that change.

3) Section 4.11 of the Agreement is hereby deleted in its entirety and replaced with: “Attachment J, Public Records Requirements, as attached to this Amendment, is hereby incorporated into the Agreement.”

4) The following provision is hereby added to the Agreement as a new Section 31:

Inspector General Audit Cooperation. The Consultant understands its duty, pursuant to subsection 20.055(5), F.S., to cooperate with the inspector general in any investigation, audit, inspection, review, or hearing. The Consultant will comply with this duty and ensure that its subcontracts and/or subagreements issued under this Agreement, if any, impose this requirement, in writing, on its subcontractors and/or subgrantees.

5) The following provision hereby replaces Section 20 of the Agreement:

Scrutinized Companies.

A. Consultant certifies that it is not on the Scrutinized Companies that Boycott Israel List or engaged in a boycott of

Israel. Pursuant to Section 287.135, F.S., the Department may immediately terminate this Agreement at its sole option if the Consultant is found to have submitted a false certification; or if the Consultant is placed on the Scrutinized Companies that Boycott Israel List or is engaged in the boycott of Israel during the term of the Agreement.

B. If this Agreement is for more than one million dollars, the Consultant certifies that it is also not on the Scrutinized Companies with Activities in Sudan, Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, or engaged with business operations in Cuba or Syria as identified in Section 287.135, F.S. Pursuant to Section 287.135, F.S., the Department may immediately terminate this Agreement at its sole option if the Consultant is found to have submitted a false certification; or if the Consultant is placed on the Scrutinized Companies with Activities in Sudan List, or Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, or engaged with business operations in Cuba or Syria during the term of the Agreement.

C. As provided in Subsection 287.135(8), F.S., if federal law ceases to authorize these contracting prohibitions then they shall become inoperative.

6) All other terms and conditions of the Agreement remain in effect. If and to the extent that any inconsistency may appear between the Agreement and this Amendment, the provisions of this Amendment shall control.

The parties agree to the terms and conditions of this Amendment and have duly authorized their respective representatives to sign it on the dates indicated below.

a. Keep and maintain Public Records required by the Department to perform the service.
