About this file
Summary
This is a Non-Disclosure Agreement (NDA) template issued by the Maryland Insurance Administration (MIA) for bidders and offerors responding to Solicitation #MIA/FR-25-001 for Specialty Financial Examination & Auditing Services. The MIA intends to make up to ten contract awards—one primary contract and potentially one backup contract for each of five functional areas: Actuarial Services Property & Casualty, Reinsurance Services, Information Technology Services, Actuarial Services Life & Health, and Investment Services. Selected contractors may provide services in one or more of these functional areas. The NDA requires bidders to execute the agreement as a condition for receiving access to confidential information necessary to prepare their bids or technical proposals. The document includes a list of authorized personnel (Attachment 3-2) who may access confidential materials and must be updated as needed throughout the bidding process.
Under the agreement's terms, bidders warrant that they are authorized to bind their organization to the confidentiality obligations specified. Bidders must limit access to confidential information only to employees and agents with a demonstrable need to know and who are bound by equivalent confidentiality obligations. All confidential information must be returned to the State within five business days of the MIA's notice of recommended award, or to Anthonia Chuku at MIA on or before the proposal due date if no proposal is submitted. The agreement is governed by Maryland law, provides for injunctive relief in cases of breach, and requires bidders to indemnify the State for any losses, damages, liabilities, expenses, or costs—including attorneys' fees—arising from failure to comply with confidentiality requirements.
