About this file

This is a Confidentiality and Non-Disclosure Agreement (NDA) between the New York State Department of Labor (NYSDOL) and contractors performing services under a Services Agreement. The agreement establishes the terms and conditions for handling confidential information disclosed by NYSDOL or obtained by the contractor during performance of the contract. The NDA obligations commence upon execution of the agreement or start of the Services Agreement, whichever occurs first, and survive in perpetuity. Contractors are restricted to using confidential information solely for authorized purposes related to performing the Services Agreement and may only grant access to specifically authorized persons with a demonstrated need to know. The contractor must immediately notify NYSDOL of any unauthorized disclosure or access to confidential information and is prohibited from issuing press releases or making public statements regarding the Services Agreement without prior written approval from NYSDOL.

The contractor must implement comprehensive security measures to protect confidential information, including prohibiting storage on personal devices unless authorized by NYSDOL and compliance with all federal and state laws and NYSDOL policies. Upon termination of the Services Agreement, the contractor must return all tangible confidential information to NYSDOL or certify its destruction on company letterhead. The agreement is governed by New York State law and allows NYSDOL to seek equitable relief, including injunctive relief and recovery of litigation costs and attorney's fees, in the event of breach. The contractor's authorized use of confidential information terminates automatically upon breach of the agreement or completion or termination of the Services Agreement.
