About this file

This document is a Contract Amendment (Amendment Number 6) for a Technology Contract (Central Indexing System) between the State of North Dakota, specifically acting through its Office of Secretary of State, and PCC Technology, Inc. (Civix). The amendment was executed by multiple state representatives, including Al Jaeger (Secretary of State), Greg Hoffman (Director of Administrative Services), and Mike Wons (President of Government Business) in September and October 2020.

The original contract commenced on January 22, 2015, with an initial ending date of October 12, 2016, and included four twelve-month renewal options and one potential twelve-month extension. Prior to this amendment, four contract renewals had been executed, with the expiration date set at October 12, 2020. This sixth amendment extends the contract for an additional twelve months, changing the expiration date to October 12, 2021. The contract has exhausted its renewal options but retains the ability to renegotiate for additional terms. All other existing contract terms remain in effect, and the amendment stipulates that it is not effective until fully executed by all parties.

CONTRACT AMENDMENT

CONTRACT NAME AND NUMBER: TECHNOLOGY CONTRACT (CENTRAL INDEXING SYSTEM)

AMENDMENT NUMBER: 6

This amendment is made to the Technology Contract (Central Indexing System) (Contract) between the State of North Dakota, acting through its Office of Secretary of State (STATE), and PCC Technology, Inc. (CONTRACTOR).

The parties agree to the following terms and conditions and expressly agree that if any of the following terms and conditions conflict with any of the terms and conditions of the Contract, then, notwithstanding any term in the Contract, the following terms and conditions govern and control the rights and obligations of the parties.

The parties agree to amend the Contract as follows:

Renewal and Extensions Contract Section 5, Term of Contract. The Contract commenced on January 22, 2015, with an ending date of October 12, 2016 and includes four renewal options for twelve months each and one extension option not to exceed twelve months. Four Contract renewals have been executed and current expiration is October 12, 2020.

The parties have agreed to extend the Contract for an additional twelve months; therefore, the Contract is amended to change the expiration date to October 12, 2021. The Contract has no renewals or extensions remaining, but includes the ability to renegotiate for additional term.

This change is authorized under Section 39. Merger and Modification, Conflicts in Documents states “This Contract, including the following documents, constitutes the entire agreement between the parties. There are no understandings, agreements, or representations, oral or written, not specified within this Contract. This Contract may not be modified, supplemented or amended, in any manner, except by written agreement signed by both parties…”

All other terms of the Contract remain in effect. This Contract Amendment is not effective until fully executed by all parties.
