About this file
This document is Part C of the Special Terms and Conditions for the City of Alexandria, Virginia's Request for Proposals (RFP) for Temporary Staffing Services. The RFP seeks qualified offerors to provide temporary staffing services to the City. While the document does not specify quantities, response dates, due dates, site visits, bidders' conferences, or award dates, it establishes that any contract resulting from this RFP may be renewed for up to six additional one-year periods under the same terms and conditions as the original contract, subject to price adjustments negotiated at the time of renewal. The City does not guarantee any minimum quantity of services, hours, or level of effort, and quantities referenced in solicitation documents are for planning purposes only. The contractor shall furnish services only as authorized and ordered by the City and must comply with all contract terms regarding personnel, safety, compliance, and deliverables.
Pricing adjustments during renewal periods are limited to the percentage change in the Consumer Price Index for All Urban Consumers (CPI-U) for the most recent twelve months and shall not exceed the original contract price increased or decreased by that percentage. The City will not make advance or progress payments; compensation is based solely on services actually performed and accepted by the City. The contractor must comply with Alexandria City Code regarding living wage requirements, paying all employees working on City-owned or City-controlled property no less than the living wage rate published by the City at contract execution. The contractor must submit quarterly wage reports within ten calendar days after each quarter ends, and the contract cannot be renewed until required wage information is submitted and approved by the Purchasing Agent. Violations of wage requirements constitute grounds for contract termination and contractor debarment. The contract may be extended to other public bodies under Virginia Public Procurement Act provisions, with the contractor dealing directly with those entities regarding all contractual matters.

This section covers the Special Terms and Conditions for this Solicitation. Offerors are encouraged to thoroughly review all Solicitation Documents. These Special Terms and Conditions supplement the City’s Part D - General Terms and Conditions.
For this Solicitation, the term “Work” means the goods, services, or deliverables required under the Contract.
2. Change Management
2.1. Contract Modifications:
2.1.1 The Contract may be modified only by a written Contract Modification executed by the Purchasing Agent or other authorized City representative.
No oral statement, course of conduct, or written communication not executed as a Contract Modification shall be binding on the City.
2.1.2 A Contract Modification may add to, delete from, or otherwise revise the scope, quantity, price, delivery requirements, or other terms of the Contract, as authorized by the City. The Contractor shall not proceed with any modified or additional work or services unless and until a written Contract Modification has been issued by the City.
2.1.3 When requested by the City, the Contractor shall submit information reasonably necessary to support the proposed modification. The City may accept, reject, or negotiate any proposed modification in its sole discretion.
3. Contract Administration
3.1. Subcontractors and Outside Associates, and Consultants
Any Subcontractors, outside associates, and consultants required by the Contractor in connection with the services covered by the Contract Documents will be limited to individuals or firms that were specifically identified as part of the response submission on Attachment F Subcontractor List. 3.3. Submittals and Samples
When required by the Solicitation Documents, the Contractor must submit product data, samples, or descriptive information for review by the City to verify compliance with Contract requirements. Review of submittals or samples is limited to determining conformance with specified requirements and does not relieve the Contractor of responsibility for providing goods that fully comply with the Contract.

The Contract Period may be extended only by written agreement of the parties, executed by the Purchasing Agent.
