About this file

This document is an Information Technology Terms and Conditions Exhibit (Exhibit H) for the City of Alexandria, Virginia's Request for Proposals for Temporary Staffing Services. The exhibit establishes supplemental terms and conditions that apply to contractors providing information technology products or services, including software, cloud services, system implementation, maintenance, support, and access to City data. The exhibit applies only when the scope of work involves information technology-related services such as software provision, cloud-based services, system integration, data processing, hosting, maintenance, support, or technology-enabled professional services, or when contractors will access City information systems, store or process City data, or provide software and technology-enabled services. Key provisions address service level expectations and performance standards for ongoing or recurring technology services as expressly set forth in the scope of work, with failures to meet service levels subject to remedies and enforcement provisions outlined in the contract documents.

The exhibit establishes comprehensive data protection and security requirements governing all City data created, received, maintained, or processed by the contractor. All City data remains the exclusive property of the City, with the contractor acquiring no ownership interest and permitted to use such data solely to perform contract obligations. Custom deliverables developed specifically for the City are considered works made for hire, with the City granted perpetual, non-exclusive, royalty-free licenses for governmental use. The contractor must implement reasonable administrative, technical, and physical safeguards appropriate to the nature of services and sensitivity of data, comply with all applicable federal, state, and local data protection and privacy laws including Virginia's Information Technology Access Act, ensure digital accessibility compliance with ADA Title II and WCAG 2.1 Level AA standards, notify the City within 24 hours of any security incidents involving City data, and obtain City approval before any external notification regarding security incidents. Upon contract expiration or termination, the contractor must return or securely destroy all City data as directed and provide transition assistance for an orderly transfer of services. The City retains audit and verification rights to confirm contractor compliance with these obligations, and all provisions survive contract termination to protect City data and enforce the City's rights.
