About this file
This document is an Exhibit A definitions guide for the City of Alexandria, Virginia's Request for Proposals for Temporary Staffing Services. The document provides standardized definitions applicable to all City procurements regardless of procurement method or contract type. These definitions govern the interpretation of contract documents, solicitations, and related materials, with defined terms controlling over other usages in case of conflict. The definitions cover fundamental procurement concepts including acceptance, awards, bids, contract modifications, deliverables, and various roles such as the Contracting Officer, Contracting Officer's Representative, and COTR, ensuring consistent terminology and understanding across all parties involved in the procurement process.
The document establishes comprehensive definitions for critical contractual concepts including contract documents, contract periods, contract sums, force majeure events, inspections, notices of award, and work completion milestones such as substantial completion and final acceptance. Additional definitions address data management and security concepts, including definitions of City Data, Personal Information, and Security Incidents, reflecting modern procurement requirements for information protection. The definitions also specify professional services procurement requirements and establish mandatory language requirements using "Must" and "Shall" designations, with failure to meet such requirements potentially rendering responses non-responsive or ineligible for award. This standardized definitions framework ensures clarity and consistency in interpreting all contract obligations and administrative processes throughout the procurement lifecycle.

The definitions in this Part H apply to all City procurements, regardless of procurement method or contract type, and govern whenever the defined terms, or pronouns used in their place, appear in the Solicitation, specifications, Contract, or other Contract Documents, unless a definition is expressly stated to apply only to a specific procurement method or contract type.
The definitions set forth in this Part H govern the interpretation of the Contract Documents. In the event of a conflict between a defined term and any other usage of that term, the definition shall control. If the same term is defined in more than one Contract Document, the order of precedence established in the Contract shall apply. For construction, Acceptance may include Substantial Completion and/or Final Acceptance, as defined in the Contract Documents.
