About this file
This is a Confidentiality and Nondisclosure Agreement (NDA) executed between prospective suppliers and the City and County of San Francisco, acting through the San Francisco Port Commission, for the Waterfront Resilience Program (WRP) Pre-Construction Engineering and Design Services Consultant Request for Proposals. The agreement governs the disclosure and protection of confidential information provided by the City to prospective bidders during the RFP evaluation process. Prospective proposers are required to execute this NDA prior to receiving access to confidential materials, including reference documents provided by the Port of San Francisco. A virtual Pre-Proposal Conference is scheduled for Wednesday, October 14, 2026, at 10:00 AM Pacific Time via Microsoft Teams Town Hall, with RSVPs encouraged through a provided registration link. Questions regarding the RFP must be submitted by email to DPW ProContracts@sfdpw.org no later than Tuesday, October 20, 2026, at 5:00 PM PT. The City intends to award two separate contracts: one for the northern Plan Area (PED-North) with a not-to-exceed amount of $65,000,000, and one for the southern Plan Area (PED-South) with an NTE amount of $50,000,000. Each contract will have an initial term of ten years.
The NDA restricts parties from using or disclosing confidential information except as necessary to evaluate their suitability for the RFP and to designated agents with a need-to-know. Confidential Information is defined as City materials designated as "Confidential" or "Proprietary," with standard exclusions for information already publicly available, independently developed, or disclosed by third parties without restriction. Confidentiality obligations survive termination of the Agreement and continue indefinitely. All confidential materials must be returned to the City within thirty days of the earlier of discussions termination, written City request, or agreement expiration. The agreement is governed by California law with exclusive jurisdiction in San Francisco courts. In the event of breach, the City is entitled to seek injunctive relief without proving actual damages, and each party bears its own enforcement costs, including attorneys' fees and court costs. The agreement may be executed in counterparts and constitutes the entire understanding between the parties regarding confidential information protection.

WHEREAS, in order to provide information during the RFP process, City may provide the Party information about critical infrastructure related; and
WHEREAS, the City is willing to provide the Party with access to its Confidential Information for such purpose provided City has reasonable assurances that the Party will not disclose the City’s Confidential Information to third parties.

(c) The terms of confidentiality under this Agreement shall not be construed to limit either the City or the Party’s right to independently develop or acquire products without use of the other Party’s Confidential Information. This sub-paragraph shall not be deemed to grant to the Party a license under the City’s copyrights or patents.
(d) Survival of Confidentiality Obligation. Notwithstanding the return or destruction, or elimination of access to the Confidential Information as set forth in Section 4, the confidentiality obligations for all Parties shall survive and continue after any termination of this Agreement. (Section 5).

(b) the balance of the Agreement shall be interpreted as if such provision were so excluded;
and (c) the balance of the Agreement shall be enforceable in accordance with its terms.
7. Remedies. It is understood and agreed that money damages would not be a sufficient remedy for any breach or threatened breach of this Agreement, and the City shall be entitled to seek injunctive relief (preliminary or otherwise) as a remedy for any such breach or threatened breach without the necessity of proving actual damages. Such remedy shall not be deemed to be exclusive but shall be in addition to all other remedies available at law or equity.
