The City encourages the inclusion of Local Business Enterprise (LBE) firms in meaningful roles with clearly defined responsibilities that demonstrate a commitment to team integration and the development of LBE capacity. The LBE subcontracting participation requirement for this contract is 15%, of which 13% must be met with any combination of Micro and Small LBEs and 2% which may be met with any combination of Micro, Small, and SBA LBEs. Proposers are required to comply with all applicable San Francisco Contract Monitoring Division (CMD) requirements and must submit all required CMD forms and documentation with their proposal as specified in Section 4 of the RFP.

The Port shall order services covered by the awarded contract(s) through the issuance of individual Task Orders which shall be released against the awarded contract(s) during the contract term.

1.2 Selection Overview

The City shall award one (1) contract for the northern Plan Area (PED-North) and one (1) contract for the southern Plan Area (PED-South) to the Proposers that meet the Minimum Qualifications of this Solicitation whose Proposal receives the highest-ranking score.

Proposers will be evaluated and ranked separately for each Plan Area. Proposers may elect to submit a Proposal for one or both Plan Areas. The same Prime Proposer may be awarded one or both contracts; however, they must demonstrate sufficient capacity to perform both contracts at the same time.

Proposers submitting for both Plan Areas must submit separate Proposals for each Plan Area, each with a contract-specific staffing plan and capacity commitment. Each Proposal will be evaluated separately on its own merit. Key personnel may be shared across Proposals; however, PWP-690 (4-26) 2 of 37 October 02, 2026

Proposers must clearly identify personnel allocation for each contract and demonstrate sufficient capacity to perform both concurrently. Key personnel are defined as proposed staff that are more than 40% dedicated for each contract.

Responsive Proposals will be evaluated by a panel (“Evaluation Panel”) consisting of one or more parties with expertise related to the services being procured through this Solicitation. The Evaluation Panel may include staff from various City departments. Proposals will be evaluated based on the evaluation criteria outlined in this solicitation. The Proposers will be ranked starting with the Proposer receiving the highest score, then continuing with the Proposer receiving the second highest score, and so on.

2.3 Anticipated Contract Term

A contract awarded pursuant to this Solicitation shall be non-exclusive with an initial term of 3,652 calendar days (10 years). The City at its sole, absolute discretion, shall have the option to extend the term subject to appropriate required approvals.

2.4 Anticipated Contract Not to Exceed Amount

Section 2 Scope of Services

2.1 Project Background

The Port of San Francisco Waterfront Resilience Program (“WRP”) seeks qualified consultants to provide specialized pre-construction engineering and design (“PED”) services to support the advancement and implementation of the WRP’s proposed capital improvements, including the San Francisco Waterfront Coastal Flood Study (“Flood Study”) Recommended Plan and Projects across the 7.5 miles of Port waterfront.

The WRP anticipates the design and delivery of approximately $15 billion to $20 billion in waterfront resilience improvements over the next several decades to reduce coastal flood risk from sea level rise and storms and to improve earthquake resilience of waterfront infrastructure and facilities. Design and delivery are anticipated to be in partnership with the United States Army Corps of Engineers (“USACE”), and in coordination with State and City agencies, and private partners.

Planned improvements include adaptable coastal flood defenses such as seawall and wharf replacements, levees, nature-based features, ground improvement of weak and liquefiable soils both onshore and offshore, regrading and modifications of adjacent roadways, light rail, and utility systems to address existing conditions and future needs, improvements to interior drainage systems including San Francisco Public Utility Commission (“SFPUC”) combined sewer system, strategies and infrastructure to manage rising groundwater, preservation and modification of historic buildings and resources, modifications to maritime facilities, and modifications to public spaces and parks. The Port requires these specialized services to advance overall plan development, complete pre-construction engineering and design of distinct areas, and detailed design of projects including design support services during project construction.

A. Port of San Francisco

The Port of San Francisco is an enterprise agency of the City and County of San Francisco. The Port manages the seven and one-half miles of the San Francisco waterfront. The Port’s jurisdiction stretches from Hyde Street Pier in the north to Heron’s Head Park in the south and includes 205 acres waterside and 629 acres of upland properties. The Port’s property portfolio is composed of approximately 550 ground, commercial, retail, office, industrial, and maritime tenants, including leases for waterfront destinations and facilities such as the Ferry Building, Oracle Parkhome of the San Francisco Giants, Fisherman’s Wharf, and PIER 39.

The Port is managed by an Executive Director who is appointed by the Mayor of San Francisco and serves the Port Commission. The Port Commission provides overall policy direction to the Executive Director.

The Port’s waterfront has played an important role in San Francisco’s development since the 1850s. The bulkhead buildings and finger piers along The Embarcadero, the shipyard warehouses and facilities at Pier 70, and other Port waterfront landmarks served to support a

PWP-690 (4-26) 7 of 37 October 02, 2026 growing City and handled maritime commerce for decades. As cargo and shipping needs changed, many historic facilities can no longer be used for cargo and shipbuilding and now serve as defining features of the unique San Francisco urban form, public places and related maritime activities.

The Port Divisions include Executive, Maritime, Real Estate and Development, Planning & Environment, Engineering, Finance & Administration, and Maintenance. More information on the Port can be found in the 10-year capital plan https://www.sfport.com/files/2023- 06/port_commission_approved_ten-year_capital_plan_for_2024-2033.pdf

B. Waterfront Resilience Program

The Waterfront Resilience Program (WRP”) is a dedicated program within the Port that works to ensure that the waterfront and its important regional and citywide assets are resilient to hazards including earthquakes, flooding, and sea level rise due to climate change, shoreline erosion, and other related risks. The WRP team is developing a program of projects, plans, and policies to improve seismic and flood safety along the Port’s 7.5-mile jurisdiction. Wherever possible, the WRP team is examining opportunities to enhance City infrastructure and services, increase the resilience of lifeline corridors along the waterfront, promote equitable access, enjoyment, and use of the Port’s public waterfront, and include enhancements to habitat and the public realm along what is largely a human-made shoreline.

The WRP is developing high-level, programmatic estimates of the potential cost of implementing adaptation strategies across the entire waterfront over the next 20 years or more. Current planning-level estimates place the potential cost range at $15 to 20 billion. This effort is expected to be one of San Francisco’s largest public works efforts, requiring a combination of new coastal flood defenses and seismic strengthening and floodproofing of near-shore infrastructure owned and operated by multiple City agencies.

Over the next 5 to 10 years, the WRP intends to build on the completed Flood Study, including the Recommended Plan for coastal flood defenses, by advancing design and engineering of the Recommended Plan using an executed Section 221 Memorandum of Understanding with USACE, and by completing detailed design and construction of multiple Projects, potentially including Fisherman’s Wharf Forward, Wharf J9 Replacement Project, Downtown Coastal Resilience Project, South Beach Coastal Resilience Project, multiple Seawall Earthquake Safety Projects, Pier 50 Earthquake Improvements, and multiple projects in the Southern Waterfront that have not yet been identified.

Critical to delivery of these Plans and Projects is determining, to the maximum extent feasible, whether the design and construction of the projects are integral to the USACE Recommended Plan and eligible for local sponsor credit. The WRP intends to pursue additional funding sources to support implementation of the program, including grants, City bonds, state bonds, and potential federal funding.

C. USACE San Francisco Waterfront Coastal Flood Study Overview

In June 2018, the United States Army Corps of Engineers (USACE) awarded San Francisco a “new start” study appropriation to commence a General Investigation (“GI”) feasibility study, which would consider and recommend potential project alternatives to reduce coastal flood risk along the San Francisco waterfront. Following the completion of the Flood Study, if USACE recommends and Congress approves a project for implementation, the federal government may pay for up to approximately two-thirds of the cost of design and construction, and the Port would be responsible for approximately one-third of the cost.

USACE, in collaboration with the City of San Francisco, published the Draft Integrated Feasibility Report and Environmental Impact Statement (“Draft IFR/EIS”) in January 2024. The Draft IFR/EIS can be downloaded here: https://www.sfport.com/wrp/draft-report or here https://www.swt.usace.army.mil/Portals/41/SFWCFS_DIFR_EIS_Main%20Report_1.pdf.

Release of the Draft Plan to the public started a 60-day formal public comment period under the National Environmental Policy Act (NEPA). During this period, USACE and the City conducted robust public outreach and engagement to get feedback on the Draft Plan.

Additionally, USACE conducted technical, policy, and independent peer review of the plan during this timeframe.

In June 2024, USACE leadership endorsed the Draft Plan at the USACE Agency Decision Milestone meeting (“ADM”). The USACE/Port Project Delivery Team (“PDT”) presented to leadership the Draft Plan, public comments, recommendations from USACE reviews, and the PDT’s workplan to address these comments and develop a revised Draft Plan, referred to as the Recommended Plan, for inclusion in the Final Integrated Feasibility Report and Environmental Impact Statement (Final IFR/EIS).

The Final IFR/EIS analyzes the coastal flood risk and effects of sea level rise for the 7.5 miles of waterfront within the Port of San Francisco’s jurisdiction, from Aquatic Park to Heron’s Head Park, describes and analyzes an array of alternatives, and describes a Recommended Plan consisting of coastal flood defenses, floodproofing, and water management features to adapt the waterfront to sea level rise over time, with subsequent adaptation actions to respond to higher future water levels (“Recommended Plan”). The Recommended Plan is estimated to cost $17.8 billion plus inflation based on preliminary cost estimates, which are subject to change.

A Notice of Availability for the Final Report was published on July 31, 2026. Proposers are encouraged to download and review the Final Report. The Final IFR/EIS can be downloaded here: https://cdxapps.epa.gov/cdx-enepa-II/public/action/eis/details?eisId=565319

Typical USACE projects advance to the Pre-Construction Engineering and Design Phase (“PED Phase”) following Congressional authorization and negotiation of a project agreement, such as a Design Agreement or Project Partnership Agreement. Proposers are further advised that they may not discriminate in the selection of Subcontractors on the basis of race, gender, or any other basis prohibited by law, and that they shall undertake all required good faith outreach steps in such a manner as to ensure that neither MBEs nor WBEs nor OBEs are unfairly or arbitrarily excluded from the required outreach.

Proposers shall comply with all requirements of San Francisco Administrative Code Chapter 14B, Local Business Enterprise Utilization and Non-Discrimination in Contracting Ordinance, and the applicable CMD forms included with this RFP. Please read CMD Attachment 2 for Architecture, Engineering and Professional Services carefully and in its entirety.

An LBE subconsultant must be certified by CMD in the scope of services that the prime Proposer is listing the LBE subconsultant to perform in order to receive LBE participation credit. It is the Proposer’s responsibility to verify each LBE subconsultant’s certification status, which can be done at the following link: https://sfgov.org/cmd. LBEs must be certified on the Proposal due date to receive LBE participation credit.

Each Proposer responding to this solicitation shall demonstrate in its Proposal that it has used good-faith efforts to select LBE Subcontractors as set forth in S.F. Administrative Code §§14B.8, 14B.9, and Chapter 14B’s Rules and Regulations and shall identify the particular LBE Subcontractors solicited and selected to perform work under the contract. For each LBE identified as a Subcontractor, the Proposal must specify the value of the participation as a percentage of the total value of the goods and/or services to be procured, the type of work to be performed, and such information as may reasonably be required to determine the responsiveness of the Proposal. LBEs identified as Subcontractors must be certified with the San Francisco Contract Monitoring Division at the time the proposal is submitted, and must be contacted by the Proposer prior to listing them as Subcontractors in the Proposal. Any Proposal that does not meet the requirements of this paragraph may be deemed non-responsive.

By submitting a Proposal to this RFP, Proposers acknowledge and agree to comply with both (1) the minimum 15% LBE subcontracting requirement with at least 13% participation by Micro-LBE and/or Small-LBE firms and (2) any additional subcontracting or outreach requirements that may be required as a condition of future funding sources.
