SUBJECT: RFQ 24/25-09 Construction Management at Risk -Continuing Contract | ADDENDUM #1
This addendum is issued to provide additional information, clarification, corrections, additions, deletions and/or answers to questions concerning the above referenced solicitation. All information provided in this addendum is incorporated into the solicitation document as set forth therein. All other parts of the solicitation have been maintained as originally distributed. This addendum supersedes any verbal and/or other instructions given to any bidder/proposer qualified to respond pursuant to the requirements set forth in the solicitation document.
I. DUE DATE
This Addendum does not change the solicitation due date. As such, the solicitation response is due no later than Thursday, January 16, 2025, at 2:00P.M. Local Time. Q’s and A’s end on Thursday, January 9, 2025.
II. QUESTIONS AND ANSWERS (Q&A)
The City has received the following question(s) concerning the solicitation:
Q1. Section 2.02 Reference A1. Revised Section 2.02.
Q2. On page 24 you ask "D. Financial Information. Provide an official letter from the proposer’s financial institution detailing the financial status of the proposer. The letter shall include a contact name, address, phone number, and fax number. The failure to produce financial requirements may be grounds for disqualification of your proposal response and offer." Would a surety letter from a bonding company fulfill these requirements?
A2. No, the letter from the bank is requested to verify certain criteria. When submitting your financial the vendor can request to seal those documents per Florida statute.
Q3. On page 15, Projects section 2.17 it states Contractor must specialize in the following departments.
Roman numerals I - VI. We specialize in all but one of the departments. Should we prepare a submission or would that disqualify us?
A3. No, the committee will review the proposal(s) and evaluate based on the requirements in the solicitation.
Q4. 1. Page 20 indicates that Attachment O should be used for the label. Attachment O is the Dispute
Disclosure Form, which is required under Tab E, section J. Attachment T refers to the Solicitation Response Identification Label. i. Dear Potential Proposer:
The City of Sanford, Florida, a municipal corporation existing under the laws of the State of Florida, herein after also referred to as the “City”, does hereby announce that it is accepting written proposals from all qualified firms or individuals interested in providing the services generally described herein and as specified in the “Scope of Services” of this Request for Proposals (RFQ) document. The successful proposer(s) must demonstrate by his/hers qualifications, experience, availability, approach, and work plan that he/she will best serve the overall needs of the City.
If you are interested in preparing a response to this RFQ, please read requirements carefully and complete the proposal in the manner as set forth in this RFQ document. Your response is considered a binding offer to perform in the manner described in the proposal response and shall remain a firm offer for a period not to exceed one hundred eighty (180) days from public opening. Also, please be aware that, under the competitive proposal process, the stipulations set forth herein are fully binding on the proposer to the extent that you confirm acceptance by your signature on Attachment “F”, Proposal and Acceptance of Proposal Terms and Conditions.
There will be NO pre-proposal conference held for this project. Questions regarding this solicitation must be received in writing at the address below no later than Thursday, January 9, 2024, at 2:00 P.M. Local Time.

SECTION 1. PROJECT OVERVIEW.
1.01 INTENT AND PURPOSE.
The City of Sanford, Florida hereby invites interested and qualified Proposers to provide Construction Manager at Risk (CMAR) services for design and construction services.
1.02 BACKGROUND.
The City of Sanford was incorporated in 1877 under the directional of General Henry Shelton Sanford, and is located in Central Florida in Seminole County. Nicknamed “Celery City” for its agricultural interest in the early 1900’s. Sanford is bounded in the East by Orlando-Sanford International, in North by Lake Monroe, in the West by the Interstate 4, and in the South by Seminole State College and the City of Lake Mary. The Sanford Commercial District was proclaimed a historic district and placed on the National Register in 1976. The Sanford Residential Historic District, an area of approximately 76 blocks south of the commercials district, was placed on the National Register in 1989.
Located just 20 minutes northeast of downtown Orlando, Sanford’s city government is focused on meeting the needs of businesses looking to relocate and/or entrepreneurs who are seeking the right location to jump-start a new enterprise. One of the fastest growing areas in Metro Orlando, Sanford is an exciting, thriving community in which to do business.
The City operates under a Commission/Manager form of government and provides a full range of services to include, fire and rescue, police, the construction and maintenance of streets, sidewalks, parks and recreation, storm-water management, solid waste collection, wastewater, water and other infrastructure, engineering, planning and zoning, building inspections, community and economic development, code enforcement, general administration and support services, and recreational and cultural events.

1.03 TERM.
It is anticipated an Agreement will be awarded for a term contract purchase to begin upon approval and execution by the City; with the opportunity for a one (1) year renewal periods not-to-exceed a five (5) year contract when in the best interest of the City. The decision to renew or extend the contract shall be at the discretion of the City. The successful proposer(s) shall be required to review the term contract of Construction Management at Risk with the City on an annual basis.

CONTINUING CONTRACT
A. Continuing Consultants Management at Risk (CMAR) contracts are limited to projects in which construction cost do not exceed $5,000,000.00 and when the fees for professional services does not exceed $500,000.00, pursuant to Florida Statute 287.055(2)(g), or as amended.
B. Services may not begin until after execution of the agreement and purchase order is received with all the required documentation.
C. The City reserves the right to re-negotiate rates based on current market conditions during the term of the awarded agreement.
1.04 MINIMUM REQUIREMENTS.
A. The Proposer shall have been in business for a minimum of five (5) consecutive years and shall currently be licensed to perform services within the State of Florida. This requirement shall be based on the Solicitation’s due date. Copies of documentation demonstrating meeting this minimum requirement shall be submitted with your response. Examples of documentation may include, but not be limited to; local business tax receipts for five (5) years, corporation documents with date of inception, certificate of authority, etcetera.
1. If the business headquarters is located outside of the state of Florida, they shall currently be licensed to perform services in both their home state and the state of Florida; and shall have been in business for a minimum of five (5) consecutive years. This requirement shall be based on the Solicitation’s due date. Copies of documentation demonstrating meeting this minimum requirement shall be submitted with your response. Examples of documentation may include, but not be limited to, local business tax receipts for five (5) years, corporation documents with date of inception, certificate of authority, etcetera.
a. In this case the Proposer shall submit to Purchasing a current Certificate of Authority, which is issued through the Department of State and in accordance with Florida Statute 607.1501, within ten (10) business days upon notice of intent to award
2. The Proposer shall have held and maintained for a minimum of five (5) years a current State of Florida:
a. Business or Corporation shall hold a Certificate of Authorization showing a
i. License number
ii. Certificate of Authorization date
iii. Designation of professional(s) qualifying the corporation to practice

b. Individual shall hold a current State of Florida Registered Professional Engineer as required by rule and have authority to submit certified reports to state agencies (if applicable).
3. The City reserves the right to request back up documentation to confirm the Proposer meets the minimum required stated below. The Proposer not meeting all of the following criteria will have their Proposal rejected.
a. Must be certified or registered under Florida Statutes Chapter 489 as a general contractor or underground contractor
b. Adequate and available resources (including bonding capacity) to enter into a CMAR contract with GMP of 7.5 million or less as evidence by a letter from surety

B. Demonstration of Experience: Submission must include evidence of satisfying the following technical qualifications:
1. Construction Management at Risk (CMAR) Services and Experience
a. List and provide a brief description of similar projects satisfactorily completed and/or currently bring provided with location, dates of contract, names and addresses, email address, and telephone numbers of owners by completing Reference Attachment “K”.
2. Permitting and Compliance experience with SJRWMD, FDEP and other agencies related to construction projects such as;
a. Environmental Resource Permitting experience (ERP) with SJRWMD
b. Floodplain and wetland related mitigation/design/permitting experience
c. General projects design permitting
d. Any other permitting experience
3. Financial management and accounting funding experience; Bonding Proposer must be able to provide payment and performance bonds for a single project with a minimum value of $10,000,000 or provide other documentation of available alternate security as provided by Section 255.05 of Florida Statute.
4. Documentation of five (5) year or equivalent experience or expertise associated with such Construction Management at Risk Services for the City and County governments within the State of Florida

Failure to provide said documentation with your proposal shall be grounds for deeming your proposal unresponsive and removing it from further consideration. This is a non-negotiable item.

SECTION 2. SCOPE OF SERVICES AND TECHNICAL REQUIREMENTS.
2.01 Scope of Services.
a. The City of Sanford (City), Florida hereby invites Continuing Contract for Construction Management Services who are license to practice in the State of Florida, to submit proposal for the following: Construction Management at Risk (CMAR)Professional Consulting Services, who are license to practice in the State of Florida.
b. The construction Manager (CM) will be responsible for construction management at risk services for construction project with budgets under $6,000,000. The construction management services shall include, but not limited to the following: preconstruction services (value engineering, cost analysis, and scheduling evaluations), bidding and contracting will all subcontractors, coordinating scheduling of the work, supervision of the work and working with the architect of record on the project.
2.02 Section F.S. 255.103, Florida Statutes 255.103 Construction management or program management entities.— (1) As used in this section, the term “governmental entity” means a county, municipality, school district, special district as defined in chapter 189, or political subdivision of the state.
(2) A governmental entity may select a construction management entity, pursuant to the process provided by s. 287.055, which is to be responsible for construction project scheduling and coordination in both preconstruction and construction phases and generally responsible for the successful, timely, and economical completion of the construction project. The construction management entity must consist of or contract with licensed or registered professionals for the specific fields or areas of construction to be performed, as required by law. The construction management entity may retain necessary design professionals selected under the process provided in s. 287.055. At the option of the governmental entity, the construction management entity, after having been selected and after competitive negotiations, may be required to offer a guaranteed maximum price and a guaranteed completion date or a lump-sum price and a guaranteed completion date, in which case, the construction management entity must secure an appropriate surety bond pursuant to s. 255.05 and must hold construction subcontracts. If a project, as defined in s. 287.055(2)(f), solicited by a governmental entity under the process provided in
s. 287.055 includes a grouping of substantially similar construction, rehabilitation, or renovation activities as permitted under s. 287.055(2)(f), the governmental entity, after competitive negotiations, may require the construction management entity to provide for a separate guaranteed maximum price or a separate lump-sum price and a separate guaranteed completion date for each grouping of substantially similar construction, rehabilitation, or renovation activities included within the project.

Qualifications (RFQ) solicitation, and the responses thereto are in the public domain. Proposer are requested to identify specifically any information contained in their Proposal which they consider confidential and/or proprietary and which they believe to be exempt from disclosure, citing specifically the applicable exempting law.
a. A generic notation that information is “confidential” is not sufficient. Failure to provide the Procurement Division with a detailed explanation and justification including statutory cites and specific reference to your Proposal detailing what provisions, if any, you believe are exempt from disclosure may result in entire Proposal being subject to disclosure in accordance with Chapter 119 of the Florida Statutes.
b. In determining whether a Firm is qualified, the City shall consider such factors as experience and qualifications of firm, experience and qualifications of proposed team members to be assigned to the contract (Indicate point of contract), experience and performance of the firm on similar contracts, project management and contract administration approach, cost management, and QC procedures, technology use and equipment resources to improve service, availability to perform services, references, and responsiveness to RFQ instructions.
c. Firms submitting a response to this Request for Qualifications must be licensed in the State of Florida as a Certified General Contractor (CGC) according to Chapter 489, Florida Statutes. Corporation must be registered in the State of Florida by the Department of the State, Division of Corporations, at the time of final selection committee.
d. The City does not guarantee the number of assignments, if any or the dollar value of fees for work task that may be assigned hereunder to any successful proposer. Any agreements resulting from this solicitation shall be non-exclusive and without limitations upon to obtain services from third parties as the City deems appropriate in its sole discretion.
Note: Failure to provide all information requested on each form may result in the rejection of your proposal at the sole discretion of the City.
2.04 Task Authorization Review and Approval Process:
a. The City will request written proposal from the successful proposer(s) for each individual

The Task Authorization is prepared and completed using Form Number Section 00860 Task Authorization Form for Construction Management at Risk Services, which will include a brief summary of the proposed project, identifying the proposed manager shall include at the minimum the following attachments:

ii. Attachment “A” Consultant RFQ- Fully Executed Agreement
iii. Attachment “B”, Price Sheet-break down [should be detailed to ensure pricing is pursuant to agreement]. Schedule and Milestones [should be outlined a start date, substantial completion date, end date, all milestones (i.e. 30%, 60%, 90% plans etcetera) for deliverable]. Any travel expenses shall be bound to IRS regulations the City will not pay any additional mileage or meals unless it’s approved by the department head.

2.05 Purpose & Overview
I. The intent of this Request for Qualification (RFQ) is to select a poll of contractors to provide Continuing Contract for Construction Management Services for the City of Sanford in Seminole County pursuant to Chapter 255, Florida Statute: the Florida Consultant’s Competitive Negotiation Act, Section 287.055 Florida Statutes.
II. In determining whether a Firm is qualified , the City board shall consider such factors as experience qualifications of the firm, experience and qualifications of proposed team members to be assigned to the contract (indicate point of contact per Section 5 of the solicitation) experience, and performance of the firm on similar contracts, project management an contract administration approach, the cost management, and QC procedure, technology used and equipment resources to improve service, availability to perform services, references, and responsiveness to the RFQ instructions.
III. Firms submitting a response to this RFQ must be properly licensed in State of Florida as a Certified General Contractor (CGC) according to chapter 489, Florida Statutes for the work that will be performed.
2.06 Key Personnel
a. The successful proposer(s) shall appoint a single representative with whom the City shall coordinate all Task Authorization. This representative shall have the authority to transmit instructions, receive information, interpret and deliver decisions on behalf of the successful proposer(s). If this representative is to leave the firm for any reason, the City shall be notified in writing within fourteen (14) days after said person leaves the firm. A new representative should then assign this role.
b. While it is anticipated the majority of efforts under this RFQ will primarily be conducted with Public Works/Utilities Department, this contract will be open to use by any City department including Community Development, Planning and Zoning, Fire and Police. Therefore, there may be a variety of tasks solicited from a variety of perspectives and needs.
2.07 MBE Certification
MBE are encouraged to apply; however, the City does not have a policy in place. Attached evidence of Minority Business Enterprise Certification state /indicate the Respondent has no certification.
Certificate will not be part of the page count.
2.08 Design Phase:
a. The Construction Manager (CM) will be required to work with the project Architect of Records.
b. The CM will submit for approval by the Architect and the City Representatives applicable cost and time savings incentive programs.
c. The CM will be required to work with and coordinate activities with any additional contracts or contractors that City provides for the project.

familiar with the design options.
e. The CM will review progress design documents and provide value engineering recommendations in all disciplines including civil, structural, landscaping, mechanical and electrical as necessary.
f. The CM will review construction documents to ensure constructability.
g. The CM will review construction documents to minimize omissions.
h. The CM will review prepare reports of cost estimates and update as needed prior to establishing the Guarantee Maximum Price. All reports shall specially list all assumptions and exclusions in developing the estimate of probable construction cost and indicate any allowances that are incorporated into the estimate.
i. The CM will coordinate with the Architect to finalize the Constructions Documents.
j. The CM will prepare for approval a schedule of proposed hourly rates to be used in assessing the
CM’s fixed fees for preconstruction service’s
k. The CM will review the budget issues and guarantee a maximum price based on the documents and successful negotiations with the City. The Guarantee Maximum Price will include the CM’s fees for construction services and contingency amount identified by the City.
l. The CM will establish the master project schedule in identifying all different phases and all milestone items keeping in mind the fiscal year end.
m. The CM will coordinate with the Architect and provide to the Owner all permitting application and requirements as needed. City permits and fees are required to be obtained and paid by CM.
n. The CM will prepare and submit for the Owner/Architect review and approval progress reports during the preconstruction phase documenting value engineering, budget and scope issues.
2.09 The Contract Documents
a. The Contract Documents shall consist of this Agreement, the drawings and specifications and any addenda issued thereto, and modifications issued after execution of the Agreement. Any modification to this Agreement shall only be effective if it is reduced to writing, and duly executed by both parties, except a construction change directive shall be effective after approval and execution by Owner.
b. The term “Work” as used herein refers to all construction and other services required by the Contract Documents, including all labor, materials, equipment and services needed to complete the Project.
c. The term “Drawings” as used herein means the graphic and pictorial portions of the Contract Documents, which serve to show the design, location and dimensions of the Work to be performed.
d. The term “Specifications” as used herein means that portion of the Contract Documents which are the written requirements for the materials, equipment, systems, standards and workmanship for completion of the Work and performance of related services.
e. The terms “provided” as used herein shall mean to furnish and install materials and equipment, together with all incidentals for a complete and ready to use item and system.
The general intent of the Contract Documents is to include all items necessary for the proper execution and completion of the scope of the Work by the Construction Manager.
f. All Work mentioned or indicated in the Contract Documents shall be performed by the Construction Manager as part of this Agreement unless it is specifically indicated in the Contract Documents that such Work is to be done by others. In the event the Drawings

or the Specifications disagree in themselves or with each other, the Construction Manager shall provide the better quality or better quantity of Work unless otherwise directed by a written addendum to the Agreement. In the event of discrepancies among the Contract Documents, the documents shall be construed according to the following priorities:
i. Highest Priority – Modifications
ii. Second Priority – Agreement
iii. Third Priority – Addenda- later date to take precedence
iv. Fourth Priority- Specifications
v. Fifth Priority- Drawings
g. All indicates or notations which apply to one of a number of similar situations, materials, pr processes shall be deemed to apply to all such situations, materials, or processes wherever they appear in the Work, except where a contrary result is clearly indicated by the Contract Documents.
h. Where codes, standards, requirements and publications or public and private bodies are referred to in the Specifications, such references are to the latest revision prior to the date of receiving bids, except where otherwise indicated.
i. Where no explicit quality or standards for materials or workmanship are established for the Work, such Work is to be of good quality and what is reasonably inferable from the Drawings and consistent with the quality of the surrounding Work and of the construction of the Project generally.
j. All manufactured articles, materials, and equipment shall be applied, installed, connected, erected, used, cleaned, and conditioned in accordance with the manufacturer’s written or printed directions and instructions unless otherwise indicated in the Contract Documents.
k. The mechanical, electrical and fire protection drawings are diagrammatic only, and are not intended to show the alignment, physical locations or configurations of such Work.
Such Work shall be installed without additional cost to the Owner to clear all obstructions, permit proper clearances for the work of other trades, and present an orderly appearance where exposed. Prior to beginning such work, the Construction Manager shall prepare coordination drawings showing the exact alignment, physical location and configuration of the mechanical, electrical and fire protection installations and demonstrating to the Construction Manager’s satisfaction that the installations will comply with the preceding sentence.
l. Exact locations for fixtures and outlets shall be obtained from the Architect as provided in the plans before the Work is roughed in. Work installed without such information from the Architect shall be relocated at the Construction Manager’s expense.
m. Where the Work is to fit with existing conditions or Work to be performed by others, the Construction Manager shall fully and completely join the Work with such conditions or Work, unless otherwise specified.
2.10 Construction Phase
The Construction Manager (CM) shall be responsible for all subcontractors while on City property. All CM personnel, including subcontractors, shall adhere to all City policies and procedures.

a. The CM will provide for and coordinate with the City personnel to accommodate an occupied facility during construction phase.
b. The CM will coordinate surveyors, special consultants and testing lab services contracted by the City as required.
c. The CM will coordinate site construction management services including but not limited to :
i. Regular job site meetings
ii. Maintain daily on-site project log and schedule report
iii. Oversee quality assurance testing and inspection program
iv. Monitor construction management staff and subcontracts work performance for deficiencies,
v. Maintain record copy of all contract documents
vi. Change Orders and other documentation on site
vii. Oversee construction management staff and subcontractor safety programs
d. The CM will assign the project staff in a satisfactory manner. The CM site personnel during the construction phase may include:
i. A Project Manager
ii. A Project Engineer
iii. A Project Superintend
iv. Subject Matter Experts (SME)
e. The CM will update and maintain master project schedules, detailed construction schedules, submittal schedules, inspection schedule and occupancy schedules.
f. The CM will prepare a schedule of values associated with each bid package identified and submit for approval by the Architect and City Representative. All payment requests must be in accordance with the approved schedule of values.
g. The CM will process payment requests for approval by the Architect and the City Representative.
h. The CM will process any change orders for approval by the Architect including a cost estimate of the proposed change.
i. The CM will process Request for Information and coordinate with the Architect.
j. The CM will process submittals and shop drawing to be coordinated with the Architect.
k. The CM will monitor for the presence of existing asbestos containing building material and certify to the City that no asbestos containing materials has been used.
l. The CM will provide with the Architect the final inspection prior to the Architect’s approval issuance of the Certificate of Substantial Completion.
m. The CM will provide progress reports to the City.
n. The CM shall participate and require all subcontractors, and their material suppliers do as well, in the City Owner Direct Purchase (ODP).
2.11 Post Construction Phase
I. The CM will coordinate project closeout, start-up, and transition to operation.
II. The CM will coordinate with the architect to provide a complete project records including project manual and CAD drawings corrected to show all constructions changes, additions, and deletions compared to the Construction Document (CAD disks will be provided to the Construction Manager by the architect). Final update as-builts will need to be provided.

III. The CM will coordinate with the City to prepare the Certificate of Final Inspection.
IV. The CM will obtain and review for completeness, have a corrected if necessary and submit to the
City following the architect’s approval all warranties, operations and maintenance manuals, and other such documents.
V. The CM will coordinate and conduct the Building Warranty Inspection and roofing two-year warranty inspection.
VI. The CM will provide a warranty walk-though schedule for the 12 months following occupancy.
2.12 Owner’s Responsibilities
I. The Owner shall provide information in a timely manner regarding the requirements of the Project, including the Owner’s objectives, constraints and criteria, space requirements and relationships, flexibility and expandability requirements, special equipment and systems, and site requirements as reasonably requested by Construction Manager in writing.
II. The Owner shall establish and update an overall budget for the Project, based on consultation with the Construction Manager and Architect, which shall include contingencies for changes in the Work and other cost which are the responsibility of the Owner.
III. Structural and Environmental Tests, Surveys and Reports.
I. Owner’s Designated Representative The Owner may designate a representative with the authority to approve matters contemplated in this Agreement where the monetary impact is less than $10,000.00. This limit applies to each matter, and a matter may not be divided into separate matters or subparts to avoid the requirement of Owner approval.
II. Architect The Owner has retained the Architect to provide basic architectural services, including normal structural, mechanical, and electrical engineering services, as described in the Owner’s Agreement with the Architect. The Owner shall authorize and cause the Architect to provide those additional services, if any, which must necessarily be provided by the Architect for the preconstruction and construction phases of the Work. Such services shall be provided in accordance with time schedules agreed to by the Owner, Architect, and Construction Manager. Upon request of the Construction Manager, the Owner shall furnish to the Construction Manager a copy of the Owner’s agreement with
IV. The Owner shall advise the Construction Manager of any known special legal requirements relating specifically to the Project which differ from those generally applicable to construction in the jurisdiction of the Project.
V. Information or services required of the Owner by this Agreement shall be furnished by the Owner with reasonable promptness after receipt from the Construction Manager of a written request for such information or services. Construction Manager shall refer to the Drawings and Specifications for items to be provided by the Owner and installed by the Construction Manager.
VI. In the event the Construction Manager fails and refuses to correct any Work which is not in accordance with the requirements of the Contract Documents, or, fails and refuses to

perform the Work in accordance with the Contract Documents, the Owner at the Owner’s discretion may direct the Construction Manager to stop the Work or any portion thereof, until such time as the non-conforming Work has been corrected.
VII. In the event the Construction Manager fails to perform the Work in accordance with the Contract Documents, within a seven (7) calendar daytime period after receipt of written notice from the Owner with regard to such failure, the Owner may, without waiving its rights to pursue any and all other remedies, move forward to correct such deficiencies itself. In that event, the Owner will issue a construction change directive deducting from any and all payments due to the Construction Manager the cost of correcting such non-conforming Work, including any compensation to third parties for additional services and expenses incurred as a result of such failure by the Construction Manager.
h. The method for determining the construction change directive value shall be determined solely by the Owner. In the event the payments due the Construction Manager are insufficient to pay for the construction change directive referenced above, then the Construction Manager shall immediately pay the difference to the Owner.
2.13 Guaranteed Maximum Price Proposal and Contract Time
a. When the Construction Documents are 98% complete, Construction Manager will propose a GMP, which is the total not-to-exceed estimate of the cost of Work and the Construction Manager’s fee. The GMP shall include all labor, materials, equipment, tools, construction equipment and machinery, water, heat, utilities, transportation, and any other services necessary for the proper execution and completion of the Work.
b. After the Construction Manager proposes a GMP, the Architect shall not modify the Construction Documents to include such things as changes in scope, systems, kinds and quality of materials, finishes or equipment. If these modifications are required, all of which, if required, shall be incorporated by change order
c. The GMP cost of Work shall include the Construction Manager’s contingency, which is defined as a sum estimated by the Construction Manager to cover unforeseen costs during construction.
The Owner retains exclusive use of the contingency, and all expenditures must be approved in writing by the Owner.
2.14 Basic of Guarantee Maximum Price
I. The Construction Manager shall include with the GMP proposal a written statement of its basis, which shall include:
a. A list of the Drawing and Specifications, including all addenda thereto and the conditions of the Contract, which were used in preparation of the GMP proposal.
b. A list of allowances and a statement of their basis.
c. The proposed GMP, including a statement of the estimated cost organized by trade categories, allowance, contingency, and other items and the fee that comprise the
GMP.
d. The Date of Substantial Completion upon which the proposed GMP is based, and a schedule of the Construction Documents issuance dates upon which the date of substantial completion is based.
e. Included within the GMP is the Construction Manager’s fee. The Construction

Manager’s fees is hereby established as __________% (the “Construction Managers Fee”) (to be determined at the time of the GMP). The sum of the cost of the Work and the Construction Manager’s Fee shall not exceed the GMP also referred to as the Contract Sum. The Construction Manager’s Fee shall constitute Construction Manager’s total compensation for profit and overheard (including General Conditions).
f. The Owner shall authorize and cause the Architect to revise the Drawings and Specifications to the extent necessary to reflect the agreed-upon assumptions and clarifications contained in the GMP.
