Section H - Special Contract Requirements

SECTION H CLAUSES

H.1. SOFARS 5652.204-9003 Disclosure of Unclassified Information (2013)

(a) On September 21, 2001, the Department of Defense designated Headquarters US Special Operations Command (USSOCOM) a sensitive unit, as defined by Title 10 United States Code (USC) Section 130b (10 USC 130b). In keeping with this designation, unclassified information related to USSOCOM military technology acquisitions managed by USSOCOM or any of its component commands, will be designated Controlled Unclassified Information (CUI). As such, the contractor hereby unequivocally agrees that it shall not release to anyone outside the Contractor’s organization any unclassified information, regardless of medium (e.g., film, tape, document, contractor’s external website, newspaper, magazine, journal, corporate annual report, etc.), pertaining to any part of this contract or any program related to this contract, unless the Contracting Officer has given prior written approval.

Furthermore, any release of information which associates USSOCOM, Special Operation Forces (SOF), or any component command with an acquisition program, contractor, or this contract is prohibited unless specifically authorized by USSOCOM.

(b) Request for approval shall identify the specific information to be released, the medium to be used, and the purpose for the release. The contractor shall submit the request to the Contracting Officer at least 45 days before the proposed date for release for approval. No release of any restricted information shall be made without specific written authorization by the Contracting Officer.

(c) The protection of sensitive but unclassified data reflecting Special Operations technologies, personnel, plans, and business associations requires due diligence on the part of those in possession of such information. The application of appropriate security measures to ensure the safekeeping of USSOCOM and company proprietary data, intellectual property, and personnel data is the responsibility of all parties who have access to such information. All contractors supporting USSOCOM are required to inform the Contracting Officer within three business days of when there has been a breach or successful penetration of the contractor’s network(s) or information system(s). Breaches include unauthorized intrusions of the contractor’s server(s) from external parties whether through introduction of malware, hacking, the compromise of access passwords, or any other unauthorized access or compromise. Breaches also include the physical loss of storage media such and disks, hard drives, thumb drives, laptops or other devices which contain duplicates of information contained on the contractor’s data systems, or the willful or accidental transmission, copying or posting of contract information which has not been specifically authorized by the Contracting Officer. Estimates of damage and mitigation strategies will be submitted to the Contracting Officer within a period following the breach specified and agreed upon by the Contractor and the Contracting Officer.

(d) The Contractor shall include a similar requirement to this clause in each subcontract under this contract.

Subcontractors shall submit request for authorization to release and notifications related to cyber security breaches through the prime contractor to the Contracting Officer.

(e) The Contractor further understands that Title 18 USC Section 701 specifically prohibits the use of the USSOCOM emblem or logo in any medium (e.g., corporate website, marketing brochure, newspaper, magazine, etc.) unless authorized in writing by USSOCOM. Forward any request to use the USSOCOM emblem or logo through the Contracting Officer.

H.2. 5652.216-9004 Procedures for Issuing Task/Delivery Orders under Single Award, Indefinite Delivery-

Indefinite Quantity Contracts (2003)

(a) Soliciting Task/Delivery Order Proposals: When the Government has a requirement for services/supplies to be performed/delivered under this contract, the Contracting Officer will issue a request for task/delivery order proposal either in writing/by telephone/ electronic transmission. Each request will include, but not necessarily be limited to, the following:

1) Request for proposal number and/or title;

2) Contract Number;

3) Statement of Work;

4) Instructions to Offerors;

5) Items to be delivered and delivery schedule/performance period; and

6) A listing of Government furnished property to be provided to the Contractor, if required.

7) OCI Disclosure Form template (as required)

8) Pricing Template

(b) Urgent Requirements: In the event of an urgent requirement, the Contractor shall provide a written proposal within the timeframe specified by the Contracting Officer in the specified format.

(c) Submission of Proposals. The contractor’s proposal shall comply with the ITO. The contractor shall have 10 days to submit their proposals, unless another timeframe is included in the ITO. Proposals shall normally consist of a task order management plan and a pricing proposal. Additional documents shall be submitted as required.

1) The guidance in FAR Subpart 9.5 shall be followed at the task order level. OCI Disclosure Form (Attachment 9) and supporting documentation shall be submitted, as required, and will be evaluated by the Contracting Officer to determine Responsibility.

2) Further OCI review will be completed after proposal submission, and any OCI found which was not submitted for review may exclude the offeror from the competition

3) Proposal of 100% subcontracting and firewalls WILL NOT be considered an acceptable OCI mitigation plan.

4) Any task that creates biased ground rules or impaired objectivity for an offeror or proposed subcontractor will make that prime offeror ineligible for award.

5) The pricing template provided with the RFP shall be submitted without adjustment to ensure ease of task order award in conjunction with the contract writing system being utilized by the Government.

6) All proposals shall be submitted using a standard file naming convention which will consist of the Government assigned 3-digit company code, the RFP number, and the submission type. For example: ABCA001TOMP, ABCA001Price, ABCA001OCI, etc.. These files constitute a proposal from ABC Company submitted in response to RFP A001, and encompass the Task Order Management Plan, Price proposal, and OCI Disclosure Form submissions.

(c) TO Award. Task orders shall be issued on DD Form 1155 "Order For Supplies and Services;" (or similar form) and sent electronically to the contractor.

(d) Authorization to Proceed on Task Orders. In time-critical circumstances, after award and prior to the Contractor’s receipt of the contractual instrument, the KO may direct the contractor in writing, verbally, or electronically, to commence performance of the task. Otherwise, the contractor is not authorized to commence task performance prior to the issuance of the task order or other written or electronic notice provided by the KO. In no case shall the Contractor commence work without explicit approval from the KO.

(6) Option Exercises at Task Order Level. Task order options, if applicable, will be exercised in accordance with FAR 17.207 and the applicable option clause. Option periods will be outlined in each task order ITO.

H.3. ORGANIZATIONAL CONFLICT OF INTEREST

(a) The guidelines and procedures of FAR Subpart 9.5 Organizational and Consultant Conflicts of Interest and FAR

Part 3 Improper Business Practices and Personal Conflicts of Interest, will be used in identifying and resolving any issues of conflict of interest.

(b) All contractor personnel (to include subcontractors and consultants) who will be personally and substantially involved in the performance of any task order issued under HF-TTL which requires the contractor to act on behalf of, or provide advice with respect to any phase of a procurement shall execute and submit an “Employee/Contractor Non-Disclosure Agreement” form. The Contracting Officer (KO) will provide the appropriate nondisclosure form specific to the procurement.

(c) The contractor shall be responsible for identifying and preventing personal conflicts of interest of their employees. The contractor shall prohibit employees who have access to non-public information by reason of performance on a Government contract from using that information for personal gain.

(d) In the event that a task order requires activity that would create an actual or potential conflict of interest, the contractor shall immediately notify the KO of the conflict, submit a plan for mitigation, and not commence work until specifically notified by the KO to proceed; or, identify the conflict and recommend to the KO an alternate approach to avoid the conflict.

(e) The acquisition of services under this contract may create actual or potential conflicts of interest for prime contractors and their respective subcontractors. Prime contractors are responsible for ensuring that both they and their subcontractors are not restricted from participating in HF-TTL requirements due to an OCI caused by any existing or in-process USSOCOM contract. This includes all USSOCOM funded contracts or subcontracts, including those at the headquarters and either the Theater Special Operations Commands (TSOCs) or the Geographic Combatant Commands (COCOMs).

(f) USSOCOM prefers that offerors competing for HF-TTL requirements have no known OCIs. While mitigation plans will be considered, they create considerable work for the Agency and each contractor to ensure that OCIs are adequately mitigated at the time of task order award. Consequently, industry is encouraged to avoid OCI issues to the maximum extent practicable prior to submitting task order proposals by prudent teaming in connection with HF-TTL requirements.

(g) Any HF-TTL tasks that create biased ground rules or impaired objectivity for a prime contractor or proposed subcontractor will make that prime offeror ineligible for award. In some instances, establishing an acceptable OCI mitigation plan for a HF-TTL requirement will be challenging, if not impossible. Therefore, individual contractors and contractor teams are encouraged to contact the contracting officer prior to the proposal due date to obtain an informal written assessment of whether their OCI mitigation efforts will be adequate. The informal assessment will not be binding upon the Government, but is intended to better inform industry of the Government’s probable response to its OCI mitigation efforts. Please note that a proposal of 100% subcontracting and firewalls WILL NOT be considered an acceptable OCI mitigation plan.

H.4. PROTECTION OF PROPRIETARY INFORMATION

(a) The Contactor agrees that it will use all reasonable diligence in protecting proprietary data received by it. The

Contractor further agrees it will not willfully disclose proprietary data to unauthorized parties without the prior permission of the Government, and that proprietary data shall not be duplicated, used or disclosed, in whole or part, for any purpose other than to accomplish the contracted effort. This restriction does not limit the contractors right to use, duplicate or disclose such information if such information was lawfully obtained by the contractor from other sources.

(b) The Contractor agrees to enter into written agreements with all companies whose proprietary data it shall have access to and protect such data from unauthorized use or disclosure as long as it remains proprietary. The Contractor shall furnish to the Contracting Officer copies of these written agreements within 30 days. The Contractor agrees to protect the proprietary data and rights of other organizations disclosed to the Contractor during performance of this contract with the same caution that a reasonably prudent Contractor would use to safeguard highly valuable property. The Contractor shall not use proprietary information for any purpose other than that for which it was furnished.

(c) The Contractor shall not distribute reports, data or information of any nature arising from its performance under this contract, except as provided by this contract or as may be directed by the Contracting Officer.

(d) Government Representatives shall have access to the Contractor’s premises and the right to inspect all pertinent books and records in order to ensure that the contractor is in compliance with FAR 9.5.

(e) The Contractor agrees that if after award it discovers a potential organizational conflict of interest, a prompt and full disclosure shall be made in writing to the Contracting Officer. This disclosure shall include a description of the actions the Contractor has taken or proposes to take, to avoid or mitigate such conflicts.

(f) The Government may waive application of this clause when it is determined to be in the best interest of the Government to do so.

H.5. COMMON ACCESS CARDS FOR CONTRACTOR PERSONNEL

(a) For installation(s)/location(s) cited in the contract, contractors shall ensure Common Access Cards (CACs) are obtained by all contract or subcontract personnel who meet one or both of the following criteria:

1. Require logical access to Department of Defense computer networks and systems in either:

i. the unclassified environment; or

ii. the classified environment where authorized by governing security directives.

2. Perform work which requires the use of a CAC for installation entry control or physical access to facilities and buildings.

(b) Contractors and their personnel shall follow the procedures outlined in the DMDC Trusted Associate

Sponsorship System Trusted Agent (TASS) User Guide Version 4.0 dated March 2013, and any subsequent versions. The Trusted Agents for this contract are the appointed CORs. It is the prime contractor’s responsibility to ensure the CORs have all updated information necessary to process re-verifications and new requests timely in the TASS.

(c) During the performance period of the contract, the contractor shall:

1. Return CACs to either the nearest Real-Time Automated Personnel Identification System (RAPIDS) office or to the COR no later than the next business day of a change in status for contractor personnel who no longer require logical or physical access;

2. Return CACs to either the nearest RAPIDS office or to the COR no later than the next business day following a CACs expiration date; and

3. Report lost or stolen CACs in accordance with local policy/directives.

(d) No later than the next business day following completion/termination of the contract, the contractor shall return all CACs issued to their personnel to the nearest RAPIDS office or the COR.

(e) Failure to comply with these requirements may result in withholding of final payment.

H.6. THEATER BUSINESS CLEARANCE CLAUSES

In accordance with DoD Policy and the CENTCOM Contracting Command, Theater Business Clearance (TBC) is required for contractor support in Iraq and Afghanistan. TBC approval will be obtained by the Government at the task order level when applicable. No action is required on the part of the prime contractor to receive approval.

Specific clauses for contractor support covered under a TBC will be incorporated at the task order level.

Such personnel are defined as "Key Personnel" and are those persons whose resumes were submitted for evaluation of the proposal. The contractor agrees that such personnel shall not be removed from the contract work or replaced without compliance with the following:

1) If one or more of the key personnel, for any reason, becomes or is expected to become unavailable for work under this contract for a continuous period exceeding 30 work days, or is expected to devote substantially less effort to the work than indicated in the proposal or initially anticipated, the contractor shall, subject to the concurrence of the Contracting Officer or an authorized representative, promptly replace personnel with personnel of equal ability and qualifications.

The Contracting Officer shall promptly notify the contractor of approval or disapproval in writing.

Section L - Instructions, Conditions and Notices to Bidders

SECTION L

L.1 General. This section provides guidance for preparing proposals as well as instructions on the format and content of the proposal. The proposal must include all data and information requested and must be submitted in accordance with (IAW) these instructions; incomplete proposals may be considered nonresponsive. Taking exception to any of the requirements specified in this solicitation may result in the proposal being found unacceptable.

DO NOT REGURGITATE THE SOW OR REFORMULATE THE REQUI REMENTS SPECIFIED IN THE

SOLICITATION. In no case shall words like “we will comply with the requirements of the contract,” or equivalent statements, be acceptable to meet the requirements of this RFP. The Government will not provide reimbursement for any cost incurred during proposal submission.

L.2 Program Classification/Facility Security Clearance. Certain aspects of this program (including the Statements of Work (SOW)) are classified at the SECRET level. Interested parties are alerted that they must meet facility and personnel security clearance requirements for handling and storage of classified material up to the SECRET level in accordance with the requirements of the DD Form 254 (Contract Security Classification Specification) in order to participate in this acquisition. Under no circumstance will interested Prime Contractor Offerors be able to utilize a potential Sub-Contractor's Classified Storage capability as a means to circumvent this requirement.

Interested offerors hall submit Defense Security Service (DSS) documentation that approves the storage of CLASSIFIED material (to include ship-to address), and the individual(s) requesting such material shall have current/valid Security Clearances (documentation needs to be provided as well). Providing complete packages/copies of all documentation is required. Incomplete packages, pending, or in-process documentation/clearances will NOT be accepted.

Upon request from an interested party and verification that all clearance requirements have been satisfied, the Government will provide the classified attachments.

USSOCOM will NOT sponsor offerors for Security Clearances to enable access to the CLASSIFIED portions of this requirement.

L.3 Notice Regarding Organizational Conflict of Interest (OCI) – Determination to Participate in this Acquisition

L.3.1 The acquisition of services under this solicitation may create actual or potential conflicts of interest for offerors and their prospective subcontractors. In assessing and addressing OCI, USSOCOM will follow the guidance in FAR Subpart

9.5. Offerors are responsible for ensuring that both they and their proposed subcontractors are not restricted from participating in this acquisition due to an OCI caused by any existing or in-process USSOCOM contract. This includes all USSOCOM funded contracts or subcontracts, including those at the Headquarters and either the Theater Special Operations Commands (TSOCs) or the Geographic Combatant Commands (COCOMs).

L.3.2 USSOCOM prefers that offerors competing have no known OCIs. While mitigation plans will be considered, they create considerable work for the Agency and each offeror to ensure that OCIs are adequately mitigated at the time of contract and/or task order award. Consequently, industry is encouraged to avoid OCI issues to the maximum extent practicable prior to submitting proposals by prudent teaming.

L.3.3 Certain capability areas under this requirement present heightened concern to USSOCOM with respect to OCI.

Contractors, in many instances, provide program management, advisory, and engineering support regarding the performance of existing USSOCOM programs and/or contracts. Any HF-TTL tasks that create biased ground rules or impaired objectivity for an offeror or proposed subcontractor will make that prime offeror ineligible for award. In some instances, establishing an acceptable OCI mitigation plan for HF-TTL will be challenging, if not impossible.

L.4 Proposal Format and Content.

L.4.1 Do not submit elaborate brochures or documentation, binding, detailed art work, or other embellishments.

L.4.2 Submit proposals in MS Word or searchable PDF format (MS Office 2010 compatible). Submit price/cost spreadsheets in MS Excel (MS Office 2010 compatible). The proposal when printed must fit on 8.5 x 11 size paper, in 12 point, Times New Roman, single line spacing, with one inch margins. Tables, charts, graphs and figures shall be used when necessary to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics, and will be counted as 2 pages. Foldout pages shall not be used for pages of text. For tables, charts, graphs, and figures, the text shall be no smaller than Microsoft Word 9 point, Times New Roman. Each proposal volume shall be submitted as a separate file or files.

L.4.3 Titles and contents of the volumes shall be provided as defined in Table L.1. Pages exceeding the limits in Table L.1 will not be read or considered in the evaluation of the proposal. The following are exempt from page limitations for the RFP: Cover sheets; Table of contents; List of Table and Drawings; Glossaries; Acronym List;

Compliance Matrix; PPQ Tracking Records; Subcontractor Consent Letters; and Client Authorization Letters.

Any submittal failing the virus scan shall be immediately disqualified and returned to the Offeror.

L.5.2 Hand delivery is permitted and encouraged by an individual from the Offeror or teaming partner's staff. All hand-carried proposals, to include CD-ROMs/DVDs, shall be delivered to the address below.
