SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L

L.1 General. This section provides guidance for preparing proposals as well as instructions on the format and content of the proposal. The proposal must include all data and information requested and must be submitted in accordance with (IAW) these instructions; incomplete proposals may be considered nonresponsive. Taking exception to any of the requirements specified in this solicitation may result in the proposal being found unacceptable.

DO NOT REGURGITATE THE SOW OR REFORMULATE THE REQUI REMENTS SPECIFIED IN THE

SOLICITATION. In no case shall words like “we will comply with the requirements of the contract,” or equivalent statements, be acceptable to meet the requirements of this RFP. The Government will not provide reimbursement for any cost incurred during proposal submission.

L.2 Program Classification/Facility Security Clearance. Certain aspects of this program (including the Statements of Work (SOW)) are classified at the SECRET level. Interested parties are alerted that they must meet facility and personnel security clearance requirements for handling and storage of classified material up to the SECRET level in accordance with the requirements of the DD Form 254 (Contract Security Classification Specification) in order to participate in this acquisition. Under no circumstance will interested Prime Contractor Offerors be able to utilize a potential Sub-Contractor's Classified Storage capability as a means to circumvent this requirement.

Interested offerors hall submit Defense Security Service (DSS) documentation that approves the storage of CLASSIFIED material (to include ship-to address), and the individual(s) requesting such material shall have current/valid Security Clearances (documentation needs to be provided as well). Providing complete packages/copies of all documentation is required. Incomplete packages, pending, or in-process documentation/clearances will NOT be accepted.

Upon request from an interested party and verification that all clearance requirements have been satisfied, the Government will provide the classified attachments.

USSOCOM will NOT sponsor offerors for Security Clearances to enable access to the CLASSIFIED portions of this requirement.

L.3 Notice Regarding Organizational Conflict of Interest (OCI) – Determination to Participate in this Acquisition

L.3.1 The acquisition of services under this solicitation may create actual or potential conflicts of interest for offerors and their prospective subcontractors. In assessing and addressing OCI, USSOCOM will follow the guidance in FAR Subpart

9.5. Offerors are responsible for ensuring that both they and their proposed subcontractors are not restricted from participating in this acquisition due to an OCI caused by any existing or in-process USSOCOM contract. This includes all USSOCOM funded contracts or subcontracts, including those at the Headquarters and either the Theater Special Operations Commands (TSOCs) or the Geographic Combatant Commands (COCOMs).

L.3.2 USSOCOM prefers that offerors competing have no known OCIs. While mitigation plans will be considered, they create considerable work for the Agency and each offeror to ensure that OCIs are adequately mitigated at the time of contract and/or task order award. Consequently, industry is encouraged to avoid OCI issues to the maximum extent practicable prior to submitting proposals by prudent teaming.

L.3.3 Certain capability areas under this requirement present heightened concern to USSOCOM with respect to OCI.

Contractors, in many instances, provide program management, advisory, and engineering support regarding the performance of existing USSOCOM programs and/or contracts. Any HF-TTL tasks that create biased ground rules or impaired objectivity for an offeror or proposed subcontractor will make that prime offeror ineligible for award. In some instances, establishing an acceptable OCI mitigation plan for HF-TTL will be challenging, if not impossible. Therefore, individual contractors and contractor teams are encouraged to contact the Contracting Officer prior to the proposal due date to obtain an informal written assessment of whether their OCI mitigation efforts will be adequate. The informal assessment will not be binding upon the Government, but is intended to better inform industry of the Government’s probable response to its OCI mitigation efforts. Please note that a proposal of 100% subcontracting and firewalls WILL NOT be considered an acceptable OCI mitigation plan.

L.4 Proposal Format and Content.

L.4.1 Do not submit elaborate brochures or documentation, binding, detailed art work, or other embellishments.

L.4.2 Submit proposals in MS Word or searchable PDF format (MS Office 2010 compatible). Submit price/cost spreadsheets in MS Excel (MS Office 2010 compatible). The proposal when printed must fit on 8.5 x 11 size paper, in 12 point, Times New Roman, single line spacing, with one inch margins. Tables, charts, graphs and figures shall be used when necessary to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics, and will be counted as 2 pages. Foldout pages shall not be used for pages of text. For tables, charts, graphs, and figures, the text shall be no smaller than Microsoft Word 9 point, Times New Roman. Each proposal volume shall be submitted as a separate file or files.

L.4.3 Titles and contents of the volumes shall be provided as defined in Table L.1. Pages exceeding the limits in Table L.1 will not be read or considered in the evaluation of the proposal. The following are exempt from page limitations for the RFP: Cover sheets; Table of contents; List of Table and Drawings; Glossaries; Acronym List;

Compliance Matrix; PPQ Tracking Records; Subcontractor Consent Letters; and Client Authorization Letters.

Offerors are cautioned that the Government will use the information provided and information obtained from other sources for the overall evaluation of past performance. The Government will not evaluate personal references.

The offeror shall submit a Past and Present Performance Proposal (Volume III) that contains the following:

L.12.2 Past Performance Summary. Provide a summary describing the role of the offeror and each subcontractor, teaming partner, and/or joint venture partner. Include rationale supporting the assertion of relevance, but note the Government is not bound by the offeror’s opinion of relevancy. Clearly link past performance to the factors/sub-factors; explain what aspects of the contracts are deemed relevant to the proposed effort. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past effort to identify and manage program risk.

L.12.3 Past Performance Information Sheets (Section J Attachment 7). The offeror shall submit a maximum of 5 Past Performance Information (PPI) Sheets with an emphasis on the prime offeror. Offerors must submit information for those contracts which are relevant to demonstrate the ability to perform all of the work identified in the SOW.

L.12.5 Relevant Contracts. Relevancy will be determined based on contract references reflecting past and present performance over the past three years. Contract efforts will be considered either relevant or not relevant. The Government will perform an independent analysis in determining the relevancy of a contract based on the data provided and/or obtained. When making relevancy determinations, the definitions in Table L.2 will be utilized.

Table L.2

Relevant (R)

Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant (NR)

Present/Past or Present Performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

L.12.5.1 For the prime offerors, relevancy is defined as contracts that are most similar to this effort;

contract type, dollar value, types of services provided, complexity, numbers of personnel required on the contract being reviewed when compared to requirements for this effort. The past performance should be similar in breadth and depth related to the functional areas as outlined in the SOW.

L.12.5.2 For proposed subcontractors/teaming partners, relevancy is defined by that which reflects experience in the area of expertise the subcontractor is projected to actually perform under the program, (i.e. specific functional areas in the SOW).

L.12.5.3 In the case of a newly formed business entity or in contractor teaming arrangements where the company is relying mostly on the past performance and experience of its key personnel, partners on the team, or on a major subcontractor(s), the proposal must clearly explain "whose" past performance, and "how" that past performance is relevant to the procurement. Resumes or letters of recommendation are not a valid past performance submissions.

Offerors must ensure that Task Order (TO) proposals are submitted IAW these instructions and the TO specific instructions provided. The burden of proof for credibility of proposed prices rests with the offeror and the numbers must be verifiable. Any inconsistency between proposed performance and price/cost shall be explained in the task order proposals. A significant inconsistency, if unexplained, may raise a question of the offeror’s understanding of the nature and scope of the work required and its ability to perform within the proposed price/cost constraints, which may cause the proposal to be rejected.

Note: It is expected that IDIQ level personnel would be an indirect cost, if this is inconsistent with the offeror’s accounting practices, offerors shall include as a direct cost and provide basis of estimate.

L.13.2 Total Proposed Price (TPP): TPP will consist of the combined total prices of the two awardable TOs.

Attachment 11, Pricing Template shall be completed for the two awardable TOs in MS Excel. All formulas shall be visible.

L.13.3 TO #1 Field Service Representatives and Operational Planner Support (FSR & OPS): Offerors shall provide a Firm-Fixed-Price (FFP) for TO #1 and provide the detailed Fully Burdened Labor Rate as required in Attachment 11, Pricing Template. Pricing and supporting information shall be submitted IAW the Instructions to Offerors on the individual TOs and Cost/Price Narrative Instructions Attachment #12.

L.13.4 TO #2 New Equipment Training (NET): Offerors shall provide costs by cost elements for CPFF TO #2 as required in Attachment 11, Pricing Template. Pricing and supporting information shall be submitted IAW the Instructions to Offerors on the individual TOs and Cost/Price Narrative Instructions Attachment #12. . L.13.5 Evaluation of Compensation for Professional Employees – FAR 52.222-46:

Offerors shall submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. The offeror’s compensation plan shall describe the offeror’s ability to provide uninterrupted high-quality work, the impact upon recruiting and retention of employees, along with the realism of the total compensation plan. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure.

L.14 VOLUME V – ADMINISTRATIVE AND RESPONSIBILITY M ATERIAL

L.14.1 General. The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file; as well assist the KO in making a responsibility determination. Offerors shall provide the following:.

L6.3.1 Each offeror must submit, for itself AND its subcontractors, an OCI Disclosure Form (Attachment 6) and applicable supporting documents. The submission shall identify all of the team’s USSOCOM contracts or subcontracts, including any USSOCOM-funded contracts or subcontracts at the TSOCs or COCOMs. For each identified contract, the offeror shall disclose the contract number; name and telephone number of the Contracting Officer; a brief description of the work performed; and any other information, as applicable, for the Contracting Officer to determine possible OCIs.

An offeror which has previously submitted the OCI information in accordance with L.1.3 is not required to re-submit the information with its proposal. However, if changes have occurred between the preliminary review and proposal submission, the offeror shall include revised OCI documentation in its proposal.

L6.3.2 If an offeror has identified actual or potential OCI, the offeror shall submit a Mitigation Plan that addresses the conflict(s) in adequate detail for the Contracting Officer to determine whether an OCI still exists or has been successfully mitigated. The OCI Mitigation Plan shall specifically address the OCI disclosures required in this section and explain how the prime is in full compliance with this solicitation. As part of its Mitigation Plan, the offeror shall identify which contracts or subcontracts it will continue to support and those it intends to terminate or allow to lapse to eliminate any conflicts. The OCI Mitigation Plan will not be evaluated as part of Factor 1; rather, the Mitigation Plan will be reviewed in conjunction with the Contracting Officer’s responsibility determination prior to award. If an offeror determines that an actual or potential OCI does not exist, it shall include a statement to that effect as part of its proposal, and does not need to submit an OCI Mitigation Plan.

L6.3.3 An offeror’s failure to provide adequate information to avoid and/or mitigate an identified OCI may cause its proposal to be rejected and relieves the Government of any further responsibility to resolve OCI issues. OCI will be evaluated as a contractor responsibility determination in accordance with FAR Part 9 – Contractor Qualifications and any notices to offerors regarding OCI and their responses thereto will NOT be considered negotiations or discussions in accordance with FAR Part 15.

L.14.3Contract Forms and Certifications.

L.14.3.1 Proposal cover page which includes names, office phone numbers, cell phone numbers, and email addresses for individuals who are authorized to discuss the proposal with government personnel on behalf of the offeror.

L.14.3.2 Section A – Solicitation/Contract Form. Complete blocks 12-16, and the Signature and Date blocks 17 and 18, of the Standard Form 33. A signature by the Offeror on the Standard Form 33 constitutes an offer, which the Government may accept. The "original" copy shall be clearly marked under separate cover.

L.14.3.3 Section I – Contract Clauses. All clauses from the IDIQ contract carry over to subsequent TOs, and have the same applicability despite omission of these clauses on each TO. The offeror shall complete all TO requirements IAW terms and conditions of the IDIQ contract and any additional terms and conditions specified in the TO.

L.14.3.4 Section K – Representations, Certifications, and other Statements of Offerors. FAR 52.204-7, System for Award Management, is incorporated by reference in Part II, Section I. The Offeror shall follow the instructions cited in this Section K, FAR 52.204-08 and complete all representations, certifications, acknowledgments, and statements in the System for Award Management (SAM) at httpw://www.sam.gov. If a representation, certification, acknowledgement or statement cited in this Section K cannot be found in SAM, then the Offeror shall submit that

Section K representation, certification, acknowledgement or statement. Failure to adhere to these instructions will render an Offeror as being ineligible for award.

L.14.4 Current Adequate Accounting System. IAW Federal Acquisition Regulations (FAR) Part 30; Cost Accounting Standards (CAS) do not apply to small business concerns. IAW FAR 16.306 (c), no CPFF contract may be awarded unless the limitations in FAR 16.301-3 are met. One of the limitations cited is that the contractor’s/subcontractor’s accounting system must be adequate for determining costs. The offeror shall provide valid documentation from DCMA, DCAA or other Federal Audit Agency that they have an adequate accounting system for operating Government cost type contracts to be considered for award. The offeror may provide other information that allows the contracting officer to determine that the contractor's accounting system will permit timely development of all necessary cost data for the cost type CLINs and the negotiation of cost in accordance with the FAR and applicable supplements in order to be considered for award. If the offeror does not currently have valid documentation (within the last 3 years) regarding an adequate accounting system, the Offeror shall complete Section J Attachment 8 –SF 1408 Pre-award Survey of Prospective Accounting System Checklist with supporting documentation. An advance copy of the offeror's SF 1408 with supporting documentation shall be forwarded to the cognizance DCAA and to the Contracting Officer as soon as practicable but no later than the proposal due date.

Offeror’s are cautioned that determination of the adequacy of the accounting system must be accomplished to be eligible for contract award. Therefore, offerors shall be prepared to support DCAA audits upon the initiation of the audit.

SECTION M - EVALUATION FACTORS FOR AWARD

SECTION M

M-1 EVALUATION PROCESS

M1.1 Introduction. The Government will evaluate each offeror’s capabilities and proposal elements against the evaluation criteria set forth below. This is a competitive, best value, source selection using a tradeoff process that will be conducted in accordance with (IAW) Federal Acquisition Regulation (FAR) Part 15 and Defense Federal Acquisition Regulation Supplement (DFARS) Part 215.

M1.2 Evaluation. The Government will evaluate proposals against IDIQ Management, Task Order Proposals, Past Performance, and Price/Cost in accordance with Table M.1. Factors are listed in the below table in their descending order of importance. When combined, the non-price Factors 1, 2 and 3 are significantly more important than Factor

4. Factor 5 will be evaluated Pass/Fail and will not be part of the tradeoff decision. An offeror will be ineligible for award if responsibility cannot be determined by the government.

Table M.1 FACTOR TITLE Evaluation Rating

Factor 1 IDIQ Management Color/Risk Program Management Technical Capability Factor 2 Task Order Proposals Color/Risk Field Service Rep/Operational Planner

New Equipment Training Support

Factor 3 Past Performance Proposal Confidence Rating Factor 4 Price/Cost Proposal Total Evaluated Price/Cost

Factor 5 Administrative and Responsibility Material Pass/Fail

M1.3 Eligibility. In order to be eligible for award, a proposal must comply in all material respects with the terms and conditions of this solicitation; and the offeror must be determined responsible according to the standards set forth in FAR Subpart 9.1. Failure to comply with the terms and conditions of the solicitation may result in the offeror’s proposal being eliminated from the competition.

M-2 EVALUATION PROCEDURES FOR FACTORS

M2.1 The Government’s evaluation team will evaluate the offeror’s proposal and apply a Combined Technical/Risk Rating for Factors 1 and 2 (See Table M.2 below for a description of the ratings). Proposal evaluation will focus on strengths, weaknesses, significant weaknesses, and deficiencies. Note that if an offeror’s proposal demonstrates a material failure to meet a Government requirement, it is a deficiency. Offerors that simply restate the Government’s requirement will be rated unacceptable.

Table M.2 Combined Technical/Risk Ratings Color Rating Description Blue Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

M2.2 Factor 1 – IDIQ Management. The Government will evaluate the offeror’s Volume I to ensure the proposed approach, processes, and methodologies that will be employed in fulfilling the requirements of this solicitation will support the full range of requirements. Reference Sections C and L.10 for detailed requirements. Evaluation of this factor will focus on the strengths, weaknesses, significant weaknesses, and deficiencies of the proposal. Evaluation of risk associated with the offeror’s proposal for this factor is inherent in the evaluation.

M2.3 Factor 2 – Task Order Proposals. The Government will evaluate how well the offeror’s proposal for each TO describes a holistic approach to TO management to ensure the offeror has a complete understanding of the TO requirements. The Government will assess the offeror’s methods to manage, transition, resource, and execute each TO SOW requirement. Evaluation of this factor will focus on the strengths, weaknesses, significant weaknesses, and deficiencies of the offeror’s proposal.

The Government will combine individual task order strengths, weaknesses, significant weaknesses, and deficiencies to form an aggregate color rating for Factor 2, Task Order Proposals for inclusion in the IDIQ level award decision.

Please note: task orders will not receive individual color ratings during evaluation for basic award. The following task orders will be the basis for Factor 2 evaluation:

Sub-factor 2.1 – Field Service Representative and Operational Planner Support Sub-factor 2.2 – New Equipment Training

M2.4 Factor 3: Past Performance. The Past Performance evaluation considers the offeror’s demonstrated record of performance in providing the services delineated in the SOW and specific TO requirements. The performance rating is assessed at the overall Past Performance Factor level after evaluating aspects of the offeror’s recent past performance, focusing on performance that is relevant to the requirements. The Government will not evaluate personal references.

M2.4.1 The past performance evaluation will be based on the data gathered by information sheets, questionnaires, interviews, and assessments available through the Past Performance Information Retrieval System (PPIRS). The Government is not limited to these resources.

M2.4.2 The Government will evaluate the past performance of the efforts that meet the recency and relevancy in Section L in order to determine the Government’s overall level of confidence in the offeror’s ability to successfully perform the required effort using the ratings as described in Section M Table M.3. In the case of an Offeror without a record of relevant and/or recent past performance or for whom information on past performance is not available, the Offeror shall receive a Past Performance rating of “Unknown Confidence,” which equates to a neutral rating having neither positive nor negative evaluation significance.

Table M.3 Rating Description Substantial Confidence Based on the offeror’s recent/relevant performance record, the government has a high expectation that the Offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the government has a reasonable expectation that the Offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the government has a low expectation that the Offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the government has no expectation that the Offeror will be able to successfully perform the required effort.

M2.5.1 Factor 4 – Price/Cost General: The Government will evaluate Volume IV for completeness, compliance with the instructions, price reasonableness, and IDIQ Total Evaluated Price (TEP). The IDIQ TEP will be calculated for each offeror and presented to the SSA for consideration in the best value determination. Price will be evaluated in order to determine that it is fair and reasonable IAW FAR 15.404 to include ensuring the proposed price is not unrealistically low without valid explanation. Since the Government anticipates adequate price competition, the Government will in general verify price reasonableness by comparison of competitively proposed prices. Therefore, offerors are not required to submit certified cost or pricing data. However, other than certified cost or pricing data is required to calculate the Most Probable Cost. If after receipt of proposals, the Contracting Officer determines that adequate price competition does not exist, the Government may require certified cost or pricing data (see FAR 15.406-2, Certificate of Current Cost or Pricing Data).

M2.5.2 The IDIQ TEP is calculated by adding the total TO Price for Field Service Representative and Operational Planner Support and New Equipment Training. The Government will ensure that Offerors have submitted Attachment 11, Pricing Template IAW with instructions.

M2.5.3 The TEP for TO #1 Field Service Representatives and Operational Planner Support (FSR & OPS) will be calculated as follows: The offeror’s proposed FFP to accomplish the requirements in the SOW plus the Most Probable Cost (MPC) of the Government provided travel estimate of $675,000 (per year plus 2% inflation beginning in OY1) and proposed G&A on travel, for the base and all options. The Government will calculate the Most Probable Cost (MPC) for the G&A portion of the Travel CLIN.

M2.5.4 The TEP for TO #2 New Equipment Training (NET) will be calculated as follows: The MPC of the offeror’s proposed Labor to accomplish the requirements in the SOW plus the Government provided travel estimate of $197,500.00, ODC training kit expendables estimate of $15,000.00, and shipping costs of $6,875.00 plus indirect costs.

The Government will calculate the MPC for this TO.

M2.5.5 Evaluation of Compensation for Professional Employees - In accordance with FAR 52.222-46, the Government will evaluate the total compensation plan to assure that it reflects a sound management approach and understanding of the contract requirements. This evaluation will include an assessment of the offeror’s ability to provide uninterrupted high-quality work. The professional compensation proposed will be considered in terms of its impact upon recruiting and retention, its realism, and its consistency with a total plan for compensation.

Unexplained unreasonably low compensation may impact the assessment of performance risk in the Technical proposal.

M-3 BASIS FOR AWARD

M3.1 General. To arrive at a source selection decision, the Source Selection Authority will perform an integrated assessment using the evaluation factors described in Section M and determine which proposal(s) is/are most advantageous to the Government using a trade-off analysis. This may result in award being made to the higher rated, potentially higher priced offeror where the decision is consistent with the evaluation factors. Based on the evaluation factors listed, a contract will be awarded to the offeror representing the best value to the Government.
