52.211-10 COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK (APR 1984)

The Contractor shall be required to (a) commence work under this contract within 10 calendar days after the date the

Contractor receives the notice to proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use not later than 90 calendar days

52.211-12 LIQUIDATED DAMAGES--CONSTRUCTION (SEP 2000)

(a) If the Contractor fails to complete the work within the time specified in the contract, the Contractor shall pay liquidated damages to the Government in the amount of $ 225.64 for each calendar day of delay until the work is completed or accepted.

(b) If the Government terminates the Contractor's right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The

Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the

Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in

SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

52.228-14 IRREVOCABLE LETTER OF CREDIT (NOV 2014)

(a) “Irrevocable letter of credit” (ILC), as used in this clause, means a written commitment by a federally insured financial institution to pay all or part of a stated amount of money, until the expiration date of the letter, upon presentation by the Government (the beneficiary) of a written demand therefor. Neither the financial institution nor the offeror/Contractor can revoke or condition the letter of credit.

(b) If the offeror intends to use an ILC in lieu of a bid bond, or to secure other types of bonds such as performance and payment bonds, the letter of credit and letter of confirmation formats in paragraphs (e) and (f) of this clause shall be used.

(c) The letter of credit shall be irrevocable, shall require presentation of no document other than a written demand and the ILC (including confirming letter, if any), shall be issued/confirmed by an acceptable federally insured financial institution as provided in paragraph (d) of this clause, and--

(1) If used as a bid guarantee, the ILC shall expire no earlier than 60 days after the close of the bid acceptance period;

(2) If used as an alternative to corporate or individual sureties as security for a performance or payment bond, the offeror/Contractor may submit an ILC with an initial expiration date estimated to cover the entire period for which financial security is required or may submit an ILC with an initial expiration date that is a minimum period of one year from the date of issuance. The ILC shall provide that, unless the issuer provides the beneficiary written notice of non-renewal at least 60 days in advance of the current expiration date, the ILC is automatically extended without amendment for one year from the expiration date, or any future expiration date, until the period of required coverage is completed and the Contracting Officer provides the financial institution with a written statement waiving the right to payment. The period of required coverage shall be:

(i) For contracts subject to 40 U.S.C. chapter 31, subchapter III, Bonds, the later of--

(A) One year following the expected date of final payment;

(B) For performance bonds only, until completion of any warranty period; or

(C) For payment bonds only, until resolution of all claims filed against the payment bond during the one-year period following final payment.

(ii) For contracts not subject to the Miller Act, the later of--

(A) 90 days following final payment; or

(B) For performance bonds only, until completion of any warranty period.

(d)(1) Only federally insured financial institutions rated investment grade by a commercial rating service shall issue or confirm the ILC.

(2) Unless the financial institution issuing the ILC had letter of credit business of at least $25 million in the past year, ILCs over $5 million must be confirmed by another acceptable financial institution that had letter of credit business of at least $25 million in the past year.

(3) The Offeror/Contractor shall provide the Contracting Officer a credit rating that indicates the financial institutions have the required credit rating as of the date of issuance of the ILC.

(4) The current rating for a financial institution is available through any of the following rating services registered with the U.S. Securities and Exchange Commission (SEC) as a Nationally Recognized Statistical Rating

Organization (NRSRO). NRSRO's can be located at the Web site http://www.sec.gov/answers/nrsro.htm maintained by the SEC.

(e) The following format shall be used by the issuing financial institution to create an ILC:

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. INSTRUCTION TO OFFERORS

Section L - Instructions, Conditions, and Notices to Offerors

L-001. PROPOSAL PREPARATION INSTRUCTIONS

A. To assure timely and equitable evaluation of qualifications and proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional data will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit cost data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

C. Documents submitted in response to this RFP must be fully responsive to and consistent with the following:

1. Evaluation Factors for Award in Section M of this RFP.

2. Any limitation on the number of proposal pages. Pages exceeding the page limitations set forth in this Section L will not be read or evaluated, and will be removed from the proposal.

D. Format for proposal Parts I and II shall be as follows:

1. Electronic copies of both volumes shall emailed to the POC listed on Page 1 of the solicitation.

Each Volume shall be its own file, to include the Redacted Volume II.

2. Print-outs from each file should print, by default, hardcopies that match the following criteria:

proposal will be 8 1/2” x 11” paper except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.

3. A page is defined as one face of a sheet of paper containing information.

4. Typing shall not be less than 12 pitch.

5. Elaborate formats, bindings or color presentations are not desired or required.

6. Ensure the files clearly identify Volume I, Volume II, and Volume II Redacted Copy with the proper documents filed appropriately.

E. Proposal Preparation format and Instructions - Contractor will submit two separate volumes as follows:

1. VOLUME I – PRICE PROPOSAL / Reps & Certs – Submit in electronic format via Email.

(a) Complete blocks 14, thru 20C, of the RFP Section A, SF1442. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract.

(b) Insert proposed unit and extended prices in Section B for each Contract Line Item Number

(CLIN) or Sub CLIN (SCLIN). The extended amount must equal the whole dollar unit price multiplied by the number of units. Complete Block 22 of SF1442 with total price.

(c) Complete the necessary fill-ins and certifications in Sections I through K. Section K shall be returned in its entirety. For Sections C through I, the offeror shall submit only those pages that require a fill-in.

F. VOLUME II – TECHNICAL PROPOSAL - Limited to no more than 30 pages. Two copies of

Volume II shall be submitted. One of the file copies submitted shall be redacted of all company information to include names, addresses, logos, etc. that can identify your proposal.

1. Past performance

(a) Recency and Relevancy: The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. Relevant contracts include demolition/deconstruction and asbestos abatement of facilities. Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) Limit to no more than three (3) per contractor or subcontractor which demonstrates customer satisfaction with overall job performance and quality of completed product for relevant past efforts/contracts (similar in scope and magnitude of effort and complexities this solicitation requires) within the last 5 years.

In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

(b) The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. 2. Technical Approach

a) - Technical/Management Approach/Capabilities

Offerors will provide their plans for meeting requirements of the RFP, SOW, Specs, Drawings, and any attachments. They should demonstrate construction approach, Risk management, requirements, mobilization plans, environmental compliance, safety, quality control, and resolution/proposals for potential issues and challenges.

b) - Schedule

Demonstrate ability to complete project within the required progress schedule. In this progress schedule offerors shall capture specs, requirements, SOW, timeliness, etc.. and include critical path items. Offerors shall demonstrate compliance with required installation coordination, activities, phasing, weathers, and project delivery on schedule.

M001 - SOURCE SELECTION

1. Basis for Contract Award

This is a Lowest Price Technically Acceptable (LPTA) source selection conducted in accordance with

Federal Acquisition Regulation (FAR) 15, Contracting by Negotiation, as supplemented by the Defense

Federal Acquisition Regulation Supplement (DFARS), the Air Force Federal Acquisition Regulation

Supplement (AFFARS), DoD Source Selection Procedures, Appendix A, 04 March 2011 and Air Force

Mandatory Procedures 5315.3 27 March 2013. These regulations are available electronically at the Air

Force (AF) FARSite, http://farsite.hill.af.mil. The Government will select the proposal with the lowest evaluated price from among those meeting the acceptability standards for non-price factors. Contract(s) may be awarded to the offeror who is deemed responsible in accordance with the FAR Part 9.1, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation) and is judged, based on the evaluation factors and subfactors, to represent the lowest price technically acceptable proposal. While the Government will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process.

2. Number of Contracts to be Awarded

The Government intends to award one (1) contract for this requirement.

3. Discussions

If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the Final Proposal Revision are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.

4. Solicitation Requirements, Terms and Conditions

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors.

Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.

M002 EVALUATION FACTORS

Factor Identification. The evaluation team will evaluate the proposals using the following factors:

1. Volume I - Price Evaluation

(a) Offerors whose price is determined to be unreasonable, unbalanced, or unaffordable may not be considered for award.

(b) The offeror’s Price proposal will be evaluated, for award purposes, based upon the available funds for the base bid and any separately priced prioritized line items.

(c) Evaluation of offers will be conducted as follows:

(i) All offers will be evaluated for compliance with instructions in section L for responsiveness.

(ii) Responsive offers will be ranked according to price from lowest to highest.

(iii) The lowest price offer will be forwarded to the Source Selection Evaluation Board

(SSEB) and evaluated for technical acceptability.

(d) If the lowest priced proposal is determined to be technically acceptable no further evaluations will be conducted and award shall be made. If the lowest priced evaluation is not determined to be technically acceptable the evaluation team will be forwarded the next lowest priced proposal for evaluation and will follow the same example until a lowest priced technically acceptable offer is made.

2. Volume II - Technical Evaluation

Factor 1. Recent and Relevant Past Performance.

The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance in supplying products and services that meet the solicitation requirements. In conducting the Recent and Relevant Performance Evaluation, the Government reserves the right to use both the information provided in the offeror’s Volume II - Technical and information and from other sources available to the Government, to include, but not limited to: the Past Performance Information Retrieval System (PPIRS); Federal Awardee Performance and Integrity Information System (FAPIIS); Electronic Subcontract Reporting System (eSRS), or other databases; and interviews/questionnaires with Program Managers, Contracting Officers and Fee Determining Officials, the Defense Contract Management Agency (DCMA), and commercial sources.

Subfactor 1. Recency Assessment

An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past 5 years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.

Subfactor 2. Relevancy Assessment

The Government will conduct an evaluation of all recent performance information obtained to determine whether the products provided/services performed under those contracts relate to the Technical subfactors and Price factor. For each recent past performance citation reviewed, the relevance of the work performed will generally be assessed for the Technical subfactors and Price Factor (however, all aspects of performance that relate to this acquisition may be considered). Consideration will be given to a contractor with proven familiarity in asphalt demolition, concrete, buidling ground systems, and electrical work similar in scope to this project. A relevancy determination of the offeror’s past performance will be made based upon the aforementioned considerations, including joint venture partner(s) and major and critical subcontractor(s). In determining the relevancy of effort performed under individual past performance contracts, the government will only consider the specific effort or portion consistent with that proposed by the prime, subcontractor or teaming partner. The past performance information forms (PIFs) and information obtained from other sources will be used to establish the relevancy of past performance. The Government will use the following relevancy definitions when assessing recent, relevant contracts:
