ADDENDA TO 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS

Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.”

PROPOSAL PREPARATION INSTRUCTIONS

1. General Information:

(a) The offeror's proposal must include all data and information requested by this ITO and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the

Statement of Work (SOW) and the Model Contract. To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation. The response shall consist of three (3) separate parts; Part I – Price

Proposal, Part II - Technical Proposal, and Part III – Past Performance Information. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.

(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.

(c) Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired. Similarly, for oral presentations, elaborate productions are unnecessary and not desired.

(d) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

(e) The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional data will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit cost data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

(f) The Contracting Officer (CO) is the sole point of contact for this acquisition. Address any questions or concerns you may have to the CO.

(g) The CO will promptly notify offerors of any decision to exclude them from the competitive range;

whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a preaward debriefing or they may choose to wait until after the source selection decision to request a postaward debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

(h) If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the offeror is asking the CO to consider as related to the omission or error. The offeror is reminded that the

Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

This reservation includes matters of additional or substitute pages of the initial proposal.

(i) All referenced documents for this solicitation are available on the Federal Business Opportunities

(FedBizOpps) website at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website.

(j) The content and page size of electronic copies must be identical to the hard copies. For electronic copies, indicate on each CD the volume number and title. Use separate files to permit rapid location of all portions, including sub factors, exhibits, annexes, and attachments, if any. In the event that hard copies and electronic copies of a proposal are submitted and if there are any discrepancies between the hard copies and the electronic copies of the proposal, the hard copies will be used for evaluation.

(k) Provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the Government.

2. Proposal Submission Instructions:

NOTE: Read entire solicitation including all provisions, clauses, and attachments. Ensure all instructions have been read and followed. Failure to complete any portion of the below instructions could result in the offeror’s proposal being considered non-responsive and rejected by the Government. The Government reserves the right to allow or not allow offerors to correct any administrative errors after proposal due date.

PART I – PRICE PROPOSAL

(a) Complete blocks 12, 17a, and 30a, b, and c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation, with attachments. The solicitation constitutes the model contract.

(b) Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal must be submitted for a base year plus two

(2) Option Years. Completion of the price proposal includes following instructions for completion of Attachment 2–

COCESS Bid List. Individual Unit Prices must be completed using Attachment 2 and submitted as part of the price proposal. Total annual amounts will be completed on the pricing schedule (by assigning a dollar amount to CLINS

0001, 0002, 1001, 1002, 2001, 2002) in addition to Attachment 2.

(c) Provide a letter on offeror’s letterhead identifying financial institution, point of contact, phone number, and a statement authorizing the Government to verify financial responsibility of offeror.

Price reasonableness and price realism: Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic proposal. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed costs/prices rests with the offeror.

(d) Complete the necessary fill-ins and certifications in ALL provisions. The provisions FAR 52.212-3, Offeror

Representations and Certifications – Commercial Items, and 252.209-7994 Representation by Corporations

Regarding an Unpaid Delinquent Tax Liability or Felony Conviction under any Federal Law, shall be returned along with the proposal.

PART II – TECHNICAL PROPOSAL

(a) The Technical Volume should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the Technical sub factors defined in Addendum to 52.212-2

Evaluation – Commercial Items. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.

(b) In the technical volume, address your technical solution for meeting or exceeding the Government’s minimum performance or capability requirements of each technical sub factor. The criteria for each sub factor to meet technical acceptability are outlined in the Addendum to 52.212-2 Evaluation – Commercial Items.

Technical Sub Factors:

1. Onsite Personnel Submission (IAW SOW para 3.3). A description shall be submitted stating the job title, job description, direct chain of supervision, and accountability of the employee(s) assigned to work on site at F.E. Warren AFB COCESS office/warehouse. The person(s) filling the position shall individually have a minimum of 3 years experience to include 3 years minimum experience in current operational experience on the computer system(s) which will be used to conduct all the requirements of this contract.

2. Control Action Plan (IAW SOW para 1.5). A plan shall be submitted with a minimum of the following included:

a. Personnel position(s) responsible for tracking of all item orders, inventory, and backorders to include a direct chain of supervision for inquiries or concerns.

b. Process for remedy for vendors who fail to deliver items by the assigned delivery dates.

c. Process for remedy for items not delivered by the RDD date to insure delivery.

3. Contractor Driven Inventory Process Plan (IAW SOW para 1.4) A Contractor driven plan to insure minimum levels of fixed price items are available in the onsite inventory.

(c) APPLICABLE TO LARGE BUSINESSES ONLY: If the offeror is other than a small business, the offeror shall submit a Small Business Subcontracting Plan in accordance with FAR 52.219-9 that also identifies and specifies the extent of offeror's commitment to the participation of small businesses (SB), historically black colleges or universities (HBCU) and minority institutions (MI), whether as joint venture members, teaming arrangement partners, or subcontractors. If applicable, submit a copy of your approved Master Plan. In the event the offeror has negotiated a comprehensive subcontracting plan pursuant to DFARS 219.702, the offeror must submit the information that identifies and specifies the extent of its commitment to the participation of SB, HBCU and MI.

PART III – PAST PERFORMANCE INFORMATION

(a) Each offeror shall submit a past performance part with its proposal, containing past performance information in accordance with the format contained in Attachment 6 – Past Performance Information (Microsoft Access attachment).

See submittal instructions in Attachment 7- Instructions for Past Performance Information Tool. This information is required on the offeror and all subcontractors, teaming partners, and/or joint venture partners who are proposed to perform thirty percent or more of the proposed effort based on the total proposed price or perform aspects of the effort the offeror considers critical to overall successful performance. Offerors are cautioned that the Government will use data provided by each offeror in this part and data obtained from other sources in the evaluation of past performance.

Along with the information required in this paragraph, the offeror shall submit a consent letter (sample provided in

Attachment 4) executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the

Government of requested information on the offeror's performance.

Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.

TOOL FOR MORE GUIDANCE

(b) Additional Performance Questionnaires: The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The government will use information submitted by the offeror and any other sources of information available to the Government to assess past performance. Provide a list of no more than ten (10), of the most relevant contracts performed for Federal agencies and commercial customers within the last five (5) years. Furnish the information found in Attachment 5 – Past Performance

Questionnaire.

ADDENDUM 52.212-2

BASIS FOR CONTRACT AWARD: This is a competitive selection in which competing offerors past/present performance history and Technical will be evaluated as more significant than price. By submission of its offer in accordance with the instructions provided in clause FAR 52.212-2 Evaluation-Commercial Items, the offeror accedes to the terms of this solicitation and all such offers shall be treated equally except for their prices and performance records. Failure to meet a requirement may result in an offer being determined technically unacceptable.

The evaluation process shall proceed as follows:

1. Technical Acceptability:

(a) Initially, the government technical evaluation team shall evaluate the technical proposals on a pass/fail basis, assigning ratings of Acceptable or Unacceptable to each individual technical sub factor, following the criteria laid out in Part II – Technical Proposal found in Addendum to 52.212-1.

TABLE 1 - TECHNICAL RATINGS

Rating Description

ACCEPTABLE

The proposal clearly meets the minimum requirements of the solicitation and demonstrates a clear understanding of the Government’s requirements.

UNACCEPTABLE

Proposal does not clearly meet the minimum requirements of the solicitation.

Technical sub factors:

1. Onsite Personnel Submission (IAW Attachment 1-Statement Of Work para 3.3).

2. Control Action Plan (IAW Attachment 1-SOW para 1.5).

3. Contractor Driven Inventory Process Plan (IAW Attachment 1-SOW para 1.4) A Contractor driven plan to insure minimum levels of fixed price items are available in the onsite inventory.

(b) APPLICABLE TO LARGE BUSINESSES ONLY: The Small Business Subcontracting plan will be evaluated on an acceptable/unacceptable basis.

TABLE 1(a) – SB SUBCONTRACTING PLAN

TECHNICAL RATINGS

ACCEPTABLE

(Required from large businesses only). Offeror’s proposed Small Business Subcontracting Plan provides for proactive minimum small business subcontracting goals, includes sound and effective methods to determine and meet those goals, adequately encourages small business participation, and provides for implementation of policies that meet the requirements of

FAR Part 19, 19.704 and their supplements.

UNACCEPTABLE

Offeror (large business) failed to submit a

Subcontracting Plan or the plan is missing one or more of the elements listed.

2. Price Evaluation:

(a) Next, the government shall rank all technically Acceptable offers by price, including all option prices.

An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. Offerors whose total evaluated price is unreasonable (in accordance with FAR 15.404 and FAR 31.201-3), unbalanced (in accordance with FAR 15.404-1), or unaffordable (not within any budgetary information included in the solicitation) may not be considered for award.

3. Performance Assessment:

(a) The contracting officer shall seek recent (within the past five years) and relevant performance information based on the references provided by the offeror in Attachment 6-Past Performance Information, Attachment 5-Past Performance Questionnaire (all questionnaires submitted will be evaluated) and data independently obtained from other government and commercial sources. Relevant present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires. The government reserves the right to seek information on higher priced offerors if none of the lower priced offerors receive a “Substantial

Confidence” performance assessment rating. The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror’s ability to supply the services that meet users’ needs, based on the offeror’s demonstrated record of performance. The assessment process will result in an overall performance confidence assessment rating based on the ratings in Table 2 below.

(b) In evaluating past performance, the government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in Table 3 below:

TABLE 3 - PAST PERFORMANCE RELEVANCY RATINGS

Rating Definition

RELEVANT

Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

NOT RELEVANT

Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

(c) If the lowest priced evaluated offer is judged to have a “Substantial Confidence” performance rating and the offeror is determined to be responsible, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.

(d) If the lowest priced offeror is not judged to have a “Substantial Confidence” performance assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price from lowest to highest) until an offeror is judged to have a “Substantial Confidence” performance assessment or until all offerors are evaluated. The Source Selection Authority shall then make an integrated assessment best value award decision.

TABLE 2 - PERFORMANCE CONFIDENCE ASSESSMENTS

Rating Description

SUBSTANTIAL CONFIDENCE Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

SATISFACTORY CONFIDENCE Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

LIMITED CONFIDENCE Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

NO

CONFIDENCE

Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

UNKNOWN CONFIDENCE

(Neutral)

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

(e) Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

(f) If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the Final Proposal Revision are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) Technical capability of the item offered to meet the Government requirement;

(ii) Price;

(iii) Past performance

Technical and past performance, when combined, are significantly more important than price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
