About this file

This is a vendor agreement template issued by the Board of Education of the City of St. Louis Public School District in Missouri for the procurement of goods and/or services. The agreement outlines the contractual framework between SLPS and qualified vendors for the Tornado: Soldan Field House Mitigation and Restoration project. The template establishes a flexible term structure with an effective date and completion date to be specified in individual contracts, with work performance measured against standards detailed in the Scope of Work attachment. The agreement requires vendors to provide goods and/or services in a competent and professional manner consistent with accepted industry standards, with performance evaluations conducted by designated SLPS administrators. Vendors must assign qualified personnel in sufficient numbers to successfully complete the work, and all personnel with student contact must complete fingerprinting and criminal background checks through the Missouri State Highway Patrol and Missouri Children's Division.

Compensation is contingent upon satisfactory work completion as certified by SLPS administrators, with payment issued within sixty days of invoice receipt following work evaluation. Vendors must maintain general commercial liability insurance of $1,000,000 per occurrence ($3,000,000 aggregate), automotive liability of $500,000, and workers' compensation at Missouri statutory limits. For contracts exceeding $5,000, vendors must enroll in and participate in the federal E-Verify work authorization program and execute affidavits confirming no knowingly employed unauthorized aliens. The District reserves the right to terminate the agreement without cause upon thirty days' written notice, or with cause immediately if the vendor fails to cure breaches within ten days of written notice. All deliverables, materials, and proprietary rights created specifically for the District vest exclusively with SLPS, while vendors retain intellectual property rights in pre-existing products and services.
