About this file
This is a Claim of Business Confidentiality Form issued pursuant to Utah Code Annotated Section 63G-2-309 for use in the Jordan School District's Invitation for Bid (IFB) for an Identity Management Tool—Tools4Ever. The form allows bidders to assert claims of business confidentiality for specific information submitted as part of their proposals, with the exception that pricing and cost proposals may not be classified as confidential and will be considered public information. Bidders may protect nonpublic financial statements, specific employee names and contact information, specific customer information or client lists, or other designated information that qualifies as trade secrets or commercial information under Utah law. An entire proposal cannot be classified as protected, confidential, or proprietary; only specific, identified portions may be claimed as confidential.
Bidders asserting a claim of business confidentiality must specify the page, paragraph, and reason for protection, citing either trade secrets as defined in Utah Code Annotated Section 13-24-2 or commercial information that could result in unfair competitive injury if disclosed. The form requires the bidder's company name, authorized signature, and submission date. Bidders will be notified if any claimed protected information is classified as public or if the governmental entity determines the record should be released after weighing competing interests under applicable Utah Code provisions. This form serves as the mechanism for bidders to request protection of sensitive business information while complying with Utah's public records disclosure requirements.
