About this file

This is an Authorized Signatory Listing Instructions document for a Massachusetts state contract opportunity related to MassAbility Pay implementation. The document provides guidance to contractors on designating authorized signatories who are responsible for executing contractual agreements and commitments on behalf of the contractor organization. The instructions establish the procedural requirements and documentation standards that contractors must follow when submitting their authorized signatory information as part of their proposal or contract administration process. These signatories serve as the official representatives authorized to bind the contractor to the terms and conditions of the MassAbility Pay contract, which involves implementing a solution for participant reimbursements and purchases.

The document establishes the framework for contractor compliance with Massachusetts state contracting requirements regarding signatory authority and delegation of signing responsibilities. Contractors must identify individuals with appropriate legal authority within their organizations and provide supporting documentation that demonstrates their authorization to execute contractual documents on the contractor's behalf. This requirement ensures proper corporate governance and accountability throughout the contract lifecycle and helps Massachusetts verify that all contractual commitments are made by individuals with legitimate authority to do so.

The Contractor Authorized Signatory Listing (CASL) form is used by the Commonwealth of Massachusetts to designate individuals authorized to legally bind a company to contracts and grants. [1] The CASL form ensures your organization's contracts are processed without delays. Use the following steps and rules to ensure your form is completed correctly. [1, 2, 3]

1. Choose the Correct Form Depending on your business structure, you will need to fill out one of the following two forms:

· CASL for Corporations (for C/S Corps, Partnerships, Trusts/Estates, LLCs, and Government Entities)

· CASL for Sole Proprietors / Individuals [1, 2]

2. Header Information

· Contractor Legal Name: Enter your official business name exactly as it appears on your IRS Form W-9.

· Contractor Vendor/Customer Code: Enter your unique state-assigned Vendor/Customer Code. If you do not know it, leave this field blank. [1, 2]

3. Authorized Signatories (Top Section) This section is for the actual people who will be signing contracts and subgrants. [1]

· At least two different signatures must be listed in this section.

· Provide the name, title, and an original signature for each authorized individual. [1, 2, 3, 4]

4. Certification & Authorization (Bottom Section) This is where an officer of the company delegates authority to the people listed in the top section. [1]

· Authority Rule: The person signing the bottom of the form must have the authority to appoint other signatories.

· Self-Certification Rule: An individual cannot self-certify their own signature as the sole person on the form. If the person signing the bottom portion also plans to sign contracts, they must also be listed as an authorized signer in the top portion. [1, 2]

5. Signatures and Submission

· Electronic Signatures: Electronic signatures are now accepted for the CASL Form for Corporations, and state departments can use the DocuSign Workflow for electronic submission. [1, 2]

· Notarization: The CASL Form for Sole Proprietors requires a notarized signature. [1]

· Record Copy: A copy of this completed form must be attached to the "record copy" of your contract when filing with the state department. [1] You can download blank forms and access official policies on the Mass.gov Completing the CASL Form or view the full suite of forms at the Massachusetts Office of the Comptroller page. [1]
