About this file

This is a Massachusetts Commonwealth Standard Contract Form issued jointly by the Office of the Comptroller, the Executive Office for Administration and Finance, and the Operational Services Division. The form serves as the default contract template for all Commonwealth departments when no other form is prescribed by regulation or policy. The document is designed for use across various procurement types, including statewide contracts, collective purchases, department procurements, emergency contracts, contract employees, and interim contracts. It accommodates both new contracts and amendments to existing agreements, with provisions for modifications to date, scope, budget, or other procurement exceptions. The contract establishes a hierarchical framework for document precedence, incorporating by reference the applicable Commonwealth Terms and Conditions, Standard Contract Form Instructions and Contractor Certifications, and the Request for Response or solicitation documents.

The compensation structure allows for either rate contracts with no maximum obligation or maximum obligation contracts with specified total amounts. The Commonwealth issues payments through Electronic Funds Transfer (EFT) 45 days from invoice receipt, with provisions for prompt payment discounts (PPD) at 10, 15, or 30 days if contractors request accelerated payments under statutory authority. Contract performance obligations commence on the effective date—defined as the latest execution date by an authorized signatory—and terminate on a specified end date unless properly amended. The form requires specification of MMARS codes, vendor codes, and address identification numbers for EFT processing. The Supplier Diversity Program applies to contracts unless a specific exemption is claimed by an Executive Department. All contractors must certify compliance with incorporated terms and conditions and provide supporting documentation upon request to verify adherence to performance and business requirements in Massachusetts.
