About this file

This document contains Appendix B of Roswell Park Comprehensive Cancer Center's standard terms and conditions for a contract lifecycle management (CLM) system procurement. Roswell Park is seeking to implement a fully operational contract management system that will create a searchable electronic database of all contracts and vendors, streamline the contracting process, provide transparency for internal clients, improve control over contract lifecycles, and enable data analysis and reporting capabilities. The CLM system should support the full contract lifecycle including submission, intake, reviewer assignment, review or drafting, negotiation, approval, execution, amendment, assignment, renewal, and expiration or termination. Vendors interested in submitting proposals or attending the pre-proposal meeting should contact Rob Henschel at rob.henschel@roswellpark.org with RFP #27-13 in the subject line. The contract terms specify that the System encompasses contract lifecycle management software, platforms, applications, tools, modules, and related components including documentation, updates, upgrades, enhancements, APIs, integrations, data migration tools, reporting capabilities, and professional services, regardless of deployment model (SaaS, cloud-hosted, on-premises, hybrid, or combination thereof).

The terms and conditions establish comprehensive obligations for the vendor including maintaining minimum insurance coverage (Commercial General Liability of $1,000,000 per occurrence/$2,000,000 aggregate, Cyber Liability of $5,000,000 per occurrence/aggregate, and Umbrella/Excess Liability of $10,000,000), providing an acceptance period of thirty calendar days from first use in a live production environment, warrantying that the system performs in accordance with documentation and achieves specified service levels, and ensuring the system is free from harmful code or malicious software. Vendor compensation shall be fixed for the initial contract term with allowable annual increases not exceeding the lesser of two percent or the preceding twelve-month Consumer Price Index increase upon sixty days' notice. Roswell Park retains the right to terminate for convenience with thirty days' written notice and may continue transition services for up to twelve months following contract expiration or termination. The vendor must return or destroy all Roswell Park data and confidential information upon request, maintain data as Roswell Park's exclusive property, and provide data export in standard readable formats at no additional charge upon contract termination.
