About this file

This is a Proposal Form for RFP #27-13 issued by Roswell Park Comprehensive Cancer Center, a New York-based healthcare organization seeking a Contract Lifecycle Management (CLM) system. Roswell Park requires vendors to provide comprehensive software, configuration, implementation, project management, training, and support for a fully operational CLM solution that supports the complete contract lifecycle, including submission, intake, reviewer assignment, review or drafting, negotiation, approval, execution, amendment, assignment, renewal, and expiration or termination. The CLM must integrate with existing enterprise systems including Workday, Microsoft Office tools, Adobe PDF, and electronic signature platforms, and must support multiple contract types such as vendor, research, clinical, employment, educational, real estate, material transfer, and confidentiality agreements. Roswell Park's primary objectives are to create a comprehensive searchable electronic database of all contracts and vendors, streamline the contracting process, provide transparency through CLM access and notifications, improve control over the contract lifecycle, and enable users to perform data analyses and generate reports. The proposal form requires respondents to address specific system configuration requirements across fourteen detailed categories, including contract records, vendor profiles, contract history, metadata, workflow management, user roles and permissions, dashboards, tracking and reporting, and KPI tracking.

Respondents must submit pricing as all-inclusive with clearly identified assumptions and exclusions, providing a complete five-year Total Cost of Ownership (TCO) with no more than three percent year-to-year price escalation. The proposal form requires respondents to identify the deployment model (SaaS, On-Premises, or Hybrid) and to provide three current academic medical center client references who can verify the CLM and vendor performance. Roswell Park requires that if the successful respondent creates, hosts, or transmits Protected Health Information (PHI), the solution must be HIPAA compliant and utilize encryption meeting National Institute of Standards and Technology (NIST) guidance and Federal Information Processing Standards (FIPS) 140-2 or higher validation for all PHI at rest and in transit. Preferred features include artificial intelligence capabilities for contract review and drafting, dynamic template generation, intelligent redlining, negotiation history tracking, playbook enforcement, rapid extraction of key metadata from third-party contracts, executive summaries, and automated risk scoring. The proposal form also requests that respondents indicate any material deviations or non-material exceptions to the RFP requirements.
