Summary of Bid Amendment #5 – T3163 Law Enforcement Equipment and Technology Solicitation

This document is Bid Amendment #5 to Bid Solicitation Number 26DPP01263, issued by the New Jersey Department of the Treasury, Division of Purchase and Property on August 13, 2026. The amendment provides answers to questions submitted during the electronic question and answer period (which ended May 27, 2026) and includes revisions to the original bid solicitation documents. The T3163 solicitation is a statewide indefinite-delivery, indefinite-quantity procurement for law enforcement equipment and technology across nine product categories: laser/radar speed detection equipment and speed monitor trailers; Chemical, Biological, Radiological, Nuclear and Explosives (CBRNE) detection and mitigation products; area security equipment; police in-car video solutions; police body camera solutions; interview room camera solutions; Automated License Plate Reader/Recognition (ALPR) surveillance systems; unmanned aerial vehicles/drones; and bioterrorism/biodefense detection equipment. Each category includes both hardware price lines and corresponding service price lines covering installation, consulting services, hardware/software configuration, training, and repair services. The original question and answer deadline was extended from May 13, 2026 to May 27, 2026, with multiple quote submission deadline extensions ultimately setting the final deadline for September 25, 2026 at 2:00 p.m. Eastern Time. The State awards contracts to all responsive bidders submitting compliant quotes and extends contracts to more than 2,800 cooperative purchasing participants through the NJSTART eProcurement system.

Bidders must submit firm, fixed percentage discounts or markups from manufacturer price lists for hardware categories and not-to-exceed hourly rates for service categories, with the ability to offer multiple brands per category. The solicitation includes Small Business Enterprise (SBE) and Disabled Veteran-Owned Business (DVOB) set-aside preferences applied during the mini-bid evaluation phase. Key clarifications in Amendment #5 address data ownership (all State Data remains the exclusive property of the State with no contractor retention rights for any purpose including product improvement), Third-Party Information Security Questionnaire requirements (not required if the bid contains no networked hardware, software, or cloud-based solutions), pricing adjustment procedures during the contract term, subcontractor utilization, warranty specifications (one-year manufacturer warranty covering parts and service), and cybersecurity compliance requirements aligned with federal standards including the Secure and Trusted Communications Networks Act of 2019. The State declines to modify its standard terms and conditions, indemnification provisions, data security requirements, or termination procedures despite multiple bidder requests for revisions. No specific contract award value or minimum purchase guarantees are disclosed, as this is a best-value procurement with pricing held firm through contract issuance.

Bid Solicitation Section 3.13.12 Question: Section 3.13.12 of the Bid Solicitation states that the State “has executed a Confidentiality/Non-Disclosure Agreement which is attached to the Questionnaire” and instructs bidders to countersign and submit it with their Quote. However, reviewing Attachment 4 (State of New Jersey Security Due Diligence Third-Party Information Security Questionnaire), there is no NDA form included for countersignature. Could the State please provide the missing Confidentiality/Non-Disclosure Agreement so that we may review, countersign, and include it with our submission?

Answer: Bid Solicitation Attachment 4, the State of New Jersey Security Due Diligence Third-Party Information Security Questionnaire, has been updated to include the Confidentiality/Non-Dislcosure Agreement.

Please refer to Part 2 of this Bid Amendment and the revised Attachment 4 titled, “T3163 Revised Attachment 4 - State of New Jersey Security Due Diligence Third-Party Information Security Questionnaire 8.13.2026.”

Terms and Conditions/ Indemnification,

State of New Jersey Combined Standard Terms and Conditions Section 4.1

State of New Jersey Combined Standard Terms and Conditions, Section 9.2

Order of Precedence of Contractual Terms Bid Solicitation Section 1.4 Question: The State's Standard Terms and Conditions contain three different indemnification sections. Could you please confirm how these sections should be applied? Specifically, do all sections remain applicable, with the more specific sections superseding the general one when those contract types apply? Alternatively, does one specific section supersede all others and take precedence?

Answer: The indemnification language in the State Standard Terms and Conditions Section 9.2 shall control the terms of this Bid Solicitation.

Terms and Conditions/ Indemnification,

State of New Jersey Combined Standard Terms and Conditions Section 4.1

Question: Would the State consider clarifying that the Contractor's indemnification obligation is limited to claims arising from the Contractor's negligence, willful misconduct, or material breach, rather than any and all claims arising “directly or indirectly” from products supplied? Additionally, would the State confirm that the indemnification obligation does not extend to claims caused by the State's misuse of equipment or failure to follow manufacturer instructions?

Answer: The State’s expectation when it comes to indemnity obligations of its Vendors is that the Vendor will receive, address, and/or respond to the claim. Language that limits that obligation to circumstances arising from “Contractor’s negligence, willful misconduct, or material breach” creates a potential dispute between us. We value the certainty of indemnity without such disputes.

As stated in all Indemnity sections, “Contractor will be relieved of its responsibilities under Subsection A [i.e. Indemnity] for any claims made by a third-party that arise solely from the actions or omissions of the State, its officers, employees or agents.”

27
Terms and Conditions/ Indemnification,

State of New Jersey Combined Standard Terms and Conditions Section 4.1

Question: Given that the limitation of liability does not apply to indemnification obligations, would the State consider applying a reasonable aggregate cap to the indemnification obligations, or alternatively, confirm that the indemnification obligation under Section 4.1 is intended to cover only direct damages arising from proven Contractor fault?

Answer: The State will not alter or modify any language in the Indemnification provisions of the State of New Jersey Combined Standard Terms and Conditions.

State Data] is and shall remain the sole and exclusive property of the State.”

Please refer to Part 2 of this Bid Amendment and the revised Bid Solicitation titled “T3163 Revised Bid Solicitation 8.13.2026”.

Question: Specifically, can the Contractor retain the right to use anonymized and aggregated data (with no personally identifiable information) for purposes of product improvement and service optimization?

Answer: No, the Contractor cannot retain the right to use any State Data for any other purposes than what is expressly delineated in this Bid Solicitation and/or the State of New Jersey Combined Standard Terms and Conditions.

As revised, Bid Solicitation Section 5.4 states, in pertinent part:

“The State owns all State Data. Contractor shall not obtain any right, title, or interest in any State Data, or information derived from or based on State Data. Except as specifically required by the requirements of the Bid Solicitation, State Data shall not be disclosed, sold, assigned, leased or otherwise disposed of to any person or entity other than the State unless specifically directed to do so in writing by the State Contract Manager.” Moreover, additional language has been added to this Section, as follows: “Contractor shall not access, use, reproduce, disclose, sell, license, aggregate, de-identify, mine, or otherwise exploit State Data for any purpose other than performing its obligations under the Contract, and only as directed by the State. Contractor shall not retain State Data beyond the period necessary to perform such obligations.”

Bid Solicitation Section 6.7(a) states:

“Data Ownership. The State owns State Data. Contractor shall not obtain any right, title, or interest in any State Data, or information derived from or based on State Data.”

Moreover, Bid Solicitation Section 6.7(f) states (emphasis added in bold):

“Data Re-Use: All State Data shall be used expressly and solely for the purposes enumerated in the Contract Data shall not be distributed, repurposed or shared across other applications, environments, or business units of the Contractor. No State Data shall be transmitted, exchanged or otherwise passed to other contractors or interested parties except on a case-by-case basis as specifically agreed to in writing by the State Contract Manager.”

Lastly, Section 9.1(1) of the State of New Jersey Combined Standard Terms and Conditions states:

“The State will own all right, title and interest in its State Data that is related to the services provided by this contract. The Contractor shall not use or access State user accounts or State Data, except (i) in the course of data center operation, (ii) in response to the service or technical issues, (iii) as required by the express terms of this contract or (iv) at the State’s written request.

The Contractor shall not collect, access or use State Data except as strictly necessary to provide its solution to the State. State of New Jersey Combined Standard Terms and Conditions Section 9.1(4)(b)

Note: This question has been paraphrased in the interest of readability and clarity.

Answer: Immediate notification should be given to the State should a data breach occur, within 24 hours but no more than 72 hours, after learning about such a security breach.

Section 9.1(4)(b) of the State of New Jersey Combined Standard Terms and Conditions states, in pertinent part (emphasis added in bold):

State of New Jersey Combined Standard Terms and Conditions, Section 5.5

Question: Does the State expect Contractors to certify NDAA Section 889 compliance only at the time of contract award, or on an ongoing basis throughout the contract term? If a component is subsequently added to the FCC Covered List during the contract term, what is the expected remediation timeline, and will the Contractor be compensated for costs incurred in replacing non-compliant components?

Answer: When executing the Offer and Acceptance form the Bidder has certified that it has read, understands, and agrees to all terms, conditions, and specifications set forth in the Bid Solicitation and the State of New Jersey Standard Terms and Conditions and agrees to furnish the goods, products, and/or services in compliance with those terms;

All awarded Bidders will have an ongoing duty to ensure that they remain in compliance with the contract’s terms and conditions during the contract term and any extension(s) thereof, and to deliver only conforming goods, products, and services.

The State will not compensate or reimburse the Bidder for compliance costs or activities for itself or for its equipment. For a change in applicable law or regulation which affects the Contract after award, please reference Section 5.5 of the State of New Jersey Standard Terms and Conditions.

Data Residency/Service Performance Within U.S,

State of New Jersey Combined Standard Terms and Conditions Section 3.7 Question: Does the data residency requirement (U.S.-only) apply to all data associated with the contract, including system logs and telemetry data that may be transiently processed for support purposes?

Answer: Transient processing for support purposes is acceptable.

Audits/ Announcement of Quote Information, Bid Solicitation Section 3.3

Confidentiality/ Commitment to Defend, Bid Solicitation Section 3.13.7

Maintenance of Records and Audits, State of New Jersey Combined Standard Terms and Conditions, Section 5.15

Question: Would the State clarify whether there are limitations on the frequency of audits (e.g., no more than once per year for operational audits), and confirm that audits will be conducted during normal business hours with reasonable advance notice?

Answer: There is no pre-determined timeframe or frequency of audits. It is expected that audits would occur during normal business hours with advanced notice to the Contractor.

Would the State also confirm that the Contractor's proprietary/trade secret information unrelated to contract performance is excluded from audit scope?

Answer: Bid Solicitation Section 3.3 (Announcement of Quote Information), Subsection A. states, in pertinent part: “Information appropriately designated as proprietary and/or confidential in a Bidder’s Quote shall not be available for inspection and copying;”

Furthermore, Bid Solicitation Section 3.13.7 (Confidentiality/Commitment to Defend) states, in pertinent part (emphasis added in bold): “After the opening of sealed Quotes, all information submitted by a Bidder in response to a Bid Solicitation is considered public information notwithstanding any disclaimers to the contrary submitted by a Bidder. Proprietary, financial, security and confidential information may be exempt from public disclosure by OPRA and/or the common law when the Bidder has a good faith, legal/factual basis for such assertion.

When the Bid Solicitation contains a negotiation component, the Quote will not be subject to public disclosure until a notice of intent to award a Contract is announced.

As part of its Quote, a Bidder may request that portions of the Quote be exempt from public disclosure under OPRA and/or the common law. The Bidder must provide a detailed statement clearly identifying those sections of the Quote that it claims are exempt from production, and the legal and factual basis that supports said exemption(s) as a matter of law. The State will not honor any attempts by a Bidder to designate its State-Supplied Price Sheet, Price List/Catalog, and/or the entire Quote as proprietary and/or confidential, and/or to claim copyright protection for its entire Quote. If the State does not agree with a Bidder’s designation of proprietary and/or confidential information, the State will use commercially reasonable efforts to advise the Bidder. Copyright law does not prohibit access to a record which is otherwise available under OPRA.

In the event of any challenge to the Bidder’s assertion of confidentiality that is contrary to the State’s determination of confidentiality, the Bidder shall be solely responsible for defending its designation, but in doing so, all costs and expenses associated therewith shall be the responsibility of the Bidder. The State assumes no such responsibility or liability.

In order not to delay consideration of the Quote or the State’s response to a request for documents, the State requires that Bidder respond to any request regarding confidentiality markings within the timeframe designated in the State’s correspondence regarding confidentiality. If no response is received by the designated date and time, the State will be permitted to release a copy of the Quote with the State making the determination regarding what may be proprietary or confidential.”
