This addendum is issued to provide additional information, clarification, corrections, additions, deletions and/or answers to questions concerning the above referenced solicitation. All information provided in this addendum is incorporated into the solicitation document as set forth therein. All other parts of the solicitation have been maintained as originally distributed. This addendum supersedes any verbal and/or other instructions given to any bidder/proposer qualified to respond pursuant to the requirements set forth in the solicitation document.

I. DUE DATE

This Addendum does not change the solicitation due date. The solicitation due date remains Tuesday, November 4, 2025, at 2:00PM Local Time.

II. QUESTIONS AND ANSWERS (Q&A)

The City has received the following question(s) concerning the solicitation:

Q1. For Tab B, is it sufficient to submit each project in their SF330 Section F format or does the city expect to see a project data sheet in addition to the SF330 Section F format per project?

A1. Complete the Reference form Attachment “K” for five reference and any additional reference on

SF 330 Section “F”.

Q2. Both Tabs A and D say to include an organizational chart (SF 330 Section D). Which Tab does the City expect to see this?

A2. Clarification purposes please include in Tab A per section 5.

Q3. Aside from SF 330 Sections C-G, individual staff licenses/certifications, and Attachment "I", does the City expect to see information on proposed subcontractor staffing anywhere else?

A3. No.

Q4. In Section 1.04, Subsection B (ii), the RFQ mentions providing projects that are “completed and/or currently being provided,” and Section 5.03 further states that the focus.

Q5. As the RFQ currently reads, the only content in Tab G is Section H. If Section H is only to be included in Tab A instead of Tab G, as directed in Addendum 3, what does the City expect to see in Tab G?

A5. Section H should be included in Tab “G” ‘Additional Information”.

Q6. Section 3.10 states that Certificates of Insurance should be inserted under Tab `B`, while Section

5.06 lists them under Tab `E`. Could you please confirm which tab the Certificates of Insurance should be placed under?

A6. Correction include Certificate of Insurance in Tab “E”

Q7. My current understanding is that the City only expects to see subcontractor information on the organizational chart and Attachment "I". What am I missing?

A7. Must also complete SF 330 Section C - Proposed Team and select Subcontractor.

Q8. A previous question asked about where in our submittal to include experience profile codes, but the answer did not clarify. Can you please confirm where exactly in our submittal the City expects to see these codes?

A8. See Section 2.03.

Q9. Could the City please clarify if Attachment K References should go in Tab B Similar Projects? Or should Attachment K go in Tab G?

A9. Tab “B”

Q10. A previous question asked about how to depict our projects, but the answer did not clarify. Can you please confirm if the City expects to see each of our similar projects once (in SF 330 Section F format) or twice (once in SF 330 Section F format and again in our own format of choice)?

A10. Complete the Reference form Attachment “K” for five reference and any additional reference on SF 330 Section “F”.

Q11. Can the organizational chart be 11 x 17? Also, can we reduce the font from 12 point? This RFQ covers a wide variety of services, and the current requirements may not allow us to show the range of staff required for the contract.

A11. Yes, the chart can be on 11x17 folded. Font should be 12 points.

Q12. With the amount of respondents’ questions and various changes associated with the answers, will the City consider granting an extension?

A12. No.

Q13. Since Section H will be included in Tab A, does this mean we can remove Tab G altogether?

A13. Correction should be in Tab G is for additional information

Q14. Page 20 in the RFQ states “Currently valid Certificates of Insurance, insert Tab “B” and Local

Business Tax Receipt (formerly known as Occupational License) shall be placed under Tab “E” of your proposal.” Page 26 says to put insurance in Tab E. Should we include them in both or just one section?

A14. Correction include Certificate of Insurance in Tab “E”

Q15. Page 16, B is asking for “reserved”, and L is blank. What does the city want to see here?

Q16. Are we to include both attachment G addenda acknowledgement, and the addenda acknowledgement that comes with each addendum?

A16. Yes.

Q17. Under B. Demonstration of experience located on page 5 of the RFQ, #4 is asking “describe your law firm’s experience working with other municipalities”. Can the City clarify if this is an error?

A17. Yes, provide your firms experience you may have working with municipalities.

1. The awarded proposer(s) shall perform the following work upon Contract award.

i. Develop architectural and/or engineering design studies for potential projects.

ii. Complete budget development for potential projects.

iii. Prepare specifications and drawings for potential projects.

iv. Assist the City in preparation of Request for Proposal (RFP) or Invitation for Bid

(IFB) packages for assigned projects.

v. Provide construction administration services for assigned projects, including periodic review of works in progress and completed projects to ensure compliance with drawings and specifications.

vi. Contract for and review the drawings and specifications prepared by specialty design consultants; and

vii. Commission completed projects to ensure that they meet with the project drawings and specifications.

2. The following are projects phases that the awarded proposer(s) must complete, though not all phases will be required for all projects:

i. Study: Investigate the issue presented in an effort to gather sufficient information to then work to develop a resolution.

ii. Design Development: Utilize the information gathered in the Study phase to design a solution to the client’s issue.

iii. Construction Documents: Provide documentation of the solution to the issue which can be utilized in an RFP, ITN or IFB for a contractor to implement this solution.

iv. Bidding: Provide support during this phase for answers to questions or for Proposal review.

v. Construction Administration: Provide administrative review over the construction process once the contract has been awarded. This often includes walk-through visits of the site, preparation of meeting minutes, incremental inspection of the work, and review of contractor applications for payment; and

vi. Commissioning: Ensure that the work has been completed in compliance with the original construction documents.

D. Project Budget

i. The awarded proposer(s) shall provide updated budget estimates for the project as part of the Study, Design Development, and Construction Document phases.

E. Fees

i. Fee structure to be negotiated after qualifications selection, in accordance with CCNA.

The compensation must be fair, competitive, and reasonable.

ii. Basis for fee: may be lump sum, hourly rates, fixed per phase, cost-plus, or combination.

iii. For contracts (or phases) over applicable thresholds (per s. 287.017 and 287.055), require a Truth-In Negotiation Certificate: that wages rates, unit costs, etc. are accurate, complete, current at time of contracting.

iv. Scope of Work shall be outlined in Section 00860 Task Authorization Form.

F. The City is seeking to establish a new solicitation for the existing vendors under the Consultant Competitive Negotiation Act (CCNA). A described scope of work shall be developed for each study or service; and an individual work task authorization aka: work order will be assigned to accomplish the work. The size of the work task authorization will be limited to the financial constraints imposed by Section 287.055, Florida Statutes, for professional services secured from continuing contract.

G. Please note: If you have an existing contract under a previous solicitation for Consultant Competitive Negotiation Act (CCNA) you are required to resubmit a new solicitation if you provide Engineering Consulting Services to renew your contract. A new solicitation will be posted separately for additional services. Contracts over the five-year period are null.

i. Section 287.055(2)(g), Florida Statutes; defines a “continuing contract” is a contract for professional services entered into in accordance with all the procedures of this act between an agency and a firm whereby the firm provides professional services to the agency for projects in which the estimated construction cost of each individual project under the contract does not exceed $7.5 million. Beginning July 1, 2025, and each July 1, thereafter, the department shall adjust the maximum amount allowed on the preceding June 30 for each individual project in a continuing contract by using the change in the June-to-June Consumer Price Index for All Urban Consumers issued by the Bureau of Labor Statistics of the United States Department of Labor. The department shall publish the adjusted amount on its website; Study activity if the fee for professional services for each individual study under the contract does not exceed $500,000.00 or for work of a specified nature as outlined in the contract required by the agency, with the contract being for a fixed term or with no time limitation except that the contract must provide a termination clause. Firms providing professional services under continuing contracts shall not be required to bid against one another.

ii. In accordance with Chapter 119 of the Florida Statutes (Public Records Law); and except as it may be provided by other applicable State of Federal Law, all Proposer should be aware the Request of Qualifications (RFQ) solicitation and the responses thereto are in the public domain. Proposer are requested to identify specifically any information

contained in their Proposal which they consider confidential and/or proprietary and which they believe to be exempt from disclosure, citing specifically the applicable exempting law.

i. A generic notation that information is “confidential” is not sufficient. Failure to provide the Procurement Division with a detailed explanation and justification including statutory cites and specific reference to your Proposal detailing what provisions, if any, you believe are exempt from disclosure may result in entire Proposal being subject to disclosure in accordance with Chapter 119 of the Florida Statutes.

2.02 It is noted there are a number of disciplines listed in which related services will not be needed or used by the City at a level which predicates the need for establishment of a Master Contract. Therefore, since preparing a response requires time and effort, firms are welcome and encouraged to contact the Purchasing Manager of the City at 407.688.5028 for guidance or information regarding applicability of their firm’s specialty(s) to the needs of the city.

2.03 It is underscored that discipline and experience profile codes must be accurately reflected. In addition, if a firm is to be certified by the city in multiple disciplines, it is essential that resumes of key personnel, relevant projects and experience information include designations and notations regarding discipline and experience profile codes.

2.04 The City of Sanford Purchasing Department does not pre-qualify firms for CCNA solicitations. Firms must submit qualifications for each new CCNA solicitation for which they are interested in providing services.

2.05 The City does not guarantee the number of assignments, if any or the dollar value of fees for work tasks that may be assigned hereunder to any successful proposer. Any agreement resulting from this solicitation shall be non-exclusive and without limitations upon obtaining services from third parties as the City deems appropriate in its sole discretion.

Note: Failure to provide all information requested on each form may result in the rejection of your proposal at the sole discretion of the City.

2.06 Task Authorization Review and Approval Process

i. The City will request written proposal from the successful proposer(s) for each individual project.

ii. The Work Order is prepared and completed using Form Number Section 00860 Task

Authorization Form for Consultants Services, which will include a detailed summary of the proposed project, a detailed summary of the cost for each project and a scope of work. The proposed manager shall include the following attachments.

a. Section 00860, Task Authorization Form [should be detailed and outlined all tasks, deliverables, etcetera] and executed by the proposer(s).

b. A copy of the fully executed agreement (consultant RFQ).

c. The negotiated Price Sheet-breakdown [should be detailed to ensure pricing is pursuant to agreement] (i.e. for example, engineering services (10 hours) at $250 an

hour). A Schedule and Milestones [should be outlined a start date, substantial completion date, end date, all milestones (i.e. 30%, 60%, 90% plans etcetera) for deliverable].

iii. List of Sub-Contractors and/or Subconsultants [if applicable] on city form.

iv. Insurance Requirement Form executed- Section 00618.

v. The City will prepare the Purchase Order once the attachments are submitted to the proper department to proceed with the Scope of Work. No work shall begin until a Purchase Order is received by the City this is a city violation.

2.07 Key Personnel

The successful proposer(s) shall appoint a single representative with whom the City shall coordinate all Task Authorization. This representative shall have the authority to transmit instructions, receive information, interpret and deliver decisions on behalf of the successful proposer(s). If this representative is to leave the firm for any reason, the City shall be notified in writing within fourteen (14) days after said person leaves the firm. A new representative should then be assigned this role. The City must be notified if the proposer(s) acquires any changes during the contract term.

2.08 While it is anticipated the majority of efforts under this RFQ will primarily be conducted with the Public Works/Utilities Department, this contract will be open to use by various City departments including Community Development, Fire and Police, Parks etc. Therefore, there may be a variety of tasks solicited from a variety of perspectives and needs.

2.09 Response

i. Firms which desire to participate in this process are requested to respond to this solicitation as provided herein. One of the submission items included with this solicitation is Standard Form

330. It is noted that firms will be grouped and ranked in competition with other firms in the context of the applicable discipline(s) or function(s) as appropriate. The rankings grouped by discipline will be the basis for selection of firms with which to establish Master Contracts in the needed discipline or function area as consistent with the CCNA.

ii. It is noted there are a number of disciplines listed in which related services will not be needed or used by the City at a level which predicates the need for establishment of a Master Contract.

Therefore, since preparing a response requires time and effort, firms are welcome and encouraged to contact the Purchasing Manager of the City at 407.688.5028 for guidance or information regarding applicability of their firm’s specialty(s) to the needs of the City.

iii. It is underscored that discipline and experience profile codes must be accurately reflected. Also, if a firm is to be certified by the City in multiple disciplines, it is essential that resumes of key personnel, relevant projects and experience information include designations and notations regarding discipline and experience profile codes.

2.10 Preparation of Submission

i. Firms submitting a response to this request will be referred to herein as Proposer(s). proposer(s) who are preparing a response to this request are expected to examine this request including all relevant forms, terms, conditions, and instructions. All costs associated with preparation and submission of the statements of qualifications, and any other information shall be borne entirely by the proposer(s).

ii. Time is of the essence in the delivery of response to this solicitation and any other information or documentation as may be requested by the City in the evaluation and/or award process.

iii. Submissions and modifications thereof shall be enclosed in sealed envelopes, Attachment “J” is provided for your personal use. You shall provide the required forms, addressed to the office specified in the Attachment “J". Submissions received after the stated time and date will be returned to the sender unopened.

iv. A “black-out-period” is hereby established for the time frame between the time the request for statements of qualifications is issued and selection(s) are completed.

v. It is noted that attempts to contact Officers of the City, City Commission members and City employees other than through the indicated contact person(s) during this procurement process is contrary to the public interest due to the potential to distort, compromise and get in the way of the decision-making process. Therefore, attempts to contact, fraternize, or influence personnel indicated above may result in disqualification of a responding firm.

vi. Questions

a. It is the responsibility of the Proposer(s) to carefully examine the documents and information requested, provided or contained herein before and after and to report any ambiguities or inconsistencies to Purchasing Division at least seven (7) days prior to the submission deadline. Any Proposer(s) who is in doubt as to the true meaning of any part of the Solicitation Documents, or finds a discrepancy or omission therein, are requested to contact Purchasing Division by email at purchasing@sanfordfl.gov no less than seven

2.11 Any firm or individual desiring to provide A & E Professional Services must be a registered vendor through the State of Florida, a certified vendor that must follow Florida Statute laws, regulations, and governing City Policy as standards and practices to this solicitation.

i. Among the factors to be considered and evaluated in making this finding are the capabilities, adequacy of personnel, past record, experience of the firm or individual and other factors determined by the CITY to be applicable to the subject project. Additionally, the CITY will consider such factors as to whether a firm is a certified minority business enterprise; past performance; willingness to meet time and budget requirements; location; recent, current, and projected workloads of the firms; and the volume of work previously awarded to each firm by the agency, with the object of effecting an equitable distribution of contracts among qualified firms, provided such distribution does not violate the principle of selection of the most highly qualified firms. The agency may request, accept, and consider proposals for the compensation to be paid under the contract only during actual negotiations.

ii. The CITY reserves the right to declare any proposer(s) ineligible at any time during the process where developments arise which adversely affect the proposer(s) responsibility. Also, failure of a proposer(s) to observe any of the instructions and conditions contained herein before and after may constitute grounds for rejection of the relevant response.

2.12 The CITY reserves the right to conduct any investigation and consider any evidence relevant to the qualifications and capabilities of Proposer(s)to perform the work contemplated. The investigation may include, but is not limited to, a detailed review of references, current and previous entities for whom similar work has been performed, an inspection of the Proposer(s) facilities, equipment, personnel and any other evidence including financial, technical and other qualifications and abilities of the Proposer(s).

2.13 The CITY reserves the right to cancel a solicitation at any time prior to an award, to reject any and all responses and/or portions thereof.

2.14 The Proposer must submit evidence of registration with the Florida Department of Business Regulations (DBPR). The current license is the preferred form of documentation.

2.15 Prohibition Against Contingency Fees

The architect or register surveyor and mapper or professional engineer, as applicable warrants that he or she has not employed or retained any company or person, other than a bona fide employee working solely for the architect, registered surveyor, mapper or professional engineer, as applicable, to solicit or secure this agreement and that he or she has paid or agreed to pay any person, company, corporation, individual, or firm, other than a bona fide employee working solely for the architect, registered surveyor mapper or professional engineer, as applicable, any fee, commission, percentage, gift, or other consideration contingent upon or resulting from the award or making of an agreement resulting from this solicitation. "For the breach or violation of this provision, the CITY shall have the right to terminate the agreement without liability and, at its discretion, to deduct from the contract price, or otherwise recover, the full amount of such fee, commission, percentage, gift, or consideration.

2.16 Competitive Selection

i. The CITY will evaluate current statements of qualifications along with performance data on file together with those that may be submitted by other firms regarding the proposed project, and shall conduct discussions with, and may require public presentations by, no fewer than three firms regarding their qualifications, approach to the project, and ability to furnish the required services.

ii. The CITY will select in order of preference by discipline no fewer than three firms deemed to be the most highly qualified to perform the required services in each grouping by discipline. In determining which firms are qualified. The CITY will consider such factors as the ability of professional personnel; whether a firm is a certified minority business enterprise; past performance; willingness to meet time and budget requirements; location; recent, current, and projected workloads of the firms; and the volume of work previously awarded to each firm by the CITY, with the object of effecting an equitable distribution of contracts among qualified firms, provided such distribution does not violate the principle of selection of the most highly qualified firms.

iii. The CITY will not request, accept, and consider proposals for the compensation to be paid under the contract except during the actual competitive negotiation phase of the process. Do not submit compensation proposals unless and until specifically asks for them.

iv. Respondents are advised to carefully follow the instructions contained herein in to be considered fully responsive to this solicitation. Compliance with all requirements will be solely the responsibility of the Respondent. Failure to provide requested information and to follow the outline provided may result in disqualification of his/her response.

v. Note: that the CITY is not looking for responses which are textbook in that they only present what the process is, or “how to”. The CITY is looking for how the Responding Firm actually has completed the various processes indicated.

2.17 Submission Deliverable

i. The original submission shall be unbound printed on “8 ½ X 11” white paper, printed on one side. Items which do not conform to this requirement may be discarded and not be considered.

SECTION 3. GENERAL INSTRUCTIONS FOR PROPOSAL DELIVERY AND PREPARATION.

3.01 REQUESTING THE SOLICITATION DOCUMENT.

3.05 SOLICITATION DOCUMENTS FROM THIRD PARTY PROVIDERS.

The City of Sanford Purchasing Division, its website and its service provider VendorLink are the only authorized sources of solicitation documents/forms. Solicitation documents/forms obtained from any other third-party source may be an incomplete set of documents. Proposers using solicitation documents/forms obtained from any other third-party source are advised to contact the City’s Purchasing Division to provide a contact name, mailing address, phone number, fax number, and email address to obtain a complete set of solicitation documents and to enable notification of required addenda.

Reproduction of these documents without the express permission of the City is prohibited.

3.06 PRE-PROPOSAL CONFERENCE.

There will be no pre-proposal conference for this project.

IMPORTANT NOTE: It is imperative that all proposers have a clear understanding of the scope of services requirements. As such, the City reserves the right to change the non-mandatory pre-proposal conference or to schedule a pre-proposal conference; therefore, in the event a non-mandatory pre-proposal conference is required and/or subsequently scheduled, attendance will be a pre-requisite for submitting a proposal; and proposals will only be accepted from those who are represented at a mandatory pre-proposal conference. Attendance at the pre-proposal conference will be evidenced by the proposer’s/representative’s signature on the attendance roster. 3.07 INTERPRETATION AND QUESTIONS.

A. It is the proposer’s responsibility to become familiar with and fully informed regarding the terms, conditions and specifications of this RFQ solicitation. Lack of understanding and/or misinterpretation of any portions of this RFQ solicitation document shall not be cause for withdrawal of your RFQ response after opening or for subsequent protest of award. Proposers must contact the Purchasing Division prior to proposal opening, should clarification be required.

3.08 PREPARATION AND FORMAT.

Proposals should be prepared in a clear and concise manner to meet the requirements of the RFQ.

Emphasis should concentrate on conformance to the RFQ instructions, responsiveness to the requirements, as well as completeness and clarity of content.

3.09 PAGE LIMITATION.

Proposal packages shall be limited to not more than 75 PAGES, printed on a single side of paper, with a font no less than twelve (12) point.

Note: Required attachments and forms will not be counted in the 75-page limitation.

3.10 COMPLETENESS.

Proposals shall contain the information as required in this solicitation. Failure to submit all information as requested may result in a lowered evaluation score of the proposal. Proposals that are substantially incomplete or lack key information may be rejected by the City. The following list details the appropriate proposal format:

A. Selection dividers with tabs labeled. Tab “A” through Tab “G”, to identify each required criteria in Section 5;

B. All attachments shall be placed under the appropriate tab for that sub-section.

C. Currently valid Certificates of Insurance, insert Tab “E” and Local Business Tax Receipt

(formerly known as Occupational License) shall be placed under Tab “E” of your proposal.

3.11 JOINT VENTURES.

All proposers intending to submit a proposal as a Joint Venture are required to have filed proper documents with the Florida Department of State, the Division of Professions, Construction Licensing Board and/or any other state or local licensing Agency prior to submitting a proposal response. Please refer to Section

489.119 Florida Statutes.

Joint Venture Firms must provide an affidavit attesting to the formulation of a joint venture and provide either proof of incorporation as a joint venture or a copy of the formal Joint Venture Agreement between all joint venture parties, indicating their respective roles, responsibilities and levels of participation for the project.

3.12 CORPORATE STANDING AND AUTHORIZED SIGNATORY.

The proposer must demonstrate that the company is in good standing and that the person signing this proposal is an Authorized Signatory on behalf of the proposer to sign proposals, negotiate and/or sign contracts, agreements, amendments and related documents to which the proposer will be duly bound. The proposer must provide a copy of the State Certificate of Good Standing/Articles of Incorporation listing the officers of the company. In addition to the aforementioned documents, the Bidder/Proposer must include necessary information to verify the individual signing this proposal/bid and or any contract document has been authorized to bind the corporation. Examples include:

A. A copy of your Articles of Incorporation listing the approved signatories of the corporation.

B. A copy of a resolution listing the members of staff as authorized signatories for the company.

3.13 PROPRIETARY INFORMATION.

A. In accordance with Chapter 119 of the Florida Statutes (Public Records Law); and except as it may be provided by other applicable State and Federal Law, all Proposers should be aware the Request for Proposals (RFQ) solicitation and the responses thereto are in the public domain. Proposers are requested to identify specifically any information contained in their Proposals which they consider confidential and/or proprietary and which they believe to be exempt from disclosure, citing specifically the applicable exempting law.

B. A generic notation that information is “confidential” is not sufficient. Failure to provide the Purchasing Division with a detailed explanation and justification including statutory cites and specific reference to your Proposal detailing what provisions, if any, you believe are exempt from disclosure, may result in your entire Proposal being subject to disclosure in accordance with Chapter 119 of the Florida Statutes.

3.14 PROPOSAL REPRODUCTION.

Please submit six (6) copies of the proposal package, one (1) unbound original and five (5) bound copies.

The submittal MUST also include a single CD-ROM or memory stick containing the entire submittal formatted to be read with Microsoft® software products or Adobe® PDF software. Please ensure all applicable required submittal documents are included with your proposal.

3.15 PROPOSAL SUBMITTAL AND DELIVERY.

A. Sealed proposals must be received in the City’s Purchasing Division no later than 2:00 P.M. Local Time on Tuesday, November 4, 2025. Proposals received after the stated date and time will not be accepted and will be returned unopened. The City will not be responsible for any bid/proposal delivered incorrectly or to the wrong address or location. No exceptions will be made. Proposals shall be submitted and delivered to the below address in a sealed, opaque envelope or packaging material, plainly marked on the outside with the following:
