Answer 2:

See answer 1.

Question 3:

Paragraph 2.2.8 of the solicitation’s Performance Work Statement makes reference to the Calibration Laboratory Quality Manual. Can a copy of the Calibration Laboratory Quality Manual be provided as a part of this solicitation?

Answer 3:

See answer 1.

mailto:cindy.jensen@navy.mil mailto:sharla.vanbramer@navy.mil

Question 4:

Paragraph 3.2.3.12 states: Travel to worldwide locations to provide calibration and repair services for GPETE and ATE. What is the historical annual average number of days on travel to perform these services?

Answer 4:

Historically, the annual average number of days to perform the GPETE and ATE services is approximately 60.

Usually two contractor personnel will travel together

Question 5:

Paragraphs 3.2.5.7, 3.2.7.16, and 9.3 of the solicitation’s Performance Work Statement make specific reference to “drawings” yet there is no labor category for a Draftsman listed in Section L-317 (pages 111/112 of 126) or Attachment 2 of the solicitation. Should one of the following labor categories be listed: Drafter/CAD Operator I (SCA WD 30061), Drafter/CAD Operator II (SCA WD 30062), Drafter/CAD Operator III (SCA WD 30063), Drafter/CAD Operator IV (SCA WD 30064)?

Answer 5:

The Design/Test Engineer and/or Engineering Technician V would be expected to do this work.

Question 6:

Paragraph 6.0 of the solicitation’s Performance Work Statement as well as Section L-317 (paragraph 3.0, Subfactor 2, (a) (1), top of page 117 of 126) of the solicitation makes reference to Cyber Security Workforce (CSWF) Certification Requirements. Which labor categories/positions listed in Section L-317 (pages 111/112 of 126) and Attachment 2 of the solicitation require CSWF certification?

Answer 6:

The following categories are potentially subject to CSWF Certification: Program Manager, Supervisor Electronics Technician, Quality Assurance Manager, Material Acquisition Expert, Material Acquisition Specialist, Production Control Manager, Logistician, Warehouse Specialist, Quality Assurance Inspector II, Engineering Technician IV, Engineering Technician V, Project Analyst, and Supervisor Calibration.

Question 7:

Paragraph 9.3 of the solicitation’s Performance Work Statement (page 30) states: The contractor shall provide sufficient software seats or licenses for drawing tools to effectively execute development of various technical data packages, installation drawings, and system engineering drawings required under this contract. Since there is no labor category for a Draftsman listed in Section L-317 (pages 111/112 of 126) or Attachment 2 of the solicitation, is such software a requirement for this contract?

Answer 7:

The necessity of software licenses and seats will be dependent upon the requirements of a particular Task Order or Technical Direction Letter (TDL) that necessitates development of data packages, installation drawings or system engineering drawings. It is not expected that the contractor have these capabilities continuously in place. The development/modification of drawings usually occurs with a parts replacement due to obsolescence. It can also arise when documentation of a part or item does not exist and schematics are developed to aid in troubleshooting.

Question 8:

Section L-317, paragraph 2.3 Table (page 111 of 126) of the solicitation indicates straight hours for the Program Manager as 1,940. Is this a typographical error, and should it be 1,960 hours?

Answer 8:

The hours should reflect 1960. Section L-317, paragraph 2.3 table has been modified accordingly.

Question 9:

Section L-317 (page112 of 126) and Attachment 2 of the solicitation list Material Acquisition Expert as a labor category/position for this effort. SCA Directory of Occupations (Fifth Edition) specifically describes duties representative of Material Acquisition Expert, listing Supply Technician. Will the Government conform SCA occupation Supply Technician (SCA WD 01410) to Material Acquisition Expert in the Table on page112 of 126?

Answer 9:

No. The Government will maintain the labor category as Material Acquisition Expert. The Desired Personnel Qualifications indicate significant experience with commercial market acquisition techniques. The Supply Technician description from the SCA Directory of Operations 5th Edition does not emphasize commercial market acquisition techniques which represents a significant mode of material purchasing for depot operations. The Material Acquisition Expert skills will be needed to transact purchases of correct electronic and mechanical parts which will require familiarity with specifications. The position will also require understanding of estimated delivery times for requirements (due to repair or manufacturing time constraints) and decision analysis of cost vs. volume comparisons. The Supply Technician description puts emphasizes on the management of material inventories within the organizations environment but does not speak directly and with clarity to commercial acquisition skills. RFP Attachment 2, Desired Personnel Qualifications for Material Acquisition Expert has been edited to provide a better understanding of the desired Relevant Education and Relevant Experience.

Question 10:

Section L-317 (page112 of 126) and Attachment 2 of the solicitation list Material Acquisition Specialist as a labor category/position for this effort. SCA Directory of Occupations (Fifth Edition) specifically describes duties representative of Material Acquisition Specialist, listing Material Coordinator. Will the Government conform SCA occupation Material Coordinator (SCA WD 21030) to Material Acquisition Specialist in the Table on page112 of 126?

Answer 10:

No. The Government will maintain the labor category as Material Acquisition Specialist. The Material Coordinator description from the SCA Directory of Operations 5th Edition encompasses a wide range of duties that provide overall movement and proper sequence and timing of material availability for overall production. These functions are currently handled at each work center (i.e. type of equipment such as UHF, HF, TACAN) as part of the Electronic Supervisor’s management of that work center. The Material Acquisition Specialist will be researching necessary purchases from the Federal Supply System and placing orders via the Commercial Market. The function will require use of business software (i.e. Microsoft Office), the contractor’s particular acquisition tracking methods, and the Shop Workload Management System (SWMS) (Organic developed database for Production and Inventory tracking). RFP Attachment 2, Desired Personnel Qualifications for Material Acquisition Specialist has been edited to provide a better understanding of the desired Relevant Education and Relevant Experience.

Question 11:

Section L-317 (page112 of 126) and Attachment 2 of the solicitation list Field Engineer C4ISR as a labor category/position for this effort. SCA Directory of Occupations (Fifth Edition) specifically describes duties representative of Field Engineer C4ISR, listing Engineering Technician VI. Will the Government conform SCA occupation Engineering Technician VI (SCA WD 30086) to Field Engineer C4ISR in the Table on page112 of 126?

Answer 11:

No. The Government will maintain the labor category as Field Engineer C4ISR. The emphasis for the Engineering Technician VI is on design techniques and creativity. Most equipment in the depot is legacy equipment designs. The equipment and systems are installed on ships and shore commands in tightly controlled specific configurations. The attributes of design capability and creativity are not primary concerns in field visits to Navy Commands for system testing and repair/ restoration. Familiarity with testing and solving problems with existing fielded systems is the main attribute that will be required for the position. Therefore the labor category will remain as Field Engineer C4ISR.

Question 12:

Section L-317 (page112 of 126) and Attachment 2 of the solicitation list Field Engineer C4ISR as a labor category/position for this effort. Is this position the predominant traveler on this contract?

Answer 12:

Not necessarily. Since some services are provided to customers at their locations (repairs, testing, etc.), a field engineer may be advisable on site depending upon the work performed. The Field Engineer is not required in many cases where a single piece of equipment requires work (i.e. repair of RT-1107(V)7). The Field Engineer may be required if there are multiple systems that are being serviced, which may require functional testing of an entire radio frequency system, such as High Frequency Radio Group (HFRG), High Frequency System (HF), AN/WSC-3 SATCOM with DAMA, Single Audio System (SAS). The Field Engineer has a systems level knowledge and experience to successfully assess entire shipboard and shore systems. The Field Engineer may be a required traveler if the workload requires system wide testing and assessment. The Field Engineer may act as the contractor’s field representative if other technicians with more limited system experience accompany him/her during field visits.

Question 13:

Section L-317 (page 112 of 126) and Attachment 2 of the solicitation list Project Analyst as labor category/position for this effort. SCA Directory of Occupations (Fifth Edition) specifically describes duties representative of Project Analyst, listing Production Control Clerk. Will the Government conform SCA occupation Production Control Clerk (SCA WD 01270) to Project Analyst in the Table on page112 of 126?

Answer 13:

No. The Government will maintain the labor category as Production Control Manager. The Government notes the position is very similar to the Production Control Clerk referenced in SCA Directory of Occupations (Fifth Edition).

Many of the data and report generation requirements are identical. The Government understands this similarity but also realizes the need for robust communication elements that are not adequately identified in the SCA Directory of Occupations (Fifth Edition). Frequently changing supply requirements due to CASREPs, changing forecast demand, and urgent Fleet Support Project requests makes Production Control is a very demanding task given the necessary communications which involve warehousing actions, personnel rotations (due to needed skill sets for changing priorities), frequent fleet updates on delivery dates, and knowledge of timelines for product restorations, shipping, parts availability etc. Production Control is a many faceted “hub” position with the need for timely accurate communications across the spectrum of personnel from warehousing to sponsors.

Question 14:

Section L-317 (page 112 of 126) and Attachment 2 of the solicitation list Supervisor Calibration and Systems Calibration Technician as labor categories/positions for this effort. SCA Directory of Occupations (Fifth Edition) specifically includes occupations responsible for the calibration and certifying of electronic and physical/dimensional measuring and test equipment to technical specifications, maintaining traceability to the National Institute of Standards and Technology (NIST). Will the Government indicate in the Table on page112 of 126 which of the following SCA occupations conform to Supervisor Calibration and Systems Calibration Technician: Metrology Technician I (SCA WD 23591), Metrology Technician II (SCA WD 23592), or Metrology Technician III (SCA WD 23593)?

Answer 14:

No. The Government will maintain the labor category as Supervisor Calibration and Systems Calibration Technician. RFP Attachment 2, Desired Personnel Qualifications for Supervisor Calibration and Systems Calibration Technician has been edited to provide a better understanding of the desired Relevant Experience.

Question 15:

Section L-317, paragraph 3.0, Factor 2, (a), page 117 of 126 of the solicitation states: Cite at least one reference for work performed by the prime offeror, no more than one reference per subcontractor, and no more than X references total. Will the Government provide a numerical value in place of the X?

Answer 15:

Section L-317, paragraph 3.0, Factor 2, (a), of the solicitation has been revised to read “no more than six (6) references total”.

Question 16:

Section L-317, paragraph 3.0, Factor 2, (b), page 117 of 126 of the solicitation states: Part 15 of the Reference Information Sheet requires offerors to provide a summary description of contract work, not to exceed X additional single-sided pages in length, for each cited reference. Will the Government provide a numerical value in place of the X?

Answer 16:

Section L-317, paragraph 3.0, Factor 2, (b), of the solicitation has been revised to read “not to exceed three (3) additional single-sided pages in length”.

Question 17:

Attachment 2 of the solicitation lists Production Control Manager as a labor category/position for this effort. The “Relevant Experience” block for this position uses the phrase “This Clerk” throughout the narrative. Will the Government clarify if this is truly a managerial position or a clerk position? If the position is a Clerk position, will the Government conform SCA occupation Production Control Clerk (SCA WD 01270) in the Table on page112 of 126?

Answer 17:

The phrase “This Clerk” throughout the Production Control Manager narrative was an oversight. The phrase “The Manager” should be substituted in each case. The Government deems this a managerial position due to frequently changing priorities in the repair cycle. This manager must use judgment in re-positioning workload to achieve the required Repair Turn Around Time (RTAT) and CASREP and Unfilled Customer Orders (UCO). This requires frequent analysis of workload and employee skillsets. Frequent communications with work center employees and supervisors are necessary skills to facilitate the changes. Presentations at weekly production meetings are key to keeping the government informed. Because of the frequently changing environment and inputs, Government deems this as management position rather than a clerk.

Question 18:

It is noted that there is not an Attachment or Exhibit containing the CDRLs pertinent to this contract. Will the Government provide an Attachment or Exhibit containing the CDRLs?

Answer 18:

Upon identification of a requirement, the cognizant technical code will develop a Contract Data Requirements List (CDRL) consistent with the technical requirements of the effort. This will be provided at the task order level.

Question 19:

It is noted that escalation is not mentioned in the solicitation. Is escalation mandatory?

Answer 19:

Each offeror shall propose rates and/or any annual increases in accordance with their individual business practices and to the extent they believe their actual rates in the out-years will be higher than current rates.

Question 20:

Please confirm that the count for submission of hard copy proposal volumes, in Sec. L-439(d), supersedes the requirement of the SF 33, Item 9.

Answer 20:

Sec. L-439(d), supersedes the requirement of the SF 33, Item 9.

Question 21:

Request the proposal due date be extended for an appropriate period, once the above questions are answered, to allow adjustment of offeror proposals to the SSC Pacific responses.

Answer 21:

The offer due date has been extended to 06 April 2017. See block 9 of the SF30 for details.

Question 22:

Page 117 of the Solicitation, Section L-317 stipulates in Paragraph 3.0 (Volume III – Written Capability Information), 2. Factor II - Past Performance, subparagraph (b) that “…offerors provide a summary description of contract work, not to exceed X additional single-sided pages in length, for each cited reference.” Part 15 of Attachment 5 (Reference Information Sheet) stipulates that offerors “Provide a summary description of contract work, not to exceed two pages in length (Single or Double-spaced).” There are 50 subparagraphs that must be addressed within the cited PWS paragraphs (3.2.1, 3.2.2, 3.2.3, 3.2.5, and 3.5.9). In order to allow opportunity for offerors to adequately address the 50 subparagraphs, respectfully request the Government revise Part 15 of Attachment 5 and Section L-317, 3.0, 2. Factor II, Subparagraph (b) to read “…Offerors shall provide a summary description of contract work, not to exceed five (5) single-sided pages, for each cited reference.”

Answer 22:

Part 15 of Attachment 5 (Reference Information Sheet) and Section L-317, paragraph 3.0, Factor 2, (b), of the solicitation have been revised to read “…Offerors shall provide a summary description of contract work, not to exceed three (3) single-sided pages in length”. Attachment 5 has been modified accordingly.

Question 23:

Is there a deadline for questions?

Answer 23:

The offeror shall submit all questions electronically no later than 10 calendar days prior to proposal submission date.

Question 24:

RFP Attachment 3, Under column A – Government Labor Category, the instructions indicated that offerors should use the Government’s labor categories identified in Section L of the solicitation. The selections under the drop down does not include those labor categories.

We respectfully request the Government revise RFP Attachment 3 to include all the labor categories identified in Section L.

Answer 24:

RFP Attachment 3 – Rate Sheet has been modified to include all the labor categories identified in Section L.

Question 25:

Section B of the RFP lists CLIN 0001 as Engineering Services, CPFF, with Estimated Cost, fee and Total Est Cost + Fee, CLIN 0002 is Material Cost and CLIN 0003 is CDRL Cost – Not Separately Priced. Does the Government intend to include ODCs as part of the Material CLIN or will a separate CLIN # be provided for ODCs?

Answer 25:

ODCs are not a part of the Material CLIN nor will they have a separate CLIN. ODC and travel are to be included in the Engineering Services CLINs 0001, 0004, and 0007. ODC and travel do not include Fee.

The following have been modified:

L-317 SUBMISSION OF PROPOSALS (COMPLEX) (JUL 1999)

(a) Proposals shall be prepared and submitted as follows:

Volume I - Offer.

Volume II - Price/Cost Information.

Volume III - Written Capability Information.

Each volume must be separate and contain sufficient information to permit a detailed evaluation. Data previously submitted, if any, will not be used in the evaluation of your response to this RFP. Previously submitted data shall not, therefore, be included in your proposal "by reference." Do not submit any information that is not specifically requested by this solicitation.

Proposals shall be prepared on standard 8 1/2" by 11" formatted pages with 1" minimum margins. Volumes I has no page limitation; however, see paragraphs 2.0 and 3.0 below for page limitations of Volumes II and III respectively.

The type used shall be no smaller than Times New Roman, 10-point. In Volume I, pages shall be numbered consecutively within each Section, showing volume, section, and page. As an example, page 3 of Section B of Volume I would be numbered I-B-3. Pages in Volumes II and III shall be numbered consecutively, showing volume and page. As an example, page 12 of Volume II would be numbered "II-12."

Tables, figures and charts also will be numbered consecutively in each section and volume using the scheme shown above, with the exception that "Table," "Figure," or "Chart" will precede the number where appropriate.

1.0 VOLUME I - OFFER

An offer must consist of the following:

(a) Standard Form 33, “Solicitation, Offer and Award,” with blocks 14 through 18 completed by the offeror.

(1) No response is required for block 12. Regardless of any response provided in block 12, all offers submitted in response to this solicitation are deemed to be available for acceptance for a period of 240 calendar days from the solicitation due date/time.

(b) RFP Section B, “Supplies or Services and Prices/Costs,” with estimated cost and proposed fee (if applicable) for each priced contract line item.

(c) RFP Section K, “Representations, Certifications and Other Statements of Offerors,” completed by the offeror.

(1) Completion of annual representations and certifications via SAM is a requirement of solicitation provision 52.204-8, but it is not a sufficient response to Section K of the solicitation. All representations and certifications included in Section K must be completed, including DFARS provision 252.227-7017 which requires completion and signature even for a negative response.

(d) Statement of unconditional assent to all terms, conditions, and provisions included in the RFP.

(e) Acknowledgment of Amendments to the RFP (if any amendments are released).

(f) As applicable, the Contractor shall assert that they are in compliance with FAR 52.219-14(c)(1) clause, that at least 50% of the cost of contract performance incurred for personnel shall be expended for employees of the concern.

The completion and submission to the Government of the above items will constitute the offer. The offer must communicate the unconditional assent to the terms and conditions in this RFP, including any attachments and documents incorporated by reference. Acceptance of the offer will create a binding contract between the parties. The failure or refusal to assent to any of the terms and conditions of this RFP or the imposition of additional conditions or any material omission by the offeror may constitute a deficiency which may make the offer unacceptable.

The only way to correct a deficiency would be through discussions (see FAR 15.306(d)). However, the Government may award a contract without discussions as permitted by FAR 15.306(a) and 52.215-1. Therefore, please do not submit an offer that takes exception to any term or condition of this RFP or imposes any additional condition or omits any required information, without first consulting with the Contracting Officer. The Government reserves the right to conduct discussions and to permit offerors to revise their proposals, if it is determined to be in the Government’s interest to do so.

If desired, an offeror may include a proposal cover letter, not to exceed two pages in length, in Volume I. It is not intended that the cover letter be an executive summary; rather it may include summary information, such as points of contact.

2.0 VOLUME II - PRICE/COST INFORMATION (Not to Exceed 100 Pages)

2.1 General Instructions.

Submission of Volume II in accordance with this provision fulfills the requirement for a total compensation plan discussed in provision 52.222-46, Evaluation of Compensation for Professional Employees. A separate total compensation plan is not required for either the prime contractor or any subcontractors. In preparing the cost proposal, it is required that the offeror breakout and identify separately for each year of the contract (with the first year period beginning on date of award) and on a cumulative basis for all five years, the following types of cost elements:

a. Direct Labor - Identify the various labor categories and individual names (if known) intended for use under this contract including the number of labor hours, hourly labor rates, and total cost for each labor category proposed for each year of the contract. Do not submit average or composite rates for named individuals.

The labor specified under this category shall only be for the prime contractor's direct labor and shall not include any subcontracted labor (see Subcontracts below). The straight time hourly rates shall use a forty-hour week for the conversion of salaried employees to the hourly basis and shall be exclusive of loading factors (e.g., vacation, sick leave, holidays, overhead, G&A, and fee).

Attachment (2), "Desired Personnel Qualifications," is provided to offerors for use as a guide in the preparation of cost proposals. The qualifications identified in Attachment (2) represent the Government's estimation of the knowledge and experience necessary for successful contract performance.

b. Fringe Benefits - If applicable and in accordance with your normal accounting procedures, identify the fringe benefit rate(s) and total fringe benefit cost being proposed and identify the cost elements for which the fringe benefit rate is being applied.

c. Overhead - Identify the current and/or projected overhead rate(s) and total overhead cost proposed and identify the various cost elements for which overhead is applied. For bidding/proposal purposes, those offerors with different indirect rates for Government and contractor facilities must:

(1) Propose on - Government-site at SPAWAR Systems Center Pacific (SSC PAC) overhead rates (i.e., rates associated with performance at Government facilities) for 95% of the level of effort for each labor category specified in paragraph 2.3 below; and

(2) Propose off - Government-site rates (i.e., rates associated with performance at contractor facilities) for

5% of the level of effort for each labor category specified in paragraph 2.3 below.

d. Subcontracts

(1) Identification and Type of Subcontract – The offeror (Prime) shall provide a list of all subcontractors by name and specify the type of subcontract (e.g., CPFF, FFP or T&M). Subcontractors with an adequate accounting system for cost reimbursement type should be proposed CPFF. Subcontractors that do not have an adequate accounting system should be proposed as fixed price type (preferable) or T&M if the subcontractor requirements will not support fixed price. For each T&M subcontract proposed, the offeror shall explain in writing why no other contract type is appropriate.

(2) If subcontractors are proposed, submit the same detailed level of cost information as for the prime contractor. The subcontractor cost information can be submitted by the prime or the subcontractor may submit this information under separate cover directly to the Contracting Officer via the SPAWAR E- Commerce web site; see provision L-349.

e. Other

(1) Direct Cost - Identify any other direct cost elements proposed which are not included above but are applicable to the cost proposal (e.g., royalties, special tooling, material, and travel). Include the basis for the proposed amount. The decision as to whether costs are handled as direct or indirect costs rests with the offeror, but shall be consistent with the offeror’s accounting system.

(2) Indirect Cost - Identify any other indirect cost element being proposed which has not been included above and identify the various cost elements for which the rate is applied. Advise if the rates proposed are in accordance with any Forward Pricing Rate Agreements and period of the agreements.

(3) General and Administrative - Identify the General and Administrative (G&A) rate(s) and the total G&A cost proposed and identify the various cost elements for which the G&A is being applied.

(4) Facilities Capital Cost of Money (FCCOM) - If FCCOM is proposed, submit a completed DD Form 1861 entitled "Contract Facilities Capital Cost of Money." Documentation supporting the computations shall be submitted with the form.

(5) Fee - Identify the fee rate and total amount proposed and identify the various cost elements on which the fee is being applied. Do not propose fee on FCCOM, Material, Other Direct Costs (ODCs), or on any indirect costs that are applied to ODCs.

(6) The offeror and each subcontractor shall also complete and submit RFP Attachment (3), Rate Sheet, which includes direct labor rate, fringe benefit rate, and fully burdened rate information. This attachment includes instructions for completion.

(7) The cost breakdown shall indicate the offeror’s total proposed price for each year and the cumulative proposed price for all years. Any information submitted must support the cost proposed. Include sufficient detail or cross references to clearly establish the relationship of the information provided to the cost proposed. Support any information provided by explanations or supporting rationale, as needed, to permit the Contracting Officer and authorized representatives to evaluate the documentation.

Cost Matrix.

(a) The Government has provided a Cost Matrix in Microsoft Excel format as Attachment (4). All offerors, including their subcontractors (if any), are to submit the information requested in Volume II regarding such offerors’ price and cost in exact accordance with attached Cost Matrix. Offerors may incorporate whatever formulas correspond to their approved accounting systems for purposes of calculating the total price. Such formulas shall be visible and unlocked.

The Government intends to use the information contained in the Attachment (4) Cost Matrix for purposes of Price and Cost Realism Analysis. The Cost Matrix DOES NOT count against the page count limitation for Volume II.

The Cost Matrix consists of a single Microsoft Excel, 2010 spreadsheet with six (6) tabs: Cost Summary, Year I through Year V. Offerors shall not create additional tabs. Offerors shall provide the information for Solicitation Number, Prime Offeror, Subcontractors and DCAA Point of Contact Information. Offerors are responsible for creating formulas that accurately reflect the total values for all of the cost elements identified in the table. The “TOTAL” amount shall reflect the offeror’s total proposed price for the all contract years. Additionally, offerors MUST assure the values contained in the Cost Summary cells are automatically calculated and populated from the Year I through Year V tabs—such values MAY NOT be simply typed-in the Cost Summary cells. The Government understands offerors may have different cost elements based on each offeror’s individual accounting system.

Offerors may add elements as necessary to comply with their cost accounting systems. However, offerors shall assure the added cost elements are also contained within the Year I through Year V tabs.

YEAR I through YEAR V TABS

SCACode – SCA Labor category and level, if applicable.

RT Rate – Regular-time labor rate.

OT Rate – Overtime rate for non-exempt employees.

RT Hours – Total hours proposed at the Regular Time rate.

OT Hours – Total hours proposed at the Overtime Rate.

RT Amount – Total cost for Regular Time hours.

OT Amount – Total cost for Overtime hours.

The Year I through Year V tabs are divided into two sections: The top portion contains the Indirect Rates. Offerors shall populate the highlighted “RATES” column with the applicable indirect rates. Offerors are not required to utilize all of the categories of indirect rates provided by the Government. Offerors may add or rename Indirect Rate Elements in the top portion of the spreadsheet. However, offerors must assure the elements and rates entered into the top portion of the Cost Matrix spreadsheet will populate the yellow-colored rate cells within the lower portion of the spreadsheet.

The lower portion of the Year I through Year V tabs contains columns for the various Direct Cost Elements: Direct Labor (both Government-site and Contractor-site), Subcontractor Labor, and Other Direct Costs (ODCs). Offerors shall enter the RFP Labor Categories and the corresponding rates. This portion of the spreadsheet also contains the indirect rates, populated from the indirect rates entered by offerors in the top portion of the spreadsheet. Offerors may enter up to two different indirect and direct rates for the Year I through Year V periods corresponding to the offeror’s fiscal year rates. Offerors shall assure the lower portion of the spreadsheet correctly references the appropriate rate element and value from the top portion of the spreadsheet. Offerors shall use the labor categories and annual level of effort set forth in 2.3 below. Offerors MUST propose a minimum of the total annual level of effort for the Year I through Year V period of the contract. Failure to propose at least the minimum annual level of effort for the Year I through Year III periods (inclusive of Prime and Sub-contractor effort) may be viewed as a material deviation from the RFP requirements, and a basis for the Government to determine such an offeror’s proposal unacceptable.

Offerors must include the necessary formulas to apply their indirect rates to the direct rates in accordance with the offeror’s approved accounting systems. All cells must remain unlocked and editable when submitted to the Government. For purposes of rate estimation, offerors shall assume an August 2017 award date. The “Contractor’s Fiscal Year I” tab shall contain the offeror’s Fiscal Year 2017 rates for all indirect and direct rates. Offerors shall refer back to the Year I tab for all rates, indirect and direct, entered into the Year II through V tabs. For example: If the rate for a Program Manager in Year I is $45.00/hr., and the offeror anticipates a 1.3% increase in the Year II rate, the Year II rate cell for the Program Manager should utilize the appropriate formula to refer back to the Year I rate, and increase the same by 1.3%. Offerors must assure the totals for all elements entered into the Year I through Year III tabs are accurate and tabulate within the Cost Summary tab.

(b) Do not submit average or composite rates for named individuals. Current, actual unloaded rates are to be submitted for each named individual proposed. As discussed in the FAR 52.237-10 “Identification of Uncompensated Overtime” provision, actual hourly rates submitted shall be derived by dividing the proposed individual’s actual annual salary by 2080 hours, which is based on a 40 hour work week. Any uncompensated overtime proposed shall be clearly identified in the matrix and will be evaluated in accordance with the FAR 52.237-10 “Identification of Uncompensated Overtime” provision in Section L of this solicitation.

(c) There are no key personnel labor categories in this solicitation. Resumes are not required to be submitted and will not be evaluated if included in offeror proposals. Individual task orders may include key personnel and resume requirements.

2.3 Estimated Level of Effort.

(a) The quantities of labor hours for each labor category shown below, which are to be used by the offeror for computing total labor costs, represent the Government’s current best estimate of requirements. This information shall be used by the offeror to populate the Cost Matrix referenced in 2.2 above. The Government; however, can guarantee neither the estimated quantities of man-hours shown for individual labor categories nor the total estimated staff hours. If the offeror does not propose the below level of effort, it may be considered unacceptable. It is recognized that some of the labor category titles used in the solicitation may not exactly match the titles normally used in a particular company operation. Accordingly, in order to permit a rapid comparison between the anticipated labor team shown below and the offeror’s actual labor mix, each proposal must provide the following in addition to the Cost Matrix:

(1) A statement of the Offeror’s normally used nomenclature for each labor category included herein, together with a copy of the Offeror’s own position description for each labor category.

(2) A statement of any additional labor categories, estimated hours and related qualifications for labor cost that will be a direct cost based on the offeror’s accounting systems (e.g. management and administrative labor costs.)

(3) Subcontractor labor hours at all tiers should be shown in the same manner as described in paragraphs

(1) and (2) above.

(4) Annual estimated hours are as follows:

SCA Occupation Code

(b) The Government’s level of effort identifies several labor categories subject to the Service Contract Act.

Offerors shall not propose alternate SCA occupational categories, and codes. If the offeror’s actual compensation for the identified SCA categories exceeds the rates set forth in the attached Wage Determination, the offeror shall propose realistic rates based on the offeror’s expected compensation.

2.4 Other Direct Cost and Material.

(a) The Government’s best estimate of annual Other Direct Cost (ODC) and Material is set forth below. The

Government cannot guarantee the amount for each category or the total estimated amount. If the offeror does not propose the below ODCs, it may be considered unacceptable. Additionally, these amounts do not include any provision for G&A expense or other loading factors. Offerors shall not propose fee on ODCs and Material.

Basic Period Option Period Year 1 Year 2 Year 3 Year 4 Year 5 Total Cost

ODC $ 82,790 $ 82,790 $ 82,790 $ 82,790 $ 82,790 $ 413,950

Material $ 8,517,840 $ 8,517,840 $ 8,517,840 $ 8,517,840 $ 8,517,840 $ 42,589,200 Total Cost $ 8,600,630 $ 8,600,630 $ 8,600,630 $ 8,600,630 $ 8,600,630 $ 43,003,150

(b) Offerors shall use the stated amounts in the preparation of their cost proposals, except as stated in paragraphs (c) and (d) below. For ODC and Material, offerors shall propose amounts that are the sum of the Government estimated amount and any indirect cost applied to the Government estimated amount.

(c) If the offeror has reason to consider the amounts estimated by the Government are understated, the offeror shall notify the Contracting Officer in writing. The offeror shall provide a revised estimate and a detailed basis for the revision(s). If the Government finds the rationale to be sound/compelling, the Government will amend the solicitation accordingly. The same is true if the offeror considers the amount is overstated.

(d) If, based upon the offeror’s accounting system or disclosure statement, the offeror considers the amounts estimated by the Government to be overstated (e.g., an item is included as an element of an indirect expense pool), the offeror may reduce the amount(s). If such a reduction is made, the offeror, as part of the initial cost proposal, shall provide a detailed explanation/justification to substantiate the reduction. The Government reserves the right to adjust any assessment if the basis for the reduction is deemed to be unrealistic or inadequate.

(e) Failure of other direct cost categories/amounts, either as stated herein or proposed, to materialize during actual contract performance shall not constitute a constructive change to or breach of the contract and shall not form the basis for any fee adjustment whether pursuant to the changes clause or otherwise.

(f) Similarly, since ODC and Material are not fee bearing, if actual ODC and Material required for performance are in excess of those estimated or proposed, the difference shall not form the basis for any fee adjustment, whether pursuant to the changes clause or otherwise.

2.5 Uncompensated Overtime and Professional Employees.

Proposals that include hourly rates for exempt employees which are based on more than a 2,080 work-year shall be identified as Uncompensated Overtime as defined in the FAR 52.237-10 “Identification of Uncompensated

Overtime” provision in this solicitation. If an offeror decides to include uncompensated effort in their proposal, the following requirements shall be met and reflected in the proposal:

(a) The offeror must have an established cost accounting system that is adequate for determining costs applicable to the contract, and that records all hours worked, including uncompensated hours, for all employees, and regardless of contract type. The Contracting Officer is required to make an affirmative determination regarding the adequacy of the offeror’s accounting system prior to award. If the Contracting Officer is unable to make such a determination, the offeror will be ineligible for contract award.

(b) Uncompensated hours, for all employees and regardless of contract type, shall be included in the offeror’s base for allocation of indirect costs and meet the requirements of Cost Accounting Standard (CAS) 418 “Allocation of Direct and Indirect Costs.”

(c) The proposal shall clearly identify hours of uncompensated effort proposed by labor category.

(d) The proposal shall clearly identify the amount of uncompensated effort that will be performed without supervision and without support personnel and shall assess the productivity of such effort. Additionally, clearly identify the means by which the offeror controls or schedules uncompensated overtime for its employees as well as where the uncompensated effort will be accomplished.

(e) The proposal shall describe the extent to which employees are required or encouraged to perform uncompensated effort and the impact the use of uncompensated effort has on work effectiveness.

(f) The proposal shall include a copy of the corporate policy addressing the uncompensated effort.

(g) The proposal shall include a separate, complete, cost breakdown, to the same level of detail as the breakdown supporting the cost proposal. The breakdown shall include direct labor rates for all direct labor categories based on the division by 2,080 of exempt employees actual annual salary, to represent a standard (as deemed by Fair Labor Standards Act) 40-hour week or 2,080 hour standard year. In addition, the breakdown shall include overhead rates and other costs based on employees working a standard 40-hour workweek or a 2,080 hour standard year.

(h) The requirements stated in paragraph (a) through (g) above shall be met for each subcontract which has uncompensated effort included in the proposal.

2.6 Proposal of Fee on Indefinite Delivery Type Contracts.

Offerors shall not propose fee on ODCs and Material.

The prime contractor shall propose fee as follows:

(1) The prime contractor fee on subcontractor total cost (including fee), and;

(2) The prime contractor fee on prime contractor cost.

The sum of these two fee amounts comprises the proposed total fixed fee that shall be proposed in Section B.

The Government will derive the offeror’s proposed fixed fee rate by taking the total proposed fixed fee amount (inclusive of subcontractor fixed fee, if any) over the total direct labor costs. The resultant fixed fee rate shall be the maximum allowable fixed fee rate for all task orders issued under the resultant contract for all Cost Plus Fixed Fee CLINs.

Also, prime contractor proposals shall, as a minimum, separately identify the cost and fee of each subcontractor proposal.

2.7 Corporate Cost Information.

Submit the following information as part of your proposal, Volume II, Price/Cost Information:

(a) Copies of the most current Forward Pricing Rate Agreement (FPRA) and/or DCAA audit report for the offeror’s/subcontractor’s direct labor and indirect rates.

(b) Accounting system adequacy documentation as follows:

(1) Unless the company has never been audited by DCAA, include a copy of the most current report that includes the cognizant DCAA office’s review of the contractor’s/subcontractor’s accounting system. If the most current information is provided in either of the reports required in section (a) directly above, the offeror does not have to provide an additional copy. Repetition of the same information is not necessary.

(2) If the accounting system has not yet been recommended as adequate by DCMA or DCAA, please provide the name of the accounting system the contractor/subcontractor will use in regards to this requirement as well as the below additional information.

a. Please describe how the accounting system provides for segregation of direct costs from indirect costs.

b. Please…
