Financial Data Requirements

1. Financial statements for your three most recently completed fiscal years and the most recent interim financial statement if available, inclusive of balance sheet, income statement, and cash flow statement (source & application statements). Footnotes should not be removed.

These statements, if not compiled or audited by a CPA, must be certified by an officer of the company in accordance with DFARs 232.072-2(b) (1) (ii). The certification statement should state that to the best of your knowledge and belief, the financial data and accompanying notes to the financial statements are accurate and complete as prepared from the company’s general accounting records as of a certain date. This certification must be signed and dated.

2. Include additional information that would serve to clarify your company’s financial statements (e.g., explanations of extraordinary items, adjustments, sale of assets, subsidiaries, etc.).

3. Provide a reconciliation of the retained earnings account on the most current balance sheet

(i.e., explain the difference between the prior year’s retained earnings balance and the current period balance).

4. Statement of your most current dollar sales backlog (unbilled in-house contracts) divided to show amounts funded and unfunded related to Government and Commercial contracts, plus the period of performance remaining on each contract (i.e., final delivery date). We would prefer this to be in Microsoft Excel format sorted by final delivery date. If this would be too extensive of a list, you can group by year or major customer.

5. Your company’s anticipated monthly dollar sales forecast for each of the next 18 months, divided to show amounts related to Government and Commercial contracts. We would prefer this to be in Microsoft Excel format.

6. A cash flow schedule (budgeted schedule) indicating the source of receipts/funds and distribution of funds/disbursements, including all contract backlogs and anticipated business, on a month-to-month basis for the next twelve months. Supporting schedules and/or assumptions should accompany the forecast to justify projections.

7. Identify your top four customers and the percentage of sales generated by each.

8. A copy of your most current bank statements to include cash in checking and savings accounts, certificate of deposits, money market funds, and any other "cash equivalents" that can easily be converted to cash.

9. Provide copies of any corporate or personal guaranty agreements and any unusually favorable creditor/vendor payment terms.

10. Copies of your most current accounts payable and accounts receivable aging reports shown at 30, 60 and 90-day intervals.

11. Indicate whether you are currently receiving progress payments on any Government contracts AND if you would be requesting progress payments or another form of government financing on the proposed contract. If you are receiving progress payments, please indicate if liquidation is current and the dollar amount of unliquidated progress payments (the portion of progress payments received, but not delivered), by contract number.

Financial Data Requirements

12. Loans, lines of credit and other debt instruments:

a. If your company has any existing loans or debt/bond payment schedules, please provide copies of the loan agreements and/or supporting documentation from your creditor to include the creditor’s name, location, amount of any loan and the point of contact’s name and telephone number.

b. If your company has any existing lines of credit (LOC), please provide the following documentation for each LOC:

1. Copies of the LOC to include any amendments, and

2. A letter from your financial institution stating the most current status of any

LOC to include:

a. Total dollar amount,

b. Amount owed/outstanding,

c. The amount available to borrow,

d. The interest rate, e.g., 1% over prime,

e. Maturity (expiration) date of the LOC,

f. If the maturity date is within 3 months from date of this letter, please state if it is the financial institution’s intention to extend the

LOC, and if so, what the new maturity date will be, and

g. Name, title, telephone number, and email address of the financial institution’s Point of Contact (POC) for the LOC(s).

c. If your company has any existing financial commitment letters for other efforts or this effort please provide documentation to include:

1. Copies of the Commitment letter,

2. Total dollar amount,

3. The interest rate, e.g., 1% over prime,

4. Maturity (expiration) date,

5. Name, title, telephone number, and email address of the financial institution’s Point of Contact (POC).

13. Please indicate whether “inventory” is pledged to any creditor as collateral.

14. Statement that payment of all state, local and Federal tax accounts is current. If not, please explain.

15. Contemplated capital expenditures and investments in fixed assets (asset repairs, replacements or additions). If any of these apply, what are the estimated dollars, what is the timeframe and what methods of financing will be used?

Financial Data Requirements

16. Are there any anticipated changes in the industry or the technology of your product/service that might affect your future business performance (in terms of your business base, investment/capital requirements, labor pool, profitability, etc.)? Include an assessment of current and future financial condition.

17. Information on bankruptcy filings, pending lawsuits, liens or judgments either by or against the company. If any, explain the:

a. current status of each (i.e., nature of issue, actual or potential dollar amount, date or expected timing of settlement) and,

b. if there will be a material adverse effect on the company’s financial position.

18. Please provide an organization chart for your company showing the relationship to your parent (and any intermediary) company, if applicable, and any other intercompany relationships (e.g., subsidiaries, affiliated entities, etc.).

19. Are there any planned or anticipated changes in ownership?

20. Please provide the one North American Industry Classification System (NAICS) number which best describes your company’s operations.
