3 REQUIREMENTS.

3.1 General. The work required by this contract shall be performed in accordance with the PS and this

SOW.

3.2 Detail Tasks.

3.2.1 Program, Subcontractor, and Quality Assurance.

3.2.1.1 Program Management. The contractor shall designate a single individual to serve as the primary point of contact (POC) between the Government and contractor, and who shall be responsible for the coordination of all contractor activities related to this contract. This individual shall have the authority to commit the contractor to specific courses of action and accept direction from the Contracting Officer, or from the Contracting Officer's authorized representative(s). This individual shall be responsible for coordinating all meetings between the Government and contractor; for bringing to the Contracting Officer's attention any conflicts in the contractor's interpretation of the contract requirements (first by telephone, followed by written notification); bringing to the Contracting Officer's attention any problems that could adversely affect the contractor's ability to meet the contract quality, cost, production/delivery schedule, or other performance requirements.

3.2.1.2 Post Award Meeting. The Government and contractor will coordinate a meeting within 30 days after contract award. The purpose of the meeting is to ensure mutual understanding of contract requirements and procedures. The contractor shall ensure its key operations and management personnel participate in the meeting.

The contractor shall provide a meeting agenda 5 days prior to conference start as well as provide the meeting minutes for Government approval within 10 calendar days after conference completion.

3.2.1.3 In-Process Reviews (IPRs). These reviews will be held only on an as needed basis at dates and locations mutually agreed upon by the Government and the contractor. The meetings generally are anticipated to be held only when production is in process. Issues such as ensuring compliance with contract requirements, problem identification and resolution, and actual versus expected manufacturing performance are the types of issues that might necessitate face-to-face meetings. The contractor shall provide meeting minutes for Government approval within 10 calendar days after IPR completion.

3.2.1.4 QA/QC System. The contractor's quality control system shall adhere to best commercial practices and ensure product conformance to contractual requirements. The contractor shall make available pertinent quality control documentation for the Government to review upon request. The Government reserves the right to discuss the plan with the contractor, especially if there are areas of concern or increased risk.

4 TEST AND EVALUATION.

4.1 Pre-production Validation (PPV). The Government will conduct PPV before authorizing production.

The contractor shall deliver fifty (50) ICWG pairs (10 of each size) pre-production samples no later than 60 days after contract award for Government inspection against the PS. The samples must meet all PS requirements. Upon receipt of the samples, the contractor can expect the PPV testing to last approximately 15 business days. If samples do not pass inspection, the Government may require the contractor to provide another fifty (50) ICWG pairs at the Contractor’s expense and the Government will repeat the PPV testing process. Any and all expenses incurred preparing for required retesting and/or revalidation process shall be at the contractor’s expense and at no cost to the Government. A Failure Analysis and Corrective Action Report (FACAR) shall be submitted to the Contracting Officer regarding any failures associated with PPV. The FACAR shall contain root cause analysis and corrective action for failure and containment actions for all items subject to the same failure mode. PPV testing is designed to demonstrate the adequacy and suitability of the contractor's production processes and procedures for achieving the requirements in the PS to the same or better performance level as demonstrated during source selection. Under no circumstances is the contractor authorized to proceed into production without written authorization from the cognizant Contracting Officer. If the contractor fails PPV, the Government reserves the right to terminate for cause at no cost to the Government.

5 CONFIGURATION MANAGEMENT.

5.1 PPV. All production quantities submitted after approval of the PPV shall be produced using the same raw material suppliers, materials, processes, procedures, equipment, and facilities that resulted in the manufacture of the acceptable PPV items. This includes all raw materials and/or sub-components. If the contractor desires to make changes to approved PPV items, to include raw material supplier and production processes, a written request must be provided in writing and must be approved by the Contracting Officer PRIOR to any changes being implemented.

The Contracting Officer, along with the Government Project Office, will determine if the request is approved or disapproved and if a new PPV is required.

5.2 Deviations. The Contractor shall not deviate from the Configuration Management (CM) process for the control of material utilized in PS. The Contractor shall furnish, with each lot submitted to the Government, the associated Certificates of Conformance (CoC) and lots of raw material used in each lot presented to the Government.

5.3 CoC. The contractor shall maintain within their CM process all material CoCs associated with PPV and deliverable items associated to each lot submitted to the Government and shall be provided to the Government upon request. The Government reserves the right to conduct varied or additional QA and or verification test against any or all requirements of the contract and or its specifications at any time as a condition of acceptance. The Government may choose, at its discretion, to have testing performed at either a Government or commercial test facility.. Any change is CoCs or variance must be pre-approved by the Government.

5.4 Baseline Management. Upon PPV approval, the contractor shall freeze the configuration of the ICWG.

The contractor shall be responsible for maintaining the currency and accuracy of the established baseline to ensure form, fit, and function of the ICWG.

5.5 Changes in configuration. The ICWGs to be produced under this contract are items over which the contractor has Configuration Management. For assurance that the Government consistently receives the same ICWG production units as those evaluated during the source selection and confirmed in the PPV approval process, or improved versions acceptable to the Government meeting the same or better performance attributes on which the initial award was based, the contractor agrees to notify the Government regarding any pending changes to the products to be manufactured for delivery under the contract. The Government reserves the right to accept the changes or to require the contractor to provide the previously approved versions.

6 PRODUCTION LOT QUALITY ACCEPTANCE TESTING.

6.1 Lot Acceptance Testing. Items produced shall be subject to the requirements contained in the PS and this SOW. During production, the DCMA Quality Assurance Representative (QAR) will conduct random sampling, inspection and acceptance to evaluate acceptability of the finished items, and validation of the quality plan on a production rate basis. Quality acceptance testing shall be conducted on all lots per the Glove Finished Dimensions and End Item Defects, and satisfactory results are required for lot acceptance. Lot size for the purposes of acceptance testing will be determined by the contractor. The Government will require only random sampling in accordance with ANSI/ASQCZ1.4 (sampling procedures and tables for inspection by attribute). For end item visual evaluation (i.e. defects), the inspection level shall be S-4 and the acceptable quality level (AQL) shall be 4.0. For end item finished dimensions, the inspection level shall be S-4 and the AQL shall be 2.5. For palletization, the inspection level shall be S-1 and the AQL shall be 6.5. For preparation, the inspection level shall be S-2 and the AQL shall be 2.5. During the course of production, the Government reserves the right to conduct additional testing to verify that production items continue to meet the desired material performance characteristics. The contractor shall receive notification of acceptance from DCMA prior to shipping any lot.

6.2 Quality Acceptance. End item acceptance shall be conducted on site by the DCMA QAR in accordance with the Quality Letter of Instruction which will be provided after contract award. Only ICWGs that have been produced utilizing the same methods used for the acceptable PPV samples shall be used during production. The contractor shall assign lot numbers to each lot produced and shall be able to track each lot number back to raw materials.

6.3 Nonconformance of Lot Acceptance Test. In the event that PPV or lot acceptance test (LAT) articles fail to meet requirements as described in the PS and this SOW, the Government will return the article(s) to the contractor who shall submit plans for the corrective action or disposition to the Government for approval. A FACAR shall be submitted regarding the respective failure associated with LAT. The FACAR shall contain root cause analysis and corrective action for failure and containment actions for all items subject to the same failure mode. The Government reserves the right to stop inspection and acceptance of production lots until the FACAR is approved in writing by the Government Contracting Officer. Disposition will depend on the nature of the failures and the discussion contained in the FACAR.

7 DELIVERY STATUS. The contractor shall provide a delivery status tracking spreadsheet (Excel format) that is updated and emailed with each delivery shipment. This cumulative document shall include current information on items shipped, quantity (by size when applicable), shipment date, shipment number, invoice number, delivery destination, delivery date, tracking information, and name and contact information of the individual that signed for the shipment at destination. This spreadsheet shall be emailed by the contractor to the Project Officer (Harvey Walker, Harvey.Walker1@usmc.mil) and the Contract Specialist (Wendy Minch, Wendy.Minch@usmc.mil) each time a shipment leaves the contractor’s facility.

8 ENVIRONMENTAL, SAFETY AND OCCUPATIONAL HEALTH. The ICWG shall pose no danger to users performing operations, provided they are operating within the operational bounds of the equipment and the ICWG is being utilized as designed. Safety and health hazards associated with the operation, transportation, maintenance, storage, and disposal of the ICWG shall be eliminated or controlled to acceptable levels.

9 WARRANTY. The Contractor warrants that the ICWGs are free from failures due to manufacturing defects, to include but not limited to workmanship, materials, or design failures, and compliance with the ICWG PS for 12 months from date of delivery.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

EVALUATION FACTORS FOR AWARD

This acquisition will utilize Lowest Price Technically Acceptable (LPTA) evaluation procedures. The Government will award (1) contract to the Offeror whose proposal is determined to be technically acceptable with acceptable past performance and the lowest evaluated price, who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR), and whose proposal conforms to the solicitation requirements.

The Government will organize offers by dollar value (lowest to highest) and will then begin the technical and past performance evaluation. The Government will review the lowest-priced offeror first for technical and past performance acceptability. The offeror must be acceptable in all factors listed in the solicitation to be considered technically acceptable. If the lowest-priced offeror is not technically acceptable with acceptable past performance, the Government will progress through the remaining offerors based on the next lowest-price until an offeror is determined to be technically acceptable with acceptable past performance. At that point, any remaining proposals will not be evaluated. Partial awards will not be made.

The Government intends to evaluate proposals and make an award on an "initial offer" without discussions. Should the Government determine discussions to be necessary; the Government will establish a competitive range and notify all Offerors of their inclusion or exclusion. Discussions will be held with those Offerors in the competitive range. Offerors eliminated from the competitive range will be notified in writing in accordance with FAR 15.503.

Upon receipt of Final Proposal Revisions(FPRs), the Government will organize offers by dollar value (lowest to highest) and will then begin the FPR technical and past performance evaluation. Only the Offeror determined to be technically acceptable with acceptable past performance, either initially or as a result of discussions, will be considered for award. Partial awards will not be made.

The technical evaluation board will use the following to represent the ratings given for the non-price factor set forth in the solicitation:

Factor 1 Technical Acceptability:

Sub-factor 1. Written Compliance with Performance Specification:

CoCs:

• Will be rated as acceptable/unacceptable as appropriate.

• Proposals providing CoCs will be cross referenced with the raw material list/table/matrix.

• CoCs will be evaluated against all material requirements in Tables I through V and end item requirements in

Table VI in the ICWG PS. Liner retention and dry thermal insulation, Clo, will not be evaluated. Any “Equal/Alternative” material will be evaluated as discussed below. The CoCs shall validate that the ICWG meets the requirements as specified in section 3 of the ICWG PS.

• Offerors submitting CoCs and test data for an “Equal/Alternative” material, will be evaluated against all material requirements in Tables I through V and end item requirements in Table VI in the ICWG PS, including Liner retention and dry thermal insulation.

• Failure to meet any one of the material and end item requirements referenced in Tables I through VI will render a proposal technically unacceptable.

• An Offeror’s failure to submit CoCs as specified shall render the proposal technically unacceptable.

• An Offeror’s failure to submit supporting test data for any “Equal/Alternative” materials shall render the proposal technically unacceptable.

• If CoCs and/or supporting test data fails to validate that the materials and end item meets the requirements as specified in section 3 of the ICWG PS, the proposal shall be technically unacceptable.

Factor 1 Technical Acceptability:

Sub-factor 2: Manufacturing/Delivery Capability

Information provided under instructions/Manufacturing/ Delivery capability will be used to evaluate the Offeror’s ability to deliver 36,835 ICWG, to the Government within a twelve month period to begin after approval of pre-production validation (estimated to be 16 December 2014). Further, the Government will evaluate an offeror’s quality assurance plan for effectiveness in ensuring reliable manufacture of items conforming to technical requirements throughout the contract period of performance. Offerors must provide all required information;

missing information can be deemed as an unacceptable proposal. Manufacturing and Delivery Capability will be rated as Acceptable/Unacceptable as appropriate.

Factor 2 – Past Performance

Past performance shall be evaluated as “acceptable” or “unacceptable” basis using the ratings identified below:

PAST PERFORMANCE EVALUATION RATINGS

Rating Definition

Acceptable

Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

Note: In case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

Factor 3- Subcontractor Plan:

The Small Business Participation Factor will receive a rating of acceptable or unacceptable, along with a narrative evaluation. For an offeror’s participation to be acceptable, the proposal must include a reasonable portion of work to be subcontracted to SB, VOSB, SDVOSB, HUB, SDB, & WOSB. The Government will evaluate the reasonableness of the proposed small business utilization along with supporting rationale against the total contract value.

Reasonable will be judged as follows:

• The extent to which SB firms are specifically identified in proposals

• The extent for commitment to use SB firms,

• The complexity and variety of the work SB firms are to perform

• The extent of participation of SB firms in terms of the value of the total acquisition

• For large businesses only with a price proposal over the $650,000 threshold-reasonableness will be judged on compliance with FAR clause 52.219-9 Alternative II

Factor 4 - Price

Price Evaluation: The Government will conduct a price analysis using one or more of the techniques specified in FAR 15.404-1(b) in an effort to determine price reasonableness.

A total evaluated price will be calculated as follows: the sum of CLIN 0001 total price and the average of the total evaluated prices for all five ordering periods under CLIN 0002.

If a proposal fails to propose prices for all items and quantities, the Government may reject that offer as Unacceptable.

Unbalanced Pricing The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

(b) Options. (NOT APPLICABLE) The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
