SECTION SF 30 BLOCK 14 CONTINUATION PAGE

SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.

The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.

(k) System for Award Management. Small Business as the Prime Per FAR 19.702(b)(1), Small businesses are NOT required to submit Small Business Subcontracting Plans.

However, small businesses shall indicate the amount of effort proposed to be done by a small business either at the prime level or at the first tier subcontract level.

Large Business as the Prime Per FAR 19.702(a)(1), Large Business Offerors with a price proposal over the $650,000 threshold requirement SHALL submit a subcontracting plan with their proposal in accordance with FAR Clauses 52.219-8 and 52.219-9 Alternative II.

Subcontracting Plan. This solicitation contains FAR clause 52.219-9 “Small Business Subcontracting Plan and its Alternate II. The plan described and required by the clause including the associated subcontracting percentage goals and subcontracting dollars, shall be submitted with your proposal. Offerors must make certain that their subcontracting plan addresses all requirements stated under FAR Clause 52.219-9 Alternative II.

In accordance with FAR 52.219 Alt II, paragraph (d)(1), Offeror’s shall express subcontracting goals “in terms of percentages of total planned subcontracting dollars.” To this end, offerors are advised that current FY14 DoD subcontracting goals for this contract are 36.7% percent. Of that 36.7% goal, at least 3% is to be placed with HUBZone Small Business, 3% with Service-Disabled Veteran-Owned Small Business (SDVOSB), 5% with Small Disadvantaged Business (SDB) (per DFAR 219.704, DFAR clause 252.219-7003, and the FY14 DoD Procurement Goals – to include, as applicable, historically black colleges and universities or minority institutions) and 5% with Woman-Owned Small Businesses. The percentage goals for this solicitation apply only to the total dollar value of the work being subcontracted.

Offerors are advised that a proposal will not be rejected solely because the submitted plan does not meet the stated goals above. USMC will consider the amount of work being retained for performance by the prime contractor in house when determining whether a subcontracting plan is acceptable. The Offeror shall discuss the rationale for any goal proposed that is less than the Procurement Goals listed above.

Offerors shall ensure that the Subcontracting Plan provides the following types of firms identified in its proposal by name, address, point of contact and telephone number.

• Small Business

• Veteran Owned Small Business

• Service-Disabled Veteran Owned Small Business

• HUBZone Small Business

• Small Disadvantaged Business

• Women-owned Small Business Firms

Fill out the table below which provides a breakdown of the offeror’s proposed goals by small business category, expressed in terms of both a percent of Total Contract Value and a percent of Total Planned Subcontracts.

Small Disadvantaged Business

(SDB)

Women Owned Small Business Concerns (WOSB) Historically Black Colleges and Universities/Minority Institutions

*Although DFARS 219.704(1) states that “subcontracts with historically black colleges and universities and minority institutions do not have to be included in the small disadvantaged business goal in commercial items subcontracting plans”, the small disadvantaged business category of “Historically Black Colleges and Universities/Minority Institutions” is included to satisfy DFARS 215.304(c)(i) which states that the aforementioned small business category “shall be addressed in the solicitation.”

It is recommended that Offerors first complete Column B by entering the dollar amount the Offeror proposes to subcontract to each business category and subcategory.

To complete Column A, divide the dollar amount in Column B the total offered price of the proposal (that is, the total contract value).

To complete column C, divide the corresponding amount in Column B by the amount in the “total Dollars to be Subcontract” cell in Column B.

Note: the “Total Dollars to be Subcontracted” amount in Column C will always be that category divided by itself (100% if any dollars are subcontracted)

• Explain why percentages identified above are realistic for this solicitation. If goals proposed are less than the subcontracting goals required, the Offeror shall discuss the rationale for not being able to meet that goal.

• Provide the required descriptions, statements, and assurances under FAR Clause 52.219-9 sections (d) (1) through (11).

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

EVALUATION FACTORS FOR AWARD

This acquisition will utilize Lowest Price Technically Acceptable (LPTA) evaluation procedures. The Government will award (1) contract to the Offeror whose proposal is determined to be technically acceptable with acceptable past performance and the lowest evaluated price, who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR), and whose proposal conforms to the solicitation requirements.

The Government will organize offers by dollar value (lowest to highest) and will then begin the technical and past performance evaluation. The Government will review the lowest-priced offeror first for technical and past performance acceptability. The offeror must be acceptable in all factors listed in the solicitation to be considered technically acceptable. If the lowest-priced offeror is not technically acceptable with acceptable past performance, the Government will progress through the remaining offerors based on the next lowest-price until an offeror is determined to be technically acceptable with acceptable past performance. At that point, any remaining proposals will not be evaluated. Partial awards will not be made.

The Government intends to evaluate proposals and make an award on an "initial offer" without discussions. Should the Government determine discussions to be necessary; the Government will establish a competitive range and notify all Offerors of their inclusion or exclusion. Discussions will be held with those Offerors in the competitive range. Offerors eliminated from the competitive range will be notified in writing in accordance with FAR 15.503.

Upon receipt of Final Proposal Revisions(FPRs), the Government will organize offers by dollar value (lowest to highest) and will then begin the FPR technical and past performance evaluation. Only the Offeror determined to be technically acceptable with acceptable past performance, either initially or as a result of discussions, will be considered for award. Partial awards will not be made.

Factor 1 Technical Acceptability:

Sub-factor 1. Written Compliance with Performance Specification:

CoCs:

• Will be rated as acceptable/unacceptable as appropriate.

• Proposals providing CoCs will be cross-referenced with the raw material list/table/matrix.

CoCs and test data will be evaluated against all ICWG PS material requirements in Tables I through V, end item requirements in Table VI and Spectral Reflectance requirements in Table VIII (the requirement is only to meet 6 of the 14 wavelengths for spectral reflectance). Liner retention and dry thermal insulation, Clo, (specified in Table VI) will not be evaluated. Moisture Vapor Transmission Rate by ASTM E96 Method B (specified in Table I) will not be evaluated.

• Failure to meet any one of the material and end item requirements referenced in Tables I through VI will render a proposal technically unacceptable. Failure to meet 6 of the 14 wavelengths in Table VIII will render the proposal technically unacceptable.

• If CoCs and/or supporting test data fails to provide sufficient information for the Government to determine that the materials and end item meet the requirements as specified in section 3 of the ICWG PS, the proposal shall be technically unacceptable.

Factor 1 Technical Acceptability:

Sub-factor 2: Manufacturing/Delivery Capability

Information provided under instructions/Manufacturing/ Delivery capability will be used to evaluate the Offeror’s ability to deliver 36,835 ICWG, to the Government within a twelve month period to begin after approval of pre-production validation (estimated to be 16 December 2014). Further, the Government will evaluate an offeror’s quality assurance plan for effectiveness in ensuring reliable manufacture of items conforming to technical requirements throughout the contract period of performance. Offerors must provide all required information;

missing information can be deemed as an unacceptable proposal. Manufacturing and Delivery Capability will be rated as Acceptable/Unacceptable as appropriate.

Factor 2 – Past Performance

Past performance shall be evaluated as “acceptable” or “unacceptable” basis using the ratings identified below:

PAST PERFORMANCE EVALUATION RATINGS

Rating Definition

Acceptable

Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

Note: In case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

Factor 3- Subcontractor Plan:

The Small Business Participation Factor will receive a rating of acceptable or unacceptable, along with a narrative evaluation. For an offeror’s participation to be acceptable, the proposal must include a reasonable portion of work to be subcontracted to SB, VOSB, SDVOSB, HUB, SDB, & WOSB. The Government will evaluate the reasonableness of the proposed small business utilization along with supporting rationale against the total contract value.

Reasonable will be judged as follows:

• The extent to which SB firms are specifically identified in proposals

• The extent for commitment to use SB firms,

• The complexity and variety of the work SB firms are to perform

• The extent of participation of SB firms in terms of the value of the total acquisition

• For large businesses only with a price proposal over the $650,000 threshold-reasonableness will be judged on compliance with FAR clause 52.219-9 Alternative II

Factor 4 - Price

Price Evaluation: The Government will conduct a price analysis using one or more of the techniques specified in FAR 15.404-1(b) in an effort to determine price reasonableness.

A total evaluated price will be calculated as follows: the sum of CLIN 0001 total price and the average of the total evaluated prices for all five ordering periods under CLIN 0002.

If a proposal fails to propose prices for all items and quantities, the Government may reject that offer as Unacceptable.

Unbalanced Pricing The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

(b) Options. (NOT APPLICABLE) The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
