SUPPLEMENTARY CONDITIONS 008000 - 1

SECTION 008000 - SUPPLEMENTARY CONDITIONS

1.1 GENERAL

A. GENERAL CONDITIONS: Whenever the term "General Conditions" is used in the specification, it refers to GSA Form 3506 entitled "Construction Contract Clauses (Fixed Price)."

B. CLAUSES AND PROVISIONS: The designation FAR and GSAR in the clauses and provisions refer to the sources of the clauses which provide for their use. FAR refers to the Federal Acquisition Regulations and GSAR refers to the General Services Administration Acquisition Regulations. The FAR is published in Title 48 of the Code of Federal Regulations, Chapter 1 (48 CFR 1). The GSAR appears in Chapter 5 of Title 48 (48 CFR 5). Occasionally, the term "Alternate" appears in a title. This term reflects the selected alternate wording of the particular clause or provision which appears in the FAR or GSAR.

C. FAR 52.232-18 - AVAILABILITY OF FUNDS (APR 1984): Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

1.2 BONDS AND INSURANCE

A. INSURANCE: Refer to clause "Insurance - Work on Government Installation" of GSA Form 3506, Construction Contract Clauses (Fixed Price). The coverage specified in subpart

28.307 of the Federal Acquisition Regulations is the minimum insurance required.

1.3 SITE CONDITIONS

A. FAR 52.236-4 -- PHYSICAL DATA: Data and information furnished or referred to below is for the Contractor's information. The Government shall not be responsible for any interpretation of or conclusion drawn from the data or information by the Contractor.

1. The indications of physical conditions on the drawings and in the specifications are the result of the investigations by: McMullan & Associates.

1.4 PERFORMANCE

A. FAR 52.212-03 -- COMMENCEMENT, PROSECUTION AND COMPLETION OF

WORK (APR 1984): The Contractor shall be required to:

SUPPLEMENTARY CONDITIONS 008000 - 2

1. Commence work under this contract within one calendar day after the Contractor receives notice to proceed.

2. Prosecute the work diligently in accordance with the phased sequence of construction indicated on the Project Drawings.

3. It is the government’s intention to provide access to the site for construction work to start _(TBD by Contracting Officer)_ with completion of all specified construction no later _(TBD by Contracting Officer). The duration of the construction shall not exceed (TBD by Contracting Officer). The time stated for completion shall include final cleanup of the premises.

B. FAR 52.236-01 -- PERFORMANCE OF WORK BY THE CONTRACTOR (APR 1984):

The following clause supersedes the "Performance of Work by Contractor" clause in GSA Form 3506, "Construction Contract Clauses (Fixed Price):

1. The Contractor shall perform on the site, and with its own organization, work equivalent to at least: twenty five (25) percent of the total amount of work to be performed under the contract. This percentage may be reduced by a supplemental agreement to the contract if, during performance of the work, the Contractor requests a reduction and the Contracting Officer determines that the reduction would be to the advantage of the Government.

C. FAR 52.223-03 -- HAZARDOUS MATERIAL IDENTIFICATION AND MATERIAL

SAFETY DATA (APR 1984):

1. The Contractor agrees to submit a Material Safety Data Sheet (Department of Labor Form OSHA-20), as prescribed in Federal Standard No. 313A, for all hazardous material 5 days before delivery of the material, whether or not listed in Appendix A of the Standard. This obligation applies to all materials delivered under this contract which will involve exposure to hazardous materials or items containing these materials.

2. "Hazardous material," as used in this clause, is as defined in Federal Standard No.

313A, in effect on the date of this contract.

3. Neither the requirements of this clause nor any act or failure to act by the Government shall relieve the Contractor of any responsibility or liability for the safety of Government, Contractor, or subcontractor personnel or property.

4. The Contractor shall comply with applicable Federal, state, and local laws, codes, ordinances, and regulations (including the obtaining of licenses and permits) in connection with hazardous material.

5. The Government's rights in data furnished under this contract with respect to hazardous material are as follows:

a. To use, duplicate, and disclose any data to which this clause is applicable. The purpose of this right is to apprise personnel of the hazards to which they may be exposed in using, handling, packaging, transporting, or disposing of hazardous materials; obtain medical treatment for those affected by the material; and have others use, duplicate, and disclose the data for the Government for these purposes.

SUPPLEMENTARY CONDITIONS 008000 - 3

b. To use, duplicate, and disclose data furnished under this clause, in accordance with subparagraph (c)(1) above, in precedence over any other clause of this contract providing for rights in data.

c. That the Government is not precluded from using similar or identical data acquired from other sources.

d. That the data shall not be duplicated, disclosed, or released outside the Government, in whole or in part for any acquisition or manufacturing purpose.

e. That the Contractor shall not place the legend or any other restrictive legend on any data which the Contractor or any subcontractor previously delivered to the Government without limitations; or, should be delivered without limitations under the conditions specified in the Federal Acquisition Regulation in the clause at 52.227-18, Rights in Data.

6. The Contractor shall insert this clause, including this paragraph (6), with appropriate changes in the designation of the parties, in subcontracts at any tier (including purchase designations or purchase orders) under this contract involving hazardous material.

1.5 SUBCONTRACTING

A. FAR 52.244-1 -- SUBCONTRACTS UNDER FIXED PRICE CONTRACTS (APR 1984):

1. This clause does not apply to firm-fixed price contracts and fixed-price contracts with economic price adjustment. However, it does apply to subcontracts resulting from unpriced modifications to such contracts.

2. "Subcontract," as used in this clause, includes but is not limited to purchase orders, and changes and modifications to purchase orders. The Contractor shall notify the Contracting Officer reasonably in advance of entering into any subcontract if the Contractor does not have an approved purchasing system and if the subcontract:

a. Is to be a cost-reimbursement, time-and-materials, or labor-hour contract estimated to exceed $25,000 including any fee.

b. Is proposed to exceed $100,000.

c. Is one of a number of subcontracts with a single subcontractor, under this contract, for the same or related supplies or services, that in the aggregate are expected to exceed $100,000.

3. The advance notification required by paragraph (b) above shall include:

a. A description of the supplies or services to be subcontracted.

b. Identification of the type of subcontract to be used.

c. Identification of the proposed subcontractor and an explanation of why and how the proposed subcontractor was selected, including the competition obtained.

d. The proposed subcontract price and the Contractor's cost or price analysis.

SUPPLEMENTARY CONDITIONS 008000 - 4

e. The subcontractor's current, complete, and accurate cost or pricing data and Certificate of Current Cost or Pricing Data, if required by other contract provisions.

f. The subcontractor's Disclosure Statement or Certificate relating to Cost Accounting Standards when such data are required by other provision of this contract.

g. A negotiation memorandum reflecting:

1) The principal elements of the subcontract price negotiations.

2) The most significant considerations controlling establishment of initial or revised prices.

3) The reason cost or pricing data was or was not required.

4) The extent, if any, to which the Contractor did not rely on the subcontractor's cost or pricing data in determining the price objective and in negotiating the final price.

5) The extent, if any, to which it was recognized in the negotiation that the subcontractor's cost or pricing data was not accurate, complete, or current;

the action taken by the Contractor and subcontractor; and the effect of any such defective data on the total price negotiated.

6) The reasons for any significant difference between the Contractor's price objective and the price negotiated.

7) A complete explanation of the incentive fee or profit plan when incentives are used. The explanation shall identify each critical performance element, management decisions used to quantify each incentive element, reasons for the incentives, and a summary of all trade-offs possibilities considered.

4. The Contractor shall obtain the Contracting Officer's written consent before placing any subcontract for which advance notification is required under paragraph (b) above.

However, the Contracting Officer may ratify in writing any such subcontract.

Ratification shall constitute the consent of the Contracting Officer.

5. Even if the Contractor's purchasing system has been approved, the Contractor shall obtain the Contracting Officer's written consent before placing subcontracts that have been selected for special surveillance and so identified in the Schedule of this contract.

6. Unless the consent of approval specifically provides otherwise, neither consent by the Contracting Officer to any subcontract nor approval of the Contractor's purchasing system shall constitute a determination (1) of the acceptability of any subcontract terms or conditions, (2) of the acceptability of any subcontract price or of any amount

SUPPLEMENTARY CONDITIONS 008000 - 5

paid under any subcontract, or (3) to relieve the Contractor of any responsibility for performing this contract.

7. No subcontract placed under this contract shall provide for payment on a cost-plus-a-percentage-of-cost basis, and any fee payable under cost-reimbursement subcontracts shall not exceed the fee limitations in subsection 16.301-4 of the Federal Acquisition Regulation (FAR).

8. The Government reserves the right to review the Contractor's purchasing system as set forth in FAR Subpart 44.3.

9. Paragraphs (2) and (3) of this clause do not apply to the following subcontracts, which were evaluated during negotiations.

B. FAR 52.222-28 -- EQUAL OPPORTUNITY PREAWARD CLEARANCE OF

SUBCONTRACTS (APR 1984): Notwithstanding the clause of this contract entitled "Subcontractors," the Contractor shall not enter into a first-tier subcontract for an estimated or actual amount of $1 million or more without obtaining in writing from the Contracting Officer a clearance that the proposed subcontractor is in compliance with equal opportunity requirements and therefore is eligible for award.

1.6 PAYMENTS

A. GSAR 552.232-70 -- PAYMENT DUE DATE (APR 1984):

1. The required payment date under this contract will be as follows:

a. For progress payments, 30 calendar days after the approval by the Contracting Officer of the amount of the payment due to the Contractor. The term "progress payments" as used herein, signifies payments made as work progresses under the contract, upon the basis of costs incurred, of percentage of completion accomplished, or of a particular stage of completion, as provided for under the clause, "Payments to Contractor." As used herein this term does not include payments for partial deliveries accepted by the Government under this contract, or partial payments on contract termination claims.

b. For partial payments for complete delivered items of property or service, 30 calendar days after acceptance of the property or service. The term "partial payments," as used herein, means payments made under the contract for property delivered and accepted or services rendered and accepted, where such property or services are only a part of the total contract requirements.

c. For final payment, seven calendar days after the completion and acceptance of all work and the presentation to the Contracting Officer of both a properly executed voucher and a release of all claims against the Government, relating to this contract, other than claims in stated amounts as may be specifically excepted by the Contractor from the operation of the release.

1) The date of the check issued in payment or the date of payment by wire transfer through the Treasury Financial Communications System shall be considered to be the date payment is made.

SUPPLEMENTARY CONDITIONS 008000 - 6

2) Three (3) days prior to submitting application for progress of partial payments, contractor shall submit a draft copy of payment application to contracting office for review.

B. FAR 52.212 -- LIQUIDATED DAMAGES - CONSTRUCTION (APR 1984):

1. If the Contractor fails to complete the work within the time specified in the contract, or any extension, the Contractor shall pay to the Government as liquidated damages, the sum of $_(TBD by Contracting Officer)_ for each day of delay.

2. If the Government terminates the Contractor's right to proceed, the resulting damage will consist of liquidated damages until such reasonable time as may be required for final completion of the work together with any increased costs occasioned the Government in completing the work.

3. If the Government does not terminate the Contractor's right to proceed, the resulting damage will consist of liquidated damages until the work is completed or accepted.

C. FAR 52.212-6 -- TIME EXTENSIONS (APR 1984): Notwithstanding any other provisions of this contract, it is mutually understood that the time extensions for changes in the work will depend upon the extent, if any, by which the changes cause delay in the completion of the various elements of construction. The change order granting the time extension may provide that the contract completion date will be extended only for those specific elements so delayed and that the remaining contract completion dates for all other portions of the work will not be altered and may further provide for an equitable readjustment of liquidated damages under the new completion schedule.

D. FAR 52.212-11 -- VARIATION IN ESTIMATED QUANTITY (APR 1984): If the quantity of a unit-priced item in this contract is an estimated quantity and the actual quantity of the unit-priced item varies more than 25 percent above or below the estimated quantity, an equitable adjustment in the contract price shall be made upon demand of either party.

The equitable adjustment shall be based upon any increase or decrease in costs due solely to the variation above 125 percent or below 75 percent of the estimated quantity. If the quantity variation is such as to cause an increase in the time necessary for completion, the Contractor may request, in writing, an extension of time, to be received by the Contracting Officer within 10 days from the beginning of the delay, or within such further period as may be granted by the Contracting Officer before the date of final settlement of the contract.

Upon the receipt of a written request for an extension, the Contracting Officer shall ascertain the facts and make for adjustment for extending the completion date as, in the judgement of the Contracting Officer, is justified.

E. FAR 52.236-16 -- QUANTITY SURVEYS (APR 1984):

1. Quantity surveys shall be conducted, and the data derived from these surveys shall be used in computing the quantities of work performed and the actual construction completed and in place.

SUPPLEMENTARY CONDITIONS 008000 - 7

2. The Government shall conduct the original and final surveys and make the computations based on them. The Contractor shall conduct the surveys for any periods for which progress payments are requested and shall make the computations based on these surveys. All surveys conducted by the Contractor shall be conducted under the direction of a representative of the Contracting Officer, unless the Contracting Officer waives this requirement in a specific instance.

3. Promptly upon completing a survey, the Contractor shall furnish the originals of all field notes and all other records relating to the survey or to the layout of the work to the Contracting Officer, who shall use them as necessary to determine the amount of progress payments. The Contractor shall retain copies of all such material furnished to the Contracting Officer.

4. The Contractor shall conduct original and final surveys and surveys for any periods for which progress payments are requested. All these surveys shall be conducted under the direction of a representative of the Contracting Officer, unless the Contracting Officer waives this requirement in a specific instance. The Government shall make such computations as are necessary to determine the quantities of work performed or finally in place. The Contractor shall make the computations based on the surveys for any periods for which progress payments are requested.

1.7 INVOICE REQUIREMENTS

A. When an invoice is required to be submitted under this contract, the Contractor shall submit it in accordance with the following clause:

B. GSAR 552.232-72 -- INVOICE REQUIREMENTS (APR 1984):

1. Invoices shall be submitted in an original and two copies to the Government office designated in this contract or on the delivery order to receive invoices. To constitute a proper invoice, the invoice must include the following information and/or attached documentation:

a. Name of the business concern and invoice date.
