INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR RESPONDENTS
L001 - INFORMATION TO OFFERORS (ITO) AND INSTRUCTIONS FOR
PROPOSAL PREPARATION
1.0 PROGRAM STRUCTURE AND OBJECTIVES
The Government plans to award up to one (1) contract for the integration and kitting of the C-5M Core Mission Computer/Weather Radar (CMC/WxR). The CMC/WxR Program is designed to reduce the impact to the users’ Fleet Aircraft Availability (AA) by delivering CMC/WxR kits to the Depot for installation concurrent with Programmed Depot Maintenance (PDM) and Unscheduled Depot Level Maintenance (UDLM) efforts. These Depot actions are planned years in advance, creating a firm delivery requirement for kits that may not be changed. The timing for each Depot installation is also limited, ranging from less than 30 days to 55 days for the majority of CMC/WxR installations. Offerors should consider these key schedule limitations in their proposals.
1.1 Budget/Funding Information
Notice to Offerors: FY18-FY21 funds are included in the FY18 President’s Budget. Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an Offeror for any costs.
2.0 GENERAL INSTRUCTIONS
2.1 To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors and subfactors. The response shall consist of five (5) separate volumes: Volume I – Technical Proposal, Volume II – Price Proposal, Volume III – Past Performance, and Volume IV – Contract Documentation.
The Offeror's proposal must include all data and information requested by this ITO and must be submitted in accordance with these instructions. The proposal shall be compliant with the requirements as stated in the Statement of Work (SOW), Contract Data Requirements Lists (CDRLs), and Model Contract. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.
The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.
The proposal deadline for all copies (digital and hard copy) of the proposal is
27 Feburary 2018 as specified in the Request for Proposal (RFP) Cover Letter. The proposal must be received by the Government Not Later Than (NLT) noon (1200 hrs EST) on 27 Feburary 2018. In accordance with FAR 15.208(b)(1), any proposal, modification, or revision, that is received at the designated Government office after the exact time specified for receipt of proposals is “late” and will not be considered unless the Contracting Officer (CO) determines that accepting the late proposal would not unduly delay the acquisition.
The Offeror shall make a clear statement in the Contract Documentation Volume that the proposal is valid through 31 December 2018.
In accordance with FAR Subpart 4.8 (Government Contract Files), the
Government will retain one original hard copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals within 30 days of contract award.

Debriefings: The CO will promptly notify Offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, Offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful
Offerors in the competitive range of the source selection decision in accordance with FAR
15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing.
Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
Discrepancies: If an Offeror believes that the requirements in these instructions contains an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the Offeror is asking the CO to consider as related to the omission or error. Offerors are reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.
Electronic Reference Documents: All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) website at http://www.fedbizopps.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.
Communications: Exchanges of Source Selection Information between the Government and Offerors will be controlled by the CO. E-mail may be used to transmit information to Offerors only if it does not contain Source Selection Sensitive Information (FAR 2.101 & 3.104). Exchanges of Source Selection Sensitive Information must be accomplished using AMRDEC Safe Access File Exchange (https://safe.amrdec.army.mil/SAFE/) or encrypted e-mails. In order to facilitate the sending and receiving of encrypted e-mails, Offerors must use Microsoft Outlook e-mail configured to support encryption or a different e-mail product that is S/MIME compatible and configured to support encryption. If you intend to submit Source Selection Information via encrypted e-mail, you must contact the Contracting Officer and Buyer, indicated on the face page of the solicitation, prior to the first submittal in order to exchange Public PKI key credentials. See Attachment L006 to this Section L for instructions to exchange encrypted and signed e-mail. To ensure the process is working correctly, send a test encrypted message first (without including any source selection information).
Use of Non-Government Advisors: Offerors are advised that technical and price data submitted to the Government in response to this solicitation may be released to non-government advisors for review and analysis. The non-government advisor support will be provided by:

Page Limitations: Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and excess paper copies will be returned to the Offeror as soon as practical. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the Offerors. Each page shall be counted except the following: Cover Page, Table of Contents, Glossary, Acronyms and Index.
Page Size and Format: A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts, single spaced except for the reproduced sections of the solicitation document, and the text size shall be no less than 12 point Times New Roman font. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. Page size and format restrictions shall apply to responses to ENs. These limitations shall apply to both electronic and hard copy proposals.
Tables, Charts, Graphs and Figures: Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and may only be used for large tables, charts, graphs, diagrams and schematics, not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 8 point Times New Roman font. Transmittal letters will not be considered in overall page count nor will they be evaluated. These limitations shall apply to both electronic and hard copy proposals.
Pricing Related Data: All pricing data shall be addressed ONLY in the Price Proposal and Contract Documentation Volumes. Price trade-off information, work hour estimates, and material kinds and quantities may be used in other volumes only as appropriate for presenting rationale for alternatives or trade-off decisions.
Cross-Referencing: To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity.
2.3.5.1 Solicitation Cross Reference Matrix (CRM)
The Offeror shall provide a CRM indicating by ITO and SOW the corresponding proposal paragraph in that section which addresses the referenced item. The CRM is a management tool for both the Offeror and Government to ensure that no requirement is overlooked and therefore is not for evaluation purposes. Data in the matrix will not be evaluated in accordance with Section M. Deliver the CRM in tabular and Microsoft Excel 2007-2013 format or later. The Cross Reference Matrix is provided as Attachment L001 for you to complete and submit with your proposal.
Table of Contents / Indexing: Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections. Table of contents do not count against the page limitations for their respective volumes.
Glossary of Abbreviations and Acronyms: Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each.
Glossaries do not count against the page limitations for their respective volumes.
Binding and Labeling: Each volume of the proposal shall be separately bound in a three-ring, loose leaf binder permitting the volume to lie flat when open. Staples shall not be used. A cover sheet shall be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification, and the Offeror's name. The same identifying data shall be placed on the spine of each binder. All unclassified document binders shall have a color other than red or other applicable security designation colors. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
Electronic Proposals: The Offeror shall submit one (1) electronic copy, the content and page size of the electronic copy must be identical to the hard copies. For electronic copies, indicate on each CD the volume number and title. Use separate files to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments, if any. The Offeror shall submit volumes in electronic format, using recordable CDs. Each volume shall be in a different directory on a CD. Files shall not be compressed. The electronic copies of the proposal shall be submitted in Microsoft (MS) Office, Word, Excel, Project, or PowerPoint, versions 2007-2013, or Adobe Acrobat (.pdf). If there are any discrepancies between the hard copies and the electronic copies of the proposal, the hard copies will be used for evaluation.
Distribution: The "original" proposal shall be identified. Proposals shall be addressed to the CO and mailed or hand carried to the address stated in paragraph 2.2.1.
3.0 Factor 1 – Technical Volume
The Technical Volume should be specific and complete. Legibility, clarity, and coherence are critically important for a timely selection process. Your responses will be evaluated against the Technical Subfactors defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
3.1 Executive Summary
Provide a Technical Volume Executive Summary to summarize the proposal. The Executive Summary will not be evaluated; it is merely a means of familiarizing the evaluators with your approach.
3.2 Subfactor 1: Quality Management Approach
The Offerors shall describe in their Quality Management Approach and how their system assures product quality; achieves stable, capable processes; prevents defects; and employs effective methods for conducting root cause analyses and implementation of corrective actions. Offerors Quality Management Approach shall include strategies for their Manufacturing Plan, Quality System, and Supplier Management. The Offeror’s plan shall address how the Quality Management Approach will achieve the requirements of the SOW and on-time, high quality kit deliveries. A high-quality kit is defined as a kit that is well organized for easy inventory, includes all components, has all pre-assembly completed in accordance with the Record Time Compliance Technical Order (TCTO), Technical Data Package (TDP), and is free of defects. As a minimum, the proposed approach shall address the following essential components.

3.2.3.3 Specific supplier risks to the program and plans for mitigating those risks.
3.2.3.4 Plan for preventing the intrusion of counterfeit parts in factory equipment and delivered products.
3.3 Subfactor 2: Program Management Plan
The Offeror shall submit a Program Management Plan (PMP) that details the Offeror’s strategy for successfully completing the requirements of the SOW and kit deliveries. The PMP shall present a fully integrated set of documents consisting of the following sub-plans: Human Resource Management Plan (HRMP), Risk Management Plan (RMP), and Integrated Master Schedule (IMS). The PMP, with all sub-plans, shall present a detailed approach that proactively manages schedule, performance and risks as applicable to the SOW and kit deliveries. Offerors may include an executive summary to help orient the evaluators to the Offeror’s specific approach, however, the executive summary will not be evaluated.
Human Resource Management Plan (HRMP): As a minimum, the Offeror shall provide a HRMP which details:
3.3.1.1 The current state of the Offeror’s program team and available, skilled personnel capable of achieving the requirements of the SOW and on-time, high-quality Kit Deliveries;
3.3.1.2 The planned (end) state of the Offeror’s program team and required skilled personnel capable of achieving the requirements of the SOW and on-time, high-quality Kit Deliveries;
3.3.1.3 The Offerors strategy to hire, train, and equip the necessary skilled personnel to deliver the requirements of the SOW and delivery on-time, high-quality Kits.
Risk Management Plan (RMP): The Offerors shall describe the process for implementing proactive risk management by submitting an RMP which includes:
3.3.2.1 A description for identifying, assessing, and handling risk mitigation, avoidance, transfer, assumption, and tracking program risks;
3.3.2.2 An outline of the Offerors process for conducting on-going risk management planning, risk identification analysis, risk monitoring and risk control on the program;
3.3.2.3 A process for implementing risk response plans, tracking identified risks, monitoring residual risks, and evaluating the risk process throughout the program life cycle;
3.3.2.4 A discussion of any tools or methodologies the Offeror uses throughout the risk management process and for risk assessments
3.3.2.5 The Offeror shall identify the top three (3) highest rated risks (risks with the highest probability of occurrence with the highest consequence) inherent in the Offeror’s specific approach. The Offeror shall assess these risks in terms of probability of occurrence and level of impact and provide rationale for the ratings. The Offeror shall identify their proposed risk handling/mitigation strategy for each and provide a post-mitigation rating.
Integrated Master Schedule (IMS): Offerors shall generate an IMS using the guide provided in Attachment L003 and apply the IMS Guidance in Attachment L002, which captures the core activities and processes necessary to successfully execute the program from contract award through the delivery of the first lot of kits (Section F of the model contract).
The intent of this section is to obtain a functionally integrated understanding of the proposal with clear tracks between technical, schedule, management, etc., in a way that provides the Government confidence that the program is structured to be executable for the resources indicated. Offerors shall use Microsoft Project (2007-2010) file format (.mpp)—no other format is acceptable. Offerors shall use a contract award start date of 20 November 2018 and shall present the IMS through the nine aircraft kit deliveries and first initial spares delivery.
The IMS shall address the following items of particular importance to the Government:
3.3.3.1 Manpower, facilities, and equipment necessary to meet delivery schedule;
3.3.3.2 Subcontract/Vendor Milestones including subcontract awards, purchase requests, part lead times, etc;
3.3.3.3 Production Readiness Review (PRR) date, Manufacturing milestones, including fabrication, assembly, scrap and rework margin, and quality assurance/control checks;
3.3.3.4 Proposed Kit Audit dates as required in SOW para 2.2.5 and 2.2.6;
3.3.3.5 Kit delivery schedules and kit transportation durations;
3.3.3.6 Task/Activity predecessor/successor relationships;
3.3.3.7 Schedule critical path.
4.0 Factor 2 – Price
4.1 General Instructions
Adequate Price Competition: The CO has initially determined that adequate price competition is anticipated for this Source Selection. Certified cost or pricing data is not currently required. If it is determined that certified cost or pricing data is necessary, Offerors will be asked to provide such data within 30 calendar days of the request.
Price Reasonableness and Unbalanced Pricing: This section is to assist Offerors in submitting data other than certified cost or pricing data that is required to evaluate the reasonableness of your proposed price. Compliance with these requirements is mandatory and failure to comply may result in rejection of your proposal. Information submitted in the Price Proposal must be consistent with data submitted in other volumes of the proposal. Any price information not submitted in the Price Proposal shall not be evaluated. The data provided in the Price Proposal will be evaluated based on the criteria in Section M of the RFP.
Government Fiscal Year (GFY): Proposals shall be based on the Government Fiscal Year (GFY), which begins on 1 October and ends on 30 September.
Price Data: Data beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your price position. All data relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Price Proposal. Under no circumstances shall this data and documentation be included elsewhere in the proposal.
4.2 Volume Organization
Section 1—Pricing Assumptions: Offerors shall summarize all pricing assumptions of the Price Proposal, and shall include specific pricing terms and conditions related to the pricing of the Government Direct Subcontractors components.
Section 2—CMC/WxR Pricing Matrix: CMC/WxR Total Evaluated Price
(TEP) Matrix, provided in Attachment L004, is for Offerors to submit Price related information. All information provided must relate to the Offerors Price. All inputs shall be in
Then-Year (TY) United States Dollars. TY Dollars are dollars that have been escalated into the time period for the performance of the contract. They are sometimes referred to as “escalated dollars” or “inflated dollars.” All dollar amounts provided shall be rounded to the nearest dollar.
CMC/WxR Pricing Matrix Content and Submission: Offerors (prime only) shall complete the CMC/WxR TEP Matrix of this RFP found in Attachment L004 using Microsoft Excel format and submit electronically encoded. The CMC/WxR TEP Matrix submitted must duplicate the logic and mathematical formulas reflected in the paper copy of your proposal. The CMC/WxR Pricing Matrix submitted must comply with the following format requirements:
4.2.3.1 Data file should be submitted on a CD in .xlsx file format.
4.2.3.2 Offerors shall input the amounts in each field that is highlighted in yellow of the matrix. Travel and Over and Above will be included in the TEP at Government estimated amounts. The Offeror shall propose a fixed fee for the Over and Above calculation.
4.2.3.3 The amounts from the highlighted fields will then automatically calculate the Offeror’s overall TEP. Fields not highlighted in yellow are locked for editing and shall not be changed. Totals will be calculated automatically.
4.2.3.4 Subsets of the CMC/WxR TEP Matrix provided by the winning Offeror will be incorporated under Section J of the awarded contract as Attachments. These Section J attachments will be utilized during contract execution to establish the FFP, CPFF, or CRNF amounts for each of the option CLINs prior to the exercise of each option.
4.2.3.5 Offerors shall submit/include in the Price Volume copies of the complete price quote (rough order magnitude, not-to-exceed, or draft purchase order agreement) submitted by both of the Government Directed Subcontractors: Ballard and Mega Industries.
5.0 Volume III– Evaluation Factor 3 – Past Performance
Each Offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with the format contained in Attachment L005 – Past Performance Information Instructions. This information is required of the Offeror and all subcontractors, teaming partners, and/or joint venture partners who are to perform 25% or more of the effort based on the total proposed price or perform aspects of the effort the Offeror considers critical to overall successful performance. Offerors are cautioned that the Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.
5.1 Consent/Authorization Letters
Along with the information required in this section, the Offeror shall submit a consent letter executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the Offeror so the Offeror can respond to such information. For each identified effort for a commercial customer, the Offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the Offeror's performance.
5.2 Early Proposal Information
Each Offeror is requested to submit the information shown in Attachment L005 for each relevant contract 15 days prior to the date set for receipt of proposals. Failure to submit early proposal information will not result in Offeror disqualification.
5.3 Recent and Relevant Contracts
Offerors are required to explain what aspects of their contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. To be recent, the effort must be ongoing for at least 6 months or must have been performed during the past 3 years from the date of issuance of this solicitation. Consideration will be given to contract scope and type, uses of similar technology, and complexity of effort. Submit completed copies of Attachment L005, Past Performance Information Sheet on three recent contracts that you consider most relevant in demonstrating your ability to perform the proposed effort. Also include information on three recent contracts performed by each of your teaming partners and significant subcontractors that you consider most relevant in demonstrating their ability to perform the proposed effort. Include rationale supporting your assertion of relevance.
Recency Assesment: An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing for at least 6 months or must have been performed during the past 3 years from the date of issuance of this solicitation. Past performance information that fails these conditions will not be evaluated.
Specific Content: Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a no confidence rating, since the problems encountered may have been on a more complex program, or an Offeror may have subsequently demonstrated the ability to overcome the problems encountered. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. This may allow the Offeror to be considered more favorably than without evidence of problem resolution. For example, submittal of quality performance indicators or other management indicators that clearly support that an Offeror has overcome past problems is required. Categorize the relevant information into the specific Technical subfactors and Cost/Price factor used to evaluate the proposal.
Organizational Structure Change History: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offerors, your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
6.0 Volume V - Contract Documentation
6.1 Model Contract/Representations and Certifications
The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The Offeror's proposal shall include a signed copy of the Model Contract, and Sections A through K. This includes:
Section A – Solicitation/Contract Form: Completion of blocks 12 thru 16 and signature and date for blocks 17 and 18 of the SF33. Signature by the Offeror on Block 17 constitutes an offer, which the Government may accept.
