Section L - Instructions, Conditions and Notices to Bidders

L-1. GENERAL INSTRUCTIONS.

L-1.1. Notice To Offeror(s). Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date for receipt of proposals. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.

L-1.2. Proposals in response to this solicitation will be valid for 360 calendar days. Block 12 of Standard Form (SF) 33 is completed to read 360 calendar days.

L-1.3. This section of the RFP provides general guidance for preparing proposals as well as specific instructions on the format and content of the required proposal volumes. Each proposal must include all data and information requested in the RFP. The offeror shall comply with the solicitation requirements as stated and the PWS. The offeror’s proposal must reflect a thorough understanding of the services required and display a logical development of the offeror's plans to implement all tasks.

L-1.4. Only the minimum amount of information required to provide for proper evaluation is requested. Efforts shall be made to keep offers as concise as possible with the emphasis being on providing information essential for proper evaluation. The proposal shall be clear, concise, and shall include sufficient detail to provide for adequate evaluation and for substantiation of the validity of stated claims. Submitted documents: must contain adequate information to enable the evaluation team to fully ascertain an offeror’s capability to perform contract requirements, must meet the requirements of the RFP, and must address the evaluation factors for award.

L-1.5. Offerors shall acknowledge awareness of all amendments to the solicitation by signing and dating Page 1 of each Standard Form 30, Amendment of Solicitation/Modification of Contract, and include it in Volume III, Price, of the proposal. Failure to acknowledge amendments to the solicitation results in the offeror being deemed nonresponsive. Award CANNOT be made to a nonresponsive offeror.

L-1.6. No contractor support will be used during the proposal evaluation process. Each individual involved in this acquisition has executed a Non-Disclosure Agreement with ACC AMIC.

L-1.7. Proprietary information submitted in response to this solicitation shall be clearly marked as such and will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C.423) (hereinafter referred to as “the Act”) as implemented in the FAR. Any unmarked proprietary information will be considered releasable under the restrictions of the Freedom of Information Act.

L-2. ACCESS TO BIDDERS LIBRARY.

L-2.1. The library contains classified documents/materials and will be available by appointment only from draft RFP issuance through 24 October 2014. E-mail: accamic.drx.uasocsrecompete@us.af.mil at least 3 business days in advance to arrange access. Title the e-mail “Bidders Library Appointment – Company Name” (example: “Bidders Library Appointment – ABC Company”). Within the email please provide the following information to confirm the appropriate security clearance level for each individual entering the Bidders Library: name, SSN, clearance level, date final clearance granted. The hours of operation are as follows: 8 a.m. - 11a.m. and 1 p.m. - 4 p.m., Monday through Friday, except holidays. One computer will be available in the Bidders Library. Only one offeror with no more than two (2) representatives per offeror may use the library at any given time. All company representatives will be escorted to and from the Bidders Library. The Bidders Library will be located at 432 MXG, Creech AFB NV. Offerors will not be allowed to remove any documents labeled For Official Use Only (FOUO) or Classified from this area. Offerors will NOT be allowed to make copies, download, photograph, scan, or print documents.

L-2.2. None of the forms, regulations, manuals, Technical Orders, or other publications referenced in the solicitation will be issued with the solicitation. Documents cited within PWS, Appendix C – Publications and Forms, annotated as being available electronically, with the exception of documents labeled “FOUO" in the title or publication description, are available via public domain at http://www.e-publishing.af.mil/ or http://www.dtic.mil/whs/directives.

L-3. FORMAL COMMUNICATIONS. Any formal communication such as requests for clarification, discussions, and information concerning this solicitation should be submitted in writing (via email) to the POCs at the address below:

L-4. SUBMISSION OF PROPOSALS.

L-4.1. The original and copies shall be sent or hand delivered to the issuing office listed in Block 7 of the SF 33; Solicitation, Offer and Award; on or before the date and time specified in Block 9 of SF 33. If proposals are hand delivered, offerors shall send an email to accamic.drx.uasocsrecompete@us.af.mil to schedule delivery. Please mark all packages as follows:

L-4.2. Offerors are cautioned to strictly comply with all instructions within this solicitation to ensure submission of a complete proposal. Failure to furnish a complete proposal, at the time of proposal submission, may result in the proposal being unacceptable to the Government and elimination from consideration for award.

L-4.3. Offeror shall provide the following contact information for their proposal volumes:

L-4.2.1. Names, titles, addresses, telephone and facsimile numbers, and email addresses of persons authorized to negotiate on the offeror’s behalf with the Government in connection with this solicitation.

L-4.2.2. Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing office.

L-4.4. In compliance with FAR Subpart 4.8, the Government will retain one copy of all unsuccessful proposals. Extra copies of unsuccessful proposals will be destroyed. No destruction certificate will be provided.

L-5. PROPOSAL PREPARATION INSTRUCTIONS.

L-5.1. The instructions below prescribe the format of proposals. The proposal shall include all of the information requested in the specific instructions. Failure to include all information requested may adversely affect the evaluation.

L-5.2. A proposal that is orderly and sufficiently documented will enable the Government to easily understand and perform a thorough and fair evaluation. The Government may incorporate into this contract, by reference or full text, portions of the successful offeror’s proposal submitted in response to this solicitation as revised and supplemented through the final proposal revision.

L-5.3. Proposal Volumes. A complete proposal consists of the three (3) separate and distinct volumes:

Volume I – Technical
Volume II – Past Performance
Volume III - Price

L-5.4. Proposal Format. Specific guidance regarding format and content is discussed in the following paragraphs. All pages provided by the offeror in excess of the stated limitations will not be evaluated. The proposal content shall be formatted as follows:

a. Text: Single-spaced and printed on single-sided paper versus duplex

b. Font Size: Microsoft Office Word, Times New Roman, 12 point font

c. Font Size for charts, tables, graphs and figures shall be no smaller than Microsoft Office Word, Times New Roman, 10 point font

d. Margins: One Inch (1”) left, right, top and bottom

e. Paper Size: 8½” x 11” with a background color of white or ivory stock only

f. Page Numbering: Sequential (i.e., 1 through 100)

L-5.4.1. Legal Size Paper/Fold-Outs. Any pages within the proposal over the standard 8½” x 11” size paper shall be kept to a minimum, and only used where a table or other graph cannot be accommodated by a single 8½” x 11” page. Any text included in the fold-out shall be directly related to the fold-out contents. Fold-outs will be counted as the appropriate number of pages based on the number of folds (i.e., fold-outs with one fold shall count as one page; each additional fold counts as one additional page).

L-5.4.2. What Counts as a Page. A page shall be an 8 ½” x 11” sheet of paper. Fold-outs shall be kept to a minimum, and shall be used only where a single 8 ½” x 11” page cannot accommodate a table or other graphic. All material shall be contained within the page limit identified for each volume, and all appendices, charts, graphs, diagrams, tables, photographs, drawings, etc., are included in the page count.

L-5.4.3 Pages Not Included in Page Count. The organizational chart, acronym list, cross reference matrix, and overview section (for exceptions) will not be included in the page count. Covers for volumes, tables of contents, indices, title pages, and section dividers/tables will not be included in the page count if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. They will be counted if they contain any other information, e.g., diagrams, extraneous data, etc. Pages marked “This page intentionally left blank” will not be counted.

L-5.4.4. Electronic Copies. Electronic copies of all proposal information for each volume shall be submitted on CD ROM or CD-R using Microsoft Office 2003 through 2010 or Portable Document Format (PDF) using Acrobat Adobe 10.0. Offerors shall NOT submit any document in PDF that are copied as images. Offerors may use JPEG images for charts or screen shots. Volume III Price – Schedule B/UASOCS CLIN Spreadsheet shall be submitted in Microsoft Excel 2003 through 2010 formats. Offerors shall name files in an unambiguous manner, using plain language text, which facilitates the evaluator’s ease of accessing the files for evaluation, using standard naming conventions (e.g., offeror name-volume name.doc for MS Word, offeror name-volume name.xls for MS Excel, offeror name-volume name.PDF for Portable Document Format, etc.). Each volume shall be in a single searchable file, with copy/paste capability, and stored in a folder that corresponds to the proposal volume it represents. Offerors shall insert the file name in the header of each document. All disks shall be virus checked prior to submission. Replacement disks (CD ROM/CD-R) shall be required to update the final proposal resulting from any discussions, should they occur. If there is a discrepancy between the paper and electronic copies, the paper copy will take precedence and be used for evaluations.

L-5.4.5. Copies and Page Limit. Evaluators will only read up to the maximum number of pages specified. If the page limit is exceeded, the pages in excess of the limit will be removed from the applicable volume and will not be considered as part of the evaluation. One copy of each Volume shall be marked “Original”. Copy requirements and page limitations are as follows:

L-6. EXCEPTIONS

L-6.1. The Government reserves the right to award without discussions; therefore, offerors are advised that taking exception to any requirements specified in this solicitation may result in the Government finding the proposal unacceptable. Clarification of Government requirements shall be handled by submitting questions/recommendations prior to submission of proposals. If offerors still find it necessary to take exception to any of the requirements specified in this solicitation, clearly identify each exception in the overview section of the appropriate volume along with a complete explanation of why the exception was taken and the resulting benefit to the Government. An overview section is only required if the offeror takes exception to any requirement in the solicitation (the overview section will not be included in the proposal page limitation described above). While offerors may propose exceptions to the solicitation requirements, the Government is not obligated to accept such offers. Any change to the requirement as a result of accepting an exception shall be reflected within the resultant contract.

L-6.2. In the event the offeror takes no exception to the stated requirements, a statement to this effect shall be included at the front of the subject volume.

L-7. INSTRUCTIONS FOR VOLUME I, TECHNICAL (FACTOR 1)

L-7.1. To facilitate evaluation, the Technical Volume shall be specific, detailed, and complete to clearly and fully demonstrate that offerors have a thorough understanding of the PWS requirements. Statements that offerors understand, can, or will comply with the PWS (including referenced AF publications, etc.); statements paraphrasing the PWS or parts thereof (including applicable AF publications, Technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable. Offerors should note that data submitted prior to the proposal submission will not be considered in the Government’s evaluation; therefore, such data should not be relied upon nor incorporated in the Technical proposal by reference.

L-7.2. Cross-Reference Matrix. As part of offerors’ proposals, a separate cross-reference matrix shall be completed and submitted with the Technical Volume. All referenced paragraphs include all subsequent subparagraphs (for example, 5.0 includes 5.1, 5.2, 5.2.1, etc.). Offeror shall fill in the columns related to their proposal. This is only a tool to assist in the proposal preparation process. Offerors are ultimately responsible for ensuring that their proposal fully addresses all areas and that all requested information is completed in accordance with Section L - Instructions, Conditions and Notices to Offerrors or Respondents and Section M – Evaluation Factors for Award of this solicitation. Offerors shall complete the last column of this matrix with paragraph number references from the Technical Volume. Offerors may provide additional references to the other columns as deemed necessary. See below table example format:

L-7.3. Glossary of Abbreviations and Acronyms. An abbreviation/acronym list shall be provided as an attachment within the Technical Volume.

L-7.4. Technical Factor. The purpose of this volume is to set forth, in the most comprehensive manner, the offeror’s understanding of the program requirements and to demonstrate their ability to meet the evaluation requirements of Section M, Evaluation Factors for Award, Factor 1, Technical. This volume shall present a clear, concise description of how the offeror plans to meet the contract award requirements. This section shall not contain any pricing data.

L-7.4.1. Technical Subfactors.

L-7.4.1.1. Subfactor A: Program Management.

L-7.4.1.1.1. Aspect I - Management and Integration.

a. Provide proposed organizational structure, manning levels and skill mix of program management function.

b. Provide an explanation of the functional relationships along with roles and responsibilities that will effectively execute the PWS requirements.

c. Provide a maintenance control plan

L-7.4.1.1.2. Aspect II – Human Resources.

a. Provide an integrated plan that describes your approach to attract, train, and retain qualified management and technical personnel. The plan shall also discuss approach to meet PWS requirements for a location which may be difficult to staff which includes operating locations outside of the continental United States.

b. Provide a comprehensive plan for creating and maintaining a work environment that creates incentive for employee retention.

c. Provide a summary of the qualifications, certifications, and credentials for labor categories necessary to execute requirements.

L-7.4.1.1.3 Aspect III – Quality Management System (QMS). Provide a QMS approach to describe a thorough understanding of the fundamental principles of the PWS with special focus on the specific requirements that:

a. Provide organization’s quality management structure, assigned resources, personnel authority and responsibility (using a tree diagram), the quality policy, quality objectives, and related documents needed to ensure effective planning, operation and control of its processes that meets PWS Section A, paragraph 2.3 and its sub-paragraphs.

b. Comply with ANSI/ISO/ASQ 9001:2008 requirements and Appendix G of the PWS; integrate quality control approach(es) into corporate management structure and daily execution of program requirements; and implement/sustain a culture of continuous process improvement and compliance with contractual requirements, regulatory guidance, technical data, and all other technical guidance.

c. Provide top management commitment/involvement to identifying and resolving contract non-conformances, and techniques utilized to prevent recurrence.

d. Provide your continuous, proactive, preventive-based monitoring, measurement and analysis program describing which quantifiable metrics will be used which focus on conformance to the PWS, with an emphasis on customer satisfaction.

L-7.4.1.2. Subfactor B: Operations & Maintenance.

L-7.4.1.2.1. Aspect I – Maintenance Management. Describe and flow chart your procedures and processes for prioritizing and controlling scheduled and unscheduled maintenance across all disciplines while maximizing operational availability and equipment reliability. Procedures and processes shall include:

a. Details on how your maintenance management will integrate with logistics programs and provide UASOCS operational reporting authority and the Government timely and responsive updates for equipment and facility status.

b. Approach for using internal and external resources, as necessary, to achieve your proposed maintenance objectives.

c. Processes and detailed incremental procedures for minimizing mission interruption.

L-7.4.1.2.2. Aspect II – Network Management and System Administration.

a. Describe your approach for providing proactive network management to reduce system downtime and maximize mission effectiveness.

b. Describe your comprehensive approach to maintain and sustain real-time awareness of the entire UAS architecture, to include long-haul communications systems across military and commercial networks as defined in the PWS.

c. Provide an analytic design for providing network administration and maintenance that meets requirements stated in the PWS for multiple classification levels to include TS/SCI SAP computer and network systems.

d. Describe your Software License Management approach which ensures utilized software meets the Air Force’s COTS/GOTS approved software/ hardware listing throughout the life of the contract.

e. Describe your processes for managing and sustaining servers that conform to DoD/Air Force/Industry standards, and policies as presented in the PWS.

f. Provide methods for managing user end-items (i.e., PCs, laptops, printers, etc.) residing on the domain to comply with PWS requirements.

L-7.4.1.2.3. Aspect III – Equipment Management. Describe your approach for maintaining adequate technique for maintaining video quality, and bandwidth utilization for command and control, video dissemination, and improved network performance.

L-7.4.1.3. Subfactor C: Mission Support.

L-7.4.1.3.1. Aspect I – Property Control/Accountability. Provide a process flow chart that demonstrates your process to account for, maintain, and control government furnished property from requisition to disposition.

L-7.4.1.4 Subfactor D: Transition

L-7.4.1.4.1. Aspect I – Transition Plan. Provide your executable transition plan for establishing required management processes that will result in continuity of mission support and contract performance for all locations and efficiently transitioning/phasing-in resources and personnel onto the contract. At a minimum, the plan should include:

a. Key transition/phase-in period milestones to meet PWS Section D, paragraph 1.0-1.2.1.6.

b. Organizational chart detailing team structure, functional responsibilities, and staffing and timeline for each position.

c. Approach for hiring incumbent employees and contingency plan(s) in the event incumbent employees cannot be hired. Include an explanation of what functional area(s) you plan to assign any current employees. Address any personnel security clearance issues and how they will be mitigated.

d. Approach for interfacing with the incumbent contractor in support of transition tasks including processes and procedures for integrating open actions (work orders, requisitions etc.) with all data accumulated during performance of the contract.

e. Approach for obtaining the ITAR licensing required to execute the program.

L-8. INSTRUCTIONS FOR VOLUME II, PAST PERFORMANCE (FACTOR 2)

L-8.2. Summary. Describe roles of offeror and all subcontractors, teaming partners, or joint venture partners. Provide a detailed matrix that depicts how each PPI contract reference provided meets the relevancy criteria defined at M-3.2.2.

L-8.3. PPI Contract Reference Sheet (Attachment 1). Offerors shall submit information on contracts considered most relevant in demonstrating ability to perform the proposed effort. This information is required on the offeror, subcontractors, teaming partners, and/or joint venture partners considered critical to overall successful performance. The offeror shall submit a maximum of three (3) contract references. The offeror shall also submit a maximum of three (3) contract references for each major or critical subcontractor, teaming partner, or joint venture partner. Offeror shall provide a separate PPI Sheet (Attachment 1) for each contract reference identifying active (minimum of 12 months performance) or completed contracts, either Government or commercial. To clarify, if an offeror has two subcontractors or partners, the offeror may submit three references as the prime and three for each subcontractor for a total of up to 9 references.

L-8.4. Recency Determination. Each PPI contract reference shall have active work/services (minimum of 12 months performance) that was/were performed during the last three (3) years preceding the date of issuance of this solicitation. This includes contracts that were awarded prior to this period, but still had active performance (minimum of 12 months) during the last three years.

L-8.5. Relevant Contracts. Offerors shall submit information on contracts deemed relevant in demonstrating the ability to perform the full range of UASOCS operations IAW PWS requirements, and explain how/why the referenced contracts are relevant IAW paragraph M-3.2.2. Relevancy shall be detailed in the PPI Contract Reference Sheet (Attachment 1).

L-8.6. Subcontractor/Teaming Partner Consent Letter (Attachment 2). The offeror shall provide an original consent letter for each proposed Subcontractor or Teaming/Joint Venture Partner using the format provided in Attachment 2, Example Format for Consent Letter. This letter allows the release of Sub-contractor or Teaming/Joint Venture Partner, Present/Past performance information to the offeror. PPI contract reference concerning subcontractor and teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor/teaming partner PPI contract reference to the Prime during exchanges. Completed consent forms shall be submitted as part of the Past Performance Volume.

L-8.7. Organizational Structure Change History. Many companies have acquired, have been acquired by, or have otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate the Government’s past performance evaluation, offerors shall include in this proposal volume a detailed “roadmap” describing all such organizational changes (if applicable), to include specific names of “sister”, predessesor, subsidiary companies with their applicable CAGE codes, and dates of organizational changes.

L-8.8. Past Performance Questionnaires (PPQ) (Attachment 3). When a completed Contractor Performance Assessment Reports (CPARS) is available to reflect past performance data, a Past Performance Questionnaire (PPQ) is not required. Offerors without formal documented Government CPARS shall send a Past Performance Questionnaire (PPQ) to the Government or commercial POC identified in each PPI reference cited in the offeror’s Past Performance Volume. All PPQs are to be submitted by the submitting PPI POC and sent via email directly to accamic.drx.uasocsrecompete@us.af.mil. Any PPQs submitted by offerors will be ignored and will not be considered as part of the evaluation. The Government may also utilize the attached PPQ to send to additional sources. In the event no past performance can be retrieved via PPIRS, the Government may use the attached PPQ as a tool for conducting Past Performance telephonic or email interviews.

L-8.9. Other Sources. Past performance information on contracts not listed by the offeror, or that of planned subcontractor, may also be evaluated. References other than those identified by the offeror may be contacted by the Government and subsequent information used in the evaluation of the offeror’s Past Performance. While the Government may elect to consider data obtained from other sources, the burden of demonstrating relevancy and providing current, accurate, and complete PPI rests with the offeror.

L-8.10. Authorization Letter. In order to validate a prime offeror's past performance as a subcontractor on a submitted PPI contract reference, offerors are required to provide written authorization for the Government to contact the prime contractor on the contract referenced in the submitted PPI.

L-8.11. Specific Content. Offerors should include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to an “unacceptable” rating, nor does the lack of problems automatically equate to an “acceptable” rating. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems should be included.

L-8.12. Determination of Responsibility. Even though the assessment of Past Performance is separate and distinct from Determination of Responsibility required by FAR Part 9, PPI contract references contained herein may be used to support the Determination of Responsibility for successful offerors.

L-9. INSTRUCTIONS FOR VOLUME III – PRICE (FACTOR 3)

L-9.1. Pricing.

L-9.1.1. The offeror shall provide all Schedule B information (Schedule of Supplies and Services contract line item numbers (CLINs)) information in the attached Microsoft Excel spreadsheet (see RFP Attachment Schedule B/ UASOCS CLINs). This spreadsheet will be used to populate the Schedule B CLINs in the SF33 upon award. The offeror shall insert the price elements (unit price and extended amount each Fixed Price (FP) CLINs, for each period of performance: Transition, Base Year, and all Option Years, including priced 6-month extension. Cost Reimbursable (CR) Supplies/Services and Government Directed Travel will include a Not to Exceed (NTE) amount that has been pre-established for these CLINs. The handling rate will be included in the CLIN description field to set the evaluated CLIN price. These pre-established amounts are to be included in the offerors proposal with the application of indirect rates added to the pre-established amounts and exclusive of fee. Offerors are required to insert their rates to be applied towards these cost reimbursable CLINs in the attached Microsoft Excel spreadsheet. Offerors shall not change the pre-established NTE amounts for the CLIN. Offerors shall submit proposed cost estimates and rationale for the following CR CLINs: OCONUS Travel, Defense Base Act (DBA) insurance, and Department of State Standardized Rates for differential pay to support OCONUS requirements to include any applicable indirect rates. This information will be used to assess whether prices proposed are fair and reasonable for the work to be performed, and are consistent with the offeror’s proposed technical approach.

L-9.1.2. Offerors may propose ceilings for its indirect rates. If ceiling rates are proposed, the Government will not be obligated to pay any additional amount should the final indirect cost rate exceed the ceiling rate.

L-9.1.3. The New Mexico Gross Receipts Tax (NMGRT) associated with each period of performance (e.g. Transition, Base Period and all Option Periods) shall be included in the unit price and extended price proposed for the Holloman AFB CLIN(s). The NMGRT amount of the Holloman AFB CLIN(s) for this particular effort will not be adjusted as part of any future contract adjustments (e.g. annual wage adjustments, NMGRT increase/decrease), once awarded. However, the Holloman AFB CLIN(s) may be adjusted in accordance with FAR 52.222-43 – Fair Labor Standards Act and Service Contract Labor Standards – Price Adjustment (Multiple Year and Option Contracts) to reflect the contractor’s actual increase or decrease in applicable wages and fringe benefits that result from a Department of Labor change to the applicable incorporated wage determination.

L-9.1.4. For ease of administration, offerors shall round all unit prices of proposed FP CLINs to whole dollar amounts before they are multiplied by the quantity. The unit price multiplied by the number of units shall equal the extended price of each CLIN. If submitted unit prices are not rounded to the nearest dollar, the Government will round the unit prices to whole dollar amounts at the time of contract award or modification. If the decimal is followed by 5, 6, 7, 8, or 9, the price will be rounded up to the nearest whole dollar. If the decimal is followed by 0, 1, 2, 3, or 4, the price will be rounded down to the nearest whole dollar.

L-9.1.5. Supporting Price Backup Data. Certified cost or pricing data is not required; however, supporting data is requested. Supporting data should explain the methodology used in developing labor rates. This information shall be submitted in Microsoft Excel 2003 through 2010 formats and the Microsoft Excel information can be supplemented with a Microsoft Word document as needed. The documentation provided shall provide support for all indirect rates proposed based on offerors accounting system and any applicable Forward Pricing Rate Agreements.

L-9.1.6. Reasonableness. Any inconsistency, whether real or apparent, between promised performance/technical approach and price shall be explained in the proposal. The burden of proof as to price credibility rests with the offeror.

L-9.1.7. Service Contract Labor Standards. Offerors shall comply with clause 52.222-43 for their price proposal with regard to employees covered by the Service Contract Labor Standards. Proposed option year prices shall not include allowances for any contingency to cover increased wage or benefits costs for which contract price adjustment is provided by clause 52.222-43.

L-9.2. Proposal Documentation. In addition to the pricing information requested above, this volume shall also contain the following documents:

L-9.2.1. Section A. Complete in its entirety the “Offeror” portion of the SF 33; an official having the authority to bind your company contractually must sign the SF 33 IAW FAR 4.102. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract. One copy of the SF 33 must bear an original signature.

L-9.2.2. Sections C Through K. Complete the necessary fill-ins and certifications, and provide any information requested in Sections C through K. For Sections C through I, the offeror shall submit only those pages that require a fill-in. For Section K, complete Representations, Certifications and Other Statements of Offerors, or provide a copy of completed System for Award Management (SAM) located at https://www.sam.gov.

L-9.2.3. Amendments. See paragraph L-1.5.

L-9.2.4. Adequate Accounting System. Offeror shall provide evidence of an adequate accounting system (certified or compliant) to adequately track, segregate, accumulate and report incurred costs for each CLIN as applicable. Offerors shall provide the name and address of the cognizant Defense Contract Audit Agency (DCAA) and point of contact at that office, if applicable. Offerors shall provide any information that pertains to recent Defense Contract Management Agency (DCMA) or DCAA financial capability assessment.

L-9.2.5. The offeror shall provide information regarding the general financial condition of the firm and specific plans for financing the proposed contract. The offeror shall provide their previous three (3) fiscal year-end (income and balance sheet) financial statements. Include documentation to demonstrate capability to access credit markets if necessary.

L-9.2.6. Offerors shall provide a written statement that they will comply with Host Nation (HN) laws.

L-9.2.7. Department of Labor Equal Employment Opportunity (EEO) Clearance. In accordance with FAR Part 22.805, requires the Contracting Officer request pre-award clearance for each proposed contract and for each proposed first-tier subcontract of $10 million or more from the appropriate Office of Federal Contract Compliance Programs (OFCCP) regional office. Offerors shall the provide the CO a copy of the OFCCP’s National Pre-award Registry (http://www.dol-esa.gov/preaward/pa_reg.html) database registration for Government verification as part of the proposal submission for contracts and subcontracts of $10 million or more. If no record exists in the database, the Contracting Officer will request pre-award clearance.

L-9.2.8. Changes Resulting From Discussions. In the event any adjustment of price becomes necessary to reflect changes resulting from discussions, if discussions are held, a complete traceable trail shall be provided to show how the changes took place.

L-9.2.9. Description of any exceptions and deviations to the RFP.

L-9.2.10. Small Business Subcontracting Plan (Large Business Prime Contractors Only). Government is requiring a minimum overall small business goal of 25 percent of total contract value. Provide a Subcontracting Plan that complies with FAR Part 19, Small Business Programs, and its supplements, FAR 52.219-8 and FAR 52.219-9. Demonstrate an effective approach to meet subcontracting goals IAW FAR Part 19, Small Business Programs, and its supplements. The plan must demonstrate sound and effective methods to determine and meet to the minimum 25 percent goal and provide for implementation of policies that meet goals. Proposed small business subcontracting goals are contractually binding post-award.

L-10. Debriefing of Offerors. Debriefings are conducted with the goal of identifying to unsuccessful offerors where changes can be made to improve proposals for future acquisitions. Successful or unsuccessful offerors may request debriefings by providing a written request to the Contracting Officer. Debriefings shall be conducted in accordance with FAR 15.505 for pre-award debriefings and FAR 15.506 for post-award debriefings.
