52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(1) This is a best value source selection conducted in accordance with Federal Acquisition Regulation (FAR)

15.3, Source Selection, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement (AFARS). Award will be made to a single offeror who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR), whose proposal conforms to the solicitation requirements, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, represents the Lowest Priced Technically Acceptable offer (LPTA).

(2) As a basis for award, price and non-price factors will be evaluated. Unrealistically low prices may be grounds for eliminating a proposal from competition on the basis that the offeror does not understand the requirement.

b. Award for All of the Work. The Government intends to award one contract as a result of this solicitation. Offers received for less than the stated number of items listed in the Price Schedule will be considered ineligible for award.

As set forth in FAR 52.215-1 (f)(4), the Government may evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a), clarifications and award without discussions). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

c. Evaluation Criteria

(1) Technical Evaluation criteria consist of factors however Price will be the deciding factor in the award of the contract. The proposals will be evaluated under three (3) evaluation factors: Mission Capability, Past Performance, and Price.

(a) Factor 1: Mission Capability

(b) Factor 2: Past Performance

Factor 1 - Mission Capability. The Mission Capability evaluation provides an assessment of the offeror’s capability to satisfy the Government’s requirements. Staffing organizational chanrt and QAP will be required with the proposal.

Factor 1: Mission Capability - A pass / fail adjectival rating will be assigned, the Technical

Evaluation RatingTable below will reflect the degree to which the offeror’s proposed approach meets or does not meet the minimum performance or capability requirements.

Technical Evaluation Ratings

Pass

Acceptable quality and meets minimum PWS requirements necessary for satisfactory contract performance. Proposal contains no deficiencies or significant weaknesses, and any identified weaknesses do not impact the probability of meeting minimum requirements. Fair probability of success with low to moderate degree of risk.

Fail A proposal that fails to meet minimum PWS requirements necessary for acceptable performance. Where discussions are contemplated, the proposal contains weaknesses, significant weaknesses, and deficiencies that cannot be corrected without a major rewrite of the proposal. The degree of proposal risk is high to very high.

Factor 2 - Past Performance. The Government may use data provided in the offeror’s proposal and data obtained from other sources, such as the Contractor Performance Assessment Reporting System (CPARS) or similar systems and State Department Watch Lists. Past performance areas of evaluation include:

- Business Relations

- Quality of Service

- Schedule

- Cost Control

- Customer Satisfaction

- Compliance with Socio-Economic Goals

(1) Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past 3 years from the date of issuance of this solicitation.

(2) Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, magnitude, complexity and scope. The Government will conduct an evaluation of no more then 3 recent performance information obtained to determine if it is the same or similar in nature, size, and complexity to the services/products being procured under this solicitation. Recent past performance is defined as not more than 3 years from the RFP release date; relevant in terms of similar nature of work, size, magnitude, complexity and scope.

A relevancy determination of the offeror’s (including joint venture partner(s) and major and critical subcontractor(s)) past performance will be made. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated. The past performance information provided in the proposal and information obtained from other sources will be used to establish the degree of relevancy of past performance.

Offerors without a record of relevant past performance or for whom information on past performance is not available will not be evaluated favorably or unfavorably on past performance and, as a result, will receive a "Neutral" rating for the Past Performance factor. Any negative Past Performance uncover during the evaluation the offerors will be given an opportunity to respond.

(3) Assigning Ratings. The Past Performance Factor will be assigned one of the ratings defined below.

An offeror whose proposal demonstrates no past performance will be rated ―Neutral.‖

Technical and past performance, when combined, are pass/fail. In accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, then compared to price will be the deciding factor.

The Government will award a Firm Fixed Price contract based off of Lowest Price Technically Acceptable (LPTA).

Price will be the deciding factor. This factor will be evaluated utilizing price analysis techniques identified in FAR

Part 15.404-1. The objective of proposal analysis is to ensure that the final agreed-to price is fair and reasonable.

The price proposals will be analyzed for errors, omissions and mistakes. Analysis will include review of price reasonableness, balanced pricing, and realistic proposed costs comparing the base and all option years.

Proposals which are unrealistic in terms of management/technical approach, schedule, or which are determined unrealistically low or high in price will be deemed reflective of an inherent lack of management/technical competence or indicative of failure to comprehend the complexity and risk of the proposed contractual requirement and may be rejected.

Price factor will not receive a rating, but will be used in the overall assessment of the offerors proposal in determining Lowest Pric Technically Acceptable (LPTA).

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (APR 2012)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via https://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (o) of this provision.

(a) Definitions. As used in this provision --

―Economically disadvantaged women-owned small business (EDWOSB) Concern‖ means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the

Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment

Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

Service-disabled veteran-owned small business concern--
