EXECUTIVE ORDERS--COMMERCIAL ITEMS (AUG 2012) (DEVIATION)

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times, the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(b)(1) Notwithstanding the requirements of any other clause in this contract, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (b)(i) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

52.216-18 ORDERING. (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 01 July 13through 30 June 18.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 ORDER LIMITATIONS. (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in a course class size of less than 2 pilots, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor:

(1) Any order for a single course with a class size in excess of 10 individuals;

(2) Any order for a combination of items in excess of 16 individuals; or

(3) A series of orders from the same ordering office within 2 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 7 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons.

Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-21 REQUIREMENTS (OCT 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities described as "estimated'' or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 30 June 2018.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (APR 2012)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. (d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the rerepresentation required by paragraph (b) of this clause by validating or updating all its representations in the Online Representations and Certifications Application and its data in the Central Contractor Registration, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.

PERFORMANCE WORK STATEMENT

1.0 DESCRIPTION OF SERVICES.

1.1 BACKGROUND.

Air Mobility Command (AMC) has a requirement to provide Academic and Simulator Training for United States Air Force (USAF) active duty and Air National Guard (ANG) pilots operating C-21A series aircraft. The training shall consist of four courses: Initial Pilot Training, Refresher Training, Instructor Pilot Training and Three Day Senior Officer Training as well as a Government Use Simulator Training Day and Hourly Simulator Time. Simulator training shall accompany each training course. HQ AMC Specialized Contracting intends to issue a Requirements type contract for this acquisition.

1.2 SCOPE.

To be considered qualified, each contractor shall possess the following:

An Initial Pilot Training and Refresher Pilot Training program approved under Federal

Aviation Regulation Part 121 or Part 135 or a training course approved under Part 142.

A Federal Aviation Administration (FAA) Certified Level C or better Flight Simulator appropriate to the C-21A aircraft model or a Level C or better simulator that is converted prior to contract start date into a C-21A simulator.

The contractor shall provide all personnel, devices, facilities, courseware, equipment, tools, materials, supervision, and other items and services necessary to perform C-21A Flight Training.

The required training includes C-21A academic and simulator training as well as implementation of Computer Aided Instruction (CAI, PWS paragraph 1.3.4) for the following courses: Initial Pilot Training, Refresher Pilot Training, Instructor Pilot Training and Senior Officer Pilot Training. The contractor shall also provide a simulator and operator for the Government Use Simulator Training Day and Hourly Simulator Time. USAF cockpit procedures shall be used in all courses.

1.3 SPECIFIC SUPPORT SERVICES.

1.3.1 TASK 1 – TRAINING COURSE REQUIREMENTS

1.3.1.1 REQUIRED COURSES

1.3.1.1.1 INITIAL PILOT TRAINING. The contractor shall conduct C-21A Initial Pilot Training. Initial Pilot Training shall be to the standard equal to that of a civilian “type rating” during an initial qualification course. C-21A initial training shall not culminate with a “Type Check”, but rather with a USAF administered flight evaluation on the last scheduled simulator training day. The contractor shall provide classroom-presented crew Cockpit Resource Management (CRM) training which addresses human factor issues and hands on application of CRM concepts during simulator training. As a minimum, the CRM training shall address the elements referred to in this PWS, paragraphs 1.3.2.4 – 1.3.2.4.8. The contractor shall also provide Computer Aided Instruction (CAI) material as referenced in PWS 1.3.4 – 1.3.4.4. Initial Pilot Training academics and simulator instruction shall be taught by FAA certified instructors, in accordance with Federal Aviation Regulation Parts 61 or 142, with prior flight experience in the C-21A or LR35.

1.3.1.1.2 REFRESHER PILOT TRAINING. The contractor shall conduct classroom and simulator C-21A Refresher Pilot Training. The Refresher Training course shall be split into two sub courses: Semi-Annual Refresher Training and Annual Refresher Training. Refresher training shall include a comprehensive review of aircraft systems, normal and emergency, single engine procedures, aerodynamic characteristics, and performance. The contractor shall identify, sequence, and develop simulator profiles for refresher training courses. The contractor shall provide classroom-presented crew CRM training which addresses human factor issues and hands on application of CRM concepts through Line Oriented Flight Training (LOFT)/Mission Oriented Simulator Training (MOST). As a minimum, the CRM training shall address the elements referred to in this PWS, paragraphs 1.3.2.4 – 1.3.2.4.8. The contractor shall also provide CAI material as referenced in PWS 1.3.4 – 1.3.4.4. At the discretion of the government and at no additional cost, a USAF/ANG examiner pilot may attend the last scheduled simulator training day to complete an AF flight evaluation. During these periods, a contractor employee shall operate the simulator and shall collaborate with the AF instructor or trainees to optimize training received.

1.3.1.1.2.1 SEMI-ANNUAL REFRESHER PILOT TRAINING. The contractor shall provide two distinct semi-annual training profiles such that approximately one-half of aircraft systems and associated emergency procedures are covered for each semi-annual refresher period.

These semi-annual periods correspond to the first and second 6 calendar month blocks of the year. The last simulator training day shall consist of proficiency training using government provided USAF developed training profiles. Academics and simulator instruction shall be taught by FAA certified instructors, in accordance with Federal Aviation Regulation Parts 61 or 142, with prior flight experience in the C-21A or any Lear model aircraft.

1.3.1.1.2.2 ANNUAL REFRESHER PILOT TRAINING. The contractor shall provide an annual profile that provides a complete review of aircraft systems and associated emergency procedures. The annual refresher course shall contain all classroom material and simulator maneuvers presented during the two semi-annual profiles. Academics and simulator instruction shall be taught by FAA certified instructors, in accordance with Federal Aviation Regulation Parts 61 or 142, with prior flight experience in the C-21A or any Lear model aircraft.

1.3.1.1.3 INSTRUCTOR PILOT TRAINING. The contractor shall conduct C-21A Instructor Pilot Training. The contractor shall identify, sequence, and develop academic and simulator profiles consistent with the USAF Instructor Aircraft Commander Syllabus. The course shall consist of an academic phase that addresses principles of instruction and a comprehensive aircraft systems review, and a simulator phase with an emphasis on right seat flying in an instructional environment. The contractor shall provide CAI material as referenced in PWS

1.3.4 – 1.3.4.4. Academics and simulator instruction shall be taught by instructors with prior experience in the C-21A or any Lear model aircraft.

1.3.1.1.4 THREE DAY SENIOR OFFICER TRAINING. The contractor shall provide aircraft qualification training for Senior Military Officers. Training shall be focused on acquainting Senior Military Officers to aircraft systems, normal and emergency procedures of the C-21A. The course shall span three consecutive days. The course shall provide ground training sessions to introduce the fundamental systems and procedures associated with the aircraft. Training shall also include simulator training sessions consisting of normal and emergency procedures and a CRM/MOST scenario. The contractor shall also provide CAI material as referenced in PWS 1.3.4 – 1.3.4.4. For all courses, every effort shall be made to schedule any portion of this training between the hours of 8:00 a.m. and 6:00 p.m. local time, seven days a week. Class composition will normally consist of one senior officer pilot and one USAF instructor pilot. Academics and simulator instruction shall be taught by FAA certified instructors, in accordance with Federal Aviation Regulation Parts 61 or 142, with prior experience in the C-21A or LR35.

1.3.1.1.5 GOVERNMENT USE SIMULATOR TRAINING DAY. Training shall take place on a single day at the contractor’s facility. The contractor shall provide a briefing room for two hours of pre-mission briefing, a four hour simulator period, and a briefing room for one hour of simulator post-mission briefing. A contractor employee shall operate the simulator with no instruction duties and no contractor training materials are required. An Air Force instructor or evaluator pilot will conduct all training and briefings.

1.3.1.1.6 HOURLY SIMULATOR TIME. Simulator time will require a fully operational simulator and a fully qualified simulator operator. Type of training conducted will be determined and administered by the Government. Flight simulator time, although purchased on an hourly basis, will normally be purchased in no less than a 2-hour block of time.
