AMENDMENT OF SOLICITATION/MODIFICATION OF CONTRACT
Except as provided herein, all terms and conditions of the document referenced in Item 9A or 10A, as heretofore changed, remains unchanged and in full force and effect.

The purpose of this amendment is to revise the Pre-Proposal Conference date and subsequent Seed Project Site Visit and clarify tw o issues:
1. The Pre-Proposal Conference w ill be held on 1 June 2009, 1:00 P.M. (CDT) at Rockw ell Hall, Scott AFB IL
2. Notify Cynthia Strout (cynthia.strout@scott.af.mil, or 618-256-9250 )no later than 25 May 2009 if you w ish to attend the conference and subsequent site visit.
3. A listing of individuals w ishing to attend the pre-proposal conference should be e-mailed to cynthia.strout@scott.af.mil. The day of the conference you can pick up your pass from a representative of 375 CONS at the Visitor Control Center (VCC). The representative w ill be standing outside the VCC (w eather permitting) at 1200 to hand out passes.
4. The offer due time is 4:30 P.M. (CST) 22 June 2009. The Memorandum for Prospective MACC Vendors incorrectly stated 3:00 P.M.
5. All other conditions remain the same.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS TO OFFERORS
L-1 Instructions to Offerors This is an all-electronic solicitation release. Hard copies are not available. The Government will post all information pertaining to the solicitation and award of this requirement to the Electronic Posting System, also known as FedBizOpps (www.fbo.gov). It is the responsibility of each offeror to review the web page for postings of amendments, updates or changes to current information.
L-1.1 Pre-Proposal Conference: A pre-proposal conference will be held at 1:00 P.M., 1 June 2009, at Rockwell Hall, Scott AFB IL. All prospective offerors are highly encouraged to attend this conference. In order to make the conference as productive as possible, offerors should submit, one week before the conference, any questions they may have in writing to cynthia.strout@scott.af.mil. The submission of written questions will not preclude anyone from posing questions during the conference. Failure of a prospective offeror to submit any questions or attend the conference will be construed to mean that the prospective offeror fully understands all requirements of the solicitation. Prospective offerors are advised that the pre-proposal conference will be held solely for the purpose of explaining the concepts involved in the project and the specifications, terms, and conditions of this solicitation.
Answers to questions will be posted to FedBizOpps within seven (7) calendar days following the conference. All prospective offerors are advised that this solicitation will remain unchanged unless it is specifically amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of any such amendment as described in contract clause 52.215-1, Instructions to Offerors-Competitive Acquisition, of this RFP shall apply.
Notice to Offerors: Offerors are encouraged to submit all questions and requests for clarifications no less than ten
(10) days prior to the RFP closing date. The decision whether to respond to questions and requests for clarification made less than ten (10) days prior to the RFP closing shall be at the sole discretion of the contracting officer.
L-1.2 Joint Venture Offerors: If the offeror is a joint venture, the offeror shall provide all required solicitation information for all parties including a copy of the joint venture agreement with proposal. The agreement shall include information, which identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationships and authorities to bind each entity of the joint venture. If the joint venture is comprised of 8(a) firms, the Small Business Administration (SBA) must approve the joint venture agreement prior to award,. Past performance information may be submitted on behalf of the joint venture by either party to the joint venture. Joint venture past performance will be evaluated and rated on the basis of either party’s past performance.

Joint Venture Agreements must be received by the Small Business Administration (SBA) prior to proposal due date and approved before award of a resulting contract. If a joint venture is contemplated, then the assigned SBA Business Opportunity Specialist (BOS) must be advised as soon as possible. Ensure the agreement is submitted to the BOS in sufficient time to permit a regulatory compliance review. Any corrections and/or changes requested must allow for review time by the BOS before the proposal due date. No corrections and/or changes are permitted after the time for submission of offers.
L-1.3 Teaming/Partnering Offerors: If the offer is based on a teaming/partnering relationship, the offeror shall provide all required solicitation information for all parties including a copy of the teaming/partnership agreement.
The agreement shall include information, which identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationships and authorities to bind each entity of the teaming/partnering relationship.

L-1.5 Incurred Expenses: The Government is not responsible for any costs incurred or associated with preparation and submission of a proposal in response to this solicitation.
L-1.6 In compliance with FAR Subpart 4.8, the Government will retain one copy of all unsuccessful proposals and will destroy all extra copies. No destruction certificate will be provided.
L-1.7 All proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation.
Any commitments made in the proposal shall become a part of the resultant contract. In no case shall words like "we will comply with the requirements of the contract," or equivalent statements, be acceptable to meet the requirements of this RFP. Failure to comply with these instructions may result in the Government summarily rejecting the offeror's proposal.
L-1.8 The seed project (initial task order) price proposal plus contract forms (Part I) and past performance information (Part II) shall include the documentation listed below. The price proposal must be based on the offeror's proposal for the seed project as set forth in the task order solicitation documents incorporated herein as Exhibit 1.
The Government will evaluate the proposal in accordance with Section M. Offerors shall submit 2 hard copies (one originial/one copy) of Part I plus 1 electronic copy (CD). Offerors shall submit 2 hard copies (one originial/one copy) of Part II plus 1 electronic copy (CD).
