SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L

PROPOSAL PREPARATION INSTRUCTIONS

A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of four (4) separate parts; Part I – Technical Proposal, Part II – Price Proposal, Part III – Past Performance Information, and Part IV – Small Business Sub-Contracting Plan.

B. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer's opinion, adequate price competition exists, generally no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the Contracting Officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness and affordability of the price.

C. Specific Instructions:

1. PART I – TECHNICAL PROPOSAL – Submit original plus 3 copies. Proposals will be no more than 25 pages. The résumés, organizational/staffing chart(s), and Quality Control Plan will be attached and will not count toward total page count. Any cover page, cover letter, table of contents, and/or cross reference matrix will not count toward the total page count.

Propose an approach that meets the criteria defined in the Performance Work Statement (PWS) for the Air Advisor Academy Program. Technical is further broken down into the following five subfactors: Employee Capability; Key Personnel Credential/Staffing; Courseware/Curriculum Development/Audio Visual Administration; Mobilization/Phase-In Plan; and Quality Control Plan.

(a) Subfactor (1) Employee Capability;

The offeror shall provide a technical proposal which presents a clear understanding and adheres to the technical requirements to provide academic instruction and fieldcraft training for the Air Advisor Education and Training Program in accordance with Appendix B, Appendix C, and Appendix J of the PWS.

(b) Subfactor (2) Key Personnel Credential/Staffing:

The offeror shall describe their approach to obtain, maintain, and utilize a properly sized workforce to meet the contract objectives for the life of the contract. The proposal shall address specific organizational structure, manpower methodology describing how the offeror intends to utilize their workforce, and skill classification for each specialty course of instruction. The offeror shall provide detailed organizational/staffing chart(s) and describe utilization methodology with sufficient detail to support proper manning requirements to adequately support the administration, instruction, and fieldcraft requirements to meet the contract objectives for the life of the contract. The offeror shall provide resumes to demonstrate the experience, education, and supervisory responsibility for the following personnel: Contract/Site Manager and Fieldcraft Lead Instructor/SME.

(c) Subfactor (3) Courseware/Curriculum Development/Audio Visual Administration:

The proposal shall address specific manpower methodology describing how the offeror intends to utilize their workforce to meet the courseware/curriculum development requirements. The offeror shall describe their approach for client support/audio visual administration to meet the contract objectives for the life of the contract. The proposal shall address specific manpower methodology describing how the offeror intends to utilize their workforce to meet the client support/audio visual administration requirements.

(d) Subfactor (4) Mobilization/Phase-in Plan:

The offeror shall provide a Mobilization/Phase-in Plan which outlines how the offeror plans to integrate and changeover services to achieve full performance on the first day of contract operations and ensure a successful transition at the end of the current contract period of performance without degrading the Air Advisor Academy. The offeror shall:

1) Provide a detailed description for recruiting, training, and qualifying and/or certifying a sufficient number of personnel during the mobilization period to begin full performance at the completion of the mobilization period. The offeror shall also provide a realistic timeline, which addresses the start and completion of each event (e.g., interviewing, hiring, human resource actions, training, start work dates, etc.).

2) Provide a detailed plan for providing work procedures, materials, equipment and vehicles. For vehicles, identify the type, number, quantity, and how each vehicle will be used in performance of this contract. The offeror shall also provide a realistic timeline, which addresses the start and completion of each event (e.g., work procedures, materials, equipment, vehicles).

3) Provide a detailed plan to transfer Government provided equipment, tools and facilities identified in the PWS. The offeror shall also provide a realistic timeline to include start and completion of each event (e.g., inventory of tools, equipment, facilities and acceptance of those items).

(e) Subfactor (5) Quality Control Plan:

The offeror shall provide a Quality Control Plan (QCP) which outlines how the offeror intends to provide effective control and audit procedure approaches and processes to ensure successful and timely contract performance and problem resolution. In addition, the QCP shall address those performance objectives indentified in PWS 2.1 and contract phase-in/phase-out identified in PWS 1.6.5 & 1.6.6.

2. PART II – PRICE PROPOSAL – Submit original and one (1) copy

(a) Complete blocks 13, 15, 16, 17, and 18 of the Solicitation Section A, SF 33, Page 1. In doing so, the offeror accedes to the contract terms and conditions as written in the Solicitation, Sections A through K. These sections constitute the model contract.

(b) Insert proposed unit prices and total “Estimated Amounts” in Section B for each Contract Line Item Number (CLIN), including all option years. The Transition/Relocation item (CLIN X010) is To Be Negotiated (TBN) if/when the program is moved to an alternate location. The Travel and Other Direct Cost (ODC) CLIN (X009) is Cost-Reimbursable. Do not provide a proposed price for CLINs X009 or X010.

(c) The Total Evaluated Price (TEP) is obtained by multiplying the unit price for each CLIN by the estimated quantity of that CLIN to obtain the total “Estimated Amount” for each CLIN for all periods of the contract; the total “Estimated Amounts” for each CLIN for all periods are then added together to calculate the TEP. The TEP will be the sole basis for evaluating price for contract award decision purposes and will be the only price discriminator among offerors.

(d) Complete the necessary fill-ins and certifications in Section K. Section K shall be returned in its entirety.

3. PART III – PAST PERFORMANCE INFORMATION – To assist the Government in reducing the evaluation period, the offeror is requested to submit the past performance volume by 3 January 2012, to the Contracting Officers, Robert Miller and April Kreps, 2021 First Street West, Randolph AFB, TX 78150-4302. Failure to submit early past performance information will not result in offeror disqualification. The number of pages of the past performance volume is limited to no more than 2 pages per contract listed, not to exceed five (5) contract references. Only references for same or similar type contract is desired. Submit original plus two (2) copies. The past performance volume shall only contain the completed Past Performance information for each of the five contracts identified as detailed in paragraph (a) - (c) below. Each offeror shall send a copy of the Past Performance Questionnaire (Attachment 2 to Solicitation) to the Contracting Officer (POCs) for the five contract references identified in the past performance volume. The POCs will submit completed questionnaires directly to the Government. Once the questionnaires are completed by the POCs, the information contained therein shall be considered sensitive and shall not be released to the offeror. A cover letter for transmitting the questionnaire to each POC is provided as part of Attachment 2 to the Solicitation.

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, etc.

(b) Performance Surveys: The Government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this solicitation. The Government will use information submitted by the offeror and other sources such as other Federal Government offices and commercial sources, to assess performance. Provide a list of no more than five (5), of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years. No more than three (3) of the five (5) past performance contracts will be for subcontractors. Relevant contracts include contracts for mission, culture, and combat skills training, and courseware development. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. Furnish the following information for each contract referenced:

(i) Company/Division name

(ii) Product/Service

If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

(c) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

4. PART IV – SMALL BUSINESS SUB-CONTRACTING PLAN – Submit original and one (1) copy.

a. The Government’s intent is to ensure small business concerns have the maximum practicable opportunity to participate in the performance of this acquisition. This factor assesses the offeror’s plan for maximizing participation of small businesses (SB), small disadvantaged business (SDB), woman-owned small business (WOSB), service-disabled veteran-owned small business (SDVOSB), veteran-owned small business (VOSB), historically underutilized business zone (HUBZone) and historically black colleges and universities (HBCU) and minority institutions (MI). The following DoD subcontracting goals are provided for general reference to assist in the development of your subcontracting plan:

Small Business

31.7% of total subcontracted dollars

Small Disadvantaged Business (includes HBCU/MI) 5% of total subcontracted dollars

Woman-Owned Small Business

5% of total subcontracted dollars

Service Disabled Veteran-Owned Small Business

Veteran-Owned Small Business

b. Offerors shall, unless otherwise exempt, submit a Small Business Subcontracting Plan in accordance with FAR 19.704, FAR 52.219-9 - Alternate II, DFARS 252.219-7003 and AFFARS 5319.704; to include identification of the names and addresses of the subcontractor firms proposed, the specific supplies and/or services to be subcontracted, the total subcontracted dollars for each, and the type of each business. This plan shall provide a clear, detailed, logical and realistic approach for maximizing participation of SB, SDB, WOSB, SDVOSB, VOSB, HUBZone and HBCU/MI. If the offeror is a participant in the Department of Defense (DoD) Comprehensive Subcontracting Test program specified in DFARS 219.7, the offeror shall provide a copy of the approved comprehensive subcontracting plan. If the offeror’s comprehensive subcontracting plan fails to meet solicitation requirements, the offeror may amend this plan with an addendum or submit an individual plan that meets solicitation requirements. Offerors are encouraged to meet or exceed the DoD subcontracting goals but should propose goals that are realistically obtainable and provide rationale for the proposed goals for the life of the contract. Market research has indicated subcontracting opportunities exist and normally range from 4% to 6% of total contract value. However, offerors shall provide rationale if unable to meet the DoD subcontracting goals based on total planned subcontracting dollars and those percentages provided above based on total contract value.

c. Each offeror shall also complete and submit the document in Attachment 4 – SB Subcontracting Checklist, as part of their plan, which provides the specific small business concern targets expressed in terms of dollars and percentages of total planned subcontract dollars and small business concern targets expressed in terms of percentage of contract value, for the contract period of performance to include all option years.

d. Offerors shall provide a description of all subcontractor opportunities, teaming arrangements, or joint venture partnering to include organizational relationships and responsibilities.

5. Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:

The electronic copy will be virus-free and information will be in Microsoft Office 2007 or previous format. The electronic copy can be accomplished with a CD submitted with the hardcopies or via e-mail. However, a CD is preferred because of the limitations of file sizes allowed over e-mail servers and to prevent potential email delivery issues.

(ii) A page is defined as one face of a sheet of paper containing information.

(iii) Typing shall not be less than 12 point font size. However, please use font size that is practicable for charts, tables, or diagrams which should not be illegible to the average person, preferably no smaller than 8 point font size. Color shading for exhibits is allowable as long as it is not illegible to the average person.

(iv) Elaborate formats, bindings or color presentations are not desired or required.
