(a) A pre-bid/pre-proposal conference is planned for 4 Mar 08 at Randolph AFB at Building 854, Room #113 for the purpose of answering questions regarding this solicitation.
(b) Submit the names of all attendees (not to exceed 2 people) to Debbie Aguirre at debbie.aguirre@randolph.af.mil and Diane Mientek at diane.mientek@randolph.af.mil prior to 4:00PM CDT on 29 Feb 08. This information must be provided in advance in order to ensure access to the military base/conference site and adequate seating for the conference attendees.
(c) Offerors are requested to submit questions to the point of contact noted above not later than 4:00PM CDT on 27 Feb 08. Information provided at this conference shall not qualify the terms and conditions of the solicitation and specifications. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of solicitation amendments shall apply.
(d) A record of the conference shall be made and furnished to all prospective bidders/offerors. The record should include minutes of the meeting, including questions (on a non-attribution basis) and answers.

MINIMUM OFFEROR ACCEPTANCE PERIOD
1. “Acceptance Period,” as used in this provision, means the number of calendar days available to the Government for awarding a contract from the date specified in this solicitation for receipt of bids.
2. The Government requires a minimum Acceptance Period of 120 calendar days from solicitation due date stated in L-900 (c).
3. In the space provided on the front page, block 12, of the SF 33 the contractor shall insert the number of days (not less than the 120 days specified above) the proposal is valid. Offerors may specify a longer Acceptance Period than the Government’s minimum requirement.

PROPOSAL SUBMISSION REQUIREMENTS.
1. Purpose These instructions prescribe the format of the proposal and describe the approach for the development and presentation of proposal data. The instructions are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of the proposal. Offerors are cautioned to follow the detailed instructions fully and carefully, as the Government intends to evaluate proposals and award a contract without discussions with offerors. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
2. Volumes
2.1. Proposals shall be organized in four volumes (Volume I - Technical Proposal; Volume II – Price/Contract Proposal; Volume III – Past Performance and Volume IV – Small Business Subcontracting Plan). Digital copies shall be provided on CD-ROM disk in Microsoft Word (Office Version 2003 or lower). File names to be “Company Name – Initial” for the first submission. File name of later submissions, if necessary, shall be “Company Name – Revision X” with X indicating the number of the revision, if necessary.
2.2. Volume copies shall be presented in loose-leaf, 3-ring binders. The original should be unbound and two-hole punched at the top of each page (printed double-sided end to end). Each binder shall contain a cover sheet, clearly marked as to volume number, title, copy number, solicitation number, the offeror's CAGE number, name, address and POC name, email address and phone number.
2.2.1 Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-
1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of
Contractor Bid or Proposal Information and Source Selection Information.
2.2.2 Protection of proprietary data. Review the Federal Acquisition Regulation 3.104-4 -- Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information, at the following web site: http://farsite.hill.af.mil/reghtml/regs/far2afmcfars/fardfars/far/03.htm for information on proprietary document protection.
2.3. All pages shall be 8.5” x 11”, numbered sequentially, single spaced, double-sided, 12-pitch or larger type with at least 1-inch margins (top, bottom and sides). The page limitation includes all information except the cover sheet. Each printed side counts as one page.
2.4 Any pages that are changed (as a result of clarifications or discussions) will be of a different color, indicate the revision number, and have changed information clearly marked by a vertical line in the right margin.
2.5 Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and (for paper copies) will be returned to the offeror as soon as practicable. Page limitations apply to both paper and electronic copies. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Each page shall be counted except the following: cover pages, tables of contents and tabs.
2.6 Provide the completed original hard copy solicitation (SF33), with contractor information completed as required, in the price proposal volume. All cost or pricing information shall be addressed ONLY in Volume II, Price Proposal.

3. Instructions
3.1. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
3.2. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of proposed approaches. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their organization and experience, and will base its evaluation on the information presented in the offeror's proposal.
3.3. All proposals must be complete, self-sufficient, and respond directly to the requirements of the solicitation. Statements such as “we will comply with the requirements of the contract” will not by themselves constitute acceptability to meet the requirements of this RFP. Failure to comply with these instructions may result in an offeror’s proposal being rejected.
4. Important Information to Prospective Offerors
4.1 Overview:
4.1.1 A Technical Library is available to assist contractors in preparing their proposal. The library consists of Excel spreadsheets that identify load profile data by Energy Service Delivery Point Identification (ESID) number and, where available, interval data. Due to the volume of historical electric consumption data, the Technical Library is available on a CD-ROM only. The CD-ROM also includes Letters of Authorization for access to PUCT information for the 3 bases. Copies of the CD-ROM will be provided by request to those preparing a response to this Solicitation. Submit requests via e-mail per L-902.
4.1.2 The Government reserves the right to incorporate all or portions of an offeror’s proposal into the resultant contract by reference.
4.1.3 No proposals will be returned to the offeror. All originals will be made part of the official contract file. Copies of proposal submitted by the awardee may be retained for contract administration purposes. All other copies of all other proposals will be shredded.
4.1.4 Contractor Viability Assessment:
The Government has carefully constructed Section M, Evaluation Factors, to identify the key discriminators (Technical – including Mission/Technical Capability, Risk Management, and Contract Management sub-factors: Price, Past Performance and Small Business Subcontracting Plan) that it will use in making its selection decision. Due to the expense and effort associated with proposing against a Performance Work Statement based requirement, contractors contemplating competing for this award are asked to carefully review Section M and make a realistic self-assessment (for their own purposes; not to be submitted) as to their potential viability. No compensation shall be given for the expense of proposing.
4.1.5 Non-Government Personnel
4.1.5.1 Offerors are advised that data submitted to the Government in response to this solicitation may be released to non-government advisors for review and analysis. These advisors may be required to provide advice within their area of expertise. Non-government advisors may review any source selection documents/briefs and possibly attend any informational or decision meetings/briefs. Representatives may have exposure to the offerors' proposals, but will not determine ratings or rankings of offerors' proposals. All representatives have signed nondisclosure forms. Non-government advisors will be subject to civil and criminal penalties associated with any release of information pursuant to FAR Part 3.104 procurement integrity violations.
4.1.5.2 If an offeror has any objection to non-government advisor access to their proposal, the offeror shall provide grounds and justification for their objections. The non-government advisor is:

5. Technical Proposal (Volume I)
5.1 Technical Acceptability will be assessed based on the merits of each offeror’s Technical Proposal Volume.
All contractors responding to this solicitation shall prepare a Technical Proposal Volume (Volume I) that provides a detailed description of how they will meet the requirements in the Performance Work Statement (PWS). Organize the Technical Proposal Volume as Tab A for Mission/Technical Capability, Tab B for Risk Management, and Tab C for Contract Management.
5.2 The Technical Proposal Volume must contain the information/documents listed below:
5.2.1 Sub-factor: Mission/Technical Capability (Tab A). The mission/technical capability proposal shall:
(a) Provide a copy of the offeror’s REP PUCT certification and a copy of the QSE Level IV certification for the offeror, subcontractor, parent company, or affiliate, as appropriate. (Per Section C.1)
(b) Provide a narrative outline of a draft Strategic Supply Plan (SSP) addressing all elements of Section C.3. The narration should demonstrate that the Offeror understands the purpose of the SSP and can meet PWS requirements. Simply repeating the elements listed in paragraph C.3 will not be acceptable.
5.2.2 Sub-factor: Risk Management (Tab B). The risk management proposal shall include the following:
(a) The Offeror shall provide a clear and complete description of the contractual and/or business arrangements that are in place to permit the Offeror to operate as a REP in the Texas market. This description shall include all corporate names, specific legal relationships, and identification of all Enabling Documents. Full copies of all Enabling Documents (including, but not limited to, attachments, appendices, and ancillary documents) shall be submitted with the proposal. (The copies of enabling agreements submitted will not contribute to the page count limitation.)
(b) The Offeror shall explain in detail why Enabling Documents will not inhibit the Offeror’s performance under this contract as described in PWS paragraph C.5(c). Explanation shall include the name of Offeror’s primary wholesale marketer (Wholesaler) and a list of all Enabling Documents currently in place between the Wholesaler and other wholesalers and generators. The list shall include the corporate name and approximate annual quantity of electric energy transacted with each wholesaler and generator.
(c) Offeror shall provide at least three flow diagrams that depict (1) contractual agreements, (2) electricity purchasing process, and (3) ability to reach renewable energy resources and independent generators per PWS paragraph C-5(c). Each diagram shall show all the involved corporate entities and indicate the Enabling Agreements, as appropriate. Diagrams will not contribute to the page count limitation.
(d) Discuss how the offeror would mitigate the impact to the Government of Force Majeure conditions as defined in Section C. Use potential occurrences as examples in the discussion. The offeror shall discuss its procedures to minimize the impact of supply disruptions during periods of Force
Majeure associated with either generation or delivery, the potential for reduced deliveries (brown outs), and risks associated with meeting the supply requirements. Describe the offeror’s actual past recovery efforts (if any) and resulting mitigation impact.
5.2.3 Sub-factor: Contract Management (Tab C). The contract management proposal shall include:
(a) Procedures for providing 24 hour notification IAW Section C.9(a).
(b) Description of the offeror’s web-based information system detailing information that will be available to the Government IAW Section C.9(b).
6. Price/Contract Proposal (Volume II)
6.1 The following specific instructions are applicable to the listed sections of the solicitation:
6.1.1 Section A. Complete blocks 13, 15, 16, 17, and 18 of the Standard Form 33. An authorized official of the firm must sign the Standard Form 33.
6.1.2 Section B. CLIN price information will be entered in Section B. The price information shall be prepared in accordance with these instructions, and will be evaluated in accordance with the evaluation criteria in Section M. The price information shall be based on the offeror’s own technical proposal and the Government’s Performance Work Statement requirements as set forth in Section C.
(a) The offeror shall insert, as appropriate, proposed unit prices, fixed prices, and specific pricing factors in Section B for each Contract Line Item Number (CLIN) for the Retail Electric Provider (REP) Price Adder, the REP Escalation Factor, the REP Sleeving Price Adder, the Gas to Electric Factor, and Mobilization.
(b) The CLIN for Electricity is cost reimbursable with no-fee and no proposal price is required.
(c) The Evaluation Spreadsheet (Attachment 3), which will be used for evaluation, is provided for information purposes only. The Government will input the proposed unit prices from the RFP (SF33) Section B to determine the Total Evaluated Price as shown on the Evaluation Worksheet Tab. DO NOT include the spreadsheet with your proposal. If it is submitted, it will not be evaluated.
6.1.3 Section I. Complete fill-in(s) if applicable.
6.1.4 Section K. Complete the annual representations and certifications electronically via the Online Representations and Certifications Application (ORCA) website at http://orca.bpn.gov. Complete all additional representation and certifications listed in section K of this solicitation and return in its entirety.
6.2 Accounting System. The Offeror will contract with various generators (subcontractors) to provide electricity for this requirement. This cost will be passed on to the Government using a cost reimbursable line item. Therefore, a contract may only be awarded to an Offeror whose accounting system has been determined adequate by the Defense Contract Audit Agency (DCAA) for accumulating and reporting allowable subcontractor incurred costs.
6.2.1 The DCAA audit will include verifying that the contractor has procedures to ensure that subcontractor costs are only included in billings if payment to the subcontractor will be made in accordance with the terms and conditions of the subcontract and ordinarily within 30 days of the contractor’s payment request to the Government.
6.2.2 The offeror’s cost proposal shall identify the cognizant DCAA office (if known), along with the offeror’s point of contact and phone number unless provided in an earlier submission to the Contracting Officer.
6.3 Financial Capability. In order to determine contractor responsibility, the Offerors shall explain how they plan to maintain adequate financial capability to effectively implement a contract of this magnitude and length. Offerors must provide the last three years financial statements and Statements of Cash Flows for the firms or corporations proposed, and year-to-date financial information through the last quarter available. The year-end financial statements must be certified by an independent accounting firm, if practicable, or at least by an authorized officer of the organization. In addition to the above, offerors shall explain how performance of the resultant contract will be funded. If the offeror intends to rely on internally available working/operation capital, evidence of availability must be submitted. If the offeror plans to rely on financial support from other sources, identify the maximum lines of credit that may be available; include documentation to support the amounts and a point of contact and phone number for the lender. The maximum lines of credit must be based upon the inclusion of this contract effort.
6.3.1 The above information shall be provided for the prime and any teaming or joint venture partners. If the offeror is a combination of firms [including joint venture partners, individual companies which comprise the proposed organization, and/or critical and key subcontractors (such as the QSE)], discuss the financial responsibilities among the companies. Historical and year-to-date financial data shall be submitted for each company that makes up the Offeror, and the ability to fund contract performance shall be addressed for the combined firm.
6.3.2 This information is to provided in CD-ROM only. No hard copies are required.
7. Past Performance (Volume III)
7.1 Offerors shall submit past performance information per paragraph 7.2 below NLT the date specified in L-900. Receipt of past performance summary list and worksheets are subject to the rules on late proposals.
7.2 The offeror shall provide the following past performance information.
7.2.1 A Summary List of no more than five (5) recent and relevant contracts within the ERCOT market which are similar in size, scope, and complexity to the requirements of the Performance Work Statement. Past performance for subcontractors or key personnel will not be evaluated.
7.2.1.1 The list may include projects/contracts currently in process, but with not less than 6 months performance prior to the date of the issuance of the solicitation, and those contracts completed within the last 4 years.
7.2.1.2 Contracts listed may include those entered into with the Federal Government, agencies of state and local governments, and commercial or industrial customers.
7.2.1.3 Relevancy is defined in Section M, M-901 paragraph 3.2.
7.2.2 A completed Past Performance Worksheet (Section L, Attachment 1) for each of the contracts listed in the summary. Each worksheet shall not exceed two pages. Ensure the points of contact are current with correct e-mail address and telephone information. It is the offeror’s responsibility to provide correct information.
7.2.3 Offerors shall send the past performance questionnaire (Attachment 2) to their customer’s point of contact for each of the contracts identified in the summary list requesting that the completed questionnaire be sent directly and only to the Contracting Officer. Offerors shall complete Section I of the questionnaire. It is the offeror’s responsibility to ensure that the completed questionnaires are received by the due date in L-900.
7.2.4 If an offeror does not have sufficient past performance experience to list the required contracts, the offeror may include as part of the Summary List and Worksheets past performance information regarding predecessor companies, contracts of any team partner that the offeror will use in performance of this contract, and, if the offeror is a combination of firms (for example, a partnership or joint venture), contracts of any companies that make up the combination of firms. The Past Performance Worksheet (Section L, Attachment 1) is required for any teaming arrangement detailed in this paragraph.
7.2.5 Offerors are encouraged to provide information on problems encountered during performance of the identified contracts, if applicable, and the offeror’s corrective actions.
7.2.6 Additionally, contractors must provide a statement of the total aggregate load served in the 12 month period from December 1, 2006 through November 30, 2007 along with a Letter of Authorization allowing the Contracting Officer access to their historical load data from the Public Utility Commission of Texas. A sample Letter of Authorization is included below:

This authorization is for the release of information relating to our electric load served. The specific information request is to provide the “actual” load served (as reflected by PUCT records) by us from December 1, 2006 through November 30, 2007.

You are permitted to accept this letter as authentic whether it is the original executed document or a copy thereof. 7.2.7 Further, The offeror shall send the Past Performance Questionnaire (Section L, Attachment 2) to the point of contact for each of the contracts on the Summary List, requesting that all questions be answered and the completed questionnaire be sent to the Contracting Officer. It is the offeror’s responsibility to ensure that the completed Past Performance Questionnaires are received by the individual(s) identified in L-903 NLT the date specified in L-900(c).
8. Small Business Subcontracting Plan (Volume IV)
8.1 Description of Factor: It is the Government’s intention of ensuring that small business concerns have the maximum practicable opportunity to participate in the performance of this acquisition. Small business concerns can be located through the Central Contractor Registration Dynamic Small Business Search website (http://dsbs.sba.gov/dsbs/search/dsp_dsbs.cfm) using the appropriate North American Industry Classification System (NAICS) code (NAICS codes and descriptions are available at http://www.census.gov/epcd/www/naics.html). The offeror’s proposal shall address the following:
8.2 Small Business Prime Offerors: Any small business offeror that is not certified as a Small Disadvantaged Business (SDB) shall submit a SDB - Participation Plan (SDB-PP) (refer to FAR 19.1202-4). The SDB-PP shall include information required by paragraph 8.3 of this provision describing SDB participation only. Requirements to utilize all other small business types (WOSB, HUBZone, etc.) included in this sub-factor are not applicable to small business offerors. SDB-PP targets, expressed as dollars and percentages of total contract value, shall be based on an estimated $20 Million per year for proposal evaluation purposes. Targets for the first year of performance shall remain in effect for the life of the contract.
8.3 Large Business Prime Offerors: Each large business prime offeror shall provide a clear, detailed, logical and realistic plan that expresses definitive commitments for small businesses (SB), veteran-owned small business (VOSB), service-disabled veteran-owned small business (SDVOSB), historically underutilized business zone (HUBZone), small disadvantaged business (SDB), woman-owned small business (WOSB), and historically black colleges and universities (HBCU) and minority institutions (MI). The offeror must provide specific small business concern targets expressed as dollars and percentages of total contract value, and as dollars and percentages of planned subcontract dollars for the first year of performance. The plan must describe the offeror’s strategy for ensuring targets are met throughout the life of the contract. Complete and submit the Subcontracting Worksheet (Section L, Attachment 6). Small business subcontracting participation plan targets, expressed as dollars and percentages of total contract value, shall be based on an estimated $20 Million per year for proposal evaluation purposes. Targets for the first year of performance shall remain in effect for the life of the contract.
8.4 Current Government wide goals for small business participation are provided for general reference only: SB 23%; VOSB “Best Effort”; SD VOSB 3%; HUBZone 3%; SDB 5%; WOSB 5%; HBCU/MIs “Best Effort” (for reference see the Small Business Act Public Law 85-536, as amended). Offerors should propose goals that they determine are realistically obtainable and provide rationale for the proposed goals.
8.5 In addition to the requirements of paragraph 6.3, offerors shall include all elements required by FAR 19.704(a) and DFARS 219.704(a) including but not limited to:
8.5.1 The identification of major Subcontractors/Partners to include:
8.5.2 A brief description of the subcontracted effort(s).
8.5.3 The North American Industry Classification System (NAICS) code assigned by the offeror for the subcontracted effort(s) (NAICS codes and descriptions are available at http://www.census.gov/epcd/www/naics.html)
8.5.4 The type of small business contractor anticipated to be used (SB, VOSB, etc.).
8.5.5 Documentation of commitment to the identified Small Business sources.
8.5.6 Address the extent to which offeror plans to utilize HBCU/MIs.
8.5.7 A description of Small Business Subcontracting Management.
8.5.8 Describe the method used to develop the subcontracting goals.
8.5.9 Describe method used to identify potential small business sources for solicitation purposes.
8.5.10 Describe initiatives planned to ensure maximum efficient utilization and management of small business (SB, HUBZone, SDB, SDVOSB, VOSB, WOSB, and HBCU/MI concerns as subcontractors).
8.5.11 Describe management plan(s) and/or process(es) for monitoring subcontractor performance.
8.5.12 Name of an individual employed by the offeror who will administer the offeror’s subcontracting program and a description of administrator’s duties.
8.5.13 Description of efforts to assure SB, SDB, WOSB, HUBZone, SDVOSB and VOSB firms have equitable opportunity to compete for subcontracts.
8.5.14 Description of the types of records that will be maintained to demonstrate compliance and a description of efforts to locate SB, SDB, WOSB, HUBZone, SDVOSB and VOSB contractors and award contracts to them. Description to include all elements of FAR 52.219-9(d)(11).
8.5.15 Assurance that the offeror will include the “Utilization of Small Business Concerns” clause in all subcontracts that offer further subcontracting opportunities.
8.5.16 Assurance that the offeror will require all subcontractors (other than small businesses) who receive subcontracts over $550,000 to adopt a subcontracting plan.
8.5.17 Assurance the offeror will cooperate in any studies or surveys as may be required, submit periodic reports, submit required Standard Forms 294 (Subcontracting Report) and 295 (Summary Subcontracting Report) and ensure that subcontractors will submit SF’s 294 and 295.
8.5.18 A statement as to whether or not the offeror included indirect costs in establishing subcontracting goals. If such costs were included, include a description of the method used to determine the proportionate share (FAR 52.219-9(d)(6)).
Note: Paragraph 8.3 and 8.5 do not apply if an offeror utilizes an approved master or comprehensive subcontracting plan (refer to FAR 19.704(b) and DFARS 219.702).
