A. SOLICITATION/CONTRACT FORM

B. Supplies or Services/Prices

Bid in accordance with requirements of this solicitation. Enter prices for base and option years on pages 1-4.

C. Description/Specifications

See pages 17 to 81 for the Statement of Work (SOW).

There are no packaging and marking requirements.

E. Inspection and Acceptance

52.246-4 Inspection of Services - Fixed-Price (AUG 1996)

F. Deliveries or Performance

F.1 Daily Reports

The Contractor must furnish the COR, on a daily basis, an accounting of the Hand Held Radios and a log of hours worked. This report shall be prepared in a form acceptable to the COR.

F.2 Period of Performance

The period of performance are 365 calendar days beginning October 1, 2013. There are four one- year option periods. The total contract period will not exceed (60) months or (5) five years.

F.3 Place of Performance

The place of performance during the contract will include various locations on the grounds of the U .S.

Merchant Marine Academy, located in Kings Point, New York.

F.4 Government Equipment

Within two (2) weeks of the contract start date, the contractor and COR will complete a joint inventory of Government Owned Equipment. The inventory will be in agreement by both parties, and will become an addendum to the contract. The U.S. Merchant Marine Academy will be responsible for maintaining the same or equal amount of Equipment of inventoried items.

F.5 Stop Work Order (August 1989)

The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage.

Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either—

(1) Cancel the stop-work order; or

(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.

(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if—

(1) The stop-work order results in an increase in the time required for, or in the Contractor’s cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.

(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.

a. Invoices shall be submitted through Electronic Invoice System (EIS) and inform MARAD of the submittal to EIS.

b. To constitute a proper invoice, the invoice must include the following information and/or documentation.

(1) Name of the business concern (Note this name must match the name of the contract document exactly. If another name is used on the invoice such as a Doing Business as (DBA) the name on the contract document must also be listed on the invoice document). Invoices that do not contain the name on the contract will be rejected.

Upon completion of the web-base system, invoices shall be available on-line. The on-line version of the invoices shall provide the ACO with the capability of approving in full or partial payments or rejecting invoices in total.

G.2 ELECTRONIC FUNDS (EFT) PAYMENT REQUIREMENTS

52.232-33 Payment by Electronic Funds Transfer-System for Award Management (JUL 2013) is included in this solicitation/contract. All Contractor payments will be made by EFT unless accepted or otherwise determined by the paying office designed in the contract.

G. 4 CONTRACTING OFFICER’S REPRESENTATIVE

a. The Contracting Officer’s Representative (COR) is responsible for the technical aspects of the project and technical liaison with the Contractor. The COR is also responsible for the final inspection and acceptance of all reports and such other responsibilities as may be specified in the contract.

b. The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any Contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the expressed prior authorization of the Contracting Officer. The COR may designate assistant (COR(s) to act for him/her by naming such assistant in writing and transmitting a copy of such designation through the Contracting Officer.

G.5 SPECIAL FUNCTIONS AND ACTIVITIES-

Special Functions and Activities – The Contractor shall invoice for the number of hours and also provide a monthly invoice summary to the COR. Contractor shall be responsible for obtaining payment for contractor’s monthly invoice summary which shall reflect all function activities for the preceding month, including number of hours served and payments received during this invoice period.

H - Special Contract Requirements

H.1 INDEMNITY AND INSURANCE

The Contractor shall indemnify and save and keep harmless the Government against any or all loss, cost, damage, claim, expense or liability whatsoever because of accident or injury to person or property of others occurring in connection with the operations under this contract. The Contractor shall secure, pay the premiums for and keep in force until the expiration of this contract, and any renewal thereof, adequate insurance. Such insurance to specifically include liability assumed by the Contractor under this contract.

Each policy of insurance shall contain an endorsement that any cancellation or material change in the coverage adversely affecting the Government’s interest shall not be effective unless the insurer or the Contractor gives written notice of cancellation or change as required to the Contracting Officer. When the coverage is provided by self-insurance, the Contractor shall not change or decrease the coverage without the Administrative Contracting Officer’s prior approval.

A certificate of each policy of insurance shall be furnished to the Contracting Officer within ten (10) days after notice of award certifying, among other things, that the policy contains the aforesaid endorsement. The insurance companies providing the above insurance shall be satisfactory to the Government. Notices of policy changes shall be furnished to the Contracting Officer.

The contractor shall provide at the Contractor’s expense, within five days of request from the MARAD Contracting officer, a copy of all original insurance policies. There may be sent by mail or facsimile machine.

1. REQUIRED INSURANCE COVERAGE: The Contractor shall provide and maintain at it’s expense during the contract period the following insurance coverage in amounts not less than the amounts specified below in accordance with FAR 52.228-5 Insurance-Work on a Government Installation (JAN 1997).

A. WORKER’S COMPENSATION AND EMPOYER’S LIABILITY: to comply with the statutory authority of the State of New York. Employer’s liability coverage shall be in the minimum of $100,000.

Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

I.2 52.217-8 - OPTION TO EXTEND SEVICES (November 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision maybe exercised more than one, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

I.3 52.217-9- Option to Extend the Term of the Contract (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days, provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 YEARS 6 MONTHS.

(a) The Government is holding a pre-bid conference, during which potential contractors may obtain a better understanding of the work required.

(b) Bidders are encouraged to submit all questions in writing at least 2 days prior to the conference.

Questions will be considered at any time prior to, or during the conference, however, bidders will be asked to confirm verbal questions in writing. Subsequent to the conference, an amendment to the solicitation containing an abstract of the questions and the Government’s answers, and a list of attendees, will be made publicly available.

(c) In order to facilitate the conference preparations, contact the Contracting Officer to make arrangements for security processing for entry of attendees into the Government facility.

(d) In no event shall failure to attend the pre-bid conference constitute grounds supporting a protest or contract claim.

C.1 Introduction

C.1.1 General Information C.1.1.1 This is a Statement of Work (SOW) for United States Merchant Marine Academy (USMMA)

Solicitation/Contract number DTMA-95-B-2014-0001, which will result in a Firm Fixed Price agreement. The Contractor will provide armed Agency Protection Security Officers (APSO).

The apparent low bidder must have at least 3 years demonstrable experience in a university, law enforcement agency or military/government setting. No GFP (government furnished property) will be provided other than that specifically identified in this Invitation for Bid or any attachment thereto. The Government will make a single firm fixed price award to the low, responsive, responsible bidder. Armed APSO’s shall be trained to the FPS A-9 level. The Contractor must maintain a secure environment in which visitors and employees can conduct the business of USMMA with confidence. USMMA considers the working title of an armed APSO as equivalent to the Department of Labor (DOL) labor category Guard II. The Occupational Safety and Health Administration (OSHA) consider APSOs as first responders (awareness level).

C.1.1.2 The Contractor shall provide and maintain all management, supervision, manpower, training, equipment, supplies, licenses, permits, certificates, insurance, pre-employment screenings, reports, files and any other resources necessary to accomplish APSO services as described and required in this SOW. The Contractor shall perform to the standards required in this contract and will be expected to work closely with DOT representatives throughout the duration of the contract.

C.1.1.3 Where the Government identifies and references specific Solicitation/Contract Section numbers, that reference refers to that Section in its entirety, including every subsection having the same number prefix. For example, a reference to the requirements of this SOW under Section 6 includes all of Section 6 through the last subsection identified with a prefix of “6”.

C.1.1.4 All references to citizenship and locations within the United States also include the

United States Territories and Commonwealth.

C.1.1.5 Homeland Security Acquisition Regulation (HSAR) 3052.209-76 generally prohibits the DHS from entering into a contract for security officer services with any business concern owned, controlled, or operated by an individual convicted of a serious felony.

C.1.2 Information Regarding U.S. Merchant Marine Academy (USMMA) C.1.2.1 The USMMA, one of five Federal Academies under command of a Superintendent, is part of the Maritime Administration under the Department of Transportation. It occupies approximately 8.3 acres on the North Shore of Nassau County, Long Island, New York. The acreage contains 45 buildings in which are located dormitories, classrooms, lecture halls, teaching laboratories, trade shops, computer and administrative areas, athletic facilities and areas, extensive waterfront facilities and watercraft, the Merchant Marine Museum, a health services clinic, a Navy Federal Credit Union branch , a Navy Federal Exchange and 14 units of family quarters which requires armed protection officer services for the physical protection of midshipmen, federal employees and visitors.

C.1.2.2 Daily Population. The daily population of 1200 consists of 650 student midshipmen, 300 staff, faculty, tenants and approximately 250 guests and visitors.

C.1.2.3 . Social and Athletic Events. Social and athletic events attract a large number of guests and spectators which may number in the thousands at specific times such as home football games, graduation activities, homecoming and other special events.

C.1.2.4 Grounds. The grounds consist of areas of exclusive federal jurisdiction, concurrent jurisdiction as well as County and Village roadways. The Academy is open to visitors during normal working hours unless advised otherwise. There is a main control access point (Booth) which is manned 24/7 located on Steamboat Road, which is a county road. The purpose of the control point is to greet visors, issue permits and give directions. It further serves as a deterrent for unauthorized access to Academy grounds.

C.1.2.5 Agency Protection Security Officers. Agency Protection Security Officers (APSO) have a crucial and highly visible role in support of the DOT mission. They are usually the first (and sometimes only) contact visitors have with the Federal Community. APSOs are usually the first line of defense at DOT controlled facilities. It is crucial the Contractor ensure that their employees realize the importance of their role, and continuously perform their duties in a courteous and professional manner, in full compliance with this SOW.

C.1.2.6 Temporary Additional Services. During the term of the contract, the Government may have requirements for temporary additional services (TAS) beyond the basic requirements. Due to the nature of these services, the Contractor may be required to provide them with little advance notice. In such circumstances, the Contractor shall be compensated using the TAS Rates for any temporary additional services performed within 72 hours of the notification to initiate such service. The Contractor will be compensated at the Basic Service Rate for any such services performed after the 72-hour notification period. Temporary additional services will be ordered by either the COR or CO either in writing, or orally but followed up in writing. All APSO personnel provided under temporary additional services shall meet the contract requirements.

These additional services are intended to be used to satisfy the Government’s short-term, non -recurring needs for service. Should a continuing need for additional services arise, a contract modification will be negotiated pursuant to the “Changes” clause (reference FAR 52.243-1).

C.1.2.7 On-Call Response. The Contractor shall provide an on-call response force of FPS A-9 certified Security personnel to quickly back up on-duty Contractor personnel confronted with a situation requiring additional personnel, when specifically requested by the Contracting Officer or COR. The Contractor must have the capability of providing eight (8) additional security officers within four (4) hours and a total of twelve (12) additional security officers within eight

(8) hours of notification by the Contracting Officer or COR. Officers assigned to the on-call response force are required to report to the designated facility fully equipped. The on-call response force will not be comprised of contractor personnel who are currently on duty or are assigned to the succeeding shift.

C.1.4 Regulations and Other Applicable Documents C.1.4.1 Government regulations, DOT and FPS policies contain the basic procedures for the operation, maintenance, and protection of property. The Contractor will use the following list of primary regulations and related procedures. The Contracting Officer (CO) will provide the Contractor with any supplementary regulations in effect and will incorporate modifications to the contract as necessary.

C.1.4.2 The Contracting Officer’s Technical Representative (COR) shall furnish an Officer's Duty Book containing complete duty instructions for each post. The Contractor shall maintain the duty book.

C.1.4.3 The Officer’s Duty Book, Post Orders, and any supplemental memoranda, directives, or other information are For Official Use Only/Law Enforcement Sensitive FOUO/LES information.

The Contractor and its employees shall not disclose this or any other operational information to individuals outside of the DOT/Contractor community. The Officer's Duty Book shall remain on Government property. The Contractor and its employees shall not reproduce or copy the contents of the Officer’s Duty Book in any manner unless authorized in writing by the COR.

C.1.4.4 The Contractor shall furnish a separate loose-leaf binder for each post or screening station (collection of posts) to provide Contractor-related information/policies/directives to the APSOs.

C.1.4.5 Federal Management Regulation (FMR) 41 Code of Federal Regulations (CFR) 102-74 regulates the allowable conduct of all persons entering in or on property under the charge and control of the General Services Administration. Posted placards citing FMR 41 CFR102-74 are at all applicable locations.

C.1.5 Security Guard Information Manual (SGIM) C.1.5.1 SGIM handbook (and all successor documents) contains the information all APSOs and supervisors must read and be familiar with prior to assuming duties under this contract.

C.1.5.2 The SGIM is made available to the Contractor after contract award.

C.1.5.3 The Contractor shall be responsible for providing the manuals (SGIM) to their employees’ at no cost to the Government and retrieving the manual upon termination of employment.

C.2 Contract Transition C.2.1 Phase-In

C.2.1.1 A smooth and orderly transition between the Contractor and the predecessor Contractor is necessary to ensure minimum disruption to vital Contractor services and Government

The Contractor shall not disrupt official Government business or in any way interfere with the assigned duties of the predecessor Contractor employees. The government will allow a maximum of thirty (30) days start up from the time of the award of the contract to the initial start of performance.
