The document outlines comprehensive standard terms that govern contractual relationships between the universities and contractors, covering various aspects of procurement, performance, intellectual property, data protection, and compliance requirements. The terms are designed to establish clear guidelines for service and goods acquisition, with specific provisions addressing termination, assignment, confidentiality, export control, and legal responsibilities.
The document specifies standard payment terms of Net 30, with invoicing procedures directed to specific university accounts payable departments. Financial obligations are contingent on fund availability, with provisions for federal fund contingencies. Insurance requirements mandate that contractors maintain comprehensive general liability insurance of at least $1,000,000 combined single limit, workers' compensation insurance as required by law, and automobile liability insurance.
