About this file
This is a contract exceptions document for RFP 2027-004 submitted by Class Wallet in response to the State of New Hampshire Department of Education's request for proposals for a Digital Spend Management Platform. The RFP seeks a secure, hosted digital platform enabling eligible vocational rehabilitation participants to directly purchase approved goods and services while maintaining financial controls and regulatory compliance. The platform must comply with NIST SP 800-171 and NIST SP 800-53 standards and achieve or maintain FedRAMP or GovRAMP authorization. Proposals were due July 17, 2026 at 5:00 PM EST, with a non-mandatory vendor conference held on July 10, 2026 at 1:00 PM EST via virtual meeting. Estimated vendor selection is August 7, 2026. The contract term runs from the effective date through September 30, 2030, with two optional one-year extensions available at the State's discretion, subject to satisfactory performance, continued funding, and Governor and Executive Council approval. The platform must maintain WCAG 2.1 Level AA accessibility compliance, require 99.9% monthly uptime, provide 24/7 hosting availability with on-call technical support during business hours, and conduct criminal background checks on all staff, with all data remaining within Continental United States data centers.
Class Wallet submitted seven exceptions to the standard contract terms outlined in the State's P-37 template. Three exceptions were rejected: Section 8.2.4 regarding termination for material breaches, Section 13 concerning indemnification language, and Exhibit B Section 11.4 regarding security incident notification timelines and "promptly" definitions. Four exceptions were identified as open to negotiation pending approval from the DOIT Contract team and the Department of Justice: Exhibit A Section 9.3 regarding software delivery upon termination (noting that Class Wallet provides standard SaaS solutions with no on-premise installation), Exhibit D Section 3 concerning documentation provision, Exhibit D Section 7 regarding intellectual property warranties, and Exhibit D Section 10 regarding source code escrow arrangements. Class Wallet's exceptions primarily address the inapplicability of certain contract provisions to SaaS-based delivery models, emphasizing that as a standard cloud-hosted solution, provisions designed for on-premise or custom software deployments do not apply to their service delivery model.

Class Wallet Requested Contract Exceptions
RFP 2027-004-Digital Spend Management Platform
1. Section 8.2.4 - Rejected - The proposed revision would eliminate the State's ability to immediately terminate for material breaches that are technically capable of cure.
The State must preserve discretion to terminate where the nature or severity of the breach makes a cure period inappropriate.
2. Section 13 - Rejected - Section 13 already does what the proposed change is trying to do, "…caused by the acts or missions of negligence reckless or willful misconduct, or fraud by the Contractor, its employees, agents, or subcontractors.
3. Exhibit A, Section 9.3 – Open to negotiation. At this time, any changes to the DOIT P-
37 must be approved through the DOIT Contract team and the Department of Justice. Final negotiations will be completed during contract drafting.
4. Exhibit B, Section 11.4 – Rejected - Regarding the use of “promptly”, there is no difference because it is defined in the clause as within 24 hours.
Rejected - Regarding State Data, Section 11.4 paragraph 1 already limits notifications to State Data.
5. Exhibit D, Section 3 - Open to negotiation. At this time, any changes to the DOIT P-37 must be approved through the DOIT Contract team and the Department of Justice.
Final negotiations will be completed during contract drafting.

The Agreement's material breach provision already includes a cure period, so this qualifier limits immediate termination to breaches that are incapable of cure by their nature, avoiding any conflict between the two provisions.

As Contractor provides a standard SaaS-based solution, source code escrow is not applicable. Unlike on-premise or custom software deployments, the State's access to and use of the Services is delivered entirely through Contractor's hosted environment.
The State does not install, operate, or maintain any software.
Source code escrow arrangements are designed for on-premise software where a licensee could theoretically step in to maintain the software independently, which is not the case with the software provided by
Contractor.
