About this file

This document is a North Dakota State Contract summary for Term Contract Number 283, focused on Paratransit and/or Fixed Transit Scheduling and Dispatch Software. The contract is a cooperative purchasing agreement available to government entities, other states, nonprofit organizations established on behalf of public entities, and the International Peace Garden, as authorized under North Dakota Century Code section 54-44.4-13.

The contract covers software solutions designed to streamline transit management, enhance statistical reporting, and improve demand response and micro transit operations. Participating entities can engage the contractor (Trip Spark) through a Work Order Request (WOR) process, which allows for flexible service procurement either by specified hours or fixed project costs. Contractors must respond to work order requests within specified timeframes, provide staff information, hourly rates, and potentially resumes and references. Service rates are contractually capped at the originally proposed rates, with potential for lower pricing based on specific project requirements. The contract includes provisions for staff interviews, background checks, and adherence to the participating entity's delivery schedules and project specifications.

This is an open-ended contract that is made available to other government entities, other states, nonprofit organizations established on behalf of public entities, and the International Peace Garden.

ORDERING INFORMATION

Eligible cooperative Participating Entities may participate in the awarded Contract by executing a Work Order Request (WOR). Check the State contract website for the sample WOR. WOR will be executed by the Contractor and the Participating Entity. However, The terms and conditions of the Master Contract govern the terms and conditions of the WOR. Several sections were negotiated to maintain the consistency throughout all the Contracts; however Participating Entity should go through the Master Contract thoroughly before issuing a WOR as some of the sections might differ from contract to contract. Contact the contract administrator for any amendments, renewals and extensions.

When entering into a contract with Trip Spark, Use Participating Entity Agreement to sign the contract.

Work Order Request Process Requirements When a Participating Entity requires Paratransit/Fixed Transit Scheduling and Dispatch services the Participating Entity will prepare a written WOR.

The WOR may stipulate either a specified number of hours or may stipulate a project to be completed at a fixed cost. The WOR will describe the work to be done, the numbers of personnel by skill set and job class, and project begin/end dates (including deliverable due dates where applicable). Participating Entities will indicate in the Work Order Request whether the Participating Entity, and software licenses for contractor staff.

When the contractor responds to a WOR, it must be priced at, or below, the rates proposed and contractually obligated. If necessary, Participating Entities may require interviews with proposed staff prior to accepting the contractor staff.

The contractor shall be responsible for the completion of each WOR it agrees to perform, complying with the Contract terms and adhering to the PARTICIPATING ENTITY’s delivery schedule and price agreed upon in the contractor’s Project Offer to each Participating Entity’s WOR (taking into consideration approved change orders).

Submission of Work Order Requests and Reporting Requirements Each WOR will specify a proposal due date (typically no less than five days) for the contractor to respond to the Participating Entity’s request. The contractor must respond to the Participating Entity that issued the WOR, either affirming or denying its ability to provide the personnel in the required project time frame. During this response period, if necessary, the contractor may seek clarifications of the work involved.

If the contractor is unable to provide the personnel requested, it must state the reason in the appropriate section on the WOR form, sign and return the form to the requesting Participating Entity by the proposal due date.

If the contractor is capable of fulfilling the work order, contractor will complete and attach a “Project Proposal” to the WOR form, sign and return the form to the requesting Participating Entity by the proposal due date. The “Project Proposal” will include the following items:

Basic contractor staff information: name and date of availability.

If Participating Entity requests, the contractor must respond with hourly rates required. Propose a Service Rate per Hour for each contractor staff submitted. If the WOR project dates span more than one year of the Contract term, the contractor must provide rates for each effective year. Service cost may not exceed the cost originally proposed in response to this RFP; however, the cost may be less, depending on the Participating Entity’s requirements, nature of the job market, and the contractor staff abilities.

If Participating Entity requests a Fixed cost, provide a fixed cost proposal to accomplish the Scope of Work.

Resume(s) for contractor staff. In the course of responding to multiple WOR from the same Participating Entity, the contractor is only required to provide this documentation with the first work order, unless the Participating Entity requests updated documentation for subsequent work orders.

If a Participating Entity requests reference checks, each contractor staff reference check must include the names, telephone number and email address of the references. At least one of the references must be from a previous employer or from a customer for which the contractor staff performed IT contract services.

If Participating Entity requests background check/criminal history record check for contractor staff, those would be performed as specified in the Contract.
