Background

Utah Charter Academies (UCA) is a non-profit 501c3 providing public education utilizing public funds and doing business as American Preparatory Academy (APA). UCA began operations in

2002 with a single K-9 charter school in Draper, Utah, and is currently operating multiple public charter schools in Utah. UCA has been recognized as “Charter School of the Year” in 2010, U.S. News and World Report’s number one college prep school in 2020 & 2021, has received several “Best of State” awards, and continues to be a leader in public charter schools in Utah.

Description of Work

The Project is an expansion of the existing APA West Valley Campus 2/3 building located at

3636 West 3100 South, West Valley City, UT 84119. The campus will remain in operation throughout construction. The following describes the components of the work. The Project is currently under design by SPE Architects; preliminary schematic plans are provided with this solicitation and the design will continue to develop with the CM/GC’s preconstruction input.

A. Elementary Classroom Addition

B. Secondary Classroom Addition

Construction of four (4) secondary classrooms sized larger than a standard classroom

(oversized rooms) to accommodate the following programs: Band, Orchestra, Dance, and

Drama. These specialized spaces will require program-specific provisions (for example, appropriate acoustics, flooring, ventilation, power, and equipment rough-ins). Existing classrooms in the future auditorium lobby area will be demolished and replaced by four (4) new standard size classrooms to be constructed within the existing multi-Purpose Room.

C. Auditorium Addition

Construction of a new auditorium addition to the campus seating approximately 450, including associated stage, seating, lobby/circulation, concessions, scene shop, dressing rooms and restrooms. The auditorium interior finishes and theatrical work may be bid as an add alternate as described in the Notice to Contractors.

D. Lunch Preparation Kitchen (Building Shell only)

The design will include the building shell for a future lunch preparation kitchen. Except as otherwise shown in the design documents, the CM/GC shall provide the base building shell and any structural, mechanical, electrical, and plumbing rough-in/provisions indicated on the design documents necessary to accommodate the future build-out of the kitchen. Finish-out of the kitchen is excluded from the base scope and, if desired by the Owner, may be bid as a separate add alternate.

E. Site Improvements

APA West Valley Campus 2/3 Expansion – CM/GC RFP (26-WV2-EXP) | Page 6

Site improvements will modify portions of the currently developed areas as required to support the additions, including such items as grading, retaining walls, curb & gutter, asphalt/paving, walks, site utilities, and landscaping

F. General

The specific structural systems, exterior envelope, interior partitions, finishes, and mechanical/electrical/plumbing systems for each component will be defined in the design documents issued by Addendum as the design is completed. Furniture, Fixtures, and

Equipment (FF&E) will be provided by the Owner. Construction will commence shortly after award of the CM/GC contract and will continue while the school is in operation. The Contractor shall coordinate with the school to minimize disruption and maximize safety.

1. Construction Management/General Contractor. The Construction Management/General

Contractor (CM/GC) documents consist of all documents listed in the Table of Contents and by reference, and all said documents are incorporated in this solicitation by reference. The CM/GC documents will be available on the Utah Public Procurement Place (U3P) / Bonfire website.

2. Contact Information. Except as authorized by the Owner’s Representative or as otherwise stated in the CM/GC or the pre-proposal meeting, communication during the selection process shall be directed to the specified Owner’s Representative. In order to maintain the fair and equitable treatment of everyone, Contractors shall not unduly contact or offer gifts or gratuities to the Owner, any Board member/officer, employee or agent of the Owner, or selection committee members in an effort to influence the selection process or in a manner that gives the appearance of influencing the selection process. This prohibition applies before the CM/GC is issued, as the project is developed, and extends through the award of a contract. Failure to comply with this requirement may result in a disqualification in the selection process.

Contractors should be aware that selection committee members will be required to certify that they have not been contacted by any of the Contractors in an attempt to influence the selection process.

3. Requests for Information and Questions. All requests for information regarding this project and questions must be submitted via the U3P / Bonfire website no later than the date and time listed on the Project Schedule.

4. Project Schedule. The Project Schedule lists the important events, dates, times, and locations of meetings and document submission deadlines that must be met by the Contractor.

5. Optional Pre-Proposal Meeting and Registration. An optional pre-proposal meeting will be held on the date and time listed on the Project Schedule. A representative from each interested prime contractor may attend. During the meeting, a presentation will be made to describe the overall scope of work and intended schedule. Interested prime contractors may ask questions and request clarification about the project and the procurement process. Subcontractors and suppliers are also invited to attend this meeting.

6. Proposal Requirements for Business Confidential Information. GRAMA Protected

Records: Process for Submitting Proposals with Protected Business Confidential Information, UAC Rule R23-1-707: Pursuant to Utah Administrative Code (UAC) Rule R23-1-707, the State of Utah – Division of Facilities Construction and Management requires all proposers wishing to protect information within their proposal documents they claim to be business confidential or protected to submit two separate proposals; one redacted version for public release clearly marked “Redacted Version,” and one non-redacted version for evaluation purposes clearly marked “Protected Business Confidential.” If a proposer chooses to submit redacted proposal documents, a Claim of Business Confidentiality Form must accompany those documents. 9. References. All proposals shall include a list of references on similar projects that were completed by the firm in the last five years. All references shall be for projects in which the firm was the prime firm and held a contract directly with the owner, and shall include the following information:

• Point of Contact: Person who will be able to answer any customer satisfaction questions.

• Phone Number: Phone number of the contact we will be surveying.

• User Name: Name of the Company / Institution that purchased the construction work.

• Project Name: Name of the project.

• Date Completed: Date of when the work was completed.

• Address: Street, city, and state where the work was performed.

• Size: Size of project in dollars.

• Duration: Duration of the project / construction in months.

• Type: Type of the project (i.e., School, Offices, Warehouse, etc.).

10. CM/GC Work Phases. The CM/GC Work for the project consists of two phases:

Preconstruction and Construction.

A. Preconstruction Phase. This phase of the Work includes but is not limited to attending design meetings, estimating and cost control, schedule development, and drawing and constructability reviews. The Contractor shall assist the Owner and A/E in maintaining the cost of construction within the FLCC and the duration of the construction within the project’s schedule. As part of the preconstruction phase, the CM/GC will also provide ongoing review of the design documents for constructability, clash detection, and design errors and omissions.

Any discovered error or omission will be tracked by the CM with the A/E until said issue is resolved. The CM/GC will not be allowed mark-up on any such issue-related change order during the construction phase of the project as a result of the aforementioned items. The

Preconstruction Phase for Phase 2 Work will extend past commencement of the Construction

Phase of Phase 1.

APA West Valley Campus 2/3 Expansion – CM/GC RFP (26-WV2-EXP) | Page 9

B. Construction Phase. This phase of the Work consists of the Contractor furnishing and installing all Work as required in the Contract Documents. Please note that the Work of the

Construction Phase may be bid in several packages, such as excavation, footings and foundations, structural steel, etc.

11. FLCC and GMP.

A. FLCC. The Fixed Limit of Construction Cost (FLCC) is the project’s construction budget as listed in the Notice to Contractors and this CM/GC’s Description of Work section. The Owner, the design team, and the Contractor agree to work together to keep the cost of construction as represented in the design within the FLCC.

B. Guaranteed Maximum Price (GMP). The Guaranteed Maximum Price is the final price that the Contractor agrees to accept in full performance of the Construction Manager/General

Contractor Agreement (CM/GC Agreement) and is based on the final contract drawings and specifications. The AIA Document A133-2019 Standard Form Agreement Between Owner and

Construction Manager as Constructor will be used. The GMP shall include all fees and percentages required by this CM/GC, as well as the costs for general conditions and all work as required in the Contract Documents. Because the Work may be completed in bid packages and may include alternates, the successful Contractor will be required to submit a GMP for the Work associated with each bid package. Except for the Preconstruction Fee, all GMPs for the Work shall become part of the CM/GC Agreement by modification. The final GMP is normally determined at the completion of the Contract Documents and receipt of subcontractors’ bids;

however, a GMP may be negotiated at an earlier point as may be needed by the Owner.

12. Cost Proposal, Fees, and Markups. Before submitting a Cost Proposal, each Contractor shall carefully examine the CM/GC documents, shall visit the site of the Work, shall fully inform themselves as to all existing conditions and limitations, and shall include in the Cost Proposal the cost of all items required by the CM/GC. If the Contractor observes that portions of the

Contract Documents are at variance with applicable laws, building codes, rules, or regulations, or contain obvious erroneous or uncoordinated information, the Contractor shall promptly notify the specified Owner’s Representative and the necessary changes shall be accomplished by

Addendum. The Cost Proposal Form provided in the CM/GC documents must be completed and submitted by the date and time established in the Project Schedule. Late submissions will be considered nonresponsive and will be disqualified. All Contractors shall furnish the following fees and markups as part of the Cost Proposal.

A. Preconstruction Fee. This lump sum fee consists of all costs for the CM/GC to provide the required services of the Preconstruction Phase. No other reimbursable costs will be allowed or considered in addition to this fee.

B. Construction Management Fee. This lump sum fee shall consist of and include overhead

(e.g., home office), profit for the entire job based on the defined scope of work represented by the FLCC, and home office personnel who will be managing the project during bidding, construction, and closeout, including the warranty period. This fee does not include general conditions. This fee shall be a percentage of the cost of the Work

C. Construction Supervision Cost. This is a lump sum cost to the project from notice to proceed to final completion for the CM/GC’s on-site management/supervision team (e.g., project manager, superintendent, etc.). The fee shall include but is not limited to: employee burden

APA West Valley Campus 2/3 Expansion – CM/GC RFP (26-WV2-EXP) | Page 10 including insurance, vacation and bonus; vehicle including gas, oil, maintenance and insurance;

technology including iPad/tablet, cell phone, computer and software; travel, relocation expense, or subsistence. All services and personnel not specifically identified as a Construction

Supervision Cost will be considered to be part of the lump sum Construction Management Fee.

This includes receptionists, accountants, safety officers, expediters, commissioning agents, etc.

This cost does not include general conditions or people performing the actual construction activities.

D. Temporary Construction Cost (General Conditions). The CM/GC shall be compensated for temporary construction costs (commonly referred to in the industry as “general conditions”) and reimbursed by Lump Sum up to the line item amount for such costs in the approved GMP.

The total amount of the Temporary Construction Costs shall not exceed the amount submitted in the Cost Proposal Form. Temporary Construction Costs means such items, to the extent used and necessary for the construction of the Project:

i. On-site office, furnishings, and office equipment, including trailer utility, telecom and internet connections, printers and copiers, fax machines, filing cabinets, etc.

ii. On-site temporary storage units/trailers, if any.

iii. Computers, network connectivity, project-related software and software licenses.

iv. Mobilization/demobilization.

v. Jobsite radio and cell phone communications.

vi. Project sign and banners.

vii. BIM Level of Development-400.

viii. Progress photos and videos.

ix. Submittal expressage/shipping.

x. Security.

xi. All general labor for site and construction cleaning, material handling, traffic safety, site safety, and quality assurance. Only personnel actually performing work will be allowed in the general conditions.

xii. Safety requirements: hard hats, safety vests, safety glasses, gloves, boots, fall protection, PPE, and site safety not included in subcontracts, and any and all safety implements required by OSHA, local jurisdiction, or other regulatory bodies.

xiii. Consumable office supplies / drinking water.

xiv. Portable toilets.

xv. Finish protection.

xvi. Construction cleanup.

xvii. SWPPP management and permits.

xviii. Construction documents and hard copy plans.

xix. Temporary fencing with screening.

xx. Small tools expense.

xxi. Machinery and Equipment, including trucks, vans, golf carts/ATVs, backhoes, forklifts, and small cranes not included in subcontracts. All costs associated with these and similar items are included in the fee.

APA West Valley Campus 2/3 Expansion – CM/GC RFP (26-WV2-EXP) | Page 11

Excluded from the Temporary Construction Cost fee: Large cranes, temporary construction utilities (water, gas, power), and weather conditions (winter protection). Any site-specific items that are atypical and do not fit in the general conditions fee shall be brought up during the

CM/GC process and specifically excluded on the Contractor’s Proposal.

E. Self-Performed Work Markup. This is a fixed percentage markup that will be applied to the cost for the CM/GC’s actual labor plus burden cost, material costs, and equipment costs for self-performed work.

FC. Contractor’s Modification Factor. Provide the insurance modification factor for the prime firm.

G. Change Orders and Fees. The CM/GC will not be allowed an increase in construction management fee, monthly supervision fee, or general conditions fee for proposed change orders that are determined by the Owner to be an omission or unforeseen condition. Scope changes prior to the final GMP that exceed the FLCC will include an increase in the management fee, monthly supervision fee, and general conditions fee as defined in the CM/GC.

Scope changes after the final GMP will include a 5% markup. Additional monthly management fee and general conditions fee may be increased only if the Owner approves an increase in contract days, and will be applied as a percentage of the fee identified in the CM/GC divided by the number of construction days in the Contractor’s GMP schedule.

13. Self-Performed Work. The Contractor will be allowed to self-perform work. This work must be billed for at actual cost incurred plus the Self-Performed Work Markup. Actual costs for self-performed work will be subject to audit. No billing rates will be allowed. The Contractor must specifically state in the Management Plan proposal what self-performed work they intend to execute, and must bid its self-performed work. The CM/GC’s bid will then be evaluated by the

Owner and the A/E and must be determined to be the best value bid for the work to be awarded to the CM/GC. The CM/GC can propose to self-perform work that was not proposed in the

Management Plan, provided that this work is completed in a competitive bid or value-based selection process and advertised as would normally be required. The cost of any work that is self-performed will be part of the established GMP.

14. Management Plan and Statement of Qualifications Proposal. The Management Plan and Statement of Qualifications proposal shall be combined into one PDF document limited to

15* pages (not including cover page or section tabs) and delivered by the date and time listed on the Project Schedule. Late submittals and submittals that exceed the allotted page count will be considered nonresponsive and will be disqualified. *Hyperlinks to additional pages and external sources are not allowed and will not be assessed as part of the submission.* The proposal shall be organized as follows:

COVER PAGE: Shall include the project name and project number as well as the prime firm’s name. The cover page may have a picture on it with a brief description of the picture.
