The proposal is dated June 12, 2024, with the solicitation number BPM#005905, and is designed to provide comprehensive car rental services for state employees and authorized agencies.
The proposal offers a wide range of vehicle rental options including compacts, sedans, SUVs, vans, trucks, and passenger vans in gasoline, hybrid, and electric models. The contents shall only be disclosed where required by applicable law and only the extent required by the applicable law or any applicable open records law (for government proposals) and only after prior written notice to Enterprise Mobility. Disclosure and misuse of such information would result in immediate and irreparable harm to Enterprise Mobility and would provide Enterprise Mobility with a competitive disadvantage in its marketplace should its confidential business, operational and financial information be released.
Notwithstanding any separate agreement to the contrary, the recipient shall protect and keep the provisions of this proposal and any subsequent communications confidential and will not disclose such provisions, except to its employees or agents who require the information for the purpose expressly authorized by Enterprise Mobility and for no other purpose whatsoever. Such individuals shall be bound by the same confidentiality requirements — to the same extent and on the same basis — as these obligations are imposed upon and assumed by the recipient.

Any verbal or written undertaking prior to a final executed agreement will have no legal effect and any reliance upon the same is disclaimed by recipient. The information and data provided in this bid are reflective of EAN Services, LLC (“EAN”) and its Affiliates (“Enterprise Mobility”) to provide an overall picture of our organization as a whole, who we are, and how we operate, including, among other things, our financial strength, employment practices and policies, diversity and environmental stewardship, and sustainability initiatives. However, in the event we are the successful bidder, the agreement will be entered into by EAN Services, LLC. Vehicle rentals under the agreement would be provided by affiliates of EAN (the “EAN Affiliates”). In addition, EAN would make available a network of independently owned third-party franchisees and licensees operating Enterprise Rent-A-Car and National Car Rental brand vehicle rental locations from which recipient may rent vehicles at the agreed-to rates provided in the agreement in locations where the EAN Affiliates themselves do not operate. Please note that in preparing its proposal(s) EAN has assumed that the parties will utilize EAN’s Global Corporate Rate Agreement (please see the attached sample), which has been designed to reflect the EAN program and risk allocation. If EAN’s GCRA is not utilized as the primary operative final agreement, EAN reserves the right to adjust its proposal(s) accordingly.

Executive Summary Enterprise Rent-A-Car and National Car Rental are internationally recognized brands owned and operated by Enterprise Mobility. As North America’s largest and most comprehensive car rental company, our brands operate a fleet of more than 2.3 million vehicles and a network of more than 9,500 car rental locations in neighborhoods and at airports worldwide.
History In 1957, Enterprise Rent-A-Car opened its doors and became known for low rates, neighborhood convenience, and outstanding service. Pioneering customer service and location expansion led Enterprise to develop our popular “We’ll Pick You Up” service in 1974.
Founded in 1947, National Car Rental is a premium brand serving the daily rental needs of the frequent airport business traveler throughout the United States, Canada, Mexico, the Caribbean, Latin America, and Asia. National helped pioneer the corporate account business in the 1970s and introduced the car rental industry’s first comprehensive frequent-renter program, Emerald Club, in 1987.
Dedication to Service Today, our brands remain the rental company of choice for our business customers. The Emerald Club continues to expedite the car rental process for time-sensitive corporate travelers by offering counter bypass and automatic e-receipts as well as car choice. The Emerald Club enables customers in the United States to quickly choose their own vehicles without any paperwork and simply drive away.
Our brands now have more than 9,500 neighborhood and airport locations across the globe. There are more than 5,500 U.S. offices to serve our clients wherever they do business.
Our brands are uniquely positioned to serve all your business’ car rental needs — both at the airport and locally — with more vehicles and locations than all of our major competitors.
Customer Satisfaction Customer service is the highest priority at Enterprise and National. Our brands consistently take the top spots for satisfaction among rental customers around the world.
In addition to numerous industry awards and third-party surveys, we use a variety of internal processes to measure our customers’ satisfaction, including our Service Quality index (SQi), Quality Service Process, and Brand Integrity Assessments. All of this ensures we are exceeding expectations worldwide while continually improving and distinguishing our service from the competition.
Looking Toward the Future We are committed to managing our business sustainably and for the long term — continuously working to balance the interests of our customers, our employees, and the parts of the world we touch with our business. Our environmental initiatives include:

Fleet Philosophy Enterprise Mobility, the largest car rental company in the world, owns and operates 2.3 million cars and trucks — the largest fleet of passenger vehicles in the world today. Our company, which owns the Enterprise Rent-A-Car and National Car Rental brands, is committed to providing quality vehicles to the business traveler. With more than 300 makes and models, we continually invest in and replenish our fleet to maintain an average fleet age of eight months.
Our vehicle acquisition team is focused on ensuring that our customers enjoy an optimal balance between the availability of new, low-mileage vehicles and the cost savings that benefit customers when we utilize vehicles in our fleet for longer periods. All of our vehicles are maintained as recommended by the vehicle manufacturer, and all repairs are conducted by Automotive Service Excellence (ASE) certified technicians.
In addition, Enterprise and National work in partnership with manufacturers to provide our customers with a variety of vehicles for all of their transportation needs. We also leverage our manufacturer relationships to introduce new vehicles and new vehicle technologies, as well as alternative-fueled vehicles, to the driving public.
With more locations than any other car rental company, we also have the flexibility to move our fleet from the airports to our home-city branches as necessary. This practice allows us to maximize fleet utilization, which benefits our customers by lowering costs and improving our ability to respond to irregular shifts in demand at specific locations.

General Fleet Safety All vehicles in our fleet meet all federal safety standards at the time of purchase.
As required by law, 100 percent of our vehicles have a front driver and passenger airbags. Nearly all of our vehicles also feature anti-lock brakes. More than half of our vehicles feature daytime running lights, which can be effective in reducing the incidence and severity of daylight multi-vehicle accidents.
Through our Preventative Maintenance (PM) program, vehicle mileage, and service history are each monitored on a computer system that flags vehicles to be scheduled for regular service. Vehicle warnings and recalls by manufacturers are monitored via direct contact with the manufacturers.
Our North American fleet contains automatic transmission in all vehicles. Larger class passenger vehicles contain cruise control, air conditioning, and carpeted floors. If a factory installed spare tire is offered by the manufacturer as an available option for purchase, it will be included in the vehicle. Vehicles that cannot be ordered with a factory installed spare tire will be equipped with an inflator kit. Please note that not all commercial trucks have cruise control or spare tires.
Because vehicle options vary by manufacturer, we cannot always guarantee the skid plate package and anti-grip differential for ¾ ton and 1 ton two-wheel drive trucks. We can offer an upgrade to a 4x4 vehicle at no additional cost.
Fuel At all Enterprise and National airport locations, vehicles are provided with a full tank of gas. At off-airport locations, vehicles may be provided with less than a full tank of gas.

4.2. Customer Service Requirements – At a minimum the Contractor shall provide a toll free number for state employees to call in the event of an accident and/or a repair becomes necessary and a replacement vehicle is required.
Enterprise and National Roadside Assistance is available 24 hours a day, seven days a week.
Enterprise customer service can be reached 24 hours a day at 1-800-261-7331 or by email from the Enterprise website.
National’s Account Customer Service team is available toll free at 1-800-468-3334 from 7 a.m. to 10 p.m.
CST, seven days a week.
4.3. Reservation Requirements
4.3.1. Contractor shall provide a toll free customer service number. Available 24/7 for all Eligible Agencies to use for reservations using the assigned contract customer number.
Enterprise and National offer real-time connectivity to our internal reservation system via multiple booking channels, including direct XML links, our branded websites, the GDS, online travel sites, and through our Contact Center, which is staffed 24 hours per day, 365 days a year. All booking channels have real-time access to vehicle availability and rates, including rate per day and an estimated total that includes taxes, fees, and surcharges.
4.3.2. Contractor shall provide a website, and maintain a secured online reservation system where the customer can access a comprehensive listing of, and description for, the vehicles, services and rental rates including geographical mandated fees and applicable taxes under this contract.
As mentioned above, one of our reservation methods available is our website that can be accessed at any time. By using the ADOT Account Number, travelers will be able to assess the rates and different vehicle options available to them. Any additional fees will be quoted at time of reservation.
4.3.3. A login or similar process shall be utilized to ensure only authorized individuals from all statewide Eligible Agencies are able to place reservation orders using the assigned contract customer number.
Our reservation system incorporates an automated rate quote program to ensure that the appropriate contractual rates and provisions will be applied. This is driven by an Account Number, which ensures 100 percent compliance with ADOT’s corporate contract. Whenever a reservation is placed using this Account Number, the rates and terms of the traveler’s corporate agreement are recognized as primary and are automatically extended to the renter.
4.3.4. Contractor shall accept reservations made at a minimum of 24 hour (short notice) prior to required pickup.
Customers may walk up to the rental counter and rent a vehicle without reservation. However, because rentals are made based on supply and demand, we recommend that customers reserve a vehicle at least 24 hours before their desired rental time. Specialty vehicles or vehicles rented within peak times may require more notice.
4.3.5. Reservation system shall not allow order(s) to be placed for non-contracted vehicles or services listed in this contract.
During implementation, we can establish provisions that would not enable ADOT travelers to place orderson non-contracted vehicles or services.
Information on this page contains matters which are the subject of ongoing negotiations, are confidential and proprietary, and subject to strict restrictions and limitations on use and disclosure. Please refer to Enterprise Holdings’ Statements on Confidentiality and Non-
4.4. Service Requirements – At a minimum services shall meet the following requirements:
4.4.1. Vehicle Pick-up and return
4.4.1.1. Vehicle Class – The Contractor shall provide a vehicle in the same class of the reservation. If the vehicle is not available at the schedule time of pick-up the Contractor shall immediately supply an alternative vehicle that is acceptable to the representative of the eligible agency.
Every year, we help millions of business travelers arrive on time; their success depends on it, and so does ours. We carefully manage our fleet to ensure that travelers can rent the car of their choice. Having a car ready to drive at the right place and time requires sophisticated fleet management, and our operations and headquarters staffs analyze vehicle requirements hourly for each location. In addition, our representatives behind the counter are empowered to make adjustments to ensure customer satisfaction. In the unlikely event that we cannot provide a car in the class requested, which is confirmed through an advance reservation, it is our policy to provide the customer with a vehicle from the car class higher than the one reserved at the original rate.
4.4.1.2. Vehicle Inspection - The Contractor and representative shall inspect the vehicle at the time of pick-up and agree to its condition in writing.
At Enterprise locations, employees will visually inspect the vehicle with the traveler at the time of rental, and any damage will be noted and initialed on the rental agreement. Upon return, a rental agent will again inspect the vehicle with the traveler to verify vehicle condition.
Car inspections on the National brand are done only at the request of a customer. To provide ADOT’s renters with our trademark speed of service, these locations do not complete a car inspection with the customer prior to the commencement of a rental. National offers customers e-receipts, and because customers do not have to wait for a receipt, many skip the car inspection process. In those cases, we inspect the vehicle as soon as possible and follow up with the customer if any damage is discovered. It is important to understand that the rental transaction is not complete until the vehicle has been inspected.
4.4.1.3. Guaranteed Payment - At no time shall the representative of the eligible agency be required to use personal resources to guarantee payment.
During the implementation process, the Account Management Team will work with you to establish payment processes that you require.
• Direct Billing. This option is used when a corporate account requires all or some rentals to be paid by the company. Companies also choose this option when they do not want travelers paying with personal or corporate credit cards, or when they need to pay for non-employee rentals.
• Charge Card or Commerce Bank Account. Under these programs all car rentals are consolidated into a common invoice.
• Direct Debit. Under this program all rentals are consolidated into a common invoice and payment is taken automatically from the checking account at the same time each month for U.S. customers.
• Other Forms of Payment. Includes cash or credit card, which can be used at the time of the vehicle return.
Information on this page contains matters which are the subject of ongoing negotiations, are confidential and proprietary, and subject to strict restrictions and limitations on use and disclosure. Please refer to Enterprise Holdings’ Statements on Confidentiality and Non-
4.4.2. Hours of Operation: At a minimum, Contractor locations shall be open and available to process pick-ups and returns of vehicles from 8:00 AM through 5:00 PM, Monday through Friday, with the exception of Arizona State Holidays.
The elasticity of Enterprise and National’s network allows each of our locations to have flexible operating hours according to the need of the location. Information about specific locations, including hours of operation, contact information, and directions to the facility may be found on our websites, enterprise.com and nationalcar.com.
Airport authorities govern daily business hours for most airport rental locations. At some of our busiest locations, Enterprise and National are open for your travelers 24 hours a day. Home-city locations are generally open from 8 a.m. until 5 p.m. Monday through Friday and 9 a.m. until noon on Saturday.
Location operating hours can be found on our websites for each branch.
4.4.3. Repairs: At any point during the duration of a rental and the vehicle is in need of repairs, the Contractor shall take immediate action to rectify the issue. If a replacement vehicle is necessary, the Contractor shall deliver the replacement vehicle to a location determined by the representative of the eligible agency. The Contractor shall be responsible for all repairs and towing of the vehicle if necessary.
When a replacement vehicle exchange is necessary, the Roadside Assistance department will identify the closest location to the point of disablement. A tow provider will be dispatched to exchange vehicles with the traveler. All service for the disabled vehicle will be addressed by Enterprise or National.
However, negligence-related assistance or those related to a violation of the rental agreement will incur a charge.
4.4.4. Safety: Vehicles shall be equipped and maintained to meet all federal, state and local vehicle safety standards, codes and ordinances. If any unsafe or contractually unacceptable condition is brought to the Contractor’s attention, a suitable replacement vehicle shall be provided immediately at no additional charge.
All vehicles in our fleet meet all federal safety standards at the time of purchase. Most of our rental locations enlist Allstate and AAA to aid travelers in need of roadside assistance; however, Enterprise and National utilize a variety of local and nationwide roadside assistance providers based on need and location.
In cases of vehicle malfunction, a replacement vehicle will be provided. Because each client's needs are distinct, it is very difficult to provide specific response times for service. For example, in a metropolitan area, tire changes, lock-out assistance, or jump starts generally take 45 to 90 minutes. Assistance in remote areas could require a longer response time. The traveler will receive an ETA when reporting their need for assistance.
Information on this page contains matters which are the subject of ongoing negotiations, are confidential and proprietary, and subject to strict restrictions and limitations on use and disclosure. Please refer to Enterprise Holdings’ Statements on Confidentiality and Non-
4.4.5. Condition: Vehicles provided shall, at the time of rental, be clean, well maintained and in excellent operating condition. Tires shall be properly inflated and all preventative maintenance shall be current.
Vehicle cleanliness and condition is a big part of a customer’s overall satisfaction with the Enterprise and National rental experience. Upon return of a vehicle, Enterprise and National locations begin with an initial inspection. Service agents then perform several vehicle preparation tasks including vacuuming the interior, cleaning the interior windows, dash, door / doorjambs, measuring fluid levels, checking wipers and tire pressure, tire wear, and more. Only after the vehicle has been completely prepped is it then passed through the car wash and returned to the active fleet.
All vehicles are under manufacturer’s warranties and are tracked for completion of regular preventive maintenance according to manufacturer specifications. Preventive maintenance includes but is not limited to: lube, oil, filter, and tire rotation.
Enterprise and National may not be able to clean the exterior of our fleet vehicles during inclement winter weather. Because we pride ourselves in vehicle cleanliness and customer service, this is a last-resort exception when the temperature reaches sub-zero ranges. We strive to keep our vehicles clean and will do everything we can to prepare our cars for ADOT drivers.
4.4.6. Required Documents: Current vehicle registration, proof of insurance shall be present in the glove-box of each rental vehicle.
Enterprise and National provide a copy of the vehicle registration card, insurance card, and the damage report form. This documentation can be found in the glove box of every vehicle. Due to the size of our shared fleet, 2.3 million vehicles globally, we do not keep the owner’s manual in each vehicle.
4.4.7. Emergency Information: Emergency toll free telephone numbers, procedures and required forms shall be provided with each vehicle for use in the event of the need for a service call, breakdown or accident.
Customers in need of emergency road service in the United States and Canada may call a dedicated roadside assistance line. Instructions for contacting the roadside assistance line are included in the rental agreement provided at the counter. For Emerald Club members who choose to bypass the counter and proceed directly to the vehicle, the instructions will be located on the driver’s-side visor.
Travelers using the Enterprise Rent-A-Car App and National Car Rental App also have the ability to press the Roadside button. This allows them to call 911 or be connected with our Roadside team for assistance with items such as flat tires or lockouts.
Enterprise and National will leverage its HERO platform to quickly and digitally dispatch a service provider.
An Enterprise representative will take the call through this platform, confirm the safety and identity of the customer, locate where the breakdown has occurred, and request service. Roadside assistance is available 365 days a year, 24 hours per day. Assistance is available in multiple languages.
Information on this page contains matters which are the subject of ongoing negotiations, are confidential and proprietary, and subject to strict restrictions and limitations on use and disclosure. Please refer to Enterprise Holdings’ Statements on Confidentiality and Non-
4.5. Vehicle Rental Rates – Rates shall be the same statewide regardless of the county; this does not include geographical mandated fees and applicable taxes under this contract. The rates descriptions are as follows:
4.5.1. Daily Rate – Per day (24 hours) for the rental of a vehicle.
4.5.2. Weekly Rate – Seven (7) continuous days with charges every 24 hours. Therefore, a 7 day rental is actually six (6) days of daily rate charges.
4.5.3. Monthly Rate – Thirty (30) continuous days.
4.5.4 One Way Rate - per day (24 hours) for the rental of a vehicle
We have included One-Way, Daily, Weekly, and Monthly rates.
4.6. Additional Rate information:
4.6.1. Credit Cards numbers will not be required to make reservations.
4.6.2. Vehicle Substitutions - If the size/class of vehicle reserved is not available, the Contractor will substitute an upgraded vehicle at the same price or, with the representative of the eligible agency’s consent, a smaller vehicle at a reduced rate.
4.6.3. The Contractor will not charge additional fees for any one-way domestic rentals.
4.6.4. Rates shall include unlimited mileage, excluding Box and ¾ quarter Ton Trucks (non-passenger vehicles).
4.6.5. Customer will pay additional fees, charges and taxes (Contractor will remit taxes owed the State) listed on the Pricing Sheet. These items must clearly describe the purpose of the charges with applicable, necessary usage to explain the billing.
4.6.6 Rental Rates are for Vehicles rented in Arizona only.
A credit card number will not be required to make a reservation for ADOT travelers. Billing information will be included in the traveler profile.
A reservation is guaranteed when a confirmation number is given. In the unlikely event that a reserved vehicle is not available, our representatives have the authority to provide a vehicle upgrade at no additional charge. If this is not possible or acceptable, our counter staff will proceed with alternative measures to make sure the traveler’s rental experience is efficient and convenient.
Enterprise reserves the right to charge a $35 fee for one-way rentals within the State of Arizona.
In all other U.S. states, one-way rental availability is determined at the time of reservation. Should a traveler need to return the vehicle to a different location other than what is specified in the rental agreement, the traveler must call the renting brand and advise us of their plans. At that time, the daily rental rate will be recalculated to the applicable one-way rate.
Enterprise offers a one-way rental solution at airports and select home-city locations. This option can be discussed in greater detail should this be desired.
All rentals for ADOT travels will include unlimited mileage.
Information on this page contains matters which are the subject of ongoing negotiations, are confidential and proprietary, and subject to strict restrictions and limitations on use and disclosure. Please refer to Enterprise Holdings’ Statements on Confidentiality and Non-
4.7. Damage or Loss – At a minimum the Contractor shall:
4.7.1. Assume and bear the risk of loss or damage to the rented vehicles (including costs of towing, administrative costs, loss of use and replacement) in accordance with this contract.
Unless incident is caused by Renter negligence.
The rates presented are inclusive of Damage Waiver which will relieve ADOT renters and authorized drivers from financial responsibility for loss of or damage to the rental vehicle. It also relieves renters of additional charges such as fees for the vehicle’s loss of use, diminishment of value or claims administration expenses.
Note that the DW will be null and void if the vehicle was used in a manner prohibited by the rental agreement.
All locations, including licensees, honor our commercial agreements, so you can count on the protection offered by DW no matter where you rent with us.
Please see our requested edits in the Exceptions to Terms and Conditions section.
4.7.2. The Representative of the eligible agency will report any loss or collision damage in the event of an accident or theft of a vehicle immediately to the local law enforcement authority for the jurisdiction where the incident occurred. Followed immediately by notification to the Contractor. The Representative will return any keys, key fobs or keyless (smart) entry devices belonging to the vehicle to the Contractor upon receipt of a replacement vehicle.
If a renter is involved in an accident, the police and the rental location should be notified immediately. If the rental location is not available, the renter should contact Roadside Assistance. The renter should gather information from everyone involved in the accident and provide this information to the rental location or Roadside Assistance. The renter is obligated to cooperate with any claim, suit or legal proceeding related to an accident and should deliver any paperwork related to such an event to the rental location.
4.7.3. Accident notification is required by State of Arizona Risk Management Division in accordance with R2- 10-207.6, “Accident and Incident Reporting” procedures.
We understand this accordance and agree to its adherence.
4.7.4. The Contractor will be responsible for all fees and charges related to loss or accident unless the representative or a third Party is determined to be at fault for the incident.
So long as the vehicle had been used in accordance to the contract, we agree to this provision.
Please see our requested edits in the Exceptions to Terms and Conditions section.
4.8. Emergency Roadside Assistance

6. Department’s Responsibilities
6.1. Return the vehicle with a full tank of fuel, or level of fuel as agreed to at the time rental.
We ask that travelers return the vehicle with the same level of fuel as upon vehicle pick up.
6.2. Any fines, penalties and costs for parking or traffic violations incurred during the rental (unless caused by the Contractor) shall be the responsibility of the Representative and their agency.
Should Enterprise Rent-A-Car or National Car Rental be at fault for a traffic violation, the traveler will not be held responsible for fines. Examples of such violations include, but are not limited to, expired registration, expired license plates, no proof of insurance, and no front license plate. When the customer returns the vehicle, the citation should be given to the rental counter representative so that we may quickly resolve the matter.
In the event that Enterprise or National is not responsible for the parking or traffic violation, the traveler is responsible for all fines, penalties, and costs imposed for such violations, as well as expenses connected with the handling of such matters. All fines, penalties, and costs arising from parking or traffic violations may be billed to the credit card used at the time of rental.
If the traveler does not notify Enterprise or National of the citation at the time of vehicle return, and we are later notified of the citation, we reserve the right to bill the traveler for the cost of the citation plus a handling fee. If the traveler does notify Enterprise or National of the citation, the traveler may pay only the amount of the fine, avoiding all handling fees.
