The Illinois Tollway may, over the term of the Contract, place orders for more or fewer than the estimated quantities stated. The Illinois Tollway does not guarantee that any minimum number of quantities shall be ordered from the Vendor. Materials furnished under this contract shall be delivered in multiple deliveries as determined by the needs of the Illinois Tollway. The estimated quantities of this contract shall be based on a period of 2 years; bid differential prices shall remain firm for the term of the contract.

The decision to pre-order and hold any inventory rests solely with the Vendor.

1.2.5. Protection of Property: The Vendor shall conduct fuel deliveries so as not to interfere with or hinder the daily activity at the fuel site. In the event the Vendor or its subcontractor damages existing property, the Vendor is solely responsible for any expenses to make the necessary repairs and to bring back the damaged property to the original condition (or better) as approved by the Illinois Tollway. The Vendor shall provide a detailed plan including a schedule for repairing all damaged property and submit for Illinois Tollway approval. Any scope of repair work that could impact personnel, site, or fueling operations or property shall be scheduled at the discretion of the Illinois Tollway. The Vendor shall be responsible for filing all reports, acquiring all permits, and inspections at their expense. The Vendor(s) performing the repairs shall be approved by the Illinois Tollway and by all affected regulatory agencies for the work being performed. If the Vendor is not able to complete the repairs in a timely manner that is acceptable by the Illinois Tollway, the Illinois Tollway may complete the repairs at the Vendor’s expense. Payment to the Illinois Tollway or its contractor for any damage repair expense shall be made within 30 days of receipt of an Illinois Tollway invoice.

2. PRICING

2.1. TYPE OF PRICING: The Illinois Office of the Comptroller requires the State to indicate whether the contract price is firm or estimated at the time it is submitted for obligation. The total price of this Contract is estimated.

2.2. VENDOR’S PRICING: Vendor’s pricing is located in the Items Tab in the BidBuy Purchase Order. The State includes in this Contract the BidBuy Purchase Order as it contains the agreed pricing.

2.2.1. Pricing shall be submitted in the following format: Bidders shall complete the line-item pricing in

BidBuy and shall use the following pricing format to complete the Price Table:

Bidders are not required to bid on all lines or all locations in order to be considered responsive.

Bidders may bid on any or all of the 17 Tollway locations. Bidder may bid on one, all, or any variation of lines items, inclusive of renewal term, within that location. However, when bidding diesel fuel for a location, inclusive of renewal term, bidders shall bid all of the following line items: #1 Diesel Fuel, #2 Diesel Fuel, Bio-diesel Blends, and the Additive Package, within that location to be considered responsive for award.

If the Bidder does not bid on a line item, enter 'No Bid' instead of entering $0.0000.

Bidders shall enter a dollar amount for the ‘bid differential per gallon’ in the "Unit Cost" field in BidBuy.

To get the “Unit cost” per Gallon use our estimate of $3.30 plus your Bid Differential Per Gallon.

Award shall be made by line to the responsive/responsible bidder who submits the lowest price for each fuel type and delivery location meeting the required specifications.

Bidders shall provide a plus (+) or minus (-) bid differential on each line-item bid and enter the amount in the "Unit Cost" field per location in BidBuy. This bid differential shall be applied to each gallon of fuel purchased. The bidder shall be reimbursed for the cost of the fuel using the Data Transmission Network (DTN) Energy FastRacks’ lowest posted price of the product delivered on the day the fuel is delivered. Final amount awarded shall include the low bidder’s bid differential and an estimated dollar amount for the gallons of fuel noted in BidBuy for each line item. The fuel amounts for each fueling site, noted in BidBuy, are estimates for the two (2) year initial term and two (2) year renewal term and the Illinois Tollway may purchase more or less than the amounts indicated. All applicable taxes shall be added to the invoice amount, the figure quoted as the bid differential shall take into account all costs to deliver the product to the destination and shall remain firm for the duration of the contract period, inclusive of renewal term.

Unless specified by the Illinois Tollway, when deliveries are to underground storage tanks (UST), minimum deliveries shall be 6,800 gallons for diesel fuel and 7,200 gallons for gasoline When deliveries are to above-ground storage tanks (AST), the minimum quantity shall be 2,000 gallons. If the Illinois Tollway orders less than any stated minimum delivery above, short load charges, if any, shall not exceed the quoted bid differential per gallon for the difference between the stated minimum quantity and the amount actually delivered.

The Illinois Tollway may at some point require a UST diesel load to be split between two (2) locations.

Drops for a split load will be approximately 40 miles or less apart.

2.2.2. Price information shall be taken from the (DTN) Energy FastRacks. Rack prices shall be Chicago area quotations (unless market prices are not available, in which case other adjacent market prices shall be used or as specified). Prices shall be referenced before prompt payment discount. Prices presented shall be posted prices by Refiners/Operators in the market area.

If no postings are available for E-85 from Chicago area terminals, the Illinois Tollway shall use the Rockford low-posted price for clear gasoline and the Rockford low-posted price for ethanol to compute the price based on the percentage (%) blend of gasoline and ethanol.

In the event that DTN discontinues publishing price information during the contract period, the Illinois Tollway reserves the right to choose at its discretion an alternate industry publication to obtain market prices. Vendor(s) shall agree to accept the posted prices in the alternate industry publication or the alternate market area posting.
