Summary of 12-01. Murray HVAC, CMAR, 696-FD-26-Q037.pdf
This document is a Construction Manager at Risk (CMAR) request for proposal issued by the Texas school district for the Murray Unit HVAC installation project. The scope of work encompasses the design and installation of a new HVAC system for the Murray Unit facility, including mechanical equipment, ductwork, controls, and related components necessary to provide adequate heating, ventilation, and air conditioning. The project requires the CMAR firm to participate in the design phase, provide preconstruction services including cost estimating and constructability review, and execute the construction phase. The document outlines detailed specifications for mechanical systems, building integration requirements, and performance standards that the installed system must meet upon completion.
The CMAR delivery method requires the selected firm to provide a Guaranteed Maximum Price (GMP) for the construction portion of the work following the design development phase. The project is funded through the district's capital improvement program, with specific budget allocations for both preconstruction and construction services. The proposal process includes submission of qualifications, experience with similar projects, project team credentials, and proposed pricing for preconstruction services. The contract term extends through project completion, with the CMAR responsible for schedule management, quality control, and delivery of the functional HVAC system within the established budget and timeline constraints.

3.5 RFQ Submission:
3.5.1 Amending and Modifying Submittals/Public Disclosure of Submittals: No
Response may be changed, amended, or modified after it has been submitted.
However, a submittal may be withdrawn and resubmitted at any time prior to the time set for submittal closing.
3.5.2 Rejection of Submittals: Any Submittal that fails to conform to all the requirements shall be rejected.
3.5.2.1. Any response that does not accommodate to the applicable specifications shall be rejected, unless the submittal authorizes the submission of alternate responses, and the supplies responded as alternates meet the requirements specified in this RFQ.
3.5.2.2. Any Submittal that fails to adapt to the delivery schedule or permissible alternates stated in the submission, shall be rejected.
3.5.2.3. A Submittal shall be rejected when the Respondent imposes conditions that would modify requirements of the RFQ or limit the Respondent's liability to the TDCJ, since allowing the Respondent to impose such conditions would be prejudicial to other Respondents. For example, submittals shall be rejected in which the Respondent –
3.5.2.3.1 Protects against future changes in conditions, such as increased costs, if total possible costs to the TDCJ cannot be determined.
3.5.2.3.2 Fails to state a price and indicates that price shall be "price in effect at time of delivery”.
3.5.2.3.3 States a price but qualifies it as being subject to "price in effect at time of delivery”.
3.5.2.3.4 When not authorized by the RFQ, conditions or qualifies a submittal by stipulating that it is to be considered only if, before date of award, the Respondent receives (or does not receive) award under a separate RFQ.
3.5.2.3.5 Requires that the TDCJ is to determine that the Respondent's product meets applicable TDCJ specifications; or
3.5.2.3.6. Limits rights of the TDCJ under any Contract provision.
3.5.2.4 Respondent may be requested to delete objectionable conditions from a submittal provided the conditions do not go to the substance, as distinguished from the form, of the Response, or work an injustice on other Respondents. A condition goes to the substance of a submittal where it affects price, quantity, quality, or delivery of the items responded.
3.5.2.5 Any submittal may be rejected if the TDCJ determines in writing that it is unreasonable as to price. Unreasonableness of price includes not only the total price of the submittal, but the prices for individual line items as well.
696-FD-26-Q037 Page 15 of 19
3.5.2.6 Any submittal may be rejected if the prices for any line items or sub-line items are materially unbalanced.
3.5.2.7 Submittals received from any person or concern that is suspended, debarred, proposed for debarment, or declared ineligible as of the submittal closing date, shall be rejected unless a compelling reason determination is made.
3.5.2.8 Low submittals received from Respondents determined to be not responsible.
3.5.2.9 When a Bond is required and a Respondent fails to furnish the bond in accordance with the requirements to the RFQ, the submittal shall be rejected.
3.5.2.10 The originals of all rejected submittals, and any written findings with respect to such rejections, shall be preserved by the TDCJ with the papers relating to the acquisition. After submitting a Response, if all of a Respondent's assets, or that part related to the submittal, are transferred to another corporate entity during the period between the submittal closing and the award, the transferee may not be able to take over the submittal. Accordingly, the TDCJ shall reject the submittal unless the transfer is affected by merger, operation of law, or other means not barred.
3.5.2.11 Submittals that do not include a completed Subcontracting Plan shall be rejected.
3.5.3 Notice to Respondents of Rejection of All Submittals: When it is determined necessary to reject all submittals, the TDCJ shall notify each Respondent that all submittals have been rejected and shall state the reason for such action.
3.5.4 Minor Informalities or Irregularities in Submittals: A minor informality or irregularity is one that is merely a matter of form and not of substance. It also pertains to some immaterial defect in a submittal or variation of a submittal from the exact requirements of the invitation that can be corrected or waived without being prejudicial to other Respondents. The defect or variation is immaterial when the effect on price, quantity, and quality of delivery is negligible when contrasted with the total cost or scope of the supplies or Services being acquired. The TDCJ either shall give the Respondent an opportunity to cure any irregularity in a response, or waive the deficiency, whichever is to the advantage of the TDCJ. Examples of minor informalities or irregularities include failure of a Respondent to:
3.5.4.1 Return the number of copies of signed submittals required by the RFQ.
3.5.4.2 Furnish required information concerning the number of its employees.
3.5.4.3 Sign its submittal, but only if:
3.5.4.3.1 The unsigned submittal is accompanied by other material indication of the Respondent's intention to be bound by the unsigned submittal (such as the submission of a submittal guarantee or a letter signed by the Respondent with the submittal referencing and clearly identifying the submittal itself); or
3.5.4.3.2 The firm submitting a Response has formally adopted or
696-FD-26-Q037 Page 16 of 19 authorized, before the date set for submittals are due, the execution of documents by typewritten, printed, or stamped signature and submits evidence of such authorization, and the Response carries such a signature.
3.5.4.4 Acknowledge receipt of an Addendum/Amendment to this RFQ, but only if:
3.5.4.4.1 The Submittal received clearly indicates that the Respondent received the Addendum/Amendment, such as where the Addendum/Amendment added another item to the RFQ and the Respondent submitted a Response on the item.
3.5.4.4.2 The Addendum/Amendment involves only a matter of form or has no effect on either of the following: price, quantity, quality, or delivery of the item submitted upon.
3.5.4.5 Furnish affidavits concerning the parent company and affiliates, if required.
3.5.5 Non-Resident Respondents: The attention of all Respondents is called to Tex. Gov’t Code §§ 2252.001.-004. "Nonresident Respondent" means a Respondent whose principal place of business is not in this State but excludes a Contractor whose ultimate parent company or majority owner has its principal place of business in this State.
3.5.6 Discrepancies and Ambiguities: If Respondent of proposed work is in doubt as to the true meaning of any part of the Submittal Documents or believes that discrepancies exist, the Respondent shall submit a written request for interpretation to the Contract Specialist. Such request shall reach the Contract Specialist at least 21 days prior to the time set for receipt of submittals.
3.5.6.1 The Respondent submitting a request for interpretation is responsible for its prompt, timely and actual delivery.
3.5.6.2 Interpretations or explanations shall not be made orally.
3.5.6.3 All interpretations or supplemental instructions shall be provided in
Addendum.
3.5.6.4 Copy of such an Addendum shall be issued to each entity holding Submittal
Documents.
3.5.6.5 Failure to receive such Addendum/Amendment does not relieve Respondent from any obligation under his/her Response as submitted. The Respondent is responsible to ensure receipt and acknowledgment of all Addenda/ Amendments issued and if not, may be cause for rejection of its submission.
3.5.7 Submission Acceptance: It is understood that the TDCJ reserves the right to accept or reject any and all submittals and to waive all irregularities. It is further agreed that this Submittal and Bid Bond Deposit shall be valid and not be withdrawn for a period of 100 days from the date of closing thereof.
3.5.8 Compliance with Laws: In the execution of the Contract, the Contractor shall comply with all laws, regulations, and guidelines applicable to a vendor providing services and products to the State of Texas as these laws, regulations, requirements, and guidelines currently exist and as amended throughout the term of the Contract. The TDCJ reserves the right, in its sole discretion, to unilaterally amend the Contract prior
696-FD-26-Q037 Page 17 of 19 to award and throughout the term of the Contract to incorporate any modifications necessary for the TDCJ’s compliance, as an agency of the State of Texas, with all applicable state and federal laws, regulations, requirements, and guidelines. The Contractor is responsible for ensuring that any substitution proposed at any time can be utilized as proposed without infringing on any patent, copyright, trademark, or other form of intellectual property, and by submitting a request for substitution to the A/E and TDCJ that the proposed substitution can be implemented without such infringement.
In reviewing substitution requests, the A/E and TDCJ shall make no determination as to the existence or potential infringement of such rights by the proposed substitution, and approval of substitution requests does not relieve the Contractor from its responsibilities under this Section. The Contractor shall indemnify, defend, and hold harmless the State of Texas and the TDCJ against any action or claim brought against the State of Texas and/or the TDCJ that is based on a claim that software infringes any patentor copyright or incorporates misappropriated trade secrets. The Contractor shall pay any damages attributable to such claims that are awarded against the State of Texas and/or the TDCJ in a judgment or settlement. If the TDCJ’s use of the software becomes, in the sole opinion of the TDCJ, subject to a claim, or is likely to become subject to a claim, the Contractor shall, at its sole expense (1) procure for the TDCJ the right to continue using such software under the terms of this RFQ; or (2) replace or modify the software so that it is non-infringing.
