About this opportunity
This solicitation seeks proposals to provide protective shielding supplies to the Transportation Security Administration. The TSA intends to award multiple indefinite delivery, indefinite quantity contracts to procure physical barriers such as protective panels and posts to mitigate the transmission of infectious agents. Proposals will be evaluated based on technical acceptability, price reasonableness, and past performance, with these factors considered approximately equal in importance. Offers must be submitted by August 14, 2020. Any questions regarding the solicitation must be submitted by August 11, 2020.
The acquisition is set aside for small businesses only, with a NAICS code of 331318 and size standard of 750 employees. The place of performance will be at airports and security screening locations throughout the continental United States and overseas locations. The minimum guarantee for each IDIQ is $10,000, with a total maximum value across all awards not to exceed $40 million over five years. Initial delivery requirements include 75 units within 14 days of award, with subsequent orders of 200 units within 28 days and 150 units every seven days thereafter.

Pursuant to Federal Acquisition Regulation (FAR) 12.603(c)(2):
(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) The solicitation number is 70T05020R9DMED049. The solicitation is issued as a request for proposal (RFP).
(iii) The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2020-07.
(iv) This acquisition is set-aside for small business concerns. The associated NAICS code is 331318 with a small business size standard of 750 employees.
(v) A list of line item numbers and items, quantities, and units of measure:

NOTE (1): The TDC Shielding shall be delivered fully assembled. All other products identified as “configurations” in the schedule will be assembled on-site by Government personnel.
NOTE (2): The first ordering period will commence on the day of contract award and continue for one year after award. Subsequent periods will also be for one year each. Actual dates for the ordering periods will be stated in the contract at time of award.
NOTE (3): Indefinite Delivery, Indefinite Quantity (IDIQ) Contract (Minimum and Maximum Amount) –
During the period of performance of this contract, the Government may issue one or more orders.
The minimum guarantee for the IDIQ is $10,000 per IDIQ contract awarded. The minimum guarantee will be obligated via separate delivery order(s) issued simultaneously with contract award(s).
The maximum contract value for all order(s) against all IDIQ contract award(s) shall not exceed $40,000,000.
(vi) Description of requirements for the items to be acquired – The contractor shall provide the Transportation Security Administration (TSA) with supplies necessary to mitigate the transmission of infectious agents (e.g. viruses, bacteria, etc.) including, but not limited to, the novel coronavirus disease (COVID-19). The solicited requirement includes physical barriers (e.g. protective panels and posts); however, any modifications to products in the schedule, or the inclusion of any additional product that is determined necessary to mitigate the transmission of an infectious agent is in the scope of the contract and may be added to the contract via modification with concurrence of the contractor(s).
(vii) Dates and places of delivery will be stated in individual call orders. Acceptance is at, and FOB point is Destination for all goods shipped to locations in the Continental United States (CONUS). Acceptance is at, and FOB point is Origin for all goods shipped to locations Outside the Continental United States (OCONUS). For the purposes of this acquisition, CONUS locations are the 48 conterminous states and the District of Columbia. OCONUS locations are all other states, commonwealths, districts, territories, and possessions, etc. of the United States. No shipment to an international location will be required under this contract.
(viii) The provision at 52.212-1, Instructions to Offerors-Commercial, applies to this acquisition. The following addenda apply:
Paragraph (b)(4) is replaced with the following text:
“A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This shall include renderings of all proposed “Configurations” in the schedule. Examples of anticipated renderings are pictures of fully assembled as-built configurations or artistic representations of as-designed configurations. The description may include any other product literature or other documents necessary to evaluate compliance;”
Paragraph (j) is modified by adding the following text after the last sentence:
“For the purposes of this acquisition, the ‘Unique Entity Identifier’ is synonymous with the Dun and Bradstreet (DUNS ®) number, which shall be provided as described herein.”
Note: Consistent with FAR 12.603(b), this solicitation is not issued on a Standard Form 1449. As such, offerers are advised to include the very specific elements that are required per paragraph (b) of the provision for offers not submitted on a Standard Form 1449.
(ix) The provision at 52.212-2, Evaluation-Commercial Items does not apply to this acquisition.
- This competitive acquisition will be conducted in accordance with FAR 15. A best value “Price Performance Tradeoff” process, following a determination of technical acceptability, will be performed between the factors of Price and Past Performance. Competing Offerors' past performance history will be evaluated on a basis approximately equal to cost or price considerations.
- Eligibility for award will be contingent upon the contracting officer’s affirmative determination of responsibility.
- Any clarifications conducted to resolve minor or clerical errors or respond to adverse past performance information will not constitute discussions.
- The evaluation process will proceed as follows:
- Step 1: The Government will review offers to determine compliance. Offers may be determined to be non-compliant if they omit or do not reasonably address the requirements of the solicitation. Offers determined to be non-compliant will not be further evaluated. Offers from Offerors that are not registered in the System for Award Management for “All Awards” with completed representations and certifications at the time the offers are due will be non-compliant.
- Step 2: The Government will evaluate offers remaining from Step 1 to ensure offer compliance with the stated technical acceptability requirements. Technical acceptability is pass/fail.
- Step 3: The Government will evaluate price for all offers remaining from Step 2. The evaluation will consist of an evaluation of reasonableness, balance, and total evaluated price.
- Step 4: The Government will rank the offers remaining after Step 3 in order of lowest to highest total price.
- Step 5: The Government will evaluate the past performance. In order to promote an efficient evaluation process, the Government may limit the evaluation of past performance to the seven lowest priced Offerors if more than seven offers remain at this stage.
- Step 6: The Government will then conduct its Price Performance Tradeoff. All offers evaluated under Step 5 will be forwarded to the Source Selection Authority (SSA).
- Step 7: The SSA will make a best value award decision most advantageous to the Government. The SSA will determine the total number of and to which Offerors awards to be made.
(x) Offerors are advised to include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items with its quote. NOTE: If annual representations and certifications have been completed in www.sam.gov, the Offeror must still complete paragraph (b) of provision and submit with its proposal. If none of paragraphs (c) through (v) are completed for the purposes of this solicitation, then the proposal shall complete the fill-in for paragraph (b) with None, Not/Applicable, N/A or similar language.
(xi) The clause at 52.212-4, Contract Terms and Conditions-Commercial Items applies to this acquisition. There are no addenda to the clause.
(xii) Per Department of Homeland Security Federal Acquisition Regulation Class Deviation Number 20-04, the clause at 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders-Commercial Items (MAR 2020) (DEVIATION APR 2020) applies to this acquisition. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Definitions. As used in this clause—
“Covered article” means any hardware, software, or service that–

52.204-25 PROHIBITION ON CONTRACTING FOR CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (DEVIATION 2020-05)
(a) Definitions. As used in this clause—
“Covered foreign country” means The People’s Republic of China.
“Covered telecommunications equipment or services” means–
(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);
(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);
(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or
(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.
“Critical technology” means–
(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;
(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled-
(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or
(ii) For reasons relating to regional stability or surreptitious listening;
(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);
(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);
(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or
(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).
“Substantial or essential component” means any component necessary for the proper function or performance of a piece of equipment, system, or service.
(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in Federal Acquisition Regulation 4.2104.
(c) Exceptions. This clause does not prohibit contractors from providing—
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(d) Reporting requirement.
(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause in writing via email to the Contracting Officer, Contracting Officer’s Representative, and the Enterprise Security Operations Center (SOC) at NDAA_Incidents@hq.dhs.gov, with required information in the body of the email. Individuals Authorized to Order:
The following individuals, identified by position title, are authorized to place orders under the IDIQ at the limits described:
TSA Ordering Officials: $25,000
TSA Contracting Officers: These individuals may place orders up to the limitations of their warrant, not to exceed the ceiling of the IDIQ.
Orders under Multiple-Award Contracts
As indicated herein, the Government intends to issue multiple awards. In the event that multiple awards are made, the procedures at FAR 16.505(b) will be followed when placing orders. Unless an exception applies, each awardee will be contacted to provide a quote under multiple award contracts. The Government may elect to use a reverse auction platform when soliciting future delivery orders. As such, each awardee is required to register in the Unison-hosted DHS Marketplace (www.dhsmarketplace.con) in order to be considered for orders placed via the platform.
Orders placed by a Contracting Officer will be done through the issuance of an Optional Form 347, Standard Form 1449, or similar form.
Orders placed by an Ordering Official (i.e. orders below $25,000) will be issued via e-mail.
Delivery:
The IDIQ contract will allow a production ramp-up and delivery period as follows:
75 units within 14 days of award
An additional 200 units within 28 days of award
An additional 150 units every 7 days starting at 35 days after award
All subsequent orders require delivery of 150 units every seven days.
At delivery, the shipper’s carrier shall:
a. Be capable of offloading the shipment from the delivery vehicle to a Loading Dock or curbside at destination airport without local TSA assistance.
b. Provide a pallet jack and/or vehicle equipped with a lift gate (for curbside delivery) to offload the shipment at destination airport without local TSA assistance. Each BPA Call will include a Delivery Schedule with “Airport Delivery Instructions” that will list airport Points of Contact’s (POC) name, phone number and email address. It will also indicate if destination is equipped with a Loading Dock and/or type of material handling equipment.
c. Contact the airport POCs listed on the Delivery Schedule at least 48-hours prior to delivery to schedule delivery date/time and to finalize delivery instructions.
Shipment Notification
The BPA holder shall submit shipment tracking information (tracking # and carrier) to the COR as soon as it becomes available from the carrier.
Packing and Marking Requirements:
The Contractor shall package each kit in its own, clearly labeled crate (when possible) and include detailed assembly instructions within each crate. If the kit cannot fit in one crate, crate sets must be clearly marked.
The Contractor shall provide cleaning and maintenance instructions that will preserve the integrity of the glass and not cause scratching or discoloration within each crate.
All supplies to be furnished under this contract shall be preserved, packed, and marked by the Contractor in accordance with standard practices as defined in ASTM-D-3951 (Standard Practice for Commercial Packaging) for the packaging of supplies and equipment.
The Contractor shall ensure that packaging is sufficient to prevent damage or deterioration to supplies and to ensure that shipping can sustain more than one shipment before installation and costs are minimized.
The Contractor shall be fully liable for any damage, diminution in value, or losses incurred during shipment, handling, and installation that is attributed to improper packaging.
The Contractor shall ensure shipping documentation contains the following information:
• Contract Number
• Delivery Order/Contract Line Item Number (CLIN)
• Contractor's Name and Address
• Local TSA POC and contact information
• List of Contents, and
• Date of Order
Defective or Damaged Products:
The receiving activity will inspect shipment for any visible damage and annotate such on carrier delivery document and email it (with photographs if at all possible) to the COR for disposition. If any other damage is noted during unpacking and startup, the receiving activity will annotate damages on Packing Slip and email it (with photographs if at all possible) to the COR for disposition.

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of $3,000,000;
(2) Any order for a combination of items in excess of $3,000,000; or
(3) A series of orders from the same ordering office within 28 calendar days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 business days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

G.5200. 242.001 CONTRACTING OFFICER’S REPRESENTATIVE (COR) AND TECHNICAL MONITORS (JUL 2015)
The principle role of the COR is to support the Contracting Officer in managing the contract. This is done through furnishing technical direction within the confines of the contract, monitoring performance, ensuring requirements are met within the terms of the contract, and maintaining a strong relationship with the Contracting Officer. As a team the Contracting Officer and COR must ensure that program requirements are clearly communicated and that the agreement is performed to meet them. The principle role of the Technical Monitor (TM) is to support the COR on all work orders, tasks, deliverables and actions that require immediate attention relating to the approved scope and obligated funding of the contract action.

Background: The Transportation Security Administration (TSA) partners with the United States Coast Guard Finance Center for financial services in support of TSA operations, including the payment of contractor invoices. Therefore, all contractor invoices must be submitted to, and will be paid by, the U.S. Coast Guard Finance Center (FinCen).

Contractors can structure discounted amounts for payment for any time period less than the usual thirty-day payment period specified under Prompt Payment requirements; however, the Contractor should not structure terms for payment of net amounts invoiced any sooner than the standard period required under FAR Subpart 32.9 regarding prompt payments for the specified deliverables under contract.
Discounts offered after invoice submission. If the Contractor should wish to offer a discount on a specific invoice after its submission for payment, the Contractor should submit a letter to the Finance Center identifying the specific invoice for which a discount is offered and specify the exact terms of the discount offered and what time period the Government should make payment by in order to receive the discount. The Contractor should clearly indicate the contract number, invoice number and date, and the specific terms of the discount offered. Contractors should not structure terms for net amount payments any sooner than the standard period required under FAR Subpart 32.9 regarding prompt payments for the specified deliverables under contract.

E. Invoice Elements: Invoices will automatically be rejected if the information required in subparagraph (a)(2) of the Prompt Payment Clause, contained in this Section of the Contract, including EFT banking information, Taxpayer Identification Number (TIN), and DUNS number are not included in the invoice. All invoices must clearly correlate invoiced amounts to the corresponding contract line item number and funding citation. The Contractor shall work with the Government to mutually refine the format, content and method of delivery for all invoice submissions during the performance of the Contract.
F. Supplemental Invoice Documentation: Contractors shall submit all supplemental invoice documentation (e.g. copies of subcontractor invoices, travel vouchers, etc.) necessary to approve an invoice along with the original invoice. The Contractor invoice must contain the information stated in the Prompt Payment Clause in order to be received and processed by FinCen. Supplemental invoice documentation required for review and approval of invoices may, at the written direction of the Contracting Officer, be submitted directly to either the Contracting Officer, or the Contracting Officer’s Representative. Note for “time-and-material” type contracts: The Contractor must submit the following statement with each invoice for labor hours invoiced under a “time-and-materials” type contract, order, or contract line item: “The Contractor hereby certifies in accordance with paragraph (c) of FAR 52.232-7, that each labor hour has been performed by an employee (prime or subcontractor) who meets the contract’s specified requirements for the labor category invoiced.”
G. Additional Invoice Preparation Instructions for Software Development and/or Hardware. The Contractor shall clearly include a separate breakdown (by CLIN) for any software development activities (labor costs, subcontractor costs, etc.) in accordance with Federal Accounting Standards Advisory Board Statement of Federal Financial Accounting Standards Number 10 (Preliminary design costs, Development costs and post implementation costs) and cite payment terms. The contractor shall provide make and model descriptions as well as serial numbers for purchases of hardware and software (where applicable.)
H. Frequency of Invoice Submission. Invoices shall be submitted after delivery of items.

(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) The solicitation number is 70T05020R9DMED049. The solicitation is issued as a request for proposal (RFP).
(iii) The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2020-07.
(iv) This acquisition is set-aside for small business concerns. The associated NAICS code is 331318 with a small business size standard of 750 employees.

NOTE (3): Indefinite Delivery, Indefinite Quantity (IDIQ) Contract (Minimum and Maximum Amount) –
During the period of performance of this contract, the Government may issue one or more orders.
The minimum guarantee for the IDIQ is $10,000 per IDIQ contract awarded. The minimum guarantee will be obligated via separate delivery order(s) issued simultaneously with contract award(s).
The maximum contract value for all order(s) against all IDIQ contract award(s) shall not exceed $40,000,000.
(vi) Description of requirements for the items to be acquired – The contractor shall provide the Transportation Security Administration (TSA) with supplies necessary to mitigate the transmission of infectious agents (e.g. viruses, bacteria, etc.) including, but not limited to, the novel coronavirus disease (COVID-19). The solicited requirement includes physical barriers (e.g. protective panels and posts); however, any modifications to products in the schedule, or the inclusion of any additional product that is determined necessary to mitigate the transmission of an infectious agent is in the scope of the contract and may be added to the contract via modification with concurrence of the contractor(s).
(vii) Dates and places of delivery will be stated in individual call orders. Acceptance is at, and FOB point is Destination for all goods shipped to locations in the Continental United States (CONUS). Acceptance is at, and FOB point is Origin for all goods shipped to locations Outside the Continental United States (OCONUS). For the purposes of this acquisition, CONUS locations are the 48 conterminous states and the District of Columbia. OCONUS locations are all other states, commonwealths, districts, territories, and possessions, etc. of the United States. No shipment to an international location will be required under this contract.
(viii) The provision at 52.212-1, Instructions to Offerors-Commercial, applies to this acquisition. The following addenda apply:
Paragraph (b)(4) is replaced with the following text:
“A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This shall include renderings of all proposed “Configurations” in the schedule. Examples of anticipated renderings are pictures of fully assembled as-built configurations or artistic representations of as-designed configurations. The description may include any other product literature or other documents necessary to evaluate compliance;”
Paragraph (j) is modified by adding the following text after the last sentence:
“For the purposes of this acquisition, the ‘Unique Entity Identifier’ is synonymous with the Dun and Bradstreet (DUNS ®) number, which shall be provided as described herein.”
Note: Consistent with FAR 12.603(b), this solicitation is not issued on a Standard Form 1449. As such, offerers are advised to include the very specific elements that are required per paragraph (b) of the provision for offers not submitted on a Standard Form 1449.
(ix) The provision at 52.212-2, Evaluation-Commercial Items does not apply to this acquisition.
- This competitive acquisition will be conducted in accordance with FAR 15. A best value “Price Performance Tradeoff” process, following a determination of technical acceptability, will be performed between the factors of Price and Past Performance. Competing Offerors' past performance history will be evaluated on a basis approximately equal to cost or price considerations.
- Eligibility for award will be contingent upon the contracting officer’s affirmative determination of responsibility.
- Any clarifications conducted to resolve minor or clerical errors or respond to adverse past performance information will not constitute discussions.
- The evaluation process will proceed as follows:
- Step 1: The Government will review offers to determine compliance. Offers may be determined to be non-compliant if they omit or do not reasonably address the requirements of the solicitation. Offers determined to be non-compliant will not be further evaluated. Offers from Offerors that are not registered in the System for Award Management for “All Awards” with completed representations and certifications at the time the offers are due will be non-compliant.
- Step 2: The Government will evaluate offers remaining from Step 1 to ensure offer compliance with the stated technical acceptability requirements. Technical acceptability is pass/fail.
- Step 3: The Government will evaluate price for all offers remaining from Step 2. The evaluation will consist of an evaluation of reasonableness, balance, and total evaluated price.
- Step 4: The Government will rank the offers remaining after Step 3 in order of lowest to highest total price.
- Step 5: The Government will evaluate the past performance. In order to promote an efficient evaluation process, the Government may limit the evaluation of past performance to the seven lowest priced Offerors if more than seven offers remain at this stage.
- Step 6: The Government will then conduct its Price Performance Tradeoff. All offers evaluated under Step 5 will be forwarded to the Source Selection Authority (SSA).
- Step 7: The SSA will make a best value award decision most advantageous to the Government. The SSA will determine the total number of and to which Offerors awards to be made.
(x) Offerors are advised to include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items with its quote. NOTE: If annual representations and certifications have been completed in www.sam.gov, the Offeror must still complete paragraph (b) of provision and submit with its proposal. If none of paragraphs (c) through (v) are completed for the purposes of this solicitation, then the proposal shall complete the fill-in for paragraph (b) with None, Not/Applicable, N/A or similar language.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.204-23 PROHIBITION ON CONTRACTING FOR HARDWARE, SOFTWARE, AND SERVICES DEVELOPED OR PROVIDED BY KASPERSKY LAB AND OTHER COVERED ENTITIES (DEVIATION 2020-05)
(a) Definitions. As used in this clause—
“Covered article” means any hardware, software, or service that–
(1) Is developed or provided by a covered entity;
(2) Includes any hardware, software, or service developed or provided in whole or in part by a covered entity; or
(3) Contains components using any hardware or software developed in whole or in part by a covered entity.
“Covered entity” means–
(1) Kaspersky Lab;
(2) Any successor entity to Kaspersky Lab;
(3) Any entity that controls, is controlled by, or is under common control with Kaspersky Lab; or
(4) Any entity of which Kaspersky Lab has a majority ownership.
(b) Prohibition. Section 1634 of Division A of the National Defense Authorization Act for Fiscal Year 2018 (Pub. L. 115-91) prohibits Government use of any covered article. The Contractor is prohibited from—
(1) Providing any covered article that the Government will use on or after October 1, 2018; and
(2) Using any covered article on or after October 1, 2018, in the development of data or deliverables first produced in the performance of the contract.
(c) Reporting requirement.
(1) In the event the Contractor identifies a covered article provided to the Government during contract performance, or the Contractor is notified of such by a subcontractor at any tier or any other source, the Contractor shall report, in writing via email, to the Contracting Officer, Contracting Officer’s Representative, and the Enterprise Security Operations Center (SOC) at NDAA_Incidents@hq.dhs.gov, with required information contained in the body of the email. In the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. 52.204-25 PROHIBITION ON CONTRACTING FOR CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (DEVIATION 2020-05)
(a) Definitions. As used in this clause—
“Covered foreign country” means The People’s Republic of China.
“Covered telecommunications equipment or services” means–
(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);
(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);
(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or
(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.
“Critical technology” means–
(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;
(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled-
(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or
(ii) For reasons relating to regional stability or surreptitious listening;
(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);
(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);
(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or
(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).
“Substantial or essential component” means any component necessary for the proper function or performance of a piece of equipment, system, or service.
(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in Federal Acquisition Regulation 4.2104.
(c) Exceptions. This clause does not prohibit contractors from providing—
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(d) Reporting requirement.
(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause in writing via email to the Contracting Officer, Contracting Officer’s Representative, and the Enterprise Security Operations Center (SOC) at NDAA_Incidents@hq.dhs.gov, with required information in the body of the email. (e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items.

Individuals Authorized to Order:
The following individuals, identified by position title, are authorized to place orders under the IDIQ at the limits described:
TSA Ordering Officials: $25,000
TSA Contracting Officers: These individuals may place orders up to the limitations of their warrant, not to exceed the ceiling of the IDIQ.
Orders under Multiple-Award Contracts
As indicated herein, the Government intends to issue multiple awards. In the event that multiple awards are made, the procedures at FAR 16.505(b) will be followed when placing orders. Unless an exception applies, each awardee will be contacted to provide a quote under multiple award contracts. The Government may elect to use a reverse auction platform when soliciting future delivery orders. As such, each awardee is required to register in the Unison-hosted DHS Marketplace (www.dhsmarketplace.con) in order to be considered for orders placed via the platform.
Orders placed by a Contracting Officer will be done through the issuance of an Optional Form 347, Standard Form 1449, or similar form.
Orders placed by an Ordering Official (i.e. orders below $25,000) will be issued via e-mail.
Delivery:
The IDIQ contract will allow a production ramp-up and delivery period as follows:
75 units within 14 days of award
An additional 200 units within 28 days of award
An additional 150 units every 7 days starting at 35 days after award
All subsequent orders require delivery of 150 units every seven days.
At delivery, the shipper’s carrier shall:
a. Be capable of offloading the shipment from the delivery vehicle to a Loading Dock or curbside at destination airport without local TSA assistance.
b. Provide a pallet jack and/or vehicle equipped with a lift gate (for curbside delivery) to offload the shipment at destination airport without local TSA assistance. Each BPA Call will include a Delivery Schedule with “Airport Delivery Instructions” that will list airport Points of Contact’s (POC) name, phone number and email address. It will also indicate if destination is equipped with a Loading Dock and/or type of material handling equipment.
c. Contact the airport POCs listed on the Delivery Schedule at least 48-hours prior to delivery to schedule delivery date/time and to finalize delivery instructions.
Shipment Notification
The BPA holder shall submit shipment tracking information (tracking # and carrier) to the COR as soon as it becomes available from the carrier.
Packing and Marking Requirements:
The Contractor shall package each kit in its own, clearly labeled crate (when possible) and include detailed assembly instructions within each crate. If the kit cannot fit in one crate, crate sets must be clearly marked.
The Contractor shall provide cleaning and maintenance instructions that will preserve the integrity of the glass and not cause scratching or discoloration within each crate.
All supplies to be furnished under this contract shall be preserved, packed, and marked by the Contractor in accordance with standard practices as defined in ASTM-D-3951 (Standard Practice for Commercial Packaging) for the packaging of supplies and equipment.
The Contractor shall ensure that packaging is sufficient to prevent damage or deterioration to supplies and to ensure that shipping can sustain more than one shipment before installation and costs are minimized.
The Contractor shall be fully liable for any damage, diminution in value, or losses incurred during shipment, handling, and installation that is attributed to improper packaging.
The Contractor shall ensure shipping documentation contains the following information:
• Contract Number
• Delivery Order/Contract Line Item Number (CLIN)
• Contractor's Name and Address
• Local TSA POC and contact information
• List of Contents, and
• Date of Order
Defective or Damaged Products:
The receiving activity will inspect shipment for any visible damage and annotate such on carrier delivery document and email it (with photographs if at all possible) to the COR for disposition. If any other damage is noted during unpacking and startup, the receiving activity will annotate damages on Packing Slip and email it (with photographs if at all possible) to the COR for disposition.

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through five years after date of award [actual dates to be inserted at time of award].
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of $3,000,000;
(2) Any order for a combination of items in excess of $3,000,000; or
(3) A series of orders from the same ordering office within 28 calendar days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 business days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 5 years after date of award [actual date will be entered at time of award].

G.5200. 242.001 CONTRACTING OFFICER’S REPRESENTATIVE (COR) AND TECHNICAL MONITORS (JUL 2015)
The principle role of the COR is to support the Contracting Officer in managing the contract. This is done through furnishing technical direction within the confines of the contract, monitoring performance, ensuring requirements are met within the terms of the contract, and maintaining a strong relationship with the Contracting Officer. As a team the Contracting Officer and COR must ensure that program requirements are clearly communicated and that the agreement is performed to meet them. The principle role of the Technical Monitor (TM) is to support the COR on all work orders, tasks, deliverables and actions that require immediate attention relating to the approved scope and obligated funding of the contract action.

The COR(s) and TM(s) may be changed at any time by the Government without prior notice to the Contractor, but notification of the change, including the name and phone number of the successor COR, will be promptly provided to the Contractor by the Contracting Officer in writing.
The responsibilities and limitations of the COR are as follows:
• The COR is responsible for the technical aspects of the project and technical liaison with the Contractor. The COR is also responsible for the final inspection and acceptance of all reports and such other responsibilities as may be specified in the contract.
• The COR may designate assistant COR(s) to act for him/her by naming such assistant in writing and transmitting a copy of such designation through the Contracting Officer to the Contractor.
• The COR will maintain communications with the Contractor and the Contracting Officer. The COR must report any observed fraud, waste, or opportunities to improve performance of cost efficiency to the Contracting Officer.
• The COR will immediately alert the Contracting Officer to any possible Contractor deficiencies or questionable practices so that corrections can be made before the problems become significant.
• The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract’s price, terms or conditions. Any Contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the expressed prior authorization of the Contracting Officer.
• The COR is not authorized to direct the Contractor on how to perform the work.
• The COR is not authorized to issue stop-work orders. The COR may recommend the authorization by the Contracting Officer to issue a stop work order, but the Contracting Officer is the only official authorized to issue such order.
• The COR is not authorized to discuss new proposed efforts or encourage the Contractor to perform additional efforts on an existing contract or order.
The responsibilities and limitations of the TM are as follows:
• Coordinating with the COR on all work orders, task, deliverables and actions that require immediate attention relating to the approved scope and obligated funding of the contract action.
• Monitoring the Contractor’s performance in relation to the technical requirements of the assigned functional area of the contract to ensure that the Contractor’s performance is strictly within the contract’s scope and obligated funding.
• Ensuring that all recommended changes in any work under the contract are coordinated and submitted in writing to the COR for consideration.
• Informing the COR if the Contractor is not meeting performance, cost, schedule milestones.
• Performing technical reviews of the Contractor’s proposals as directed by the COR.
• Performing acceptance of the Contractor’s deliverables as directed by the COR.
• Reporting any threats to the health and safety of persons or potential for damage to Government property or critical national infrastructure which may result from the Contractor’s performance or failure to perform the contract’s requirements.

G.5200.242.003 SUBMISSION OF INVOICES (JUL 2015)
Background: The Transportation Security Administration (TSA) partners with the United States Coast Guard Finance Center for financial services in support of TSA operations, including the payment of contractor invoices. Therefore, all contractor invoices must be submitted to, and will be paid by, the U.S. Coast Guard Finance Center (FinCen).
A. Invoice Submission Method: Invoices may be submitted via facsimile, U.S. Mail, or email. Contractors shall utilize ONLY ONE method per invoice submission. The submission information for each of the methods is as follows in order of preference:

The facsimile number listed above shall be used by contractors for ORIGINAL invoice submission only. If facsimile submission is utilized, contractors shall not submit hard copies of invoices via the U.S. mail. It is the responsibility of the contractor to verify that invoices are received, regardless of the method of submission used. Contractors may inquire regarding the receipt of invoices by contacting the U.S. Coast Guard Finance Center via the methods listed in subparagraph (d) of this term.

B. Invoice Process: Upon receipt of contractor invoices, FinCen will electronically route invoices to the appropriate TSA Contracting Officer’s Representative and/or Contracting Officer for review and approval. Upon approval, the TSA will electronically route the invoices back to FinCen. Upon receipt of certified invoices from an Authorized Certifying Official, FinCen will initiate payment of the invoices.
C. Discounts on invoices. If desired, the Contractor should offer discounts directly upon the invoice submitted, clearly specifying the terms of the discount. Contractors can structure discounted amounts for payment for any time period less than the usual thirty-day payment period specified under Prompt Payment requirements; however, the Contractor should not structure terms for payment of net amounts invoiced any sooner than the standard period required under FAR Subpart 32.9 regarding prompt payments for the specified deliverables under contract.
Discounts offered after invoice submission. If the Contractor should wish to offer a discount on a specific invoice after its submission for payment, the Contractor should submit a letter to the Finance Center identifying the specific invoice for which a discount is offered and specify the exact terms of the discount offered and what time period the Government should make payment by in order to receive the discount. The Contractor should clearly indicate the contract number, invoice number and date, and the specific terms of the discount offered. Contractors should not structure terms for net amount payments any sooner than the standard period required under FAR Subpart 32.9 regarding prompt payments for the specified deliverables under contract.
D. Payment Status: Contractors may inquire on the payment status of an invoice by any of the following means:

Contacting the FinCen Customer Service Section via telephone at 1-800-564-5504 or (757) 523-6940 (Voice Option #1). The hours of operation for the Customer Service line are 8:00 AM to 5:00 PM Eastern Time, Monday through Friday. However, the Customer Service line has a voice-mail feature that is available 24 hours per day, 7 days per week.

E. Invoice Elements: Invoices will automatically be rejected if the information required in subparagraph (a)(2) of the Prompt Payment Clause, contained in this Section of the Contract, including EFT banking information, Taxpayer Identification Number (TIN), and DUNS number are not included in the invoice. All invoices must clearly correlate invoiced amounts to the corresponding contract line item number and funding citation. The Contractor shall work with the Government to mutually refine the format, content and method of delivery for all invoice submissions during the performance of the Contract.
F. Supplemental Invoice Documentation: Contractors shall submit all supplemental invoice documentation (e.g. copies of subcontractor invoices, travel vouchers, etc.) necessary to approve an invoice along with the original invoice. The Contractor invoice must contain the information stated in the Prompt Payment Clause in order to be received and processed by FinCen. Supplemental invoice documentation required for review and approval of invoices may, at the written direction of the Contracting Officer, be submitted directly to either the Contracting Officer, or the Contracting Officer’s Representative. Note for “time-and-material” type contracts: The Contractor must submit the following statement with each invoice for labor hours invoiced under a “time-and-materials” type contract, order, or contract line item: “The Contractor hereby certifies in accordance with paragraph (c) of FAR 52.232-7, that each labor hour has been performed by an employee (prime or subcontractor) who meets the contract’s specified requirements for the labor category invoiced.”
G. Additional Invoice Preparation Instructions for Software Development and/or Hardware. The Contractor shall clearly include a separate breakdown (by CLIN) for any software development activities (labor costs, subcontractor costs, etc.) in accordance with Federal Accounting Standards Advisory Board Statement of Federal Financial Accounting Standards Number 10 (Preliminary design costs, Development costs and post implementation costs) and cite payment terms. The contractor shall provide make and model descriptions as well as serial numbers for purchases of hardware and software (where applicable.)
H. Frequency of Invoice Submission. Invoices shall be submitted after delivery of items.

The Contractor shall not publish, permit to be published, or distribute for public consumption, any information, oral or written, concerning the results or conclusions made pursuant to the award and/or performance of this contract without the prior written consent of the Contracting Officer. The Contractor shall submit any request for public release at least ten (10) business days in advance of the planned release. Under no circumstances shall the Contractor release any requested submittal prior to TSA approval.

(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) The solicitation number is 70T05020R9DMED049. The solicitation is issued as a request for proposal (RFP).
(iii) The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2020-07.
(iv) This acquisition is set-aside for small business concerns. The associated NAICS code is 331318 with a small business size standard of 750 employees.

NOTE (1): The TDC Shielding shall be delivered fully assembled. All other products identified as “configurations” in the schedule will be assembled on-site by Government personnel.

NOTE (3): Indefinite Delivery, Indefinite Quantity (IDIQ) Contract (Minimum and Maximum Amount) –
During the period of performance of this contract, the Government may issue one or more orders.
The minimum guarantee for the IDIQ is $10,000 per IDIQ contract awarded. The minimum guarantee will be obligated via separate delivery order(s) issued simultaneously with contract award(s).
The maximum contract value for all order(s) against all IDIQ contract award(s) shall not exceed $40,000,000.
(vi) Description of requirements for the items to be acquired – The contractor shall provide the Transportation Security Administration (TSA) with supplies necessary to mitigate the transmission of infectious agents (e.g. viruses, bacteria, etc.) including, but not limited to, the novel coronavirus disease (COVID-19). The solicited requirement includes physical barriers (e.g. protective panels and posts); however, any modifications to products in the schedule, or the inclusion of any additional product that is determined necessary to mitigate the transmission of an infectious agent is in the scope of the contract and may be added to the contract via modification with concurrence of the contractor(s).
(vii) Dates and places of delivery will be stated in individual call orders. Acceptance is at, and FOB point is Destination for all goods shipped to locations in the Continental United States (CONUS). Acceptance is at, and FOB point is Origin for all goods shipped to locations Outside the Continental United States (OCONUS). For the purposes of this acquisition, CONUS locations are the 48 conterminous states and the District of Columbia. OCONUS locations are all other states, commonwealths, districts, territories, and possessions, etc. of the United States. No shipment to an international location will be required under this contract.
(viii) The provision at 52.212-1, Instructions to Offerors-Commercial, applies to this acquisition. The following addenda apply:
Paragraph (b)(4) is replaced with the following text:
“A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This shall include renderings of all proposed “Configurations” in the schedule. Examples of anticipated renderings are pictures of fully assembled as-built configurations or artistic representations of as-designed configurations. The description may include any other product literature or other documents necessary to evaluate compliance;”
Paragraph (j) is modified by adding the following text after the last sentence:
“For the purposes of this acquisition, the ‘Unique Entity Identifier’ is synonymous with the Dun and Bradstreet (DUNS ®) number, which shall be provided as described herein.”
Note: Consistent with FAR 12.603(b), this solicitation is not issued on a Standard Form 1449. As such, offerers are advised to include the very specific elements that are required per paragraph (b) of the provision for offers not submitted on a Standard Form 1449.
(ix) The provision at 52.212-2, Evaluation-Commercial Items does not apply to this acquisition.
- This competitive acquisition will be conducted in accordance with FAR 15. A best value “Price Performance Tradeoff” process, following a determination of technical acceptability, will be performed between the factors of Price and Past Performance. Competing Offerors' past performance history will be evaluated on a basis approximately equal to cost or price considerations.
- Eligibility for award will be contingent upon the contracting officer’s affirmative determination of responsibility.
- Any clarifications conducted to resolve minor or clerical errors or respond to adverse past performance information will not constitute discussions.
- The evaluation process will proceed as follows:
- Step 1: The Government will review offers to determine compliance. Offers may be determined to be non-compliant if they omit or do not reasonably address the requirements of the solicitation. Offers determined to be non-compliant will not be further evaluated. Offers from Offerors that are not registered in the System for Award Management for “All Awards” with completed representations and certifications at the time the offers are due will be non-compliant.
- Step 2: The Government will evaluate offers remaining from Step 1 to ensure offer compliance with the stated technical acceptability requirements. Technical acceptability is pass/fail.
- Step 3: The Government will evaluate price for all offers remaining from Step 2. The evaluation will consist of an evaluation of reasonableness, balance, and total evaluated price.
- Step 4: The Government will rank the offers remaining after Step 3 in order of lowest to highest total price.
- Step 5: The Government will evaluate the past performance. In order to promote an efficient evaluation process, the Government may limit the evaluation of past performance to the seven lowest priced Offerors if more than seven offers remain at this stage.
- Step 6: The Government will then conduct its Price Performance Tradeoff. All offers evaluated under Step 5 will be forwarded to the Source Selection Authority (SSA).
- Step 7: The SSA will make a best value award decision most advantageous to the Government. The SSA will determine the total number of and to which Offerors awards to be made.
(x) Offerors are advised to include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items with its quote. NOTE: If annual representations and certifications have been completed in www.sam.gov, the Offeror must still complete paragraph (b) of provision and submit with its proposal. If none of paragraphs (c) through (v) are completed for the purposes of this solicitation, then the proposal shall complete the fill-in for paragraph (b) with None, Not/Applicable, N/A or similar language.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. 52.204-23 PROHIBITION ON CONTRACTING FOR HARDWARE, SOFTWARE, AND SERVICES DEVELOPED OR PROVIDED BY KASPERSKY LAB AND OTHER COVERED ENTITIES (DEVIATION 2020-05)
(a) Definitions. As used in this clause—
“Covered article” means any hardware, software, or service that–
(1) Is developed or provided by a covered entity;
(2) Includes any hardware, software, or service developed or provided in whole or in part by a covered entity; or
(3) Contains components using any hardware or software developed in whole or in part by a covered entity.
“Covered entity” means–
(1) Kaspersky Lab;
(2) Any successor entity to Kaspersky Lab;
(3) Any entity that controls, is controlled by, or is under common control with Kaspersky Lab; or
(4) Any entity of which Kaspersky Lab has a majority ownership.
(b) Prohibition. Section 1634 of Division A of the National Defense Authorization Act for Fiscal Year 2018 (Pub. L. 115-91) prohibits Government use of any covered article. The Contractor is prohibited from—
(1) Providing any covered article that the Government will use on or after October 1, 2018; and
(2) Using any covered article on or after October 1, 2018, in the development of data or deliverables first produced in the performance of the contract.
(c) Reporting requirement.
(1) In the event the Contractor identifies a covered article provided to the Government during contract performance, or the Contractor is notified of such by a subcontractor at any tier or any other source, the Contractor shall report, in writing via email, to the Contracting Officer, Contracting Officer’s Representative, and the Enterprise Security Operations Center (SOC) at NDAA_Incidents@hq.dhs.gov, with required information contained in the body of the email. In the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Enterprise SOC, Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) and Contracting Officer’s Representative(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.

52.204-25 PROHIBITION ON CONTRACTING FOR CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (DEVIATION 2020-05)
(a) Definitions. As used in this clause—
“Covered foreign country” means The People’s Republic of China.
“Covered telecommunications equipment or services” means–
(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);
(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);
(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or
(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.
“Critical technology” means–
(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;
(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled-
(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or
(ii) For reasons relating to regional stability or surreptitious listening;
(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);
(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);
(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or
(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).
“Substantial or essential component” means any component necessary for the proper function or performance of a piece of equipment, system, or service.
(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in Federal Acquisition Regulation 4.2104.
(c) Exceptions. This clause does not prohibit contractors from providing—
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(d) Reporting requirement.
(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause in writing via email to the Contracting Officer, Contracting Officer’s Representative, and the Enterprise Security Operations Center (SOC) at NDAA_Incidents@hq.dhs.gov, with required information in the body of the email. In the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. (e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items.

Individuals Authorized to Order:
The following individuals, identified by position title, are authorized to place orders under the IDIQ at the limits described:
TSA Ordering Officials: $25,000
TSA Contracting Officers: These individuals may place orders up to the limitations of their warrant, not to exceed the ceiling of the IDIQ.
Orders under Multiple-Award Contracts
As indicated herein, the Government intends to issue multiple awards. In the event that multiple awards are made, the procedures at FAR 16.505(b) will be followed when placing orders. Unless an exception applies, each awardee will be contacted to provide a quote under multiple award contracts. The Government may elect to use a reverse auction platform when soliciting future delivery orders. As such, each awardee is required to register in the Unison-hosted DHS Marketplace (www.dhsmarketplace.con) in order to be considered for orders placed via the platform.
Orders placed by a Contracting Officer will be done through the issuance of an Optional Form 347, Standard Form 1449, or similar form.
Orders placed by an Ordering Official (i.e. orders below $25,000) will be issued via e-mail.
Delivery:
The IDIQ contract will allow a production ramp-up and delivery period as follows:
75 units within 14 days of award
An additional 200 units within 28 days of award
An additional 150 units every 7 days starting at 35 days after award
All subsequent orders require delivery of 150 units every seven days.
At delivery, the shipper’s carrier shall:
a. Be capable of offloading the shipment from the delivery vehicle to a Loading Dock or curbside at destination airport without local TSA assistance.
b. Provide a pallet jack and/or vehicle equipped with a lift gate (for curbside delivery) to offload the shipment at destination airport without local TSA assistance. Each BPA Call will include a Delivery Schedule with “Airport Delivery Instructions” that will list airport Points of Contact’s (POC) name, phone number and email address. It will also indicate if destination is equipped with a Loading Dock and/or type of material handling equipment.
c. Contact the airport POCs listed on the Delivery Schedule at least 48-hours prior to delivery to schedule delivery date/time and to finalize delivery instructions.
Shipment Notification
The BPA holder shall submit shipment tracking information (tracking # and carrier) to the COR as soon as it becomes available from the carrier.
Packing and Marking Requirements:
The Contractor shall package each kit in its own, clearly labeled crate (when possible) and include detailed assembly instructions within each crate. If the kit cannot fit in one crate, crate sets must be clearly marked.
The Contractor shall provide cleaning and maintenance instructions that will preserve the integrity of the glass and not cause scratching or discoloration within each crate.
All supplies to be furnished under this contract shall be preserved, packed, and marked by the Contractor in accordance with standard practices as defined in ASTM-D-3951 (Standard Practice for Commercial Packaging) for the packaging of supplies and equipment.
The Contractor shall ensure that packaging is sufficient to prevent damage or deterioration to supplies and to ensure that shipping can sustain more than one shipment before installation and costs are minimized.
The Contractor shall be fully liable for any damage, diminution in value, or losses incurred during shipment, handling, and installation that is attributed to improper packaging.
The Contractor shall ensure shipping documentation contains the following information:
• Contract Number
• Delivery Order/Contract Line Item Number (CLIN)
• Contractor's Name and Address
• Local TSA POC and contact information
• List of Contents, and
• Date of Order
Defective or Damaged Products:
The receiving activity will inspect shipment for any visible damage and annotate such on carrier delivery document and email it (with photographs if at all possible) to the COR for disposition. If any other damage is noted during unpacking and startup, the receiving activity will annotate damages on Packing Slip and email it (with photographs if at all possible) to the COR for disposition.

52.216-19 Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of $3,000,000;
(2) Any order for a combination of items in excess of $3,000,000; or
(3) A series of orders from the same ordering office within 28 calendar days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 business days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 5 years after date of award [actual date will be entered at time of award].

G.5200. 242.001 CONTRACTING OFFICER’S REPRESENTATIVE (COR) AND TECHNICAL MONITORS (JUL 2015)
The principle role of the COR is to support the Contracting Officer in managing the contract. This is done through furnishing technical direction within the confines of the contract, monitoring performance, ensuring requirements are met within the terms of the contract, and maintaining a strong relationship with the Contracting Officer. As a team the Contracting Officer and COR must ensure that program requirements are clearly communicated and that the agreement is performed to meet them. The principle role of the Technical Monitor (TM) is to support the COR on all work orders, tasks, deliverables and actions that require immediate attention relating to the approved scope and obligated funding of the contract action.
The Contracting Officer hereby designates the individual(s) named below as the Contracting Officer's Representative(s) and Technical Monitor(s). Such designations(s) shall specify the scope and limitations of the authority so delegated.

The COR(s) and TM(s) may be changed at any time by the Government without prior notice to the Contractor, but notification of the change, including the name and phone number of the successor COR, will be promptly provided to the Contractor by the Contracting Officer in writing.
The responsibilities and limitations of the COR are as follows:
• The COR is responsible for the technical aspects of the project and technical liaison with the Contractor. The COR is also responsible for the final inspection and acceptance of all reports and such other responsibilities as may be specified in the contract.
• The COR may designate assistant COR(s) to act for him/her by naming such assistant in writing and transmitting a copy of such designation through the Contracting Officer to the Contractor.
• The COR will maintain communications with the Contractor and the Contracting Officer. The COR must report any observed fraud, waste, or opportunities to improve performance of cost efficiency to the Contracting Officer.
• The COR will immediately alert the Contracting Officer to any possible Contractor deficiencies or questionable practices so that corrections can be made before the problems become significant.
• The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract’s price, terms or conditions. Any Contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the expressed prior authorization of the Contracting Officer.
• The COR is not authorized to direct the Contractor on how to perform the work.
• The COR is not authorized to issue stop-work orders. The COR may recommend the authorization by the Contracting Officer to issue a stop work order, but the Contracting Officer is the only official authorized to issue such order.
• The COR is not authorized to discuss new proposed efforts or encourage the Contractor to perform additional efforts on an existing contract or order.
The responsibilities and limitations of the TM are as follows:
• Coordinating with the COR on all work orders, task, deliverables and actions that require immediate attention relating to the approved scope and obligated funding of the contract action.
• Monitoring the Contractor’s performance in relation to the technical requirements of the assigned functional area of the contract to ensure that the Contractor’s performance is strictly within the contract’s scope and obligated funding.
• Ensuring that all recommended changes in any work under the contract are coordinated and submitted in writing to the COR for consideration.
• Informing the COR if the Contractor is not meeting performance, cost, schedule milestones.
• Performing technical reviews of the Contractor’s proposals as directed by the COR.
• Performing acceptance of the Contractor’s deliverables as directed by the COR.
• Reporting any threats to the health and safety of persons or potential for damage to Government property or critical national infrastructure which may result from the Contractor’s performance or failure to perform the contract’s requirements.

G.5200.242.003 SUBMISSION OF INVOICES (JUL 2015)
Background: The Transportation Security Administration (TSA) partners with the United States Coast Guard Finance Center for financial services in support of TSA operations, including the payment of contractor invoices. Therefore, all contractor invoices must be submitted to, and will be paid by, the U.S. Coast Guard Finance Center (FinCen).
A. Invoice Submission Method: Invoices may be submitted via facsimile, U.S. Mail, or email. Contractors shall utilize ONLY ONE method per invoice submission. The submission information for each of the methods is as follows in order of preference:

The facsimile number listed above shall be used by contractors for ORIGINAL invoice submission only. If facsimile submission is utilized, contractors shall not submit hard copies of invoices via the U.S. mail. It is the responsibility of the contractor to verify that invoices are received, regardless of the method of submission used. Contractors may inquire regarding the receipt of invoices by contacting the U.S. Coast Guard Finance Center via the methods listed in subparagraph (d) of this term.

B. Invoice Process: Upon receipt of contractor invoices, FinCen will electronically route invoices to the appropriate TSA Contracting Officer’s Representative and/or Contracting Officer for review and approval. Upon approval, the TSA will electronically route the invoices back to FinCen. Upon receipt of certified invoices from an Authorized Certifying Official, FinCen will initiate payment of the invoices.
C. Discounts on invoices. If desired, the Contractor should offer discounts directly upon the invoice submitted, clearly specifying the terms of the discount. Contractors can structure discounted amounts for payment for any time period less than the usual thirty-day payment period specified under Prompt Payment requirements; however, the Contractor should not structure terms for payment of net amounts invoiced any sooner than the standard period required under FAR Subpart 32.9 regarding prompt payments for the specified deliverables under contract.
Discounts offered after invoice submission. If the Contractor should wish to offer a discount on a specific invoice after its submission for payment, the Contractor should submit a letter to the Finance Center identifying the specific invoice for which a discount is offered and specify the exact terms of the discount offered and what time period the Government should make payment by in order to receive the discount. The Contractor should clearly indicate the contract number, invoice number and date, and the specific terms of the discount offered. Contractors should not structure terms for net amount payments any sooner than the standard period required under FAR Subpart 32.9 regarding prompt payments for the specified deliverables under contract.
D. Payment Status: Contractors may inquire on the payment status of an invoice by any of the following means:

E. Invoice Elements: Invoices will automatically be rejected if the information required in subparagraph (a)(2) of the Prompt Payment Clause, contained in this Section of the Contract, including EFT banking information, Taxpayer Identification Number (TIN), and DUNS number are not included in the invoice. All invoices must clearly correlate invoiced amounts to the corresponding contract line item number and funding citation. The Contractor shall work with the Government to mutually refine the format, content and method of delivery for all invoice submissions during the performance of the Contract.
F. Supplemental Invoice Documentation: Contractors shall submit all supplemental invoice documentation (e.g. copies of subcontractor invoices, travel vouchers, etc.) necessary to approve an invoice along with the original invoice. The Contractor invoice must contain the information stated in the Prompt Payment Clause in order to be received and processed by FinCen. Supplemental invoice documentation required for review and approval of invoices may, at the written direction of the Contracting Officer, be submitted directly to either the Contracting Officer, or the Contracting Officer’s Representative. Note for “time-and-material” type contracts: The Contractor must submit the following statement with each invoice for labor hours invoiced under a “time-and-materials” type contract, order, or contract line item: “The Contractor hereby certifies in accordance with paragraph (c) of FAR 52.232-7, that each labor hour has been performed by an employee (prime or subcontractor) who meets the contract’s specified requirements for the labor category invoiced.”
G. Additional Invoice Preparation Instructions for Software Development and/or Hardware. The Contractor shall clearly include a separate breakdown (by CLIN) for any software development activities (labor costs, subcontractor costs, etc.) in accordance with Federal Accounting Standards Advisory Board Statement of Federal Financial Accounting Standards Number 10 (Preliminary design costs, Development costs and post implementation costs) and cite payment terms. The contractor shall provide make and model descriptions as well as serial numbers for purchases of hardware and software (where applicable.)
H. Frequency of Invoice Submission. Invoices shall be submitted after delivery of items.

G. 5200.243.001 CONTRACTING OFFICER (CO) (JUL 2015)
The Contracting Officer is the only person authorized to make any changes, approve any changes in the requirements of this contract, issue orders, obligate funds and authorize the expenditure of funds, and notwithstanding any term contained elsewhere in this contract, such authority remains vested solely in the Contracting Officer. (For further information, the Contracting Officer is a federal government employee who is specifically authorized and appointed in writing under specified agency procedures and granted the authority to enter into, administer, and/or terminate contracts and make related determinations and findings.) H.5200.205.001 PUBLICITY AND DISSEMNIATION OF CONTRACT INFORMATION (OCTOBER 2017)
The Contractor shall not publish, permit to be published, or distribute for public consumption, any information, oral or written, concerning the results or conclusions made pursuant to the award and/or performance of this contract without the prior written consent of the Contracting Officer. The Contractor shall submit any request for public release at least ten (10) business days in advance of the planned release. Under no circumstances shall the Contractor release any requested submittal prior to TSA approval.
Any material proposed to be published or distributed shall be submitted via email to the Contracting Officer. The Contracting Officer will follow the procedures in Management Directives 1700.3 and 1700.4. The Administrator retains the authority to deny publication authorization. Any conditions on the approval for release will be clearly described. Notice of disapproval will be accompanied by an explanation of the basis or bases for disapproval.
