The following have been modified:

INSTRUCTIONS TO OFFERORS

2. Solicitation Provisions

2.1. Instructions, Conditions and Notice to Offerors (Section L)

2.1.1. Proposal Submission

2.1.1.1. General Instructions

In order to be considered for award, each offeror shall submit their proposal in accordance with the following instructions which will be provided within the Request for Proposal (RFP).

Each offeror shall submit a single, complete proposal that contains the offeror's best terms.

Failure to adhere to these instructions may result in rejection of the offer without evaluation or consideration for award. Offerors are cautioned that “parroting” of the technical requirements or the Statement of Work (SOW) with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Offerors are advised to submit any questions for clarification or explanation via the FedBizOpps website.

The cutoff date for submitting questions is seven (7) days prior to proposal deadline.

Proposal shall remain valid for a period of 180 days from the closing date of the solicitation.

Offerors shall NOT include any pricing information in any section of their proposal except within Section B of the Standard Form 33 and Volume 3: Cost/Price.

Proposals shall be submitted in digital format as specified herein. The proposals shall be divided into five (5) volumes. Table L-1 lists the title for each volume and specifies the page limit and number of digital copies required for each volume.

Table L-1. Proposal Volumes

Any pages in excess of the limits specified will be removed and not considered part of the proposal; information contained on any excess pages will not be evaluated. Supporting documentation will not be considered in the page limits and its applicability is denoted in the paragraphs below. Supporting documentation shall be submitted as appendices to the applicable Volume. The Government will accept 11”x 17" pages to support tables, charts, and graphics:

each such page will be counted as one (1) page.

2.1.1.1.2. Exchanges with Offerors after Receipt of Proposals

Acquisition Source Selection Interactive Support Tool (ASSIST) 2Industry The Acquisition Source Selection Interactive Support Tool (ASSIST) will be used by the Government to support the proposal evaluation and source selection process. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST, to accomplish all exchanges with offerors after receipt of proposals, pursuant to Federal Acquisition Regulation (FAR) 15.306.

The ASSIST and ASSIST2Industry support tools are for UNCLASSIFIED information only.

ASSIST2Industry provides the Government the ability to issue, and the offerors to receive and respond to, all Evaluation Notices (ENs) in a secure online environment. In order to initiate the use of ASSIST2Industry, offerors shall provide the names, company titles, telephone numbers, and e-mail addresses of two (2) points of contact (POC) who will receive and respond to any Government ENs transmitted via the ASSIST2Industry tool. The required information must be submitted with the offeror’s proposal and included in the cover letter.

After the solicitation’s closing date, the Government will establish/authorize access to the ASSIST2Industry account for each offeror’s designated POCs. Two (2), separate, system generated e-mails will be sent to each POC; one containing the individual’s ASSIST2Industry username and the other containing the individual’s temporary password. Using the provided username and temporary password, each POC can then go to https://ASSIST2Industry.army.mil to access the account. NOTE: The first time a user logs in, they will be required to change the temporary password before they can proceed.

Whenever the Government issues ENs to the offeror through ASSIST2Industry, the Government’s Contracting Officer will notify the offeror through e-mail. There will be no ENs in ASSIST2Industry until such notice is issued by the Contracting Officer.

All Offerors are advised that ASSIST2Industry has been updated and it is now the responsibility of PRIME Contractors to establish accounts for their SUBCONTRACTORS to respond to Government ENs. A separate area within ASSIST2Industry has been created to allow authorized Subcontractor POCs to upload proposal files only. Subcontractors will not be able to access any other information on the ASSIST2Industry website (e.g.

Questions/Evaluation Notices, Responses, etc.). Once a Subcontractor has been added, they will receive a user ID (e.g. subcontractor0001) and password (an initial password) that will be sent via two (2) separate system generated e-mails. A Subcontractor will have one user ID for all PRIMES and solicitation responses, i.e., if you are a Subcontractor to multiple Prime Contractors and multiple solicitation responses, you will only have one user ID. Once an account has been established for the Subcontractor, go to https://ASSIST2Industry.army.mil to access the account. Prime Contractors will only be able to see the number of files submitted by their Subcontractors; but, will be UNABLE TO VIEW the Subcontractor’s files.

NOTE: Both Prime Contractors and Subcontractors are instructed to review the ASSIST2Industry User’s Guide, located under the “Getting Started” tab on the website. The guide has been updated and provides step by step instructions on how to perform functions and navigate the website.

Offerors can contact the ASSIST2Industry helpdesk at (609) 562-7050 or (609) 562-5988 for technical assistance.

Offerors are cautioned that the system generated e-mails referred to above are intended for administrative purposes only. Receipt of these emails does NOT constitute the commencement of any type of exchange with the offeror. Also, receipt of these emails does not signify that a competitive range determination has been made or that the offeror’s proposal will be included in the competitive range. All notifications indicating that exchanges with the offeror have commenced, ENs have been issued, or the offeror’s proposal has been included in or excluded from the competitive range, will be sent directly to the offeror by the Contracting Officer independent of the ASSIST2industry.

2.1.2.3. Volume 3 – Cost/Price (Factor 2)

File named as follows: B01_Abbreviated Company Name_Cost-Price Narr_LLDR3_18R0001 B01_Abbreviated Company Name_CLIN-Pricing-Matrix_18R0001 B01_Abbreviated Company Name_Cost-Model_18R0001

1.) General:

a. Offerors shall not submit Cost/Price proposal information in any volume except Volumes 1 Offer (Section B) and Volume 3 Cost/Price. Offerors shall utilize the file naming convention above and shall utilize the CLIN Pricing Matrix (Attachment J.6) and Cost Model (Attachment J.7) spreadsheets for their submission information. Offerors shall also have their proposed subcontractors utilize the same spreadsheets for their submitted cost information.

b. Offerors shall provide a cross-reference, between the SOW and the offeror’s WBS, which includes a cross-reference to the proposed Contract Line Item Number (CLIN)/Subline Item Number (SLIN) amounts in the cost volume.

c. In accordance with FAR 9.104-1 (a), offerors shall provide documentary evidence supporting the offeror’s possession of, or ability to obtain, adequate financial resources in order to perform a potential contract borne from this solicitation.

d. Adequate competition is anticipated in response to this solicitation therefore, IAW FAR 15.403-(1)(b)(1) certified cost or pricing data is not required. Further, IAW FAR 15.403-3, data other than certified cost or pricing data is required. However, if it is determined by the Contracting Officer that adequate competition does not exist, the Government reserves the right to request and evaluate certified cost or pricing data in a format prescribed in FAR 15.408, Table 15-2 prior to award. In accordance with FAR 15.403-5(b), the Contracting Officer may specify the format of cost or pricing data or data other than certified cost or pricing data. Therefore, each offeror shall submit a completed and signed Standard Form 33 (SF33), a completed and totaled Section B, a completed cost model (Attachment J.7), and a completed CLIN Pricing Matrix spreadsheet (Attachment J.6 of the RFP) and accompanying narrative in enough detail to describe the underlying basis and amounts of the proposed unit costs/prices. Offerors shall complete the CLIN Pricing Matrix then transfer the amounts to Section B per the instructions contained in the CLIN Pricing Matrix for all CLINs in Section B.

Specifically, each offeror shall enter their proposed unit prices for their respective quantity ranges in the CLIN Pricing Matrix.

e. Submission Instructions by CLIN:

For CLINs 0001-0002: cost reimbursable: Offerors shall:

Have an adequate/acceptable accounting system. In order to be awarded a contract with cost reimbursable CLINs, a contractor’s accounting system shall be adequate for determining costs applicable to the contract. Therefore, to be considered for award, an offeror shall have an adequate/acceptable accounting system in accordance with FAR 16.301-3(a)(3) and DFARS 252.242-7006.

Provide documentary evidence which supports the adequacy of its purchasing system in accordance with DFARS 252.244-7001.

Submit sufficient detail to demonstrate the balance, reasonableness/realism for their proposed costs. If an offeror’s unit prices appear unbalanced, when comparing them from quantity range to quantity range or ordering period to ordering period, the offeror will be requested to provide documentation, including calculations and supporting rationale, explaining the apparent unbalanced pricing.

Submit a cost proposal showing a bottom-up estimate and accompanying cost narrative in the cost element detail contained in FAR 15.408, Table 15-2, II Cost Elements (i.e.

materials/Bill of Material (BOM) information, direct labor hours/rates, fringe benefit, overhead, other direct cost (ODC), general and administrative expenses (G&A), facilities capital cost of money (FCCOM), and profit/fee).

Submit supporting documentation as follows:

o The burden of proof for establishing the cost realism of proposed costs rests with the offeror. Therefore offerors are highly encouraged to submit spreadsheets and supporting narrative to show and explain the build-up of costs including build rate tables and estimating formulas used, in their submissions of spreadsheets.

Submitted Excel spreadsheets:

- Shall be in a Microsoft Excel readable format.

- Shall not be linked unless the linked data is provided with the cost proposal provided to the Government.

- Shall be submitted in both a locked and unlocked format.

o Quantitative factors that impact cost shall be addressed in the offeror’s submission. Specifically proposed material quantities, labor hours, and other quantitative elements should be addressed in both the cost and technical volumes to allow for Government cost realism evaluation of material and labor in accordance with FAR 15.404-1(d). Proposed material quantities and labor hour amounts should be the same in both the technical and cost proposals.

Detail/explain quantity and basis of all direct material items in a bill of material (BOM) format. For each individual BOM item over $500 each offeror shall clearly provide a cross- referenced discussion and supporting documentation showing how the BOM item was estimated. The BOM items should also be cross referenced by category, work breakdown structure (WBS) element, and CLIN element. Also attach and cross-reference to the BOM item any historical or actual pricing data including invoices, vendor quotes, etc. used in establishing the BOM item price. Materials proposed in the cost proposal and the technical proposal shall be the same. This information shall also be submitted for any subcontractors or interdivisional entities for any costs proposed under CLIN 0001.

Subcontractor information can be submitted directly to the Contracting Officer should the subcontractor consider its rates sensitive or proprietary.

Detail/explain the estimating basis of direct labor hours by labor category. Direct labor hours shall be clearly cross-referenced by labor category, work breakdown structure (WBS) element, and CLIN element. This information shall also be submitted for any subcontractors or interdivisional entities for any costs proposed under CLINs 0001 and 0002. Subcontractor information can be submitted directly to the Contracting Officer should the subcontractor consider its rates sensitive or proprietary.

Submit a table of direct labor and indirect rates used for proposal purposes for prime, interdivisional, and subcontractors. Each offeror/subcontractor shall provide documentary accounting and estimating support for ALL proposed direct labor rates and indirect rates (i.e. scrap/material handling, fringe benefit, overhead, G&A, FCCOM, etc.).

Each contractor/subcontractor shall provide documentary accounting and estimating support for ALL proposed direct labor and indirect rates (i.e. scrap/material handling, fringe benefit, overhead, G&A, FCCOM, etc.)

Each offeror shall provide current copies of forward pricing rate agreements, proposals, or recommendations (FPRA, FPRP, FPRRs) to support proposed direct labor and indirect rates. Also provide copies of any existing current DCAA Provisional Rate Agreements.

In the absence of DCAA or DCMA rate agreement or recommendation, the offeror shall show the detailed calculation basis for the proposed indirect rates including pool and base detail by cost element for all years of the proposed action and three years of historical data. This information shall be included in the Cost Model and cross-referenced to the cost proposal. If direct labor rate agreements are not available, W- 2 or payroll information shall be submitted and cross-referenced to labor categories to support proposed direct labor rates. This information shall also be submitted to the Contracting Officer for any subcontractors or interdivisional entities for any costs proposed under CLINs 0001 and 0002. Subcontractor information can be submitted directly to the Contracting Officer should the subcontractor consider its rates sensitive or proprietary.

If an offeror proposes to forego or cost share in any cost, the offeror shall still provide the detail as to the material quantities, labor categories/hours, other direct costs, and indirect costs as to the costs shared. These costs will be considered as unallowable after contract award should the offeror receive an award. Also all offerors shall clearly identify any direct labor rates or indirect rates that the offeror has voluntarily elected to cap or limit for competitive purposes. If an offeror elects to cap a direct labor or indirect rate in its cost proposal, the rate will be capped for contract purposes and the offeror will not be able to claim or bill costs in excess of the capped rate during the life of the contract or anytime in the future.

Conduct the price and/or cost analysis necessary to determine the reasonableness of intercompany or subcontractor proposals in accordance with all the provisions of FAR 15.404-3. For interdivisional subcontractor proposals, detailed support shall be provided showing the nature and extent of the work involved, proposed contract type (i.e. CP, CPFF, T&M, etc.), as well as the details necessary to enable the Government to evaluate the proposed costs. As stated above, in accordance with FAR 15.404-3(b), the prime offeror shall conduct and provide evidence of the reasonableness of proposed subcontractor costs. If a subcontractor declines to provide certain sensitive proprietary data (i.e. rates, etc.) directly to the prime to substantiate reasonableness and realism, the prime shall direct that the subcontractor provide the data to the Government. If an offeror is unable to conduct price/cost reasonableness of a subcontractor, the offeror shall provide a statement which explains why and ensures that the required data will be provided to the Contracting Officer directly from the subcontractor.

For CLINs 0003-0049: firm-fixed-price (FFP):

Adequate competition is anticipated therefore, certified cost or pricing data is not required in accordance with FAR 15.403-1 (b) (1). However, if adequate competition is not available, an offeror may be required to certify their price data in accordance with

FAR 15.406-2.

Offerors shall submit an FOB Destination, firm-fixed, unit and total price for each CLIN 0003 to 0049.

For CLINs 0050-0055 and 0060-0065: cost reimbursable (to be evaluated at delivery order award): Offerors shall:

Not propose any cost amount; shall utilize the normalized cost amounts provided by the Government in their proposal.

Include in Section B, the Government provided, normalized amounts for the cost reimbursable CLINs 0050-0055 and 0060-0065, in order to submit a total, contract price with their offer. The normalized amounts have been included in the CLIN Pricing matrix.

o Since cost reimbursable CLINs 0050-0055 and 0060-0065 will be normalized for evaluation purposes, no cost analysis/cost realism for CLINs 0050-0055 and 0060-0065 will occur until after a basic award is made and a delivery order need is identified for work to be performed under either CLIN. Refer to section H of the RFP for further information.
